Both companies remain in federal conservatorship, Treasury holds senior preferred stock with special rights, and Treasury also holds warrants for 79.9% of each company’s common stock on a diluted basis. The value of a privately traded preferred series therefore depends on its exact contract and on future government decisions about capital, restructuring and conservatorship—not simply on the company’s reported earnings.
Before placing an order, identify the exact series, read its certificate and offering documents, check the latest issuer disclosures, and verify the live quotation, spread and trading volume. Neither the cited Federal Housing Finance Agency (FHFA) materials nor Fannie Mae’s January 2, 2025 filing promises a release date or a particular recovery for private preferred holders.

Why these preferred shares are unusually event-dependent
A preferred share normally gives an investor priority over common stock for dividends and liquidation proceeds. Fannie Mae and Freddie Mac securities add a second layer of uncertainty: the companies have operated under conservatorship since 2008, and the government’s support agreements determine how capital is distributed and how a future exit could be structured.
That means a quoted dividend rate, liquidation preference or apparent discount to face value cannot be evaluated in isolation. A preferred series may have an attractive contractual feature yet still face years without cash dividends, a restructuring that changes its economics, limited trading liquidity, or an outcome controlled by policy decisions that have not been finalized.

Conservatorship is still in force
What conservatorship means
FHFA placed both Enterprises into conservatorship in September 2008 after deterioration in the housing markets left them unable to fulfill their missions without government intervention. FHFA says its role is to preserve and conserve their assets and property and restore them to a sound and solvent condition. The companies continue to operate as business corporations, but FHFA retains ultimate authority over their operations.
Conservatorship is not the same as a scheduled liquidation, and it is not a promise that private securities will be restored to a particular value. It is an ongoing legal and operating framework. Until it ends, decisions about capital retention, dividends, asset growth and strategic transactions occur within that framework.
There is no verified release timetable
Fannie Mae’s January 2, 2025 Form 8-K describes a letter agreement that amended the Treasury senior preferred stock purchase agreement (SPSPA), the senior preferred stock certificate and the warrant. It states that termination of conservatorship requires Treasury’s prior written consent in every case other than mandatory receivership.

Treasury’s senior position comes before private preferred stock
The support agreements
Treasury’s support agreements were executed on September 7, 2008 and amended over time. In exchange for providing financial support, the agreements give Treasury quarterly dividend rights, a liquidation preference and warrants to purchase common stock equal to 79.9% of each company’s common stock on a diluted basis.

| Feature | What the cited FHFA materials establish | Why it matters to a private preferred holder |
|---|---|---|
| Treasury security | Senior preferred stock issued under the SPSPAs | It ranks ahead of privately held junior preferred shares and common equity. |
| Treasury dividend right | Quarterly dividend obligations under the agreements | Cash available for other classes cannot be assessed without considering this senior claim. |
| Liquidation preference | Treasury receives a contractual liquidation preference | A private series’ stated preference does not automatically determine what it would recover in a restructuring or liquidation. |
| Common-stock warrant | 79.9% of each Enterprise’s common stock on a diluted basis | It affects common-equity dilution and recapitalization economics; it is not a term of every private preferred series. |
| 2019 reserve allowances | $25 billion for Fannie Mae and $20 billion for Freddie Mac | These are permitted capital reserves, not evidence that conservatorship will end or that private holders have a fixed recovery. |
The distinction between senior and junior securities is fundamental. “Fannie preferred” or “Freddie preferred” is not a single security. A private series may sit below Treasury’s senior preferred claim and have different rights from another series issued by the same company.
Do not confuse the warrant with preferred-stock rights
Treasury’s 79.9% warrant concerns common stock. It is relevant because a recapitalization could involve common-equity issuance, conversion or other transactions. But the warrant alone does not say whether a particular preferred series will be redeemed, converted, exchanged, left outstanding or receive a negotiated settlement. Those outcomes depend on the series contract and future transaction documents.

What to verify for the exact series
Use the issuer’s current filings and the governing certificate or offering document for the security you are considering. Record the following before comparing prices:
- Issuer and ticker: Confirm whether the security was issued by Fannie Mae or Freddie Mac and that the ticker identifies the intended series rather than a similarly named instrument.
- Seniority: Determine whether the series is junior preferred and how it ranks relative to Treasury’s senior preferred stock, other preferred classes and common stock.
- Dividend type: Establish whether dividends are cumulative or non-cumulative. A cumulative provision generally addresses unpaid dividends as an accrued claim, while a non-cumulative provision may allow missed dividends to disappear; the actual certificate controls.
- Arrears treatment: Read what happens to unpaid dividends, whether dividends must be paid on senior securities first, and whether a missed payment restricts distributions to common stock.
- Liquidation preference: Check the dollar amount per share, any accumulated dividends included in a claim and the ranking in a liquidation or recapitalization.
- Call, redemption and conversion provisions: Identify who can redeem, at what price, on what dates and whether conversion is optional, mandatory or absent. A provision may be unusable while conservatorship or other regulatory conditions remain.
- Trading venue and liquidity: Confirm whether the shares trade over the counter or on an exchange, then examine recent volume, bid-ask spread and the size available at quoted prices.
- Current issuer disclosures: Check the latest dividend declarations, arrears, capital figures, material agreements and risk factors. A historical coupon is not proof of a current cash payment.
The reviewed materials do not establish the current status of every privately held series, current prices, spreads, volumes or trading venues. Those facts must be checked immediately before an order.
Do Fannie Mae and Freddie Mac preferred shares currently pay dividends?
Do not assume that a quoted coupon is a current cash dividend. The FHFA material cited here describes payment obligations to Treasury under the SPSPAs; it does not establish that privately held preferred dividends are currently being paid. The answer can differ by issuer, series, dividend classification and current declaration.

For the specific security, look for a recent issuer announcement or filing stating whether a dividend was declared, the record and payment dates, and how any unpaid amount is treated. If the filing does not declare a payment, model the investment without assuming recurring income. A broker display showing a percentage may be showing the original contractual rate, not a yield being paid today.
What could happen if conservatorship ends?
Ending conservatorship would not, by itself, determine the value of every private preferred share. The transaction could require recapitalization, exchanges, conversions, new common issuance, redemptions or negotiated settlements. Treasury’s consent requirement and senior claim would remain central to the structure unless binding agreements changed them.
Scenario 1: An orderly recapitalization
The companies could seek enough capital to operate outside conservatorship. Private preferred holders might receive continued securities, new securities, cash, conversion rights or another consideration. The result would depend on relative seniority, negotiated terms, capital needs and regulatory approval. No cited source promises that an orderly recapitalization will occur or specifies its exchange ratio.
Scenario 2: A restructuring that leaves some preferred holders behind
A transaction could prioritize Treasury’s senior position and new capital providers while altering or postponing rights attached to junior series. A stated liquidation preference would still be a contractual reference point, but its practical value would depend on the assets, liabilities and transaction documents at the time.
Scenario 3: Conservatorship continues
The companies could remain in conservatorship for an extended period. In that case, investors could face price volatility around policy announcements without a defined exit catalyst, and any expected income would remain dependent on actual dividend declarations.

Scenario 4: Mandatory receivership
The 2025 filing distinguishes mandatory receivership from other termination paths. Receivership would be a different legal process, and recovery would depend on the applicable claims hierarchy and available assets. A buyer should not treat a receivership possibility as equivalent to a voluntary release.
These scenarios illustrate why a market price is a bet on both contract rights and public policy. They are not forecasts of what FHFA, Treasury or either company will choose.

The two Enterprises share the same broad conservatorship and Treasury framework, but their preferred series are not interchangeable. Compare securities at the series level rather than assuming one issuer’s terms apply to the other.
| Comparison point | Questions to answer |
|---|---|
| Series identity | What are the exact issuer, ticker, certificate date and offering document? |
| Ranking | Where does the series sit relative to Treasury’s senior preferred stock, other preferred classes and common stock? |
| Dividend mechanics | Is it cumulative or non-cumulative? What happens to arrears, and has a current dividend been declared? |
| Preference | What is the per-share liquidation preference, and are unpaid dividends included? |
| Optionality | Are there call, redemption, exchange or conversion rights, and who controls them? |
| Market quality | What are the current bid, ask, spread, recent volume and trading venue? |
| Policy exposure | How would a continuation, recapitalization, exchange or receivership affect this exact contract? |
No current relative-value ranking is established by the cited materials. A lower price can reflect weaker terms or poorer liquidity rather than a better opportunity.

A disciplined buying process
- Define the objective. Decide whether you are seeking current income, a speculative event-driven return, preservation of capital or a combination. If you need dependable income, do not substitute a historical coupon for a confirmed dividend.
- Pull the primary documents. Obtain the exact series certificate, offering document and latest issuer filings. Read the sections on ranking, dividends, arrears, redemption, conversion and voting rights.
- Map the capital structure. Place Treasury’s senior preferred claim, the private preferred series and common equity in order. Note the 79.9% common-stock warrant separately from preferred terms.
- Check current status. Verify the latest dividend declaration, any arrears, material amendments and capital disclosures. Do not rely on an old prospectus or an unsourced online summary.
- Measure execution risk. Record the live bid and ask, spread, recent volume and order size. Use limit orders when a thin market makes a market order capable of filling far from the displayed price.
- Stress-test outcomes. Model at least continued conservatorship, an adverse restructuring, an exchange or conversion, and a favorable recapitalization. Include the possibility of no cash dividends for an extended period.
- Set a position limit. Because the catalyst and legal outcome are uncertain, size the position so a severe loss would not threaten essential goals. Avoid borrowing against a security whose liquidity and value can change abruptly.
- Recheck after material news. Review FHFA, Treasury and issuer filings after amendments, proposed transactions, dividend announcements or changes to the conservatorship process.
Principal risks buyers should price in
Priority and capital-structure risk
Treasury’s senior preferred claim ranks ahead of privately held junior preferred shares and common equity. Company earnings do not automatically flow to private holders while senior obligations and capital requirements govern distributions.
Best Value
Policy and transaction risk
The future terms of an exit, recapitalization, exchange, conversion or restructuring are unsettled in the cited documents. A favorable headline can be followed by terms that benefit one class and dilute or defer another.
Contract risk
Series certificates can differ materially in dividend accumulation, redemption, conversion and voting provisions. Buying based on the issuer name alone can lead to the wrong assumptions about recovery or income.
Dividend risk
A contractual rate does not establish that cash is currently being paid. Missed dividends may have different consequences for cumulative and non-cumulative series, and senior payments may affect distributions to junior classes.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesLiquidity and price risk
Thinly traded or over-the-counter securities can have wide spreads, limited displayed size and difficult exits. The research cited for this article does not provide current quotes or volume, so a buyer must obtain live market data.
Dilution and restructuring risk
The Treasury warrant can dilute common equity in a recapitalization. Its existence is important context, but it does not specify what any private preferred class will receive.
Questions to ask before submitting an order
- Can I identify the exact certificate and ranking, not just the issuer?
- Is the dividend cumulative, and has the issuer actually declared a current payment?
- What is the treatment of unpaid dividends?
- What does the liquidation preference mean after Treasury’s senior claim and other liabilities?
- Who controls redemption, conversion or exchange rights?
- What are today’s bid, ask, spread and recent volume?
- What loss can I tolerate if conservatorship continues or a restructuring is unfavorable?
- Am I relying on a timetable or recovery value that no binding document promises?
Bottom line for a prospective buyer
Fannie Mae and Freddie Mac preferred shares should be approached as speculative, policy-sensitive securities whose outcomes depend on exact series contracts and future government action. Conservatorship has continued since 2008; Treasury has senior preferred rights, a liquidation preference and a 79.9% common-stock warrant; and the 2025 termination process does not provide a release date. Verify the series documents, dividend status and live market conditions before buying, and treat any recapitalization outcome as a scenario rather than an entitlement.
