A software vendor exit plan is an executable playbook for leaving a supplier without losing data, service continuity, security, or legal control. It should define the exit trigger, services and data in scope, accountable owners, export and migration work, contract rights, destination environment, resources, risks, testing, and proof that access and residual data were dealt with. Tailor the detail to the service’s criticality, data sensitivity, provider dependency, and the actual agreement.
Why an exit plan matters before you need one
Waiting until a contract is about to end leaves the hardest questions unanswered: Can the supplier export everything in a usable form? How long will access remain available? Which integrations rely on provider-specific features? Who will operate the replacement while migration is still under way? The UK Government Digital, Data and Technology Playbook puts the issue plainly: “Preparing for exit takes time.” Its guidance recommends planning and reviewing the exit route throughout the contract, not just at termination. See the Digital, Data and Technology Playbook.

Review the plan at procurement, renewal, major architecture changes, changes in service criticality or data sensitivity, and scheduled governance reviews. Provider-specific dependencies, switching costs and export restrictions are usually easier to resolve before a dispute or outage makes them urgent. The plan should sit alongside contract management, procurement, security, privacy, records-retention and business-continuity processes rather than becoming an isolated document.
Crashes, No Sound, or Screen Glitches?

Start with a precise description of what may leave the supplier. Include the product or service, business processes, user groups, environments, workloads, data sets, integrations and operational tools. Include less visible components such as monitoring, identity links, deployment pipelines, support portals, service accounts, encryption keys and scheduled jobs.

- Objective: state whether the outcome is a replacement service, an on-premises or hosted destination, an in-house capability, a temporary fallback, or a controlled shutdown.
- Scope boundary: identify systems and data that are included, excluded or dependent on the service.
- Authority: name the person or governance body that can approve an exit, invoke contractual rights, accept residual risk and authorize a final shutdown.
- Interfaces: identify procurement, legal, security, privacy, records, architecture, finance, communications and continuity owners who must approve relevant decisions.
- Residency and classification: record where data may be stored or processed, its sensitivity, retention class and any sector-specific handling rules.
Official architecture guidance treats scope, objectives, responsibilities, target environment and data residency as core plan elements. The Australian Government Architecture guide is a useful model, but it is guidance rather than a universal legal checklist: Guide to managing lock-in, portability and exit planning.
2. Describe every exit scenario and trigger
A plan that covers only a normal contract expiry is incomplete. Write the conditions that can start an exit, the evidence required, who decides and how quickly the organization must act.
Planned exits
- Contract expiry, non-renewal or a competitively procured replacement.
- Strategic change, merger, divestment or a decision to bring the capability in-house.
- Architecture change that makes the current service unsuitable or disproportionately expensive.
Contingency and emergency exits
- Repeated service-level failure, unresolved incidents or material security concerns.
- Unacceptable cost, risk, compliance exposure or change in supplier ownership.
- Supplier insolvency, sudden service failure, loss of a critical capability or refusal to cooperate.
For each trigger, set measurable indicators or thresholds, escalation contacts, decision rights, notice periods and the time available to operate. NIST SP 800-35 discusses both planned termination and situations in which a provider relationship fails or a provider suddenly becomes unavailable: NIST SP 800-35. Record assumptions such as the expected notice period, available staff, export duration and whether a parallel service can run.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minute3. Build a current-state dependency and portability inventory
Portability is more than downloading a database. Inventory what must be preserved, how it can be retrieved and whether the destination can use it without transformation.

| Item to inventory | Questions the plan must answer |
|---|---|
| Business data | What records, files, messages, transactions and attachments exist? Who owns or stewards them? What retention and deletion rules apply? |
| Metadata and records | Can schemas, timestamps, identities, permissions, audit trails, lineage and retention labels be exported with the primary data? |
| Logs and monitoring | Which application, security, access and operational logs are needed for investigations, compliance or service continuity, and for how long? |
| Configuration | Can policies, workflows, templates, environment settings, infrastructure definitions and backup settings be extracted? |
| Integrations | Which APIs, webhooks, connectors, identity links, network routes, certificates and scheduled transfers must be recreated? |
| Provider-specific features | Which capabilities, formats or automation have no equivalent in the target, and what refactoring or replacement is required? |
| Access prerequisites | Which roles, credentials, keys, approvals, tools and supplier personnel are needed to perform an export? |
For each item, record the format, export method, frequency or one-time nature, size, access limits, encryption and delivery route. Distinguish standard, documented formats from proprietary ones. Then map each export to the destination’s import requirements and identify transformations, reconciliation and validation. The Australian checklist asks the practical question: “Can agency data, metadata, logs, configuration, prompts, model artefacts and records be exported in usable formats?” Use that question, adapted to your service, in the inventory: lock-in, portability and exit planning checklist.
Document dependencies that are easy to miss: provider-managed encryption keys, identity federation, domain names, IP allowlists, mobile or desktop clients, embedded links, data discovered through search indexes, backups and disaster-recovery copies. Note whether the supplier permits bulk extraction, throttles it, charges for it or limits access after notice.
4. Turn the contract into actionable exit obligations
The agreement determines what you can require from the supplier; do not assume that a general promise of “data portability” covers every artifact. Have procurement and legal reviewers create an obligation register with the clause, deadline, owner and evidence required.

- Termination and notice: renewal dates, notice windows, convenience rights, cause-based termination and suspension provisions.
- Data return: the data and metadata included, export formats, delivery method, encryption, frequency and whether the supplier must help validate completeness.
- Post-termination access: how long read-only or administrative access continues, who can request it and what happens to support accounts.
- Transition assistance: supplier staff, documentation, knowledge transfer, migration support, service levels, response times and cooperation with a successor.
- Charges: extraction, egress, professional services, storage during a transition, assistance rates and taxes.
- Retention and deletion: retention periods, legal holds, backup treatment, deletion deadlines, certificates and written confirmation.
- Assurance and audit: rights to verify export, deletion, security controls and subcontractor actions.
- Restrictions: limits on reverse engineering, rate limits, geographic processing, subcontractor involvement or transition to a competitor.
Record named supplier contacts and the notice method. Confirm obligations in writing before invoking them, and preserve correspondence as evidence. NIST’s account-termination guidance covers account closure considerations (NIST 3.3 Terminate an Account), while the Cloud Security Alliance guidance highlights retrieval duration, format, deletion, secure extraction and credential revocation: AICMv1.1 Implementation Guidelines for Cloud Service Providers. Rights vary by jurisdiction and contract, so the plan is not a substitute for legal review.

5. Specify the target state and transition sequence
Name the successor service, internal platform, temporary landing zone or approved shutdown state. An exit is not complete when files have been downloaded; the replacement must be usable, supported and accepted.
Recommended transition workflow
- Mobilize: appoint the transition manager, confirm the trigger and contract notice, establish secure communications and freeze changes that would invalidate the inventory.
- Prepare the destination: provision capacity, identities, network routes, encryption, monitoring, backup, support coverage and required licenses or skills.
- Extract: run agreed exports for data, metadata, logs, configurations and records. Preserve hashes, manifests, timestamps and chain-of-custody evidence where appropriate.
- Transform and load: map fields, identities, permissions and workflows; refactor application code or replace provider-specific capabilities; load data in controlled batches.
- Reconcile: compare counts, checksums, relationships, permissions, timestamps and representative business transactions. Investigate exceptions rather than accepting a partial load.
- Integrate and test: reconnect identity, APIs, webhooks, reports, monitoring, backups and downstream systems. Run security, performance, recovery and user-acceptance tests.
- Operate in parallel: where risk justifies it, run old and new services together, define the source of truth, synchronize changes and set a cutover date.
- Cut over and support: communicate the change, provide heightened support, monitor service levels and keep a rollback or contingency route until acceptance criteria are met.
- Decommission: revoke access, close integrations, retain required records, obtain deletion evidence and update inventories, diagrams and contracts.
Coordinate the outgoing supplier’s extraction and assistance milestones with the incoming provider’s mobilization or the internal team’s build plan. AWS Prescriptive Guidance emphasizes evaluating exit requirements, dependencies, timing, skills and continuity together: Evaluate exit strategy requirements.
6. Protect continuity while the supplier changes
Classify the service by business impact and define the maximum tolerable interruption, minimum operating capability and manual fallback. Identify which functions must remain available during export, validation and cutover. Include communications for staff, customers, regulators and partners, plus a support rota for the transition period.
Write explicit failure branches: the supplier misses an export deadline; an export is incomplete; the target cannot import a format; credentials expire; a critical integration fails; the provider becomes unavailable before migration; or a legal hold prevents deletion. Each branch needs an owner, decision point, workaround, escalation route and evidence requirement. CISA’s Software Acquisition Guide for Government Enterprise Consumers, Version 2 also treats continuity, staffing, dependencies and exit planning as acquisition concerns: CISA Software Acquisition Guide.

7. Assign people, schedule, cost and risk
Turn the plan into a work breakdown with accountable owners, predecessors, milestones, decision gates and estimated effort. Include supplier personnel and the successor team where cooperation is required.
- Roles: executive sponsor, transition manager, service owner, data owner, security and privacy leads, procurement and legal reviewers, architects, engineers, records manager, communications lead and service desk.
- Skills: migration engineering, data mapping, identity, integration, testing, operations, incident response and the target platform’s administration.
- Costs: supplier assistance and egress, temporary storage, duplicate operation, new licenses, refactoring, consultants, training, overtime, testing and decommissioning.
- Milestones: decision, notice, destination readiness, test export, full extraction, reconciliation, cutover, acceptance and deletion confirmation.
- Risk register: rate each risk by likelihood and impact; record mitigation, contingency, owner, due date and the dependency on supplier cooperation.
State assumptions about notice periods, data volume, export speed, staffing availability, target capacity and regulatory approvals. If an assumption is unverified, give it a validation task and a deadline rather than treating it as fact.
8. Cover security, privacy, records and decommissioning
Define how data will be extracted, encrypted, transferred, stored temporarily and destroyed. Use least-privilege accounts, separate credentials for the transition, approved transfer locations and integrity checks. Plan identity and credential changes, including API keys, certificates, service accounts, federation, administrator access and emergency accounts.
Separate the actions that must occur at cutover from those that must wait for retention periods or legal holds. Specify which records remain in the organization’s custody, how backups and replicas are handled, and what evidence proves deletion or continued retention. Obtain a supplier statement covering production data, caches, snapshots, disaster-recovery copies and subcontractors where the contract requires it. Do not revoke access until the final export, reconciliation and evidence capture are complete, but do revoke obsolete privileges immediately after the approved cutover point.
Best Value
9. Test, approve and keep the plan current
Testing should be proportionate to criticality and risk, but a plan that has never been exercised contains assumptions rather than assurance. At minimum, test a representative export and import, data reconciliation, restoration from the retained package, key integrations, access changes and the fallback procedure. For a critical service, schedule a controlled migration rehearsal or tabletop exercise involving the supplier and destination team.
Record the test date, data set, software versions, duration, results, defects, workarounds, owner and retest date. Keep approval records and unresolved dependencies with the plan. Re-review after contract renewal, architecture or organization changes, a major security incident, a change in service criticality or data sensitivity, a new integration, or a material change in provider terms. UK guidance on technical lock-in explains why these dependencies should be managed continuously: Managing technical lock-in in the cloud.
How to compare possible exit options
When more than one destination is viable, compare the options using the same evidence rather than choosing solely on headline price.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
| Decision axis | What to evaluate |
|---|---|
| Time and interruption | Notice required, migration duration, cutover window, parallel-running period and fallback speed. |
| Portability | Whether data, metadata, logs, configuration and records are available in usable, documented formats. |
| Refactoring and dependency | Provider-specific APIs, proprietary features, code changes, replacement capabilities and future lock-in. |
| Total cost | Extraction, egress, transformation, duplicate operation, new licenses, staffing, training and ongoing operation. |
| Security and residency | Controls, encryption, identity, auditability, geographic processing, privacy and records requirements. |
| Skills and support | Internal capability, supplier assistance, recruitment, training, service-desk readiness and operational maturity. |
| Reversibility and testability | Ability to rehearse, restore, switch back and repeat the export without unacceptable disruption. |
Using multiple providers or a more diversified architecture can reduce concentration risk, but it can also add complexity, cost and capability demands. Document why the selected level of diversification is proportionate to the service rather than assuming that more providers automatically create a better exit.
A practical approval checklist
- Scope, objective, authority and target state are approved.
- Planned, emergency and supplier-failure triggers have owners and thresholds.
- Data, metadata, logs, configuration, integrations, records and provider-specific features are inventoried.
- Export formats, methods, access limits, residency, destination mapping and reconciliation tests are documented.
- Termination, notice, assistance, charges, access, retention, deletion and audit clauses are confirmed by legal and procurement.
- Destination readiness, staffing, milestones, communications, support and rollback are funded and assigned.
- Security, credentials, legal holds, backups, deletion evidence and records custody are defined.
- At least one proportionate export or exercise has been completed, with defects and owners recorded.
- Review triggers and the next review date are visible to the service owner.
The appropriate detail depends on your jurisdiction, sector, service, data and contract. Treat official checklists as planning aids, then have qualified legal, security and records specialists confirm obligations that apply to your organization.
The Bottom Line
The strongest software vendor exit plan is specific enough to execute under pressure: it ties triggers and contract rights to a named owner, a tested export, a ready destination, continuity measures and verifiable decommissioning evidence. Keep it current while the service is operating, because the cheapest and safest exit work is done before termination is imminent.
