A restaurant private-event contract should make the entire deal testable on paper: who is booking, which space and services are reserved, when the event runs, what the guest commitment is, exactly how much is payable, and what happens when plans change or either side cannot perform. Put the operational details and every negotiated promise in the signed agreement or an attached event order.
The checklist below is practical drafting guidance, not a universal legal form. Deposit rules, cancellation rights, taxes, consumer protections and liability language depend on the parties, event and governing jurisdiction. A restaurant should have local counsel review its template; a customer should obtain advice before relying on a disputed clause.

1. Identify the parties and authority to sign
Start with the legal names and contact details of the restaurant entity and the customer. A trading name may not be the entity that will actually be responsible for performance, so identify the company, partnership or individual named on the applicable business registration. Include billing and day-of contacts if they differ from the signatories.

- Name the person who may approve menu, head-count, timing or spending changes.
- State whether a change must be written, emailed through a named contact, or signed in an amended event order.
- Give both parties a reliable notice address, email address and phone number for urgent event-day matters.
- Attach any proposal, floor plan, menu, beverage list or quote that the contract incorporates, and state which document controls if terms conflict.
2. Define the booking and venue scope
The contract should describe the event precisely enough that neither side can mistake a private room for a partial buyout or a reserved table. Identify the event date, reserved room or area, maximum permitted occupancy, exclusivity (if any), and what is included in the hire.

Specify time windows
List guest arrival, service start, event end, and access times for loading, decorating and vendor setup. State the consequences of early access, overtime, late departure or a delayed start. If the restaurant can move the event to another room, say when that is allowed, what notice is required and what remedy applies if the substitute is materially different.
Describe included facilities
Attach a floor plan or inventory for tables, chairs, linens, tableware, sound equipment, screens, heating or cooling, lighting, coat storage and parking. Distinguish equipment supplied by the restaurant from items the customer must rent. Note accessibility features and any capacity, noise, candle, decoration or fire-safety restrictions.
3. Set the guest-count commitment
Use one defined number for the guaranteed attendance and state when it is due. The agreement should explain whether the count is a minimum commitment, a billing guarantee, or only a planning estimate.
Handle increases and decreases
- Set a deadline for raising or lowering the guaranteed count.
- Explain whether increases are accepted only if capacity and food availability permit.
- State how late additions are priced and whether late reductions still incur charges.
- Define whether the guaranteed count, a food-and-beverage minimum, or another minimum controls when fewer guests attend.
- Explain whether no-shows are charged and whether unused meals, bottles or seats can be substituted.
Include a method for recording the final count, such as a signed event order or email confirmation. If seating is assigned, attach the seating plan deadline and the person responsible for supplying it.

4. Write the menu, beverage and dietary terms
Identify the agreed menu by course, portion or package, including alternatives, children’s meals, tasting requirements and service style. For beverages, specify brands or categories where material, package duration, consumption limits, cash-bar arrangements, corkage and whether unopened products may be removed.
Allergies and substitutions
State when the customer must provide allergy and dietary information, how the restaurant will acknowledge it, and whether substitutions carry an additional charge. Do not promise an allergen-free environment unless the restaurant can actually control cross-contact; describe the kitchen’s disclosure and accommodation process instead. Record who may approve substitutions on the event day.
Outside food and vendors
Say whether outside cake, wine, caterers, entertainers, decorators, photographers or production crews are permitted. For each permitted vendor, cover approval, insurance certificates, arrival times, loading access, power, cleanup, corkage or cutting fees, and responsibility for damage. A verbal exception should be added to the signed event order.

Use an itemized schedule rather than a single “event price.” The contract should show which amounts are estimates and which are fixed, identify the currency and tax treatment, and state when the restaurant may adjust a variable charge.

| Amount or rule | What the contract should say |
|---|---|
| Room or hire charge | Amount, hours included, overtime rate and whether it is refundable or credited toward spending. |
| Food and beverage | Menu or package prices, consumption basis, service period and permitted substitutions. |
| Minimum spend | Minimum amount, whether it is calculated before or after tax and service charge, and exactly which purchases count. |
| Taxes and service charges | Applicable rates or a clear statement that the rate in effect at billing applies; identify mandatory charges separately from optional gratuity. |
| Deposit or advance payment | Amount, due date, what it secures, whether it is applied to the final bill, and treatment on cancellation or postponement under the agreement and local law. |
| Installments | Each due date, accepted payment method, late-payment consequence and whether a payment is required before service continues. |
| Final settlement | When the final guest count and menu are locked, when the final invoice is issued, and who may authorize an event-day card, cash or account charge. |
| Additional costs | Overtime, extra staffing, corkage, cake cutting, rental, cleanup, damage, security, delivery, cancellation or other foreseeable charges, with a calculation method. |
Define what counts toward a food-and-beverage or hire minimum. The UK Parliament’s published hire conditions, for example, apply a mandatory 12.5% service charge to its own published food and beverage prices and state that eligible discounts do not reduce its contracted minimum catering spend. That is one venue’s policy, not a market standard; a restaurant must state its own calculation expressly.
6. Set cancellation, postponement and change rules
Cancellation terms should be visible before money changes hands. State the required notice method, the effective time of cancellation, and a schedule showing what is retained or refunded at each stage. Explain whether the restaurant may deduct documented costs already incurred and whether it must try to rebook the date.
Make the schedule workable
- Give separate rules for customer cancellation, restaurant cancellation, postponement and a material change in room, hours or services.
- Set a process for transferring a payment to a new date, including availability, price changes and a deadline for rebooking.
- State whether a guest-count or menu reduction after the deadline is treated as a partial cancellation.
- Explain how refunds are calculated, when they are paid and which payment method is used.
UK government guidance on fair customer contracts says: “Any cancellation fee you charge must not be excessive and it should reflect steps you can take to minimise your losses (for example, finding another customer).” The UK Competition and Markets Authority’s 2 March 2016 advice for wedding and event venues likewise warns that advance-payment and cancellation provisions can, in some circumstances, be unfair. Those are UK consumer-law materials, not a universal formula. Local law may impose different limits.
7. Allocate event-day responsibilities
Turn assumptions into assignments. Identify who supplies and pays for setup, table plans, linens, signage, decorations, equipment, security, cleaning and waste removal. State the staffing level or service scope promised, including a named event manager if one is included.

Damage, conduct and safety
Describe the inspection process, responsibility for damage caused by guests or vendors, and how repair or replacement costs are documented. Include rules for alcohol service, minors, prohibited items, smoking, pyrotechnics, candles, amplified sound and compliance with venue capacity or fire requirements. A customer should not be made responsible for loss it did not cause; a restaurant should not accept an unlimited, undefined damage obligation.
Accessibility and accommodations
Record requested accommodations such as step-free access, accessible toilets, seating space, interpreters or service-animal arrangements, and identify what the venue can provide. Confirm any limits early, rather than leaving an accessibility issue to event day.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.8. Add legal and risk clauses only when they fit
Depending on the event and jurisdiction, counsel may recommend insurance requirements, indemnity language, limits of liability, confidentiality, data handling, force-majeure procedures, governing law and dispute-resolution steps. These clauses are not automatically required for every restaurant booking. Define their scope, exclusions and practical notice process instead of copying a generic provision.
Force majeure and inability to perform
Explain what happens if fire, public-order restrictions, utility failure, government action, severe weather or another event outside a party’s reasonable control prevents performance. Cover notice, reasonable alternatives, postponement and refund or credit treatment. Do not assume a force-majeure clause automatically excuses every failure; its effect depends on wording and local law.

9. Check jurisdiction-specific rules
British Columbia
Consumer Protection BC explains that some venue or event-rental arrangements can qualify as future-performance contracts when services are delivered later or payment is not made in full upfront. For qualifying agreements, its guidance identifies disclosures such as supplier identity, detailed service description, performance dates, itemized price, additional costs, payment terms, other conditions and cancellation or refund policy. It says the consumer must have an opportunity to review the contract and receive a copy within 15 days, while warning that other laws may apply. These are British Columbia requirements, not a worldwide checklist.
United Kingdom
UK consumer guidance treats fairness as context-dependent. Advance payments and cancellation charges may be challenged in some circumstances, and a charge should reflect likely loss rather than operate as a punishment. The 2016 CMA venue advice should be checked against current law and the specific transaction before either side relies on it.
Russia
A 9 March 2023 response from Rospotrebnadzor discusses banquet prepayments under Russian law, including the distinction between an advance and a formally documented deposit. That separate legal regime should not be generalized to contracts made elsewhere.

10. Compare competing offers on the same axes
When reviewing proposals, compare the complete financial and operational exposure, not just the advertised package price.
| Comparison point | Question to answer |
|---|---|
| Total expected cost | What is the realistic bill after taxes, service charges, gratuity, rentals, overtime and likely extras? |
| Minimum calculation | Which food, beverage, room or rental purchases satisfy the minimum, and which do not? |
| Deposit exposure | How much is paid upfront, and what can be retained if the event changes? |
| Cancellation timing | How do costs change at each notice period, and is postponement available? |
| Space and hours | Is the room exclusive, what access window is included, and what is the overtime rate? |
| Flexibility | How late can the guest count, menu or schedule change? |
| Included resources | Which staff, furniture, equipment, setup and cleanup services are actually included? |
| Outside suppliers | Are outside food, beverage and vendors allowed, and what fees or insurance apply? |
| Failure remedies | What does each side owe if the venue cannot provide the promised room or service? |
11. Use a signing and handoff process
- Circulate a complete draft with the event order, menus, floor plan, price schedule and cancellation table attached.
- Mark every negotiated exception directly in those documents; do not rely on a sales email that the contract does not incorporate.
- Check names, dates, times, guest guarantee, tax and service-charge calculations, payment deadlines and authorized contacts.
- Have both parties sign or accept the agreement through a method recognized in the applicable jurisdiction.
- Deliver a readable copy to both sides and store the final version with payment receipts and approved amendments.
- Set calendar reminders for the guest-count deadline, final menu approval, installment dates, vendor certificates and final settlement.
12. Red flags that require clarification
- A “nonrefundable” deposit with no explanation of what happens if the restaurant cancels or the date is postponed.
- A minimum spend that does not say whether tax, service charge, discounts or gratuity count.
- “All fees may change” language without a trigger, notice period or cancellation right.
- No deadline for the final guest count, leaving the guaranteed number open to dispute.
- Verbal promises about a private room, outside wine, accessibility or equipment that are absent from the signed documents.
- Unlimited indemnity or damage language that does not distinguish the customer’s conduct from the restaurant’s own negligence.
- A force-majeure clause that gives only one side a remedy or says nothing about refunds, credits or alternatives.
A well-drafted contract is not merely a menu and a deposit receipt. It is a shared event plan with a transparent price, measurable responsibilities and a fair process for change. Before using a template or disputing a charge, have a lawyer familiar with the governing jurisdiction review the exact wording and transaction.
