If a construction invoice is overdue or challenged, first verify the contract, invoice requirements, submission date and proof of receipt. Then ask in writing for an itemized objection and payment of any undisputed balance. Preserve the project record and check the payment-claim, adjudication, lien, bond, suspension and court deadlines that apply where the project is located before taking formal action.

Start with a 24-hour triage

Do not treat every unpaid invoice as the same problem. “Late” can mean you sent the invoice after the contract’s required date, or that a properly submitted invoice passed its contractual or statutory due date. A payer may also be withholding money because of a genuine defect, quantity or variation dispute. Identify which situation you have before choosing a remedy.

  • Invoice submitted late: check whether the contract makes timely submission a condition of payment, and whether a new submission or corrected invoice is required.
  • Invoice submitted on time but unpaid: calculate the due date from the contract, payment schedule, acceptance event or applicable statute.
  • Invoice disputed: separate the amount and reasons challenged from any balance the payer accepts.
  • No response: send a written confirmation request rather than assuming silence means acceptance.

Keep working through the facts even if the commercial relationship is tense. A clear chronology and a narrowly framed request usually produce a better result than a threat based on a deadline that may not apply.

Read the contract and assemble the claim record

Read the signed contract, work order, purchase order, subcontract, approved variations and payment schedule together. Mark the provisions that answer each of these questions:

  • What work, milestone, retention or final amount is being claimed?
  • What event starts the payment clock: invoice receipt, approval, certification, acceptance or a payment schedule?
  • What is the final date for payment?
  • Where and how must an invoice be delivered?
  • Which supporting records are mandatory, such as timesheets, delivery dockets, statutory declarations, waivers or photographs?
  • Are there notice, dispute, set-off, retention or change-order provisions?

Save the original invoice as sent. Do not silently alter its date or overwrite the transmitted file. Keep the contract version in force when the work was performed, not just a later template. If a variation was instructed by email or on site, preserve the instruction, pricing, approval and the record showing that the extra work was completed.

What a proper invoice may require

Invoice rules are local and contractual. In covered U.S. federal construction contracts, FAR 52.232-27 lists information such as the contractor’s identity, invoice date and number, contract authorization, work description, payment terms and payee details. A noncompliant invoice must be returned with the reasons within seven days under that clause. That federal clause does not automatically govern private or state work.

For certain U.S. federal progress payments, FAR 32.904 sets a 14-day due date based on an approved estimate and the value of work, subject to the rule’s conditions. FAR 52.232-27 also contains acceptance, invoice and interest provisions. A missing receipt annotation or an approval step can change when the clock starts, so use the actual contract language rather than a generic “net 30” assumption.

Prove when the invoice was delivered

Payment arguments often turn on receipt, not the date printed on the invoice. Create one folder for the claim containing:

  • email, portal or electronic-submission confirmations;
  • courier or registered-mail tracking;
  • the recipient, delivery address and contract-required format;
  • approval, certification or receipt acknowledgements;
  • the payment schedule, remittance advice and bank records.

Record the date and time the claim was sent and the date and time it was received. The NSW Small Business Commissioner specifically advises retaining transmission and receipt dates, following the agreed invoice timetable and following up promptly when payment is overdue. If a portal shows “rejected,” retain the rejection message and the time you corrected and resubmitted the claim.

Send a neutral, itemized written follow-up

Your first follow-up should make it easy for the payer to either pay or explain a defined problem. Identify the project, invoice number, amount, submission date and relevant payment term. Attach only concise backup that supports the disputed point.

Ask for four things in writing:

  1. confirmation that the invoice and attachments were received;
  2. the amount accepted for payment and its payment date;
  3. the exact amount withheld, each reason and the contract clause or record relied on; and
  4. any missing document or correction needed to process the claim.

Set a reasonable reply date tied to the contract or statutory timetable. Keep the tone factual: “Please confirm the status of invoice 184, submitted on 3 May, for $24,600. If any part is disputed, identify the amount, reason and contractual basis. Please arrange payment of the undisputed balance and provide the expected payment date.” Do not say that silence automatically proves legal acceptance unless the applicable law or contract expressly creates that result.

Separate a work dispute from a payment delay

Quantity, quality or completion objection

Map each objection to the scope, measurement, inspection record and completion evidence. For a quantity issue, provide the agreed measurement or delivery record. For a defect allegation, identify the location, specification, notice date and corrective work. If a site meeting or joint measurement can resolve the issue, propose one and document the outcome.

Variation or extra-work objection

Gather the instruction, authorization threshold, quotation, approval and proof that the variation was performed. If the contract requires a written variation notice, explain when and how it was served. Do not fold an unapproved extra into an otherwise straightforward progress claim without identifying it separately.

Undisputed balance

Request payment of any amount that is not genuinely challenged without conceding the balance. Whether a payer may withhold the whole invoice or only the challenged portion depends on the contract and local law. State that allocation clearly in your correspondence and ledger.

U.S. federal disagreement

For covered federal construction contracts, prompt-payment rules distinguish an ordinary late payment from a disagreement about amount or compliance. A dispute is handled under the contract’s disputes clause, and prompt-payment interest does not operate in the same way on amounts properly withheld under the contract. Confirm the contract vehicle and the contracting officer’s instructions before asserting interest.

Check the local payment timetable immediately

There is no universal construction-invoice deadline. Confirm the project location, public or private status, payer and claimant roles, contract date, and whether the statutory scheme has commenced and applies to this project. These official examples illustrate the range:

Jurisdiction or setting Rule or period Important qualification
New South Wales, Australia Government guidance sets different payment periods for different positions in the construction chain and identifies the Security of Payment Act as a dispute route. Make a proper claim under the contract, preserve delivery proof and follow the statutory process for the project.
Ontario, Canada For covered proper invoices, an owner generally pays within 28 days of receipt. An owner disputing all or part must give the prescribed notice, reasons and amount no later than 14 days after receipt. The Construction Act coverage, prescribed form and contract facts must be checked before relying on those periods.
Canadian federal construction The federal Prompt Payment for Construction Work Act provides a 28-day period for a proper invoice in its covered context and a 21-day period to give an adjudication notice after the statutory trigger. The trigger, notice-of-non-payment sequence and eligibility rules come from the Act; they are not a general Canadian rule.
United Kingdom construction The Housing Grants, Construction and Regeneration Act 1996 contains payment-notice, withholding and suspension provisions where specified conditions are met. Check the contract’s notices and the current law. A right to suspend is not automatic for every unpaid invoice.
Covered UK public contracts Regulation 113 of the Public Contracts Regulations 2015 requires covered public contracts to provide for valid and undisputed invoices to be paid within 30 days and verified promptly. This does not describe every UK construction contract or every tier in the payment chain.
U.S. federal construction FAR 32.904 provides a 14-day due date for certain progress payments based on approved estimates and work value; FAR 52.232-27 adds contract-specific invoice, acceptance, payment and interest provisions. These are federal terms with stated conditions, not a private-construction standard.

State, provincial, national and local rules can overlap, and amendments or commencement dates can change the result. Check the live statute, regulation and contract before serving a formal notice.

Choose an escalation route that fits the problem

Route Best fit Check first
Direct reconciliation A defined discrepancy that can be resolved by a measurement, document or correction. Authority of the person approving payment and whether a written settlement changes your rights.
Mediation A commercial relationship worth preserving where both sides will negotiate with a neutral. Contract requirements, confidentiality, cost and whether a signed settlement is enforceable.
Statutory adjudication A qualifying construction-payment dispute requiring a relatively quick interim decision. Eligibility, claim and response deadlines, required notice, fees and enforcement method.
Payment bond or lien claim Non-payment where a bond or property-security statute applies. Strict notice, filing, service, project and deadline rules; some claims require preliminary notices.
Contract arbitration or court A larger or fact-heavy dispute, or a matter outside an adjudication scheme. Jurisdiction, forum clause, limitation period, evidence, legal costs and enforceability.

NSW Small Business Commissioner guidance describes mediation as an opportunity to reach agreement. NSW enforcement guidance also explains that, after an unpaid adjudication determination, a claimant can request an adjudication certificate and file it with court documents to obtain a judgment debt enforceable like a court judgment. Those procedures are NSW-specific.

Do not take irreversible action on a generic deadline

Stopping work, filing a lien, making a bond claim, issuing a statutory adjudication notice or deducting money from another job can create liability if the prerequisite notice or timing is wrong. Do not assume that a right to suspend exists merely because an invoice is overdue. Check notice wording, service method, cure periods, ongoing-work obligations and any “pay when paid” or “pay if paid” language with a construction lawyer or payment adviser in the project jurisdiction.

If insolvency is a concern, preserve evidence and obtain advice quickly. A threatened administration, winding-up, bankruptcy or project shutdown can change the practical value and timing of a claim even when the invoice is valid.

Build a chronology that survives a dispute

Use a dated spreadsheet or project log with one row per event:

  • site instruction, drawing revision or variation request;
  • work performed, delivery, inspection and progress approval;
  • defect notice, response and correction;
  • invoice version, submission channel and receipt confirmation;
  • payment promise, partial payment, rejection or set-off;
  • formal notice, service proof and response deadline.

Keep original files and metadata where possible. Name photographs with the date, location and subject. Save text messages and portal exports in a format that shows the sender and timestamp. A clean chronology lets a mediator, adjudicator, court or surety understand the claim without reconstructing it from scattered messages.

When professional help is warranted

Obtain local advice promptly when the amount is material, the other side alleges defects or set-off, a lien or bond deadline is near, a statutory notice has already been served, or insolvency is possible. A lawyer can identify the correct trigger date and remedy; a construction-payment adviser can help prepare a compliant claim; a mediator can assist when both parties are willing. A debt-recovery service may be useful for a substantially undisputed account, but it does not replace a statutory notice or adjudication filing.

Common mistakes to avoid

  • Using a “standard” 30-day term when the contract or statute sets a different clock.
  • Resending an invoice with a new date and losing proof of the original submission.
  • Arguing generally that work was complete instead of answering each stated defect or quantity issue.
  • Ignoring an accepted balance while negotiating the disputed remainder.
  • Serving a lien, bond or adjudication notice without checking the project’s jurisdiction and service rules.
  • Threatening suspension before confirming the contract’s notice and cure requirements.
  • Relying on a verbal promise and failing to record the promised amount and payment date.

A practical decision checklist

  1. Identify whether the invoice was late to submit, late to pay or partly disputed.
  2. Read the contract, payment schedule, variations and required invoice format.
  3. Preserve the sent invoice, receipt evidence and supporting project records.
  4. Send an itemized written request for receipt confirmation, reasons and payment of any undisputed amount.
  5. Respond to each work or variation objection with the matching record.
  6. Calculate the local notice, adjudication, lien, bond, suspension and limitation deadlines.
  7. Select negotiation, mediation, adjudication, bond or lien procedure, arbitration or court based on enforceability, cost, speed and relationship impact.
  8. Get jurisdiction-specific advice before an action that could affect work, property rights or another party’s funds.
