What to do if you miss a UK rights issue application deadline

By Freedom251 Team · · 9 min read

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Contact your broker or investment platform immediately through its urgent channel. Ask whether the offer is still open, whether it can accept a late instruction or payment, whether your rights can still be transferred or traded, and what status the rights now have. Then read the company’s offer circular or letter of allotment: its deadline, accepted instruction methods and treatment of rights not taken up control what can happen next.

There is no general rule that gives every shareholder a post-deadline grace period. A broker may be unable to accept an instruction even if the company’s offer has not fully completed, and a lapsed-rights payment is not guaranteed. The answer depends on this particular UK-listed company’s documents, intermediary cut-off times and the current status of the rights.

Act first: a 30-minute response plan

Time matters because your platform may set an earlier dealing or processing cut-off than the deadline printed in the company’s announcement. Use the fastest verified contact method available, such as the platform’s telephone dealing or corporate-actions team, rather than waiting for a routine email reply.

  1. Record the key details. Note the company, your account number, the number of rights, the subscription price, the stated deadline, the time zone and the date and time you discovered the miss. Save screenshots of the corporate-action notice and any failed instruction.
  2. Call the broker or platform. Say that you missed a rights issue application deadline and need the corporate-actions team to confirm the live status. Ask for a case or call reference.
  3. Check the issuer’s documents. Locate the offer circular, prospectus, letter of allotment or equivalent notice. Confirm the final acceptance date, payment method, whether instructions had to arrive before an internal cut-off, and the treatment of rights that are not taken up.
  4. Ask whether a registrar or issuer contact is relevant. The broker can identify the registrar and explain whether you are allowed to contact it directly. Do not send money or personal information to an address found through an unofficial search.
  5. Get the answer in writing. Ask the intermediary to state whether the rights are still live, lapsed, sold, transferred or awaiting processing, and what action (if any) remains possible.

Do not place a normal market order in an attempt to “catch up.” A rights issue instruction is a corporate action with its own process, and buying or selling ordinary shares does not automatically exercise, replace or dispose of your rights.

Confirm what kind of offer you missed

A UK rights issue normally offers existing shareholders additional securities in proportion to their holdings. The offer is made through a renounceable letter or another negotiable document, and the rights can be traded as nil-paid rights before the subscription money is due. The exact mechanics are set by the company’s documents.

Check that the notice actually describes a rights issue. The Financial Conduct Authority’s UK Listing Rules treat an open offer separately. An open offer may have different transferability, dealing and entitlement provisions, so advice about nil-paid trading or renunciation cannot simply be carried across.

Read the dates as a sequence

Offers commonly show several dates: the date rights start trading, the last day to deal in nil-paid rights, the final date for acceptance, the date payment must arrive, and the expected admission or allotment date for new shares. A missed platform instruction cut-off can occur before the company’s formal deadline. Ask which of these dates has passed and which, if any, is still ahead.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Under UKLR 9.4.6, a listed company’s rights issue offer must remain open for acceptance for at least 10 business days. The first business day is the day the offer opens. This is a minimum opening period for the offer, not a grace period after an individual investor misses a deadline. The rulebook page reflects an update dated 19 January 2026; check the live rulebook and the current offer documents for a time-sensitive decision.

Questions to put to your broker or platform

Use precise questions so the representative checks the corporate-action record rather than giving a general answer about trading.

Question Why it matters
Is the company’s offer still open for acceptance? The formal offer may remain open even when your platform’s online instruction window has closed.
Can you submit a late instruction or payment, and until what exact time? Only the intermediary can confirm whether it will process an exception and what cut-off applies to your account.
Are my rights still transferable or tradable as nil-paid rights? If dealing has ended, the rights may no longer be saleable through the market; if dealing remains open, a different instruction may be available.
Have the rights lapsed, been sold, or been returned to the issuer or underwriters? The answer determines whether exercise, sale or any proceeds are still possible.
What does the offer document say happens to unexercised rights? The company may use a compensatory sale process, an underwriting arrangement or another method specified in the terms.

Ask whether the platform requires a signed form, secure message, recorded telephone instruction, cleared funds or a specific payment reference. Confirm the amount per right, the number of rights being exercised and whether the platform charges a corporate-action fee. Request a written confirmation of any instruction it accepts.

If the formal offer is still open

A missed online deadline does not prove that the company’s acceptance period has ended. Some intermediaries close their digital workflow earlier to allow checks, payment collection and delivery to the registrar. If the formal deadline is still in the future, ask whether the broker can take an assisted instruction by phone or secure message.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Before agreeing, confirm all of the following:

  • the latest time and time zone by which the broker must receive your instruction;
  • the payment route and the time cleared funds must reach the broker;
  • the precise entitlement and subscription price;
  • any requirement to exercise all, a minimum number, or a specified proportion of rights;
  • what happens if your payment is short, late or cannot be matched to the instruction; and
  • when the broker will tell you whether the instruction was accepted.

Do not assume that sending money alone constitutes an application. The offer terms may require both a valid instruction and cleared funds, and the broker may reject an unmatched payment.

If the rights can still be traded

Rights in a renounceable issue may trade as nil-paid before the payment deadline. A sale can be a way to dispose of rights you do not intend to exercise, but it is not an automatic remedy for a missed application. Trading may have stopped even while the company completes other parts of the offer.

Ask the broker to verify the dealing status for the exact security identifier in your account. Confirm:

  • the final dealing day and market cut-off;
  • whether your platform accepts a sale instruction after its normal online window;
  • the settlement date and any dealing charge;
  • the likely treatment of rights that cannot be sold before expiry; and
  • whether a sale would leave any residual or fractional entitlement.

Market prices for nil-paid rights can move sharply and may be below the theoretical value of the entitlement. This article does not recommend buying, selling or exercising; it explains the status checks needed before you decide.

What happens when rights are not taken up

UKLR 9.4.4 sets out a framework for rights that existing shareholders do not take up. If the issuer sells or offers the securities and obtains a premium, the net premium after expenses is to be made available for the relevant holders. The company may retain proceeds that do not exceed £5 for an existing holder. That £5 figure is a regulatory exception, not a promise that every investor will receive £5 or any other amount.

If no net premium has been obtained when the offer expires, the shares may be allotted or sold to underwriters. The rule does not create a general right to submit an application after the deadline, nor does it require a broker to accept a late instruction.

HM Revenue & Customs explains that a company will often sell lapsed rights and distribute the proceeds. “Often” is important: the statement describes a common treatment, not a guaranteed payment in every issue. The offer document should explain whether a sale will occur, how expenses are deducted, who is eligible, how small amounts are handled and when payment is expected.

Possible outcomes to establish

  • Late exercise accepted: the broker confirms in writing that it can submit a valid instruction and payment within the remaining process.
  • Rights sold before expiry: the broker executes a sale, with proceeds and settlement handled under its terms.
  • Rights lapse: the entitlement ends and the issuer follows the document’s lapsed-rights or underwriting procedure.
  • Sale proceeds later distributed: a compensatory sale may produce a net amount, but timing, deductions and eligibility depend on the offer.
  • No distributable premium: the issuer or underwriters may receive the shares under the stated rules, leaving no payment to you.

Contacting the registrar or issuer

Your broker is usually the correct first contact because it holds the intermediary record and must pass instructions through its system. If the broker directs you to the registrar or issuer, use the contact details printed in the offer circular or letter of allotment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Have these details ready:

  • your full name and shareholder or account reference;
  • the company name and the security or rights identifier;
  • the number of rights shown on your statement;
  • the date and time of your attempted instruction;
  • the broker’s case reference; and
  • the specific question you need answered, such as whether rights have lapsed or whether proceeds will be paid.

A registrar may be able to explain the issuer’s timetable but may not be able to override a broker’s internal deadline or accept an instruction from a nominee-held investor. Ask who has authority to act on your holding before sending documents.

What not to assume after missing the deadline

  • No automatic extension: the FCA’s 10-business-day minimum does not extend your personal deadline.
  • No guaranteed late acceptance: neither the general rules nor HMRC’s explanation establishes that a broker must process an overdue application.
  • No guaranteed sale: lapsed rights may be sold, but the offer terms determine whether that happens.
  • No guaranteed payment: a sale can yield no net premium, and small proceeds may fall within the £5 exception.
  • No fixed compensation amount: any payment depends on the sale price, expenses, entitlement and the document’s allocation method.
  • No automatic tax answer: the tax treatment can depend on your circumstances and the nature of the transaction. Keep the documents and obtain professional advice if the amount is material.

After the broker gives you an answer

Save the broker’s written response, the offer document, contract notes, payment records and any statement showing the final treatment of the rights. Check your account for a later credit, allotment or adjustment rather than relying on an expected date.

If you believe an instruction was mishandled, make a formal complaint to the broker using its published complaints process. Set out the timeline, the instruction method, the stated cut-off, the evidence you supplied and the loss you say resulted. Ask for the firm’s final response and information about the appropriate dispute-resolution route. A complaint cannot recreate a market deadline, but it creates a documented review of whether the intermediary followed its own process and the offer terms.

A simple decision path

  1. Offer still open and broker can process: follow the broker’s exact assisted-instruction and payment steps, then obtain confirmation.
  2. Offer still open but broker cannot process: ask whether the registrar accepts instructions from your type of holding; do not bypass the nominee structure without confirmation.
  3. Rights still tradable but exercise unavailable: ask about the dealing route and consequences of selling or allowing the rights to lapse.
  4. Rights already lapsed: read the lapsed-rights clause and ask when, how and to whom any net proceeds would be distributed.
  5. Status unclear: request a written status from the broker and the relevant registrar contact before taking further action.

Preventing the same problem next time

  • Read corporate-action notices when they arrive, not only on the printed final date.
  • Put every dealing, acceptance and payment date in your calendar with an earlier reminder.
  • Check whether your platform uses an internal cut-off earlier than the issuer’s deadline.
  • Keep cleared cash available if you intend to subscribe.
  • Confirm that your email, mobile number and secure-message alerts are current.
  • For a nominee-held account, learn which instructions must go through the broker and which, if any, can go to the registrar.

The practical answer remains specific to the issue: establish whether the offer is open, whether your intermediary can act, whether the rights remain transferable, and what the documents provide for rights not taken up. Those checks are more reliable than assuming a universal extension or payout.
