What to Do After Selling Your Startup: A Founder’s Financial and Career Checklist

After selling your startup, first establish what you actually received, what you may still owe or be owed, and how the transaction will be reported for tax purposes. Then make a plan for the proceeds, review your advisory team and personal protections, and give deliberate thought to what you want your working life to look like next. This U.S.-focused checklist is a starting point; the right tax, legal, and financial decisions depend on your deal and circumstances.

What should you do first after selling your startup?

Start with the closing record, not the headline purchase price. A sale can include cash at closing, debt payoff, fees, escrow or holdback amounts, seller financing, and contingent payments such as an earn-out. Put the relevant documents in one secure, organized location so your advisers can work from the same facts.

As an Amazon Associate I earn from qualifying purchases.

  1. Collect the transaction documents. Include the executed purchase agreement and amendments, closing statement, escrow or holdback terms, earn-out and seller-note documents, and cap-table and tax-basis records.
  2. Reconcile the consideration. Record gross consideration, cash actually received, amounts withheld, debt paid off, fees, and payments that are deferred or depend on future conditions. Keep contingent amounts distinct from cash in hand.
  3. Schedule a deal-specific tax review. Ask your transaction CPA or tax attorney to review the deal structure, allocation of consideration, basis records, reporting responsibilities, payment terms, and whether estimated-tax action is needed.
  4. Set a decision sequence. Separate known obligations and near-term liquidity needs from longer-term choices. Avoid large, difficult-to-reverse commitments until you understand the net proceeds and your priorities; there is no universal waiting period that applies to every founder.

What happens to your taxes after you sell your business?

There is no single tax result for “selling a startup.” The treatment depends on what was sold—such as stock, partnership interests, or business assets—as well as the entity, deal terms, allocation of the price, basis, and payment structure. Have a tax professional review the signed documents rather than inferring tax treatment from the deal’s label or the timing of cash receipts.

Allocation and reporting

The IRS explains in Publication 334 (2025) that a business sale generally is not treated as the sale of one asset for determining gain or loss. The assets may need to be considered separately, and buyer and seller report the allocation among business assets using Form 8594 when applicable. Ask your adviser to confirm which reporting rules apply to your transaction and whether the allocation in the agreement matches the required reporting.

Installments, seller notes, and contingent payments

An installment sale, as described by the IRS, generally involves at least one payment after the tax year of sale. For a qualifying installment sale, gain is generally recognized in proportion as payments are received, and a seller may elect out of the installment method. That does not mean every seller note or earn-out automatically defers tax: eligibility and treatment can differ by asset and deal terms. IRS guidance identifies exclusions including inventory and publicly traded stock or securities, and depreciation recapture and interest may receive separate treatment. Review those issues before choosing or assuming a reporting method. See IRS Publication 537 and the IRS installment-sale guidance.

Tax rules vary with the transaction and the seller’s circumstances. These federal sources do not resolve state tax, entity-specific, or individual legal questions; ask your advisers which additional rules apply to you.

How should you manage the money from your startup exit?

Build a written plan around net proceeds rather than the headline sale price. FINRA’s investor education guidance for people receiving a windfall is simple: “Create a plan.” The useful work is making that plan specific to your obligations, goals, and capacity for risk—not adopting a universal portfolio or a prescribed waiting period.

  1. Map obligations and dates. List expected taxes, transaction-related obligations, outstanding debts, and known near-term expenses. Confirm amounts and due dates with the professionals responsible for each item.
  2. Set liquidity needs. Decide what funds need to remain accessible for obligations and planned spending before considering longer-term investment decisions. The appropriate reserve depends on your own cash needs and circumstances.
  3. Write down goals and risk capacity. Consider family needs, desired lifestyle, future earned income, time horizon, and how much uncertainty you can tolerate. Document an investment policy with a qualified financial planner before implementing longer-term choices.
  4. Review proposals before acting. Compare advice and any proposed strategy in light of liquidity, tax consequences, fees, conflicts, risk, and diversification. Do not treat a general windfall checklist as a recommendation for a specific allocation.

Columbia Business School’s discussion of founder exits highlights that a sale can raise both wealth-management and life-transition questions. Those questions are connected, but the sources do not establish a single allocation or financial formula that suits every founder.

Which advisers should be on your post-sale team?

Choose advisers for the work your transaction and next-stage plans actually require. A CPA or tax attorney can address tax reporting and payment questions; an M&A attorney can interpret transaction obligations; a financial planner can help organize cash-flow and investment decisions; and an estate-planning attorney can review family and transfer plans. Insurance or other specialists may be appropriate depending on your situation. University of Cincinnati transition guidance and UBS’s post-sale planning discussion describe overlapping legal, tax, wealth, and insurance roles.

What should you review for family, estate, and insurance planning?

A substantial change in assets or family plans is a reason to review existing arrangements with qualified advisers. Morgan Stanley’s educational material identifies estate documents, a durable financial power of attorney, a will, and a trust as possible post-sale considerations; University of Cincinnati guidance also discusses family governance and charitable planning. These are review prompts, not a recommendation that every founder create a trust, make gifts, or donate assets.

What comes next after selling your company?

Closing ends an operating chapter, but it may also remove much of the structure that came with running the company. Columbia Business School describes founders who can feel rudderless after a sale; that is one possible response, not an inevitable crisis. UBS recommends exploring what life after an exit should look like and whether it is financially supportable.

Begin by listing what the company supplied besides income: routine, colleagues, responsibility, status, challenge, mission, and a sense of progress. Then compare possible next steps against the factors that matter to you:

  • Daily rhythm and time: How much structure and commitment do you want?
  • Income and capital: How much earned income do you need, and how much capital are you willing to put at risk?
  • Risk and control: Do you want the operating responsibility of another startup, or a different relationship to the work?
  • Family, health, and location: What constraints or opportunities should shape your choice?
  • Purpose and relationships: Which kinds of contribution, collaboration, or legacy feel meaningful?

Possible paths include another startup, operating or advising, investing, teaching, philanthropy, time with family, a sabbatical, or a combination. These are options rather than a ranking. Where possible, explore a few with low-commitment experiments before tying up capital or making a new role your identity. A short-term weekly rhythm can help create structure while you learn what fits, and it can be revised as your priorities become clearer.
