What to Check in an NBFC Loan Agreement Before Signing

By Freedom251 Team · · 11 min read

Do not sign an NBFC loan agreement until the legal lender, net amount you will receive, annual percentage rate (APR), complete repayment schedule, every fee, rate-reset rule, default remedy and document-release process agree with the Key Facts Statement (KFS) and sanction letter. Compare those documents line by line, correct discrepancies in writing, and keep the final signed agreement with every annexure.

RBI rules require loan terms and charges to be disclosed in a language the borrower understands, but the commercial terms still vary by lender, product and borrower category. A personal, vehicle, home, MSME or microfinance loan can therefore have different prepayment, security and enforcement provisions.

Start with the document set, not the signature page

Request the complete document pack before signing or paying any fee. It should normally include the KFS, sanction letter or offer communication, final loan agreement, repayment schedule, all referenced annexures, mandate form, insurance papers and security documents. Page numbers, schedules and annexure names should match across the pack.

The KFS is the fastest way to find the economic terms. The agreement supplies the detailed legal rights and remedies. The sanction letter records what the lender approved. None should contradict the others. If a sales representative promises a waiver, lower rate or fee refund, obtain that promise in an amended document or written lender communication; an oral assurance is difficult to enforce against a different clause in the signed contract.

Identify the product and applicable rules

Write down the exact product: personal, vehicle, housing, business, gold, consumer durable or microfinance loan. Note whether the borrower is an individual, company, partnership, self-help group or another category. RBI directions and lender policies can differ by product and borrower type, so do not assume that a rule you saw for a bank or another loan automatically applies to this NBFC facility.

Check language and readability

RBI’s 2025 Handbook says that all loan terms, including charges, must be transparently disclosed in the vernacular language or another language the borrower understands so that a meaningful comparison and informed decision are possible. Ask for an understandable version, not just a technical English copy, and do not sign pages that are incomplete, illegible or still marked “to be filled.”

Verify the lender, borrowers and authority

Confirm the regulated legal entity

Check the NBFC’s exact legal name, registered address, customer-care details and the loan-account number. The name on the KFS and agreement should be the regulated lender, not merely a digital platform, broker, collection agency or app brand. Compare the lender identity with the entity named in the sanction communication and payment instructions. A mismatch should be resolved before you transfer money or provide security.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Check every party’s details

  • Verify the spelling of each borrower, co-borrower and guarantor.
  • Correct PAN, KYC identifiers, date of birth, addresses, email addresses and mobile numbers.
  • Check the authorised signatory’s name and authority on behalf of the NBFC.
  • Confirm the permitted loan purpose and any representations or warranties you are making.
  • Read what counts as misrepresentation; a broad statement that any inaccurate information is an immediate default deserves clarification.

The sanction communication should state the loan amount, terms, annualised interest rate and method of applying that rate. The lender should retain evidence of your acceptance. Keep the signed acceptance, not just a screenshot of an offer that can later change.

Reconcile sanctioned amount, deductions and disbursement

Separate sanctioned amount from net disbursal

Put the approved principal and the amount that will actually reach your account in separate columns. List every deduction at disbursement, including processing, documentation, stamp duty, insurance, legal or technical verification, valuation, membership, broker and collection charges. A loan sanctioned for one amount can produce a materially smaller net disbursal if fees are deducted upfront.

Check when interest starts

The agreement should say whether interest begins on the date money is credited, on a date before disbursement, or separately for each tranche. For staged construction or business loans, confirm the conditions for every tranche, documents required, whether undisbursed amounts can be cancelled or reduced, and how the repayment schedule changes after each release. Ask for a revised schedule whenever the actual disbursement differs from the sanction.

Confirm payment destination and evidence

Verify the bank account receiving the funds, the expected disbursement date and the receipt or statement that proves the amount credited. Do not rely on a net figure stated only by a salesperson; compare the credit entry with the deduction statement.

Calculate the real cost: APR, repayment and instalments

Use APR rather than the headline rate

RBI’s KFS directions define APR as the annual cost of credit, including interest and associated charges. A low nominal interest rate can therefore be more expensive than a higher rate when upfront and recurring charges are included. Record the APR printed in the KFS and independently check that it is consistent with the principal, timing of disbursement, instalments and disclosed fees.

Do not confuse a reducing-balance rate with a flat rate. The agreement should state the annualisation method, whether interest is calculated on a daily or monthly rest, and whether the balance reduces after each instalment. Ask for a worked amortisation schedule showing opening principal, interest, principal repayment and closing balance for every due date.

Check every repayment number

  • Sanctioned principal and net amount disbursed.
  • APR and the stated nominal interest rate.
  • EMI amount, due date and number of instalments.
  • First-payment date, grace period and any payment holiday.
  • Final instalment and any balloon or residual payment.
  • Total repayment over the full scheduled term.

Add all scheduled instalments and the final payment, then add charges that the KFS says are payable by you. If your calculation differs from the KFS, stop and request a corrected schedule. A “small” final balloon can make the advertised EMI misleading if you have not budgeted for it.

Understand fixed, floating and hybrid pricing

Find the rate-change formula

For a fixed-rate loan, check whether “fixed” lasts for the entire term or only an initial period. For a floating-rate loan, identify the benchmark, the lender’s spread or margin, reset frequency, reset dates, floor or cap, and the method and timing of notice. A hybrid loan should state exactly when it changes from fixed to floating and which formula then applies.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Reject a blank or purely discretionary clause allowing the lender to revise the rate “from time to time” without a benchmark, calculation method or notice process. The agreement should explain whether a reset changes the EMI, extends the tenure, or permits both. Ask for an illustration of a higher-rate scenario and the resulting payment or term before signing.

Record how notice is delivered

Check whether reset notices are sent by email, SMS, post, online account or another channel, and keep those contact details current. A notice sent to an old number or address can create avoidable disputes about when a new instalment became payable.

Build a complete fee and penalty table

Do not accept a single line saying “other charges.” Create a schedule with the trigger, amount or formula, frequency, taxes and recipient for every cost.

Charge to check What the agreement should state
Processing and documentation Fixed amount or percentage, tax treatment and whether refundable if disbursement fails
Legal, technical and valuation Who performs the work, maximum or actual-cost basis, and when it is payable
Insurance Premium, insurer, coverage period, beneficiary and renewal responsibility
Mandate, statement and service Setup cost, replacement cost, statement fee and recurring frequency
Bounce, late-payment and penal charges Trigger, amount or formula, tax and whether charged per event or per day
Part-prepayment and foreclosure Eligibility, notice, minimum amount, lock-in, calculation and taxes
Collection, restructuring and document retrieval When permitted, maximum or actual-cost basis and the party receiving payment

RBI’s consumer FAQ lists common fees such as processing, documentation, late payment, tenure change, legal, technical inspection, recurring service, document retrieval and prepayment charges. Match each listed cost against both the KFS and agreement. If a fee appears in one document but not the other, obtain a corrected document rather than guessing which version controls.

Check penal charges separately

RBI’s 2023 penal-charges notification says the quantum and reason for penal charges must be clearly disclosed in the loan agreement and, where applicable, the KFS. Read the definition of default that triggers the charge, whether it is a fixed amount or percentage, and whether it can compound. A penal charge should relate to a material breach, not operate as an unexplained increase in the interest rate.

Review prepayment, foreclosure and transfer rights

Part-prepayment

Check whether part-prepayment is allowed, the minimum amount, notice period, annual limits, lock-in period and the way the outstanding principal is calculated. Ask whether a part-payment reduces the EMI, shortens the tenure or leaves that choice to the lender. Obtain a written illustration of the revised schedule.

Full foreclosure

Ask for a sample foreclosure statement showing principal outstanding, accrued interest, applicable fee, taxes, rebate and the date through which the quote is valid. Confirm how quickly the lender will issue a no-dues letter and return original title or other security documents after payment. The contract should identify the process, not merely say that charges will be “as applicable.”

Prepayment rules depend on the borrower, loan purpose, rate type and product. Ask the NBFC to state in writing which rule applies to your facility; do not import a bank rule or a rule for a different product.

Transfer or takeover requests

RBI fair-practices guidance provides for a response to a borrowal-account transfer request within 21 days (RBI, 2005). Check the agreement’s process for a proposed transfer, required documents, consent or objection and release of security. Keep proof of the date on which you submitted the request.

Read security, insurance and repossession clauses

Identify what is pledged

List the collateral, valuation, margin or loan-to-value requirement, hypothecation or mortgage registration, guarantor obligations and conditions for release. Check who pays registration and search costs and whether the lender may demand additional security after a valuation change or covenant breach.

Verify insurance terms

Record the insurer, policy period, coverage, premium payer, lender’s beneficiary status, renewal duty and claims process. The agreement should say what happens after theft, total loss, damage or an insurer’s refusal to pay. Do not assume insurance proceeds automatically extinguish the loan; ask how they are applied and whether a shortfall remains.

Vehicle repossession safeguards

For a vehicle loan, RBI’s 2009 repossession notification requires a legally enforceable repossession clause. It should state the notice period, circumstances in which notice may be waived, the procedure for taking possession, a final opportunity to repay before sale or auction, how the vehicle can be returned after repossession, and the sale or auction procedure.

Also check how sale proceeds are applied, when a surplus is returned and whether any shortfall remains payable. A clause that permits immediate seizure without a defined process should be challenged before signing.

Define default and collection conduct

Know what counts as a default

Default may include a missed EMI, failed electronic mandate, covenant breach, insolvency, insurance lapse, inaccurate information, employment change or cross-default to another lender. Distinguish a payment default from a technical breach and check the cure period for each. The lender’s right to accelerate the entire balance should be tied to a defined event and notice process.

Check collection powers and added costs

  • Who may contact you or visit the property?
  • What hours and communication channels apply?
  • Can a collection agent add visit or legal costs, and how are those costs evidenced?
  • How can you dispute an incorrect demand or a payment that was not credited?
  • When may the lender report information to credit bureaus or disclose it to third parties?

Read set-off and lien clauses as well. They may give the lender rights over other accounts or assets, subject to applicable law. Make sure data-use and third-party disclosure language identifies the purposes and categories of recipients.

Check notices, complaints and document retention

Keep a permanent file

Save the signed agreement, KFS, sanction letter, repayment schedule, receipts, mandate confirmation, insurance certificate, valuation report, security-registration proof and every email or SMS. Download statements regularly and preserve evidence of each payment. If the agreement is supplied electronically, keep the original file and a readable copy showing the complete annexure set.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Record escalation contacts

Write down the branch or service contact, grievance officer, escalation timeline and the RBI complaint route identified by the lender. Check how a notice is considered delivered and update your address, email and phone number whenever they change. A complaint should identify the loan account, disputed clause, dates, amount and the remedy requested.

Compare two NBFC offers on the same axes

Put both offers in one worksheet and use identical assumptions for term and disbursement date.

Comparison axis Questions to answer
All-in cost Which offer has the lower APR and total repayment after deductions and recurring charges?
Net funding How much cash reaches you, and what is withheld at disbursement?
Rate risk Is pricing fixed, floating or hybrid; what benchmark, spread and reset rule apply?
Payment burden What are the EMI, tenure, first due date and final or balloon payment?
Penalty exposure What do late, bounce, mandate and collection events cost?
Exit flexibility Can you part-prepay or foreclose, and what notice, lock-in and fee apply?
Security risk What collateral, insurance and repossession process are required?
Service and evidence Are documents complete and are grievance contacts clearly provided?

The lower headline interest rate is not automatically the cheaper offer. Fees, deductions, reset mechanics and exit charges can reverse the apparent ranking.

Signing-day checklist

  1. Read the KFS, sanction letter and agreement together, including every annexure.
  2. Confirm the legal NBFC name, account number and all borrower details.
  3. Write down sanctioned amount, net disbursal and each deduction.
  4. Verify APR, rate method, rest frequency, EMI, tenure and any balloon payment.
  5. Mark the benchmark, spread, reset dates, notice method and EMI/tenure adjustment rule.
  6. Complete the fee table, including penal, bounce, prepayment and document-release charges.
  7. Check default definitions, cure periods, acceleration and collection procedures.
  8. Review collateral, insurance, sale proceeds, surplus and shortfall treatment.
  9. For a vehicle, confirm every repossession and pre-sale notice safeguard.
  10. Correct discrepancies in writing and obtain an updated, page-numbered copy.
  11. Sign only complete pages, receive the lender’s acceptance and store the full document pack.

When not to sign

  • The legal lender is different from the entity in the KFS or payment instructions.
  • Net disbursal, APR, EMI or total repayment cannot be reconciled.
  • A rate or fee can be changed without a stated formula, trigger or notice.
  • Charges are blank, described only as “as revised,” or absent from the KFS.
  • Security, insurance or repossession rights are undefined.
  • The lender will not provide the agreement and enclosures before taking your signature.
  • A promised concession appears only in a conversation or marketing message.

Pause the transaction, ask for corrected documents and obtain independent legal advice if the disputed term affects security, enforcement, a large fee or your ability to repay. This checklist helps you identify risk; it is not a substitute for advice on a contested agreement or litigation.
