What to Check in a Data Center Service-Level Agreement (SLA)

A data-center SLA is useful only when you can tell exactly what is covered, how failure is measured, which exclusions apply, and what remedy you receive. Start by mapping the contracted service boundary, then test every uptime, performance, maintenance, support, resilience, evidence, and credit clause against a real incident scenario.

Do not treat a headline such as 99.99% availability as a complete protection promise. Microsoft describes an SLA as “a set of conditional commitments,” because definitions, prerequisites, measurement rules, and exclusions determine whether an outage counts. (Microsoft Learn)

1. Define exactly what the SLA covers

Attach the SLA to a precise service description, order form, region, product tier, and version. The signed documents control; a marketing page or generic uptime statement does not.

  • Facility, building, room, cage, suite, rack, or colocation footprint.
  • Power feeds, power quality, generators, batteries, transfer equipment, and cooling systems.
  • Carrier circuits, cross-connects, provider-managed switches, firewalls, load balancers, and other network interfaces.
  • Managed operating systems, control planes, storage, backup services, APIs, and customer portals.
  • Dependencies such as identity, DNS, monitoring, or third-party carriers, with the boundary where the provider stops accepting responsibility.

Ask whether the commitment applies per device, rack, site, region, account, or pooled service. Aggregation can hide a failure: Microsoft warns that healthy instances may offset failed instances when availability is calculated across a scope. Require the scope and aggregation rule in writing.

Use precise failure definitions

The contract should define “available,” “unavailable,” “downtime,” “degraded service,” “incident,” “maintenance,” “critical,” “business day,” and the measurement interval. A service that responds slowly, drops packets, delivers poor power quality, or loses a management interface may be unusable even while a simple ping test succeeds. Ensure the SLA says which of those conditions count.

Separate facility and logical commitments

Check whether the SLA covers physical access, remote hands, environmental bands, power redundancy, network performance, backup and restore, and security response, or only a logical application endpoint. If power, cooling, temperature, humidity, latency, packet loss, or physical access matters to your workload, each needs its own measurable commitment.

2. Examine every metric and its calculation

For each service-level indicator, obtain the formula rather than accepting a percentage. Record the denominator, sampling frequency, time zone, billing period, rounding rule, treatment of partial minutes, and aggregation scope.

Metric Contract details to specify
Availability Endpoint or component measured, numerator and denominator, consecutive-outage rule, aggregation level, and whether short interruptions are ignored.
Capacity and throughput Guaranteed capacity, test method, burst limits, quota treatment, and whether the value applies per circuit, rack, account, or pooled service.
Latency and packet loss Measurement locations, packet size or transaction type, percentile or average, sampling interval, and network path.
Power delivery Voltage or quality bands, redundant-feed requirement, transfer-time target, and the equipment covered.
Temperature and humidity Permitted range, sensor location, sampling frequency, and duration before a violation is recorded.
Support and restoration Severity definition, acknowledgement, investigation start, workaround, restoration or repair, escalation, and permanent-fix targets.
Recovery objectives Recovery-time objective, recovery-point objective, backup interval, restore test frequency, and the failure domain to which each applies.

Time-based versus request-based measurement

Time-based SLAs calculate service availability over minutes or intervals. Request-based SLAs count successful requests against total requests and may define mandatory retries, excluded response codes, or a minimum request volume. Ask which model applies and how retries, client timeouts, malformed requests, and partial responses are treated.

Understand sampling and short interruptions

NVIDIA’s Cloud Services SLA provides a concrete example: status is tracked every 15 minutes, and gaps shorter than 15 minutes are excluded. That rule can produce a different result from continuous monitoring, so require the provider’s raw interval data or an exportable report. Specify whether an interruption must be consecutive, how overlapping incidents are merged, and how a partial interval is rounded.

Do not compare percentages without definitions

Microsoft infrastructure material cites 99.999% availability for its current data-center architecture (retrieved in 2026), but that figure is not interchangeable with another provider’s 99.999%. The covered service, region, exclusions, and calculation method may differ. Treat every percentage as a contract-specific result, not an industry-wide benchmark.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

3. Scrutinize maintenance and exclusions

Maintenance language often determines whether the outage you care about is counted. Separate planned maintenance, emergency maintenance, and customer-approved work.

  • Require advance-notice periods, maximum duration, permitted maintenance windows, and blackout periods.
  • State whether maintenance minutes are removed from the denominator or remain counted.
  • Require a notice containing affected components, expected impact, start and end times, and rollback plan.
  • Define what happens when maintenance exceeds its window or causes an unplanned outage.

Review exclusions line by line. Common examples include force majeure, utility or carrier failures, customer equipment or software, misconfiguration, quota breaches, abuse, malformed requests, unsupported or preview features, third-party failures, and events outside the provider’s demarcation point. Google and AWS SLA examples expressly exclude several customer, third-party, quota, maintenance, and force-majeure causes; use those categories as prompts, not as universal terms.

Insist that every incident report identify the exact exclusion relied upon, the evidence supporting it, and the time period removed from the calculation. An undefined phrase such as “events beyond our control” is difficult to audit.

4. Document customer prerequisites

Many SLAs apply only when the customer follows a prescribed architecture or operating procedure. Put each prerequisite in a schedule and assign an owner.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Required redundant power feeds, network paths, zones, sites, or instances.
  • Supported software versions, firmware, APIs, client libraries, and security configurations.
  • Capacity limits, quotas, rate limits, retry logic, and request-format requirements.
  • Ticket channels, monitoring obligations, incident-notification duties, and access windows.
  • Backup, restore, patching, encryption, identity, and change-control procedures.

Ask the provider to give advance notice before changing a prerequisite and to explain how an undocumented or ambiguous condition can affect coverage. Map every requirement to evidence such as configuration records, monitoring dashboards, ticket history, or backup reports.

5. Make support and incident handling measurable

Availability does not tell you how quickly a human responds or restores service. Define severity levels and a clock for each stage:

  1. Customer notification and ticket creation.
  2. Provider acknowledgement.
  3. Investigation start and status-update cadence.
  4. Workaround or traffic diversion.
  5. Restoration or repair.
  6. Permanent fix, root-cause analysis, and closure.

Specify whether each target is binding or merely “commercially reasonable.” NVIDIA describes a 24-hour resolution as a commercially reasonable target for a defined critical issue; that wording is not the same as a guaranteed 24-hour restoration. Require 24/7 escalation for critical events, named contacts, an alternate channel when the primary system is unavailable, and a post-incident report deadline.

Require incident reports to include start and end timestamps, affected components, monitoring data, maintenance or exclusion decisions, customer impact, mitigation, and corrective actions. Set a deadline for root-cause analysis and a process for challenging an incomplete report.

6. Verify resilience, continuity, and security separately

An uptime percentage does not promise that your data survives a site failure or that the provider can migrate you. Review the actual failure domain for every resilience claim.

Infrastructure redundancy

Confirm whether power, cooling, network, storage, and control-plane components are redundant, and whether redundancy is inside one room, one site, multiple sites, or separate regions. Ask what happens when a supposedly redundant component is unavailable for maintenance.

Backup and disaster recovery

Record backup frequency, retention, encryption, restore testing, recovery-time objective, recovery-point objective, disaster-recovery region, and the customer’s restoration responsibilities. Microsoft infrastructure material describes region and availability-zone pairing for high availability, disaster recovery, and backup, but you must confirm which capabilities are included in your order and tier.

Security and compliance evidence

Check physical security, access logging, vulnerability handling, security-incident notification, compliance reports, subcontractors, and data-destruction obligations. Tie each promise to a report, log, certification, or notification deadline you can verify.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Residency and exit

Specify where data, replicas, backups, and support access may occur. Include export formats, retrieval time, deletion certificates, migration assistance, and fees or deadlines when the service ends. Exit assistance is a continuity control, not a marketing extra.

7. Understand credits, liability, and the claim process

Service credits are usually a limited remedy, not compensation for every business loss. Obtain the complete credit schedule and check:

  • Calculation base: monthly recurring charge, affected service charge, or another amount.
  • Credit tiers, currency, rounding, minimum outage, maximum cap, and expiry.
  • Whether credits stack across simultaneous breaches or only the largest credit applies.
  • Whether credits are automatic or require a customer claim.
  • Sole-and-exclusive-remedy language and interaction with the agreement’s liability cap, exclusions, indemnities, and insurance.

A cited AWS SLA states that service credits are the exclusive remedy for covered failures. Do not assume another provider uses the same wording; have counsel review the signed agreement and incorporated SLA.

Build a claim checklist

  1. Capture independent outage timestamps, affected resources, synthetic checks, logs, packet captures, ticket numbers, and customer impact.
  2. Open the required support ticket through the contractual channel and request an incident identifier.
  3. Ask the provider for its interval data, formula, exclusions, maintenance records, and calculation report.
  4. Submit the credit claim before the contractual deadline, attaching the evidence and the specific SLA clause.
  5. Record the provider’s acknowledgement, decision, credit amount, and expiry; escalate through the stated dispute process if measurements differ.

Microsoft notes that providers generally do not file claims automatically. A Google Compute Engine financial-credit example requires notification to technical support within 60 days; that is an example, not a universal deadline. Put your own deadline and submission address in a calendar-controlled procedure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

8. Challenge a provider’s calculation

When your measurement disagrees with the provider’s report, compare the same interval and scope before debating the percentage.

  • Align time zones, clock synchronization, sampling boundaries, and the billing period.
  • Check whether the provider measured a pooled scope while you measured an individual instance, rack, site, or circuit.
  • Recalculate the denominator after removing every claimed maintenance or exclusion period.
  • Test whether retries, short interruptions, overlapping incidents, or partial minutes changed the result.
  • Ask for raw telemetry, monitoring-source descriptions, alert history, and the person responsible for approving exclusions.
  • Submit your own logs and an interval-by-interval reconciliation, then invoke the audit or dispute right.

NVIDIA’s example combines provider monitoring, logs, external-cause analysis, and customer reports. A strong SLA should allow a similar evidence set and should not make the provider’s unverified calculation final.

9. Compare competing SLAs with a consistent matrix

Use one row per provider or service and record the same fields for each. At minimum, compare:

Comparison axis What to record
Covered boundary Facility, service, region, interfaces, dependencies, and demarcation point.
Availability and performance Availability, capacity, latency, throughput, packet loss, power, environmental, and recovery indicators.
Measurement method Formula, sampling interval, time zone, billing period, retries, aggregation, rounding, and short-outage treatment.
Maintenance and exclusions Notice, maximum duration, blackout periods, denominator treatment, and named exclusion evidence.
Power, cooling, and network Redundancy, quality bands, environmental ranges, carrier responsibility, and performance thresholds.
Redundancy and disaster recovery Failure domain, zones or sites, backup, restore testing, recovery objectives, and residency.
Support and restoration Severity definitions, acknowledgement, investigation, workaround, restoration, escalation, and reporting deadlines.
Security and compliance Access controls, logs, incident notification, vulnerability handling, reports, subcontractors, and destruction obligations.
Credits and caps Credit basis, tiers, cap, stacking, expiry, automatic payment, sole-remedy wording, and liability interaction.
Claims and audit Deadline, channel, required evidence, telemetry access, calculation dispute, and audit rights.
Termination and exit Data export, deletion proof, migration help, retrieval timing, and post-termination access.

10. A practical pre-signature review

Before approval, run a tabletop outage through the document: a carrier fails during emergency maintenance, one power feed drops, an instance becomes unreachable for ten minutes, and a backup restore misses its target. For each event, identify the covered component, metric, clock start, exclusion, evidence source, notification duty, credit, and escalation path. If two reasonable readers could reach different answers, the clause needs clarification.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Finally, have counsel review liability, indemnity, data protection, security, governing law, subcontractors, and termination alongside the operational SLA. The best agreement is not the one with the largest uptime number; it is the one that lets both sides calculate the same result, prove what happened, and recover in a way your workload can actually use.
