Before committing money to a private real-estate credit fund or similar offering, verify the security you are buying, read the contracts that control your rights, investigate the manager and team, inspect the loans and collateral, reconstruct the net return after every fee, and test how the structure behaves when borrowers default or exits are delayed. A projected yield, a Form D filing, or a reported property value is not proof that your capital is safe or readily recoverable.
This guide is written for U.S. investors evaluating a private placement. It cannot determine whether a particular offering suits you, complies with law, will achieve a target return, or fits your tax situation.

1. Identify exactly what you are buying
“Private real estate credit fund” can describe very different legal products. You might buy a limited-partnership interest in a pooled fund, a note issued by a special-purpose vehicle, an interest in a loan participation, or another security. The label does not tell you the priority of your claim, who controls workouts, or when you can receive cash.

Map every party and document
Write down the legal name and role of each entity:
- Issuer or fund vehicle.
- General partner, investment manager and, if applicable, registered investment adviser.
- Originator, lender of record and loan servicer.
- Borrowers, guarantors and property-owning entities.
- Custodian, administrator, auditor and valuation provider.
Then identify the document that governs each right: private-placement memorandum (PPM) or equivalent disclosure, limited-partnership or operating agreement, subscription agreement, note, collateral assignment, intercreditor agreement and any side letter. Ask which document prevails if marketing material conflicts with the contract.

Confirm the offering exemption
Private funds commonly raise capital under Regulation D. Rule 506(b) generally prohibits general solicitation, while Rule 506(c) permits broad solicitation but requires specified investor-verification steps. Antifraud rules still apply when an offering relies on an exemption. Confirm the exemption actually claimed, the investor-eligibility standard, minimum commitment, suitability representations and any accredited-investor verification process.
Do not infer protections from a fund’s name or from a “private credit” label. A fund interest, a secured note and a loan participation can have different voting, information, payment and loss-sharing rights.
2. Read the disclosure and verify the filing
Request the current PPM or equivalent disclosure, governing agreement, subscription package, portfolio and financial reports, valuation policy, audited statements (if any), and side-letter summary. Read the risk factors and the sections on conflicts, fees, leverage, borrowing, extensions, indemnification and removal of the manager.

The SEC says, “Form D does not represent SEC approval or registration.” A Regulation D issuer generally files Form D no later than 15 days after the first sale. The filing supplies brief information; it is not a regulator review of the manager, collateral, valuation or projected return. Compare the filing with the documents you received. An omitted, stale or inconsistent item is a question to resolve, not an answer to assume.

Separate targets from realized results
For every return figure, ask whether it is gross or net, a target or an achieved result, annualized or total, and based on realized cash or unrealized marks. Request prior-fund performance by vintage, including distributions, write-downs, realized losses and the team members responsible. The available public materials do not validate any particular performance claim, so treat a projection as an assumption to test rather than a promise.
3. Check the manager and the people doing the work
Private real-estate lending depends heavily on judgment before a loan is made and during a workout. Identify who originates, underwrites, approves, monitors, values and restructures loans. The person presenting the offering may not perform any of those functions.
Questions about experience
- How many loans and what principal volume has the team handled in this strategy?
- What experience is specific to the property types and states in this portfolio?
- Who remains responsible after a loan becomes delinquent?
- How did earlier funds perform when refinancing markets tightened or property values fell?
- What were the realized loss, modification, foreclosure and recovery rates?
- How concentrated were earlier portfolios by borrower, sponsor, property and geography?
- Has the investment team changed, and who owns the historical track record?
A 2010 Greenwich Roundtable diligence guide recommends asking about property geography and type, manager experience, prior funds, local expertise, legal and environmental work, leverage and liquidity. Those prompts are useful questions, not current market data or a universal underwriting standard.
Investigate the person recommending the deal
Check the background and registration history of the investment professional or broker through SEC and state-regulator resources. Ask how that person and related entities are paid, whether they receive transaction compensation, and whether they have business ties to the manager, borrowers, appraisers or service providers. A clean background check does not establish that an offering is suitable, but undisclosed incentives are a material warning.

4. Examine the loans and the underlying real estate
Ask for a current loan tape or representative sample detailed enough to test the strategy. If the manager will not provide borrower-level information because of confidentiality, request anonymized fields, concentration reports and supporting schedules.
Borrower and repayment risk
- Borrower legal name, sponsor identity, financial condition and liquidity.
- Primary repayment source: operating cash flow, sale, refinance, guarantor support or another source.
- Guaranties, completion obligations, carve-outs and evidence that guarantors can perform.
- Delinquencies, covenant breaches, modifications, foreclosures and realized losses.
Collateral and lien priority
- Property type, address or market, occupancy and operating status.
- Original principal, current balance, lien position and collateral package.
- Intercreditor or participation arrangements that could delay enforcement.
- Title, easements, zoning, permits, litigation and environmental findings.
- Local property managers, contractors and other operating partners.
Loan economics and maturity
- Fixed or floating interest rate; benchmark, spread and reset dates.
- Payment-in-kind provisions, default interest, reserves and cash-sweep terms.
- Original maturity, extension options, extension fees and approval conditions.
- Financial, borrowing-base, debt-service and loan-to-value covenants.
- Rights and costs if the borrower misses a payment or cannot refinance.
Test leverage and concentration
Calculate leverage at four levels: the property borrower, each loan, the financing vehicle and the fund. Identify financing counterparties, maturity mismatches, margin calls, borrowing-base tests and covenant triggers. Review exposure by borrower, sponsor, property type, metropolitan area and state. A portfolio can appear diversified by loan count while being concentrated in one sponsor or one local market.
5. Understand how private loans are valued
Private credit assets are typically illiquid, individually negotiated loans that do not trade on established secondary markets and generally lack readily available quoted prices. SEC Chief Accountant Kurt Hohl and Brian Daly, Director of the SEC Division of Investment Management, made that point in a September 28, 2026 staff statement. A reported net asset value therefore may depend on models, borrower information and judgment rather than an observable transaction.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitchesQuestions for the valuation policy
- Who marks each loan: the manager, an affiliate, an outside valuation firm or an independent board?
- Which techniques and inputs are used for performing, watch-list and defaulted loans?
- How often are values refreshed, and what event triggers an interim review?
- What borrower financial statements, rent rolls, appraisals and market data are required?
- How are stale, missing or disputed inputs handled?
- Are valuations subject to audit, price verification or a valuation committee with documented conflicts controls?
Ask how a lower property value, a wider required yield or a delayed repayment changes the mark. An unrealized gain is not cash available for redemption, and a stable mark does not prove that a loan could be sold at that price.

Put the market-growth statistic in context
SEC staff reported that private-credit investment within registered-fund portfolios grew nearly 60%, from $170 billion in December 2020 to $270 billion in December 2025. That statistic covers the registered-fund portfolios described in the staff statement; it is not a measure of the entire private-credit market and is not an investment recommendation.

A borrower’s interest rate is only the starting point. Build a written bridge from money earned by the loans to the cash that can reach you.
| Layer | What to verify |
|---|---|
| Loan income | Contract interest, origination or exit fees, default interest and any payment-in-kind accruals. |
| Servicing and transaction economics | Servicing, origination, administration, brokerage, monitoring and workout charges; identify recipients. |
| Fund-level charges | Management fee base, rate, timing, fee offsets, incentive allocation or carried interest, hurdle, catch-up, waterfall, clawback and high-water mark. |
| Financing costs | Interest, unused-line fees, arrangement fees, hedging costs, collateral charges and costs caused by margin events. |
| Operating expenses | Legal, audit, tax, administration, compliance, valuation, insurance, organizational, broken-deal and enforcement expenses. |
| Investor-level items | Subscription, transfer, redemption, account, performance and other charges deducted from your commitment or distribution. |
Ask whether related parties provide services or receive compensation, how expenses are allocated among funds and co-investors, and whether the manager can change allocations. SEC private-fund adviser materials describe quarterly fee and expense statements for SEC-registered advisers and requirements concerning specified activities and preferential treatment. Those rules do not apply identically to every adviser or fund; registration status, exemptions, rule scope and effective dates matter.
Look for unequal rights
Request a description of side letters. They may give another investor different economic terms, redemption rights, information, fee offsets or co-investment opportunities. Ask whether those terms dilute your position, alter allocation decisions or create a conflict when a loan is shared among affiliated vehicles.

7. Determine whether you can get your money out
Private-placement securities may need to be held indefinitely. Private real-estate loans generally do not have an established secondary market, so a legal right to transfer is not the same as a realistic buyer.
Read the exit language word for word
- Lockup period and expected fund life.
- Investment-period and extension authority.
- Redemption or repurchase windows, notice periods, gates and suspension rights.
- Manager consent, right-of-first-refusal and transfer restrictions.
- Distribution waterfall and whether in-kind distributions are permitted.
- Capital-call obligations and consequences of failing to fund.
Ask what happens if a loan reaches maturity without repayment, a foreclosure takes years, collateral sells slowly or the fund cannot refinance. Model the possibility that distributions stop while expenses and financing costs continue. Decide whether you can tolerate a total loss and a holding period longer than the stated timetable.
8. Run downside scenarios before deciding
Use the portfolio data and governing documents to trace consequences, not to create false precision. At minimum, examine:
- One or more major borrowers default.
- Collateral values fall and loan-to-value covenants are breached.
- Property cash flow weakens while interest rates and financing costs rise.
- Sales or refinancings take longer than the extension period.
- Workout, legal, environmental and property-preservation expenses increase.
- A financing counterparty imposes a margin call or refuses to renew a credit line.
For each case, ask how much cash remains for debt service, whether the fund can meet capital calls and operating expenses, whether distributions are postponed, and whether your redemption or transfer rights are suspended. Do not assign probabilities unless the manager can explain the data and methodology behind them.
9. Compare two offerings on equal terms
Compare like-for-like vintages and risk positions. A senior, short-duration bridge-loan strategy should not be judged against a junior, development-heavy strategy solely by headline yield.
| Comparison axis | Questions to put side by side |
|---|---|
| Strategy and seniority | What property types, loan purposes and lien positions are permitted? |
| Collateral and geography | Where are assets located, and how concentrated are property types and markets? |
| Borrowers and sponsors | What are borrower concentrations, guaranties and repayment sources? |
| Underwriting and workouts | Who approves loans, monitors covenants and controls enforcement? |
| Leverage | What debt exists at borrower, vehicle and fund levels, and when does it mature? |
| Valuation | Who values assets, how often, with what inputs and what independence? |
| Performance | What is realized versus unrealized, gross versus net, and comparable by vintage? |
| Fees and expenses | What is the all-in cost, and who receives each payment? |
| Conflicts and side letters | Are affiliated transactions, allocation rules and unequal terms disclosed? |
| Investor rights | What reports, transfer rights, redemption limits, extensions and capital calls apply? |
10. Red flags that warrant a pause
- Pressure to wire before you receive current governing documents.
- Returns presented only as a single gross yield with no fee bridge.
- Claims that a Form D, audit or third-party appraisal means the SEC approved the investment.
- Valuations that never change despite missed payments or deteriorating collateral.
- Unclear responsibility for underwriting, servicing or workouts.
- Missing borrower, concentration, leverage or loss information explained only as “proprietary.”
- Side letters, related-party fees or expense allocations that are not described.
- Liquidity language that promises access to cash while reserving broad gates, suspensions or extensions.
Pause and obtain independent securities-law, tax and investment advice when the structure, compensation or rights remain unclear. Verify the professional’s credentials and compensation; professional involvement does not guarantee a favorable result.
Bottom line
The decision is not whether a property story sounds attractive. It is whether the security, manager, loans, collateral, valuation, fee structure, conflicts and exit terms still make sense after realistic defaults, lower values, financing stress and delay. If you cannot explain who gets paid, who controls a workout, how assets are marked and when you can legally and practically recover capital, you do not yet have enough information to commit.
