Before investing in a small-cap drone company, verify what it has actually sold, how much cash it uses to deliver those sales, how it expects to fund its next milestones, and whether customers can legally use its products for their intended jobs. Start with the company’s latest filings, not its product announcements: filings show what the issuer reports, but do not independently confirm management’s claims. The checks below use U.S. filings and FAA rules as examples; they are a due-diligence framework, not a recommendation to buy or sell any security.
1. Start with filings, then reconcile the story with the numbers
For a U.S. public company, read its latest Form 10-K, Form 10-Q and relevant Form 8-Ks. The annual and quarterly reports describe the business, risks, results, cash flows and financial position; current reports can disclose material events between periodic filings. Check that the company’s public description of its products, customers and plans is consistent with those documents.

- Business and segments: Identify what the company sells, which business lines generate revenue, and whether segment reporting shows growth, contraction or a change in mix.
- Risk factors and subsequent events: Look for customer-adoption risk, lengthy development schedules, regulatory dependencies, product obsolescence, competition and funding needs. Check events disclosed after the reporting period as well as the period-end balance sheet.
- Cash flow and capital structure: Read the cash-flow statement alongside the income statement. Review debt and its repayment terms, share-based compensation, preferred securities, warrants and other instruments that could affect the number of shares or the company’s cash needs.
- Disclosure limits: Smaller-reporting-company status can mean reduced disclosure, which may leave investors with less detail for analysis. AgEagle discusses this status in its 2025 Form 10-K.
For example, AgEagle’s 2025 Form 10-K reported an accumulated deficit of approximately $231.2 million as of December 31, 2025, and net losses of approximately $5.3 million in 2025 and $35.0 million in 2024. Those are company-specific historical figures, not a drone-sector benchmark; the cash-flow statement and financing disclosures are needed to understand what they mean for future funding needs. A company can report a loss without using the same amount of cash in that period, so do not estimate runway from net loss alone. Begin with unrestricted cash and compare it with operating cash use, debt payments, required capital spending and other commitments. A simple starting estimate is unrestricted cash divided by average monthly operating cash use, but it is not a forecast: it can understate the need if debt service or production investment is significant, and it can overstate runway if cash use is rising or receipts are delayed.

- Choose a consistent cash-burn period. Use cash-flow statements for multiple recent periods where available. Note whether operating cash use is accelerating, easing or affected by unusual working-capital movements.
- Add obligations and milestones. Account for debt service, manufacturing or development costs, and the cash required to reach the next credible commercial milestone. Distinguish firm commitments from management plans.
- Map funding options to share count. Model possible equity issuance, warrant exercises, preferred-stock conversion and convertible debt under plausible cases. Compare the resulting fully diluted share count with the basic share count rather than treating the current share count as fixed.
- Stress-test timing. Ask what happens if a contract, regulatory step or production ramp arrives later than expected, or if the company must raise money before it does.
AgEagle’s filing discusses losses and funding needs; XTI Aerospace’s first-quarter 2026 filing discusses recent proceeds, possible dilution from equity-financed acquisitions and uncertainty around future contracts and manufacturing plans. These disclosures make financing risk something to model, not a question settled by one reported cash balance. AgEagle 2025 Form 10-K · XTI Aerospace Q1 2026 Form 10-Q.
3. Separate sales and collected cash from commercial announcements
Not every publicized relationship is a sale. Rank evidence by what it establishes: recognized revenue and gross profit are stronger evidence of commercial activity than a forecast or expression of interest; a binding award or contract is more concrete than an announcement of discussions, but it still does not prove profitable delivery or collection.
- Revenue quality: Identify whether revenue comes from delivered hardware, sensors, software subscriptions, support or another source. Check whether it recurs, whether customers reorder or renew, and whether gross profit is positive and sustainable.
- Contract status: Read the filing’s description of awards, options, framework agreements, purchase orders and conditions. Check whether the company has a binding obligation, a delivery schedule, funding or other contingencies, and whether reported revenue has followed.
- Cash conversion: Compare revenue with accounts receivable and operating cash flow. A reported sale is not the same as cash collected.
- Customer dependence: Check customer concentration and the effect on results if a major customer delays, cancels or does not renew.
XTI’s Q1 2026 Form 10-Q illustrates why a strategic pivot is not itself proof of sales: its Autonomous Defense Systems segment reported no revenue for the quarter ended March 31, 2026, and its manufacturing division was pre-operational. The filing also describes dependence on partnerships, compliant manufacturing capacity, customer relationships and awards for future results. XTI Aerospace Q1 2026 Form 10-Q.

4. Work out which products earn money—and whether the company can deliver them
Map each business line to its revenue, gross profit and delivery requirements. A company may sell aircraft, sensors, software and services, but the existence of several product categories does not establish that each is commercially meaningful. Examine segment trends and margins, then ask whether production and support obligations can scale with demand.
AgEagle reported 2025 segment revenue of $7,857,059 from drones, $4,954,023 from sensors and $0 from SaaS (the filing presents a dash for SaaS revenue). These are issuer-reported figures for AgEagle’s 2025 fiscal year, not industry averages. To assess whether the mix is improving, compare with the corresponding prior-period figures in the filing rather than assuming that one year’s revenue establishes a trend. AgEagle 2025 Form 10-K.
- Unit economics: Determine whether reported gross profit accounts for the costs of components, assembly, warranty, returns and support. Ask whether margins depend on production scale that has not yet been achieved.
- Manufacturing readiness: Look for evidence of production capacity, yields, delivery performance and the ability to meet contract specifications. A stated capacity is less useful if the company cannot source components or deliver consistently.
- Suppliers and sourcing: Consider single-source dependencies, lead times and whether domestic sourcing or procurement eligibility matters for the target customer.
- Integration and support: If growth depends on acquisitions, check whether the acquired operations are integrated and contributing. For deployed equipment, examine repair, software, training and replacement obligations.
5. Verify the rules for the customer’s actual drone operation
Regulatory claims need to be specific. Separate the rules governing a customer’s flight from claims that a company’s aircraft or component has a particular approval, certification or procurement status. A lawful operating pathway for one customer or mission does not automatically establish that a different operation is allowed, or that a manufacturer has secured every approval its marketing might suggest.

The FAA says, “If you have a small drone that is less than 55 pounds, you can fly for work or business by following the Part 107 guidelines.” That is conditional guidance, not blanket permission for every commercial flight. The FAA’s commercial-operator page describes remote-pilot qualification and registration steps and identifies operations that may require waivers. It says flights over people and moving vehicles can be conducted without a waiver when the applicable rule requirements are met; controlled-airspace authorization may still be required for night operations under 400 feet. Check the current guidance for the intended operation. FAA: Certificated Remote Pilots including Commercial Operators (page last updated March 25, 2025).

For each product and use case, establish which operating rule applies, whether a waiver or airspace authorization is needed, what remote-pilot qualification is required, and what registration or Remote ID obligations apply. The FAA page listed small-drone registration at $5, valid for three years, as of its March 25, 2025 update; that is an operator compliance detail, not a valuation measure. Do not treat a registration fee as evidence that the aircraft is certified for a particular mission.
Regulatory status can change. AgEagle’s 2025 Form 10-K described a late-2025 draft Part 108 proposal for beyond-visual-line-of-sight operations and said it had not been finalized as of that annual report. That is a time-bounded company disclosure, not a statement of the rule’s status today. Likewise, Red Cat’s 2025 Form 10-K discusses the company’s interpretation of FCC covered-list and federal procurement developments; verify current requirements and effective dates independently before relying on those claims. 6. Test whether the moat is real and relevant to customers
Patents, technical specifications and regulatory credentials matter only to the extent that they protect or improve a product customers need and the company can deliver. Ask whether the aircraft is reliable, competitive on cost and delivery, difficult to replace, and supported by intellectual property or certifications that matter in the customer’s buying process. Consider competing suppliers and the practical cost of switching.
Red Cat reported 34 issued patents and registered designs and 13 pending patents in its 2025 Form 10-K. A patent count alone does not establish enforceability, commercial value, freedom to operate or a durable competitive advantage. The useful diligence question is how specific intellectual property connects to products, customer demand and economics. Red Cat 2025 Form 10-K.

For a small-cap company, a valuation case that uses only the basic share count can miss substantial dilution. Build scenarios using fully diluted shares and enterprise value, accounting for cash, debt and securities that could convert into equity. Then compare the implied value with evidence-supported milestones: revenue conversion, gross profit, repeat business, manufacturing readiness and the financing needed to reach them.
Use at least a base case and a downside case. In the downside case, test delayed awards, weaker customer adoption, lower margins or another capital raise before the next milestone. Treat management forecasts and market-size claims as assumptions to test, not independent proof of demand. AgEagle’s 2025 Form 10-K describes the commercial UAV industry as being in early customer adoption and regulation as evolving; that is the issuer’s characterization, not an independent market-size estimate. No sector-wide market-growth figure is necessary to assess whether a specific company has revenue, cash runway and a credible path to customers. AgEagle 2025 Form 10-K.
A sound review should leave you able to explain what the company sells, what evidence supports demand, how it funds execution, which operating rules apply to its customers, and what assumptions drive your valuation. If those answers depend mainly on announcements, a future rule change or a financing event, make that uncertainty visible in your decision rather than treating it as established upside.
