1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteBefore applying for a Hong Kong IPO, read the issuer’s current prospectus and announcements, then assess its business, financial trend, risks, use of proceeds, valuation, ownership and offer mechanics. A listing or an institutional commitment does not show that the shares are fairly priced or likely to rise. Apply only if the disclosed downside, potential liquidity and chance of receiving an allocation fit your finances and objectives.
Start with the offer’s current documents
Use the prospectus or listing document for the specific offering, together with the issuer’s related announcements. These documents establish what is being offered, at what price or price range, on what timetable and under which application and allocation arrangements. Check that you have the current version: offer terms and instructions can be specific to the deal, and general descriptions of Hong Kong IPO rules may not reflect the terms of a particular offering.

HKEX says a prospectus must contain the information an investor reasonably requires to make an informed investment decision. That is a disclosure standard, not a conclusion that the shares are suitable, correctly valued or likely to perform well. An exchange review and admission to listing likewise are not investment recommendations or guarantees of future performance.

Understand how the company makes money
Before looking at the offer price, be able to explain in plain language what the company sells, who pays for it, and what has to happen for the business plan to work. Use the issuer’s own business and industry disclosures rather than assuming that a familiar industry label tells you how this company operates.
- Revenue sources: Identify the products or services that generate sales and whether the issuer depends heavily on one product, market or type of customer.
- Customer and supplier concentration: Look for disclosed reliance on major customers, suppliers, distributors or other counterparties. Concentration can make revenue or operations more vulnerable if a relationship changes.
- Operating dependencies: Note the people, assets, permissions, technology, contracts or other conditions the business needs to deliver what it sells. Consider whether the prospectus identifies a disruption or loss of access as a risk.
- Industry claims: Separate the issuer’s own results and position from broad market growth estimates. An expanding industry does not establish that a particular issuer will gain customers or earn a profit.
HKEX’s listing guidance identifies business, industry overview and relationships with controlling shareholders as disclosure areas. Use those sections to understand how the company operates and where its commercial dependencies lie; do not treat the existence of disclosure as proof that the underlying risks are small.
Read the financial statements as a trend
Compare the periods presented in the prospectus rather than relying on a single headline number. Consider revenue, margins, profit or loss, cash flow, debt and working-capital needs together. The right interpretation depends on the issuer’s business and the price being asked; there is no general “good” growth rate, margin or cash balance that makes every IPO attractive.

Revenue can rise while the company continues to lose money or use cash. Check whether the trend in margins and profit or loss supports the growth story, and compare reported earnings with cash generated by operations. If operating cash flow is weak or negative, examine what the financial statements and risk disclosures say about the reasons and the company’s ability to fund continuing operations.

Look for funding pressure
Review debt, cash balances and working-capital requirements alongside the stated business plan. Ask whether growth requires additional investment, whether the company appears dependent on continued external funding, and whether the IPO proceeds are expected to change its financial position materially. A capital raise may provide resources for the stated plan, but its size and intended uses should be judged against the issuer’s disclosed needs rather than treated as a general sign of strength.
Use the periods actually disclosed
Check which historical periods and financial measures the prospectus presents, and note any qualifications attached to them. Do not infer a longer track record, future profitability or a sustainable trend from a short period of improvement. If results vary materially between periods, identify the explanation provided by the issuer and consider whether the same conditions are likely to persist.
Translate risk factors into specific downside scenarios
Risk factors are useful when they help you picture what could go wrong for this issuer and how that could affect its finances or operations. Read them alongside the business model and financial statements, not as a legal section to skim past. HKEX guidance calls for relevant issuer-specific, business and industry risks, as well as applicable macro-level risks such as geographic, economic, political, exchange-rate and currency-control exposure.
- Issuer-specific risks: Consider risks tied to the company’s products, operations, contracts, customers, suppliers, funding or ability to carry out its plans.
- Industry risks: Look for conditions that could affect demand, costs, competition or the way the company can operate in its sector.
- Geographic and macro risks: Identify the countries and markets relevant to the issuer and the potential effect of political or economic changes, currency movements or currency controls where disclosed.
For each important risk, ask what event could trigger it, which part of the business it would affect, and whether the prospectus indicates a possible effect on revenue, costs, cash needs or operations. Avoid assuming that a risk is harmless because the company has listed it, or that exchange review eliminates it. Risk disclosure describes exposure; it does not remove that exposure.

Check where the IPO money goes
Distinguish capital raised for the company from shares sold by existing shareholders. In a primary offering, the company issues shares and receives the proceeds, subject to the offer’s terms. In an offer for sale, existing holders sell shares and receive the sale proceeds. An offering may include both, so inspect the prospectus rather than assuming all the money supports the issuer.
Then read the “Use of Proceeds” section. Compare each stated use with the company’s funding needs, financial position and business plan. Consider whether the proceeds are directed to operating or expansion needs, debt or other disclosed purposes, and whether the amount appears material relative to those needs. The offer’s “Offering” disclosures and use-of-proceeds details are deal-specific; no general rule can establish whether a particular allocation of funds is sensible.
Assess the offer price and implied valuation
Find the offer price or range and the share-count information needed to understand the valuation implied by the offer. Then compare that valuation with the issuer’s disclosed earnings, cash generation, growth assumptions and risks. Where genuinely comparable peers are available, use them as context, not as proof that the IPO is cheap or expensive: businesses can differ in growth, profitability, risk and capital needs.
A high growth rate does not by itself justify any price, and a loss-making company cannot be assessed as though current revenue were profit. Consider what would need to go right for the proposed valuation to make sense, and what the financial picture might look like if growth slows, margins weaken or funding needs increase. The prospectus provides the offer terms; it does not provide a universal valuation verdict. Any conclusion is specific to the issuer, its disclosed information and market conditions.

Review ownership, control and governance
Identify the controlling shareholders and the directors, then examine how ownership and decision-making are structured. Pay attention to voting rights and any arrangements that could affect control or the relationship between the issuer and its shareholders. HKEX’s listing guidance includes disclosure areas for contractual arrangements, pre-IPO investments, connected transactions and governance.
Read the issuer’s explanations of material contractual arrangements and related-party dealings, rather than treating the labels alone as enough to assess them. Note pre-IPO investments and any disclosed restrictions or lock-ups that apply to holders. These facts help describe incentives, control and the shares that may be subject to restrictions; they do not independently establish that governance is strong or that future shareholders’ interests will be aligned.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Understand subscription, allocation and settlement
Use the current prospectus to check the public subscription and placing arrangements, application rules, offer timetable, allocation basis and refund or settlement mechanics. These are offer-specific terms, so do not rely on a fixed percentage or a generic description of how every Hong Kong IPO allocates shares. HKEX says allotment follows the basis determined for the offer, and warns that multiple applications can be rejected. An application does not guarantee an allocation.
HKEX’s August 2025 conclusion retained the existing six-month lock-up for cornerstone investors and described changes to IPO allocation mechanisms, including an alternative public subscription mechanism. Individual deal structures and applicable rules can change; check the current rule text and the offer’s own prospectus instead of assuming one mechanism or allocation percentage applies universally.
Best Value
For application and trading mechanics, consult a broker that serves your jurisdiction and can confirm its current service for the specific offer. The available service, application process and access depend on the broker and the reader’s circumstances; do not assume that a particular broker accepts applications from every country or promises an allocation.
Interpret cornerstone participation carefully
HKEX defines cornerstone investors as investors with an assured entitlement to subscribe at the IPO price and a six-month lock-up from listing. Its guidance describes safeguards including subscription at the IPO price, investor independence, disclosure of identity and background, and no additional direct or indirect benefits.
That commitment is a disclosed participation in the offering, not a forecast of post-listing performance or evidence on its own that the offer price is attractive. Consider the size and concentration of cornerstone participation as part of the ownership and allocation picture, while evaluating the issuer’s fundamentals and valuation independently.

If choosing among multiple offerings, use a consistent set of questions so that a prominent growth claim or recognizable investor does not dominate the comparison. A side-by-side assessment can use these dimensions:
| Dimension | What to compare |
|---|---|
| Business | Business model, customer and supplier concentration, and the dependencies behind the plan. |
| Financial trend | Revenue, margins, profit or loss, operating cash flow, debt and working-capital needs over the periods disclosed. |
| Risk exposure | Issuer, industry, geographic, regulatory, economic, political and currency risks disclosed for each company. |
| Use of proceeds | Capital raised for the issuer versus shares sold by existing holders, and the stated uses relative to funding needs. |
| Valuation | Offer terms and implied valuation in relation to disclosed fundamentals, assumptions and risks. |
| Control and governance | Controlling shareholders, voting rights, contractual arrangements, related-party dealings and disclosed restrictions. |
| Allocation and liquidity | Offer-specific application and allotment terms, cornerstone concentration and your ability to exit if trading is thin. |
These dimensions organize the disclosures; no single metric predicts returns, and a stronger-looking result in one row does not settle the investment decision. Compare like with like where possible and make differences in business model or risk explicit.
Decide whether the downside fits your circumstances
Hong Kong shares can fall in price, and liquidity risk means you may not be able to sell promptly at a price you consider acceptable. Before applying, consider whether you can bear a loss and whether you might need the money during a period when the shares are difficult to sell. A listing can attract interest without ensuring an active market or a favorable exit price.
HKEX cautions investors to read current prospectuses, financial statements and announcements, and to trade only when a security fits their objectives, financial resources and risk tolerance. Treat the application as an investment decision, not as a bet that a new listing will rise on its first day. Avoid relying on oversubscription, publicity, exchange approval or cornerstone participation as substitutes for examining the issuer and the price.
