What to Check Before Buying the Dip in Indian Shares

A falling share price is a reason to investigate, not proof that a share is a bargain. Before buying, find out what changed in the business, check the company’s financial statements and disclosures, assess its valuation, and confirm whether exchange surveillance measures could affect trading. Then decide whether the risk fits your goals, time horizon, finances and existing portfolio. These checks can help you make a more informed decision; they cannot identify a market bottom or guarantee a recovery.

First, establish why the share price fell

“Buying the dip” describes buying after a price decline in the hope that the share will recover. The phrase does not tell you whether the decline is temporary, whether the current price is attractive, or whether the company’s prospects have worsened. A lower price than last month’s or last year’s high is not, by itself, evidence of value.

Start by separating a broad market decline from a company-specific problem. A company may be falling alongside many shares, or its price may be responding to a change in its own business, financial position, outlook or disclosures. Those cases call for different questions. The key is to identify a plausible explanation from company information and market disclosures rather than treating the chart as the explanation.

SEBI’s due-diligence guidance recommends examining the business, competitors, financial statements, price and volume history, corporate announcements, P/E and intrinsic value. Use those factors as investigative prompts, not as a formula that automatically says “buy” or “avoid.” A useful first question is: what evidence would make your explanation for the fall more or less convincing? If you cannot point to company information or a relevant disclosure, treat your explanation as uncertain rather than assuming that a decline is just market noise.

Work through the company’s business and prospects

Understand how it makes money

Be able to explain what the company sells, who its customers are and what drives revenue and costs. Consider what could support future growth, and what could make the business more difficult to run. If you cannot explain the business in plain language, it will be harder to judge whether the fall reflects a short-lived setback or a lasting change.

Keep the business explanation connected to the financial information you review. For example, the company’s stated outlook should make sense alongside its reported income, cash flow and financial position. This does not mean one statement settles the investment question; it means your view should account for both the business story and what the company reports about its finances.

Identify what has changed

Look for an explanation supported by current company information: has the business outlook changed, or has the price fallen without a corresponding change you can identify? Check recent announcements and financial information rather than relying only on headlines, commentary or a chart. A decline associated with lasting deterioration in the business deserves a different response from a broad market fall.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Distinguish an explanation from a conclusion. Finding an announcement that coincides with a price decline does not automatically tell you how much the company is worth, or whether the market has already accounted for the information. Read what the announcement says, consider whether it changes your understanding of the business, and avoid filling gaps with assumptions.

Compare competitors on the same basis

SEBI advises investors to compare a company with its competitors. Apply the same questions to each business: how durable are its prospects, how healthy are its finances, how does it generate cash, and how does its valuation relate to its outlook? A competitor’s lower or higher share price alone is not a meaningful comparison; compare business and financial factors as well.

Consistency matters. If you use a particular period or financial statement to judge one company, use a comparable basis for the other. A comparison can help identify differences in business outlook or financial health, but it cannot make two companies identical or establish a universal “better” share. If you cannot make a fair comparison from available information, note that limitation rather than treating the apparent price difference as an opportunity.

Read at least two years of financial information

SEBI’s due-diligence guidance says to examine cash flow, income statement and balance sheet information for at least the past two years. Reviewing more than one period can help you see whether the latest results fit a longer pattern, though past figures do not establish what will happen next.

Information to review Questions to ask
Income statement What do the reported results show about the company’s income and financial performance over the periods reviewed? Does the latest information fit the business outlook you are assessing?
Cash flow What do the cash-flow statements show about cash generated and used? Do they add context that is not apparent from reported income alone?
Balance sheet What does the company report about its financial position? Does that information change your view of its capacity to withstand a difficult period?

Read the three statements together rather than treating one figure as a complete verdict. Income, cash flow and the balance sheet answer different questions about reported performance, cash and financial position. If they seem to tell different stories, that is a reason to investigate the disclosures and your assumptions more carefully, not to select only the number that supports a hoped-for recovery.

These are prompts for reading the filings, not a substitute for understanding how the company operates. If a figure or announcement is unclear, do not assume the most favourable interpretation. Check the company’s own disclosure and consider whether you have enough information to assess the risk. The two-year period is a minimum recommended review in SEBI’s guidance, not a guarantee that two years of figures will answer every question.

Assess the price against prospects, not just a recent high

A share can be down substantially from a recent high and still be expensive if its earnings or business prospects have weakened. Conversely, the fact that a price has fallen does not, on its own, establish that the company is worth less. The relevant question is how the price and valuation relate to the company’s prospects and financial condition.

SEBI identifies P/E and intrinsic value as due-diligence factors. Consider the company’s valuation alongside its outlook and competitors rather than relying on a single ratio or a past price. The cited guidance does not set one universal fair-value formula or threshold. There is no basis here for treating a particular P/E, percentage decline or discount from a high as a universal buy signal.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Keep the distinction clear: a price decline is an observable market event; “cheap” is a judgement about value that depends on the business and the assumptions behind your assessment. If your reason for buying is only that the share used to trade at a higher price, you have not yet established why it might be attractive now.

It can help to make your assumptions explicit: what do you believe about the company’s prospects, and what information supports that view? This is not a request to produce a precise target price if you do not have a defensible method. It is a way to notice when the case depends mainly on the hope that a previous price will return. SEBI’s guidance names P/E and intrinsic value as factors to examine, but neither should be treated as a standalone answer detached from the business and its prospects.

Check price, volume and company announcements

Review the latest available price and volume history, as SEBI’s guidance recommends. Use it as context for the decline, not as a forecast. A chart can show how the share has traded; it cannot establish why it fell or prove that a recovery is due.

Read relevant corporate announcements as well. Look for information that could affect the company’s business, financial position or outlook, and consider whether it changes the case you are building from the financial statements. Do not make the decision from a headline alone when the underlying filing or announcement is available.

Price history, volume history, announcements and financial statements play different roles in the check. The first two describe trading activity; disclosures and statements provide company information to assess. None, taken alone, turns a decline into a reliable forecast. If your view changes after reading a disclosure, revisit the reasoning rather than anchoring on the price at which the share traded before the fall.

Check whether NSE surveillance measures affect the share

For Indian shares, check the latest relevant exchange information before deciding. The NSE’s Graded Surveillance Measure (GSM) applies to securities whose price may not be commensurate with their financial health and fundamentals. The framework is intended to prompt extra caution and due diligence; the presence of a security in GSM is not, by itself, proof of fraud or a definitive instruction never to buy.

Depending on the measure applied, trading conditions can include trade-for-trade handling, surveillance deposits, weekly trading or limits on upward price movement. These measures can affect how a security trades and the practical risks of buying or selling it. Check the current security list and notices rather than relying on an old list: identification and review occur quarterly, and actions can change.

For an investor, this is not just a question about the company’s reported fundamentals. It is also a practical check on the conditions under which a security may be traded. A measure that affects trading can matter when you consider liquidity and whether you may need to sell. Confirm the current status for the particular security in the exchange’s latest list and notices; do not infer the present measure from an old mention or from a general description of GSM.

How to read GSM screening thresholds

The NSE framework describes screening criteria that refer to factors such as net worth, net fixed assets, market capitalisation and valuation relative to the Nifty 500. The page updated June 12, 2026 lists examples of thresholds for non-SME and SME securities:

Category or criterion described by NSE Thresholds stated on the page How to interpret them
Non-SME criteria Net worth at or below ₹10 crore alongside net fixed assets at or below ₹25 crore, with certain P/E conditions A screening criterion within the GSM framework, not a general rule for buying or selling shares
Another non-SME criterion Full market capitalisation below ₹25 crore, with P/E or P/B conditions The page describes valuation conditions as part of the criterion; this threshold alone is not a buy or sell verdict
SME criteria Net worth at or below ₹5 crore and net fixed assets at or below ₹10 crore, with related valuation criteria Separate screening thresholds for SME securities, not general investment thresholds

The figures are exchange screening criteria, not standalone assessments of a company’s quality. The page’s descriptions also refer to related valuation conditions, so the asset or market-capitalisation figures should not be taken out of context. Check the latest NSE list and notices for a particular security and the measures currently applicable to it.

These thresholds are part of a surveillance framework, not financial rules for every investor to apply to every share. They do not establish that a company is fraudulent, nor do they say that every security outside the framework is sound. Treat them as a prompt to verify the current exchange status and review the underlying company information with care.

Test the purchase against your own finances

Even a well-researched share may be unsuitable for a particular investor. SEBI’s guidance asks investors to consider goals, time horizon, risk appetite, liquidity, diversification, asset allocation, tax and the overall portfolio. Decide what the investment is meant to help you achieve and when you may need the money before committing funds.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Time horizon: Match the investment to the time available for your goal. SEBI advises avoiding risky equity investments for short-term needs.
  • Ability to take a loss: Consider whether you could withstand a fall in value without putting an essential goal or near-term expense at risk.
  • Liquidity: Ask whether you can access the money when needed, taking account of the security’s trading conditions. Surveillance measures may affect trading.
  • Diversification and concentration: Consider how the purchase would change your exposure to this company, sector and asset class. Diversification can reduce some risks, but it cannot remove market-wide price volatility.
  • Allocation and tax: Check how the investment fits your broader asset allocation and whether tax implications are relevant to your circumstances. The guidance cited here does not establish current tax treatment.

Do not use money needed soon simply because a share has fallen. If the decline continues, the timing of your need can matter as much as your view of the company. Likewise, a view that the company is attractive does not settle how much exposure is appropriate for your portfolio. Consider the effect of the purchase alongside your existing holdings and goals.

Diversification has limits: SEBI notes that market-wide price volatility cannot be diversified away. Holding a range of investments can address some concentration risks, but it cannot guarantee that your overall portfolio will avoid losses when markets fall. The decision should account for both the risk attached to an individual company and the broader risks that remain even in a diversified portfolio.

SEBI’s investor risk page attributes the line “Successful investing is about managing risk, not avoiding it” to Benjamin Graham, described there as “the father of value investing.” The useful point for this decision is to think about the risks you are taking and whether you can bear them, not to assume that risk can be eliminated or that a falling share will rebound.

Use a consistent comparison, not a mechanical score

If you are comparing two shares—or considering a share against a diversified investment—apply the same dimensions to each. SEBI’s guidance supports comparison of competitors and consideration of fundamentals, risk, liquidity, diversification and allocation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Comparison dimension What to compare
Business and prospects Business durability, growth outlook and what has changed
Financial health Statements and cash generation across the periods reviewed
Valuation Price and valuation relative to prospects and competitors
Current information Latest company disclosures and applicable exchange surveillance status
Practical risk Liquidity, possible downside and fit with your time horizon and goals
Portfolio fit Existing concentration, diversification and asset allocation

This comparison is a way to make your reasoning more consistent, not a scoring system or a prediction of returns. The factors do not guarantee an outcome, and a favourable answer on one dimension does not cancel a serious concern on another.

Use the same axes whether the alternative is another company or a diversified investment: durability and growth outlook, financial health and cash generation, valuation relative to prospects, current disclosures and surveillance status, liquidity and downside risk, and fit with your time horizon, goals and existing concentration. The comparison should help clarify trade-offs, not produce a mechanical winner. If one alternative is easier to assess because it has clearer information, that difference itself may matter to your decision, but it does not guarantee a result.

A practical decision sequence

  1. State the reason for the fall. Separate a broad market move from a company-specific change, and identify the information that supports your explanation.
  2. Read the company information. Review at least two years of income statement, cash-flow and balance-sheet information, alongside recent announcements and price and volume history.
  3. Assess value and alternatives. Consider P/E and intrinsic value in the context of prospects and competitors. Do not substitute the share’s old high for an assessment of value.
  4. Check exchange measures. Look at the latest relevant NSE GSM list and notices, including any measures that could affect trading.
  5. Check portfolio and timing. Revisit your goal, horizon, ability to bear a loss, liquidity needs, diversification, allocation, tax considerations and existing concentration.
  6. Decide whether you have enough evidence. If the business change, valuation or relevant disclosure remains unclear, a fall in price alone is not a reason to buy.

The sequence is deliberately not a buy signal. It helps you find unanswered questions before putting money at risk. If the company information does not support your explanation for the decline, if valuation depends on assumptions you cannot defend, or if the purchase does not fit your financial needs, pause rather than treating a lower quote as an instruction to act.

Where to build foundational knowledge

SEBI’s investor education materials include a Financial Education Booklet, a Financial Planning Guide and presentations on share trading. They can help readers learn basic concepts before making investment decisions. The checklist above is general education, not a recommendation to buy a particular share; a company-specific conclusion requires current company filings, dated market information and applicable exchange notices.

Frequently Asked Questions

Does a falling share price mean the stock is cheap?

No. A price decline shows that the share has fallen; it does not establish value. A share may still be expensive if earnings or business prospects have weakened. Assess valuation in the context of the company’s prospects and competitors rather than relying on a recent high or a single ratio.

How many years of financial statements should I review?

SEBI’s due-diligence guidance says to examine cash flow, income statement and balance sheet information for at least the past two years. Review the statements together and remember that past results do not establish what will happen next.

What should I check on NSE before buying an Indian share?

Check the latest relevant NSE GSM security list and notices. GSM measures can include trade-for-trade handling, surveillance deposits, weekly trading or limits on upward price movement. The list and actions can change, so an old status may not describe current trading conditions.

Does a share in GSM mean the company is fraudulent or should never be bought?

No. NSE describes GSM as a surveillance measure for securities whose price may not be commensurate with financial health and fundamentals, intended to prompt extra caution and due diligence. Presence in GSM alone is not proof of fraud or a definitive instruction never to buy.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Can diversification eliminate the risk of buying during a market fall?

No. SEBI says market-wide price volatility cannot be diversified away. Diversification can address some risks, but it cannot guarantee that a portfolio will avoid losses.

Should I buy a falling share with money I may need soon?

SEBI advises avoiding risky equity investments for short-term needs. Consider your goal, time horizon, liquidity needs and ability to withstand a loss before deciding; a lower share price does not make money needed soon suitable for a risky investment.

The Bottom Line

Before buying a dip, establish what changed, review at least two years of financial statements and current disclosures, assess valuation against prospects and competitors, and check the latest NSE surveillance information. Then decide whether the risk fits your time horizon, liquidity needs and portfolio. A lower price is a reason to investigate—not a guarantee of value or recovery.
