Before buying stock in a Bitcoin treasury company, check what the company owns, how it financed those holdings, what it owes, whether it can meet cash obligations, and how the share price compares with its net assets. Bitcoin per diluted share is a useful starting metric, not a complete valuation: debt, preferred claims, cash needs, operating results, and dilution all affect what common shareholders may ultimately receive.
Strategy Inc. offers a dated example, not a template for every issuer. Its Q2 2026 Form 10-Q reports figures as of June 30, 2026, with certain subsequent-event disclosures through July 24. The company’s figures below are issuer-reported; check each company’s own filings and use market data from the same date as the balance-sheet figures.

What should I check first?
Start with the latest annual and quarterly filings, then reconcile them with the company’s dated market price and share count. A Bitcoin treasury company can combine a large, volatile digital-asset position with debt, preferred securities, a stock-funded purchasing strategy, and an operating business. Looking at only the Bitcoin balance or a headline earnings figure can miss how those pieces affect common shareholders.

- Read the latest annual and quarterly filings. Find the balance sheet, digital-asset notes, debt and preferred-stock disclosures, liquidity discussion, share-count information, risk factors, and subsequent events.
- Record the reporting date. Holdings and obligations are point-in-time figures. Note whether later purchases, sales, financings, or other events were disclosed after that date.
- Use a matching market date. For valuation, use the stock price and share count appropriate to the same date as the assets and claims being compared, or clearly label any timing mismatch.
- Trace changes over time. Compare consecutive filings to see how Bitcoin, debt, cash, preferred obligations, and diluted shares changed—and what funded those changes.
Strategy’s Q2 2026 Form 10-Q is a useful worked example of what these checks can reveal. Its figures should not be assumed to describe another company’s holdings, financing, accounting, custody, or liquidity.

How much Bitcoin does the company hold per diluted share?
Confirm the holdings and denominator
Use the company’s reported Bitcoin holdings and a fully diluted share count, not just basic shares outstanding. Check the filing’s definition and date for the denominator, including how it treats options, convertible securities, and other potential shares. Then calculate Bitcoin per diluted share as reported Bitcoin holdings divided by assumed diluted shares.
Strategy reported approximately 846,000 Bitcoin and approximately 401.3 million assumed diluted shares as of June 30, 2026. Dividing those issuer-reported, rounded figures gives roughly 0.00211 BTC per assumed diluted share (about 211,000 satoshis). This is a simple ratio, not a claim that each common share represents direct ownership of that amount of Bitcoin. It does not account for debt, senior claims, cash needs, operating assets, or future dilution.
Check what happened to shares issued
Review financing disclosures and use of proceeds. New shares may fund Bitcoin purchases, but they may also fund reserves, dividends, interest, or other needs. Strategy disclosed that first-half 2026 common-share issuance funded Bitcoin purchases as well as a reserve, dividends, and interest. Therefore, an increase in shares does not necessarily correspond to an equal increase in Bitcoin holdings, and a company-defined Bitcoin-per-share or “BTC Yield” measure should be treated as supplemental rather than a substitute for the underlying figures.

Map debt and preferred securities
List each debt instrument and preferred class, including principal or liquidation preference, interest or dividend rate, maturity, payment rules, conversion terms, collateral, and any restrictions that matter to the company’s ability to raise funds or sell assets. Check whether a stated dividend is cumulative, whether it can be deferred, and what happens if it is unpaid. Compare maturities and payment obligations with cash resources and expected cash generation.

Strategy reported approximately $6.75 billion in aggregate principal amount of outstanding indebtedness as of June 30, 2026. That is a dated principal figure, not a full measure of all claims on assets or future cash requirements. Its annual report also explains that common shareholders rank behind certain preferred and convertible instruments in claims on assets. The exact ranking and terms vary by issuer and security; read the relevant documents rather than assuming that common stock participates in treasury value first.
Assess financing dependence
Look at whether Bitcoin purchases and ongoing obligations depend on repeated equity or debt issuance. Strategy’s annual report says its Bitcoin strategy relies substantially on equity and debt financing. That is a company-specific disclosure, but it illustrates why an investor should examine the financing plan alongside the holdings: additional financing can support accumulation while also adding obligations or diluting existing shareholders.
Can the company meet its obligations with cash?
Separate cash and short-term investments from Bitcoin’s reported value. A marked Bitcoin balance is not the same thing as cash available for payroll, operations, dividends, interest, or debt maturities; selling assets may also change the company’s strategy and exposure.

Strategy’s Q2 2026 filing says Bitcoin is less liquid than cash. It also says that, as of June 30, 2026, the software business was not expected to generate enough operating cash flow to cover financial obligations or liquidity needs for the following twelve months. That is Strategy’s assessment at that date—not a conclusion about other issuers or a guarantee of what later conditions will be.
Does the operating business generate cash?
Identify the company’s non-treasury operations and assess whether they produce recurring cash that supports operating costs and financial obligations. Look for operating cash flow, its trend, the sources of revenue, and management’s discussion of liquidity. Revenue or accounting income alone does not establish that the business is self-funding.
Strategy describes both a Bitcoin treasury operation and an enterprise analytics software business. Its filing’s specific forecast for the software business’s cash generation appears in the liquidity assessment above. For another issuer, establish the operating picture from that company’s own statements rather than inferring cash generation from the size of its Bitcoin holdings.
How should I read Bitcoin-related earnings?
Check the accounting policy and the effective date of any accounting change before comparing reported results across periods. Strategy adopted ASU 2023-08 on January 1, 2025. Its Q2 2026 filing says subsequent fair-value changes are recognized in earnings and warns that historical periods before adoption are not directly comparable.

A fair-value gain or loss can make reported results swing sharply without representing cash generated or spent in the period. In Strategy’s Q2 2026 results release, the company reported an operating loss of $8.33 billion, including an $8.32 billion unrealized digital-asset loss. For Q2 2025 it reported operating income of $14.03 billion, including a $14.05 billion unrealized gain. These issuer-reported figures illustrate accounting volatility; they are not a forecast of future results or a measure of operating cash flow.
Strategy’s Q2 2026 Form 10-Q states: “Additionally, any unrealized gain on digital assets reflected in our financial results for a given period does not reflect cash actually earned by us during that period, and a significant increase in our digital assets included on our balance sheet is not associated with an actual increase in our liquidity.”
What custody and operational risks should I review?
Find the issuer’s disclosures about custody arrangements, the allocation of assets among custodians, counterparty exposure, cybersecurity, private-key controls, and any assets pledged as collateral. Check what the company says about access to assets and its exposure if a custodian or other service provider fails. Do not assume that another issuer uses the same arrangements or faces the same risks.
Strategy reported using Anchorage Digital Bank, Coinbase Custody, and Fidelity Digital Assets, and disclosed that it remains exposed to custodian performance. Those details describe Strategy’s disclosed arrangements; verify the current custody and collateral disclosures for any company you assess.

How do I compare the stock’s price with its Bitcoin holdings?
Use same-date inputs to compare market capitalization with the market value of Bitcoin and other assets, then account for debt and senior claims as well as the operating business. This can help frame whether the stock trades at a premium or discount to an estimate of net assets. It does not establish a mechanically correct share price: financing terms, cash needs, future dilution, operating prospects, custody risks, and market expectations also matter.
Do not calculate a current premium or discount from a filing-date Bitcoin balance and a stock price from a different date without labeling the mismatch. Refresh the stock price, holdings, cash, debt, preferred claims, and diluted share count using clearly stated dates. Compare the resulting exposure with other ways to obtain Bitcoin exposure, while accounting for differences in structure and claims rather than treating them as interchangeable.
What should I compare across Bitcoin treasury companies?
Use the same reporting and market dates for every issuer. A consistent comparison helps distinguish a larger Bitcoin balance from a stronger position for common shareholders.
| Comparison | What to record | Why it matters |
|---|---|---|
| Bitcoin exposure | Bitcoin holdings, value, purchases or sales, and Bitcoin per diluted share | Shows treasury scale and how it relates to the diluted share base. |
| Capital structure | Debt, maturities and terms; preferred claims, rates and payment rules; convertible securities; diluted shares | Shows obligations and claims that can rank ahead of common shareholders, as well as possible dilution. |
| Liquidity | Cash and short-term investments, reserves, debt service, dividends, operating costs, and maturities | Shows whether obligations appear supportable without relying on Bitcoin’s marked value alone. |
| Operating cash generation | Operating cash flow, business sources, and reliance on new financing | Distinguishes cash generated by operations from capital raised or accounting gains. |
| Custody and collateral | Named custodians, allocation, counterparty exposure, key and cybersecurity risks, and pledged assets | Reveals operational and access risks that a holdings total does not capture. |
| Valuation | Same-date market capitalization, Bitcoin and other assets, debt and senior claims, and operating business | Frames a premium or discount estimate without treating treasury value as a guaranteed stock price. |
What does Strategy’s example show—and not show?
Strategy’s filings show why a Bitcoin treasury stock needs to be assessed as a whole company and capital structure, not simply as Bitcoin divided by shares. Its annual report says assets are concentrated in Bitcoin and the strategy relies substantially on equity and debt financing. The company also says it is not registered as an investment company under the Investment Company Act. Do not assume that its stockholders receive the protections of a registered fund.
At the company’s July 30, 2026 Q2 results release, President and Chief Executive Officer Phong Le said: “In the second quarter of 2026, Strategy strengthened its balance sheet while navigating a meaningful bitcoin price decline.” This is management’s characterization, not independent analysis. Use the underlying filings and dated market data to form your own assessment, and do not generalize Strategy’s figures or practices to the entire category.
