Do not choose between exchange listings by looking at the lowest displayed share price. First identify the exact instrument, then compare its share ratio, currency-adjusted value, liquidity, total costs, disclosure, shareholder rights, settlement process and country-specific risks.
Start with the exact security, not the company name
A company name and ticker are not enough to establish what you would own. The same issuer may have an ordinary share, several share classes with different voting or dividend rights, and a depositary instrument such as an American depositary receipt (ADR). Confirm the legal issuer, exchange, ticker, security name and class in the broker’s instrument details and the issuer’s official documents.

Ordinary shares, different classes and depositary shares
An ordinary share is issued by the company in its home or primary market. A different class can carry different voting power, dividend entitlements, transfer restrictions or other rights. An ADR is a certificate evidencing an ownership interest in American depositary shares (ADSs), which represent shares held with a depositary bank. One ADS may represent one underlying share, a fraction of one share or several shares. The SEC explains the basic structure in its Investor Bulletin: American Depositary Receipts, published August 17, 2012.
Record the terms before comparing prices
For every line you are considering, write down:
- the issuer’s full legal name and the exact share class;
- whether the line is an ordinary share, another class or an ADR/ADS;
- the depositary bank and whether the program is sponsored or unsponsored, where that distinction applies;
- the number of underlying shares represented by one depositary share;
- the deposit agreement’s issuance, cancellation, transfer, conversion, dividend, voting and termination provisions; and
- whether conversion into the underlying shares is available to you, under what conditions and at what charge.
Do not assume that two tickers are interchangeable because they name the same company. Rights come from the share class and governing documents, not from a similar symbol.

Understand the ADR or ADS ratio and conversion mechanics
The depositary ratio is the key adjustment when comparing a depositary listing with an ordinary share. If one ADS represents two ordinary shares, the ADS’s underlying value is approximately twice the ordinary-share price after currency conversion. If one ADS represents half an ordinary share, the adjustment works in the opposite direction.
What the depositary agreement controls
The agreement sets out how shares are deposited, how ADSs are issued or cancelled, how dividends are collected and converted, how voting instructions are handled, and what happens if the program ends. It also states the conditions for exchanging an ADS for the underlying shares. The SEC notes that holders may be able to exchange depositary instruments under the deposit agreement, subject to its terms and applicable rules; availability is not automatic for every investor or every program. Review the current agreement and registration documents rather than relying on a generic ADR description.
Sponsored and unsponsored programs
A sponsored program is established with the issuer’s involvement and defined reporting arrangements. An unsponsored program can be created by a depositary without the same issuer participation. The status affects the information you receive, the relationship with the issuer and the applicable filing framework. Confirm the status in current issuer and regulator documents before placing an order.

Put prices on an equivalent basis
A last-traded price on one exchange is not directly comparable with a last-traded price on another. Use a common currency, apply the depositary ratio and check whether both markets were open at the same time.
The basic comparison formula
For a depositary share, an indicative underlying value is:
Underlying-equivalent value = depositary-share price × (underlying shares per depositary share) ÷ exchange rate

Use the exchange-rate direction consistently. For example, if the ordinary share is quoted in a foreign currency and the ADS is quoted in U.S. dollars, convert the ordinary-share quote into dollars and multiply or divide by the ratio as appropriate. This produces a reference value, not a guaranteed executable price.

Prices can diverge after currency and ratio adjustments because the venues do not operate as one continuous order book. Markets may be open at different times, react to news in different sessions and have different trading volumes, liquidity, listing rules, investor bases and order-handling practices. A 2026 issuer disclosure discussing the NYSE, Hong Kong Stock Exchange and Singapore Exchange states that their trading hours, trading characteristics, rules and investor participation differ, and that prices may differ even after allowing for currency differences. Read that filing as an issuer-specific example of the mechanism, not as proof that every pair of listings will always diverge: SEC-filed 2026 disclosure.
Compare timestamps, not just numbers
Record the quote time, currency, exchange-rate timestamp and whether each venue was in its regular session, pre-open, auction or closed. A price from a market that closed hours earlier may not reflect a subsequent earnings announcement, political event or currency move. When markets overlap only briefly, a displayed price can change materially before an order reaches the book.
Check liquidity and the way your order will execute
Liquidity determines whether the quoted price is realistic for the size you intend to trade. Review recent volume, the bid-ask spread and, where available, order-book depth. A thinly traded line can show a favorable last price while offering little stock at that price.
Questions for your broker
- Which venue will receive the order, and can you choose the venue?
- Are real-time quotes available, or is the displayed price delayed?
- Which order types are supported in that market?
- How are fractional shares, odd lots and market auctions handled?
- Will the broker route an ADR order to a U.S. venue while the underlying market is closed?
- What happens if the security is halted, suspended, delisted or subject to a corporate action?
Limit orders can control the maximum purchase price when spreads are wide, but an unfilled order may leave you without exposure. Market orders may execute quickly yet accept whatever liquidity is available. The appropriate choice depends on the venue, spread, size and urgency.

Trading hours and settlement windows
Foreign markets can have shorter sessions, different holidays and different settlement cycles. The SEC’s international-investing guidance warns that foreign markets may have lower trading volumes and shorter trading sessions than U.S. markets: Investor.gov: International Investing. Check the exchange calendar and your broker’s cut-off times before trading around a dividend, rights issue or other deadline.
Calculate the total cost of the transaction
The cheapest-looking share price can be the most expensive route once every charge is included. Ask for a written schedule for the exact security and account you will use.
Broker and market charges
- commission or ticket fee;
- foreign-exchange spread or conversion charge;
- custody, account or market-access fee;
- local transaction tax, stamp duty or exchange levy;
- fees for real-time market data; and
- charges for corporate actions, transfers or settlement in a foreign market.
Depositary fees for ADRs
The depositary may charge custody or service fees and may deduct charges connected with dividend processing, currency conversion, voting, issuance, cancellation or other services. The SEC’s ADR bulletin describes these categories but does not provide a current universal price. Fees vary by program and provider, so use the current deposit agreement, fee schedule and broker statement rather than an old example.
Build an all-in estimate
For a planned order, estimate the purchase consideration in your account currency, the FX conversion cost, broker and local charges, any depositary fee, and the expected sale and conversion costs. If you intend to hold for years, include recurring custody or depositary charges and the cost of receiving dividends. A small one-time difference can be outweighed by recurring fees.

Verify disclosure, accounting and shareholder information
Listing location does not make a foreign issuer subject to exactly the same reporting regime as a domestic company. Filing obligations depend on the issuer’s status, the exchange, the ADR program and whether the company is listing or raising capital in a particular market.

Documents to locate
- the latest annual report and interim reports;
- exchange announcements and material-event notices;
- the deposit agreement and ADR registration documents, if applicable;
- audited financial statements and the accounting framework used;
- the auditor’s report and any qualifications;
- dividend, voting, rights-offering and corporate-action notices; and
- the regulator and exchange pages where filings are posted.
The SEC’s guidance on foreign issuers explains that non-U.S. companies can have disclosure requirements different from those applicable to U.S. companies, and that filing availability and language can differ for companies trading only abroad: SEC Division of Corporation Finance: Information about Foreign Issuers. Confirm which reports are actually available for the line you plan to buy, rather than assuming an ADR provides the same package as a U.S.-incorporated issuer.
Voting and dividends
Ordinary shareholders may vote directly or through the local market’s procedures. ADR holders generally provide voting instructions to the depositary, which then seeks to vote the underlying shares under the deposit agreement. Deadlines, minimum holdings, fees and the treatment of uninstructed shares vary. Dividend payments may be converted into your account currency after taxes and depositary charges. Read the notice for each event.

Buying a foreign-market line adds risks beyond the company’s operating performance. The value in your home currency can fall even when the local share price rises if the foreign currency weakens.
Country and market factors
- political or economic changes that affect the issuer or its sector;
- capital controls or restrictions on moving money across borders;
- limits on foreign ownership or registration requirements;
- different settlement, custody and securities-registration practices;
- market closures, trading suspensions or exchange intervention; and
- differences in investor protections, disclosure enforcement and legal remedies.
The SEC advises investors to research the political, economic and social conditions in the company’s home country so they can better understand factors affecting financial results and stock price. That general investor-education point appears in its August 17, 2012 bulletin. Your residence, account type, broker and intended holding period determine which risks are material.
Tax is a separate determination
Withholding on dividends, capital-gains rules, treaty relief, reporting obligations and reclaim procedures depend on your residence, account, security and the jurisdictions involved. The information here cannot determine your personal tax treatment. Check current official tax guidance or obtain qualified advice before trading.
Use this pre-purchase workflow
- Capture the instrument identity. Save the issuer’s legal name, ticker, exchange, share class, ISIN or other identifier, and whether it is an ordinary share or depositary share.
- Read the governing documents. For an ADR/ADS, locate the current deposit agreement, ratio, depositary bank, conversion terms, voting process, dividend treatment, termination provisions and fee schedule.
- Normalize the quote. Convert prices to one currency, apply the ratio, record timestamps and note whether both markets were simultaneously open.
- Measure tradability. Review volume, spread, depth, trading hours, holidays, settlement cycle and the order types your broker supports.
- Request the all-in cost. Get broker, FX, custody, local-market, depositary and corporate-action charges for the actual account and transaction size.
- Check information quality. Read current annual and interim reports, exchange announcements, regulator filings, audit information and shareholder notices for the exact security.
- Map the risks to your circumstances. Consider currency exposure, country conditions, ownership limits, capital controls, custody arrangements, legal remedies and tax treatment.
- Choose the route only after comparison. Decide whether the convenience, liquidity and access of one line justify its different costs and rights; do not select solely because its nominal price is lower.
Compare two listings with one decision table

Common mistakes and how to correct them
Choosing the lower nominal price
Problem: You compare 20 units in one currency with 40 units in another and conclude that the first line is cheaper.
Correction: Convert currencies, apply the depositary ratio and compare equivalent claims.
Assuming arbitrage will erase every difference
Problem: You expect prices to match instantly because the listings represent one company.
Correction: Check market hours, liquidity, transfer restrictions, conversion timing and all fees. Prices can remain different when conversion is slow, costly or unavailable to your account.

Problem: You use the last trade as the price for a large order.
Correction: Inspect the current bid, ask, spread and available size; use a suitable limit order when appropriate.
Using an outdated fee example
Problem: You rely on a fee quoted in an old article or forum post.
Correction: Obtain the current broker and depositary schedules for the exact program and date of trading.
Treating an ADR like a domestic common stock
Problem: You assume identical reporting, voting, dividend timing and legal remedies.
Correction: Read the deposit agreement, foreign-issuer filings and event notices; confirm how your broker handles votes and corporate actions.
Overlooking the currency you ultimately need
Problem: You assess performance only in the listing currency.
Correction: Measure the investment in your spending or reporting currency and include conversion costs and withholding.

Questions to answer before placing the order
- What exact legal security and share class am I buying?
- If it is an ADR/ADS, how many underlying shares does one unit represent?
- Can I convert it into the underlying shares, and what restrictions and charges apply?
- Are both quotes current, in the same currency basis and from overlapping sessions?
- What are the spread, recent volume and realistic fill size?
- What will I pay to buy, hold, receive dividends, vote, convert and sell?
- Where does the issuer report, under which accounting framework and in what language?
- How will I receive notices and exercise voting rights?
- What currency, country, ownership, settlement, custody and legal risks apply to me?
- What happens if the program is terminated, the listing is suspended or the security is delisted?
A multiple listing is an access arrangement, not a guarantee that every line is the same investment. The defensible choice is the instrument whose rights, price basis, liquidity, total cost, information and cross-border risks fit your circumstances after you have verified the current documents.
