Start with the company’s latest fleet-status report and SEC filings: a large fleet or backlog alone does not show what shareholders may ultimately earn.
Understand how the contractor makes money
Offshore drilling contractors generally own and operate drillships, semi-submersibles and jack-up rigs, then provide equipment and crews to oil and gas producers under contracts that commonly pay by the day. Revenue depends on more than the stated dayrate: it also depends on how many days a rig works, the rate actually earned on those days, contract terms and the costs of keeping the rig ready and operating.

Customers include major oil companies, state-owned national oil companies and independent producers. Seadrill describes its business in those terms in its 2025 annual filing. A contractor is therefore exposed to customer budgets and contract awards as well as to the cost of operating its fleet; owning rigs does not itself guarantee work.
Check whether the fleet fits the work available
Do not compare drillers by fleet count alone. For each rig, record its type, age, technical specification, water-depth capability, harsh-environment capability and current status. Status matters: a working rig differs materially from one that is available, warm-stacked, cold-stacked, under repair or in a shipyard.

A rig can compete only for tenders that match the customer’s technical and regional requirements. Noble’s 2025 annual filing describes differences in market conditions by geography and water depth, and notes customer focus on high-specification floaters. Compare floaters with floaters and jack-ups with jack-ups before drawing conclusions about relative fleet quality or demand.
Read contracts and backlog rig by rig
Pair the latest fleet-status report with the latest filing. For every rig, note the customer, contract start and end dates, remaining firm term, disclosed dayrate, mobilization or shipyard interval, options, termination rights and whether a reported award is signed or conditional. Check when work is scheduled: contracts can leave a gap between one job and the next, and work expected years from now does not pay current bills.
Backlog is an indicator of contracted work, not a promise that all the stated amount will arrive as revenue on a particular schedule. Definitions vary, so read the issuer’s definition and distinguish firm commitments from options and pending approvals. Transocean’s June 2026 Form 10-Q says: “Our contract backlog includes only firm commitments, which are represented by signed drilling contracts or, in some cases, by other definitive agreements awaiting contract execution.” Its definition calculates backlog using the maximum contractual operating rate multiplied by days remaining in firm contract periods; it excludes options and conditional commitments.
Transocean reported approximately $6.7 billion of backlog as of August 5, 2026. In the same release, it separately identified $1.0 billion of Equinor work that remained subject to license-partner approval. Those are Transocean-specific figures, not a sector benchmark. The distinction illustrates why a headline total should be checked against each contract’s status and conditions.
Assess whether the expected contract revenue can cover operating and maintenance costs, mobilization, taxes, interest and capital spending. Consider how much work is concentrated in one customer, one period or a small number of rigs. Backlog can help with revenue visibility, but by itself it does not establish profitability, cash generation or a sensible share valuation.

Separate utilization from revenue efficiency
Utilization and revenue efficiency measure different things. Transocean defines utilization as operating days divided by rig calendar days; its revenue-efficiency measure compares revenue earned with maximum revenue. A rig can be counted as utilized yet earn less than its headline contractual rate because of downtime or other contract provisions.
For the quarter ended June 30, 2026, Transocean reported the following figures by floater class:
| Transocean rig class | Utilization | Revenue efficiency | Period |
|---|---|---|---|
| Ultra-deepwater floaters | 72.6% | 95.7% | Quarter ended June 30, 2026 |
| Harsh-environment floaters | 94.2% | 99.5% | Quarter ended June 30, 2026 |
These are Transocean’s reported figures for those classes, not an industry-wide comparison. They show why a company-wide average can obscure differences between rig types. When comparing issuers, use the same periods and compatible definitions where possible, and inspect operating days, average realized dayrate, maintenance plans and the reason for each material period of downtime.
Weather delays, repairs, standby periods, force majeure, mobilization and other contract terms can change the amount earned. Check whether the applicable contract pays a full rate, a reduced rate or no rate during such periods; do not assume every calendar day produces revenue at the quoted dayrate.
Test whether cash flow can support the balance sheet
Use the latest audited annual report alongside subsequent quarterly filings. Build a view of liquidity and obligations that includes unrestricted cash, gross and net debt, interest expense, maturities, secured debt, covenants and lease obligations. Then compare operating cash flow with ordinary capital expenditure, maintenance and reactivation costs. The relevant question is whether cash remaining after necessary spending can reduce debt or support shareholders through a weaker part of the cycle.

- Material: paper
- Not a finished model.
Separate recurring cash generation from asset sales or other one-off proceeds, and read the company’s reconciliations for non-GAAP measures. Check whether planned rig upgrades, reactivations or shipyard work may require cash before a rig begins earning. A rig that appears valuable on paper can still be a financing burden if it needs substantial spending to return to work.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsTrack how the company funds itself as well as how it spends. Borr Drilling’s 2025 filing reported $177.2 million of net proceeds from common share issuances and $159.3 million of net debt proceeds in financing cash flow, partly offset by $141.5 million of debt repayments. Those are Borr’s reported 2025 figures, not an industry pattern; they illustrate why an investor should check both borrowing and share issuance when assessing the path to financing future operations.
Compare valuation without relying on one multiple
Consider enterprise value against earnings or cash flow normalized across a cycle rather than treating one year’s results as permanent. A low price-to-book or EV/EBITDA figure does not settle whether the company can refinance, avoid dilution or keep rigs earning. Rig replacement cost can offer context, but idle assets may require substantial investment and may never return to work.
Before using a valuation figure, make sure the share price, share count, debt, cash and latest contract disclosures are current. The company’s equity outcome depends on what remains after operating costs, necessary rig spending and financing claims—not simply on the number of contracted days or the market value of its fleet.

| Reported market indicator | Value and period | Scope and attribution |
|---|---|---|
| Competitive jack-up utilization | Approximately 88% in March 2026 | Reported by Borr Drilling in its 2025 annual filing, citing industry reports including S&P Global; applies to the global competitive jack-up market. |
| Average global modern jack-up dayrates for contracts executed | Approximately 19% lower in 2025 than in 2024 | Reported by Borr Drilling in its 2025 annual filing, citing industry reports including S&P Global; applies to modern jack-ups, not all offshore rigs. |
These figures do not describe floater demand or any one contractor’s realized results. Noble’s 2025 annual filing described near-term utilization headwinds for floaters and jack-ups compared with 2023–2024, while identifying economic conditions, trade policy and commodity prices as sources of uncertainty. Noble also noted that a long multiyear contract may still leave an interim utilization gap if the next job cannot be placed before that contract begins. Treat such management assessments as outlook disclosures, not certain forecasts.
Review issuer-specific risks before deciding
Read the risk factors and subsequent-event disclosures in the company’s latest filings, then check its fleet-status report for developments that may affect particular rigs or contracts. Look for customer concentration, suspension and termination provisions, contract disputes, safety performance, environmental incidents, permitting and local-content requirements, sanctions or trade restrictions, tax uncertainty, foreign-exchange exposure and insurance limits.
These exposures are company- and contract-specific. Sector disclosures establish that downtime, repairs, customer suspensions, financing needs and changes in commodity or policy conditions can matter, but they do not establish the current legal, safety, environmental or regulatory position of every driller. Do not infer a company-specific finding without checking that issuer’s current documents.
Use a repeatable pre-purchase checklist
- Match the fleet to the market. Identify each rig’s class, specification, region and operating status; compare like rig classes.
- Verify contract quality. Separate signed firm work from options, conditional fixtures and pending approvals; map contract dates and possible gaps.
- Check earnings conversion. Compare utilization, revenue efficiency, realized dayrates and downtime reasons for compatible periods.
- Stress the cash needs. Account for operations, maintenance, reactivation, mobilization, capital spending, interest and debt maturities.
- Assess financing and dilution. Review liquidity, covenants, refinancing requirements, share issuance and one-off sources of cash.
- Read current risk disclosures. Check customer, contract, legal, safety, environmental, regulatory and tax exposures in the latest filings.
- Recheck the investment case with current figures. Backlog, fixtures, debt, utilization and share value change; use the latest filings and company reports rather than stale figures.
This is a company-research framework, not individualized financial advice. The available share price, enterprise value, balance sheet and disclosures need to be current at the time of an investment decision.
