1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesBefore buying a listed Indian non-banking financial company (NBFC), first identify exactly what it lends against, which Reserve Bank of India (RBI) regulatory layer applies, and how its balance sheet would absorb a bad-credit cycle. Then test asset quality, funding and liquidity, earnings quality, concentration, governance, ratings and valuation using the latest company filings. A regulatory minimum or credit rating is only one input; neither proves that the shares are safe or attractively priced.
The sequence matters. Risk analysis should come before valuation, because a low price-to-book or high growth rate can be compensation for weak underwriting, expensive funding or future dilution. The checklist below is designed for comparing Indian listed NBFCs on a like-for-like basis, not for making a recommendation on any unnamed company.

1. Identify the NBFC’s business and regulatory category
“NBFC” describes a broad group of lenders rather than a single risk profile. A vehicle-finance company, a housing lender, a consumer-credit platform, a microfinance institution and a wholesale lender can have very different borrowers, collateral, collection cycles and funding needs. Start by writing down the company’s principal products, customer types and geographies before looking at its share price.
Map the loan book
Read the segment note in the annual report and the latest investor presentation, then quantify the mix where the company provides it. Look for consumer, vehicle, housing, micro and small-business, commercial or wholesale exposures. Note whether loans are secured, what collateral is accepted, typical ticket size and tenor, and whether repayment depends on a borrower’s salary, business cash flow or property value.

Loan mix determines which economic shocks matter. A lender concentrated in used-vehicle loans may face falling collateral values and weaker transport income; a housing lender may be more exposed to interest-rate and property-market cycles; a wholesale book may depend on a small number of developers or corporates. Do not treat a single company-wide delinquency ratio as an adequate description of all these businesses.
Determine the RBI layer and specialist category
RBI regulation is scale-based. The Master Direction for NBFCs was issued on October 19, 2023 and the surfaced page was updated through October 10, 2024. Check the live direction for later amendments before relying on any threshold. Establish whether the company is in the Base, Middle, Upper or, if designated, Top Layer, and identify specialist categories such as housing finance or microfinance where separate requirements can apply.
The applicable layer changes the capital, governance, disclosure and supervisory expectations you should use. A ratio that looks comfortable under one category may not be meaningful under another. Record the layer and category beside every ratio in your notes so that comparisons do not silently mix unlike lenders.

Capital is the first buffer between credit losses and creditors. Review the company’s regulatory capital ratios, common-equity component, leverage and recent trend rather than relying on a single quarter.
Use the correct regulatory benchmark
An RBI circular dated April 19, 2022 states that NBFCs in the Upper Layer must maintain CET1 capital of at least 9% of risk-weighted assets. That is an NBFC-Upper Layer requirement in that circular, not a universal minimum for every NBFC. Confirm the company’s current layer and any subsequent amendments before using the figure as a test.
Read the reported capital ratio together with total capital, Tier 1 capital, risk-weighted assets and deductions. Ask whether the ratio is comfortably above the applicable minimum or only marginally compliant. A thin buffer leaves less room for unexpected defaults, rapid growth or a rise in risk weights.
Examine leverage and future capital needs
Compare borrowings and total assets with tangible net worth over several reporting periods. Rapid loan growth can make a stable-looking ratio deteriorate once risk-weighted assets catch up. Check whether management has announced an equity issue, a strategic investor, a rights issue or other capital-raising plan, and estimate how much dilution existing shareholders could face.

3. Read asset quality beyond the headline NPA ratio
Credit losses usually emerge gradually. Read gross non-performing assets (GNPA) and net non-performing assets (NNPA) together, then follow the movement of overdue accounts, early delinquency buckets, restructurings, write-offs, recoveries and provisions.
Track the direction and the numerator
A stable NPA percentage can conceal deterioration if the loan book is growing quickly or if accounts are being written off. Reconcile opening NPAs, additions, upgrades, recoveries and write-offs where the company discloses a movement schedule. Rising write-offs or provisions can signal stress even when the closing ratio appears unchanged.
Compare provision coverage and credit cost with prior periods. A higher provision expense may be prudent recognition of risk; a sudden fall may reflect recoveries, write-offs or a change in assumptions rather than permanently better underwriting. Read the accounting policy and management commentary before interpreting the movement.

Cut the data by segment, geography and vintage
Use segment-level tables to find where delinquencies are concentrated. If disclosed, compare cohorts originated in different years, states or districts. A young portfolio can report low NPAs simply because loans have not seasoned; an older vintage with stable collections provides a stronger test of underwriting.
Review restructuring and rescheduling separately from standard loans. A restructured account may not yet be classified as an NPA but can carry a higher probability of loss. Check whether recoveries depend on collateral sales, guarantees or settlements and whether those assumptions are realistic.
4. Check funding, liquidity and the balance-sheet structure
An NBFC can be solvent on paper and still fail if it cannot refinance maturing obligations. Map the asset-liability profile, funding sources and maturity gaps using the latest financial statements and investor disclosures.
Build a funding mix
List bank loans, debentures, commercial paper, deposits where permitted, securitisation or assignment proceeds, external borrowings and equity. Note the share of secured versus unsecured funding, the number of lenders and the proportion coming due within one year. A lender dependent on a small group of banks or on short-term market instruments may be vulnerable when credit conditions tighten.

Match maturities and liquidity buffers
Compare the contractual maturity of assets with liabilities in each time bucket. Funding long-duration loans with short-term instruments creates refinancing risk, especially when rates rise or market confidence weakens. Check disclosed liquidity coverage, cash and liquid investments, undrawn bank lines and the ability to monetise eligible assets.

Read the notes on off-balance-sheet exposures, guarantees and commitments. RBI disclosure material specifically identifies the asset-liability profile, off-balance-sheet exposures and securitisation or assignment transactions as items investors should examine. Securitisation can diversify funding, but it also changes the timing of cash flows and may leave residual or credit-enhancement obligations with the originator.
Watch funding cost and repricing
Compare the average borrowing cost with loan yields and the net interest margin. Identify how quickly loans and liabilities reprice when policy rates move. A lender that cannot pass higher funding costs to borrowers may show healthy loan growth while its spread and future earnings shrink.
5. Separate durable earnings from temporary gains
Evaluate at least several reporting periods, not one strong quarter. Place loan growth beside net interest income, funding cost, operating expenses, credit cost, pre-provision operating profit and cash generation.
Reconcile growth with profitability
Fast disbursement growth is useful only if underwriting and collections remain sound. Check whether net interest income grows with the loan book, whether operating expenses rise because of genuine capacity building, and whether credit costs are consistent with the risk being added. A falling margin or rising acquisition expense can make growth less valuable than it appears.
Remove one-off effects
Identify gains from asset sales, recoveries of previously written-off loans, fair-value movements, subsidiary transactions, tax reversals and accounting changes. Separate these items from recurring interest income and fee income. Cash-flow statements and segment notes can reveal when reported profit is not converting into cash.
Management discussion should cover financial and operational performance, outlook, opportunities, threats, risks and internal controls. Compare those statements with the numbers. If management describes stable collections while early-bucket delinquencies, restructurings or credit costs are rising, investigate the mismatch instead of accepting the narrative at face value.
6. Find concentration and connected exposures
Diversification is more than having thousands of borrowers. Examine concentration by borrower, group, sector, geography, product and funding counterparty.
Measure the largest exposures
Read disclosures of large borrower and group exposures, top states or districts, sector concentrations and the share of advances tied to one product. A portfolio spread across many small accounts can still be exposed to the same employer, crop, local economy or property market.

Look for related-party and parent-product financing
Review related-party transactions, loans to promoter or group entities, and financing of parent-company products. RBI financial-statement disclosure material specifically calls out concentration of advances and NPAs and financing of parent-company products. Confirm that terms are arm’s length, approvals are documented and exposures remain within applicable prudential limits.
Also inspect off-balance-sheet guarantees and commitments. A contingent obligation may not appear in the loan book but can consume capital or liquidity when a related borrower comes under pressure.
7. Examine governance, conduct and control quality
Good numbers are less reliable when governance is weak. Read the auditor’s opinion and qualifications, internal-control commentary, board and committee composition, director appointments and departures, related-party notes, promoter pledges or encumbrances and every disclosed regulatory action.
Assess board and management oversight
Check whether independent directors have relevant lending, risk, audit or technology experience and whether key committees meet regularly. RBI governance material emphasizes due diligence of directors, including qualifications, technical expertise, track record and integrity. Treat unexplained turnover in the board, audit committee or risk function as a question requiring an answer, not as a routine footnote.
Review conflicts and conduct issues
The RBI Annual Report’s discussion of 2022 measures records restrictions intended to avoid conflicts in lending to directors, senior officers, their relatives and associated entities. Compare the company’s related-party disclosures with those restrictions and with its own conflict-of-interest policy.
Search the latest filings for regulatory penalties, enforcement actions, delayed disclosures, auditor changes, qualified opinions and weaknesses in information technology or internal controls. One incident does not establish a failed business, but repeated or unexplained issues raise the risk that published figures are incomplete or late.
8. Follow ratings and every change in direction
List each material borrowing instrument and its current rating, outlook and watch status. Then read every upgrade, downgrade, outlook change and watch action during the year, together with the rating agency’s rationale.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
RBI disclosure requirements include ratings assigned by credit-rating agencies and migration during the year. A downgrade can increase refinancing costs or reduce access to commercial paper before it appears in reported profit. An upgrade can help funding, but it does not replace analysis of NPAs, capital or liquidity.
Best Value
Read the rationale for stated sensitivities: asset-quality deterioration, capital raising, profitability, liquidity, parent support or concentration. Treat the rating as an external signal and a starting point for questions, not as an independent guarantee.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.9. Value the stock only after the risk review
Once the balance sheet and governance have been tested, compare the share price with sustainable earnings, return on equity, growth, capital requirements and likely credit costs. Use consistent definitions and the same reporting period for every peer.
Use risk-adjusted comparisons
A lower price-to-book ratio may reflect weaker asset quality, expensive funding, higher leverage or a need for fresh equity. A premium multiple may be justified by durable returns, stronger underwriting, better liquidity and lower dilution risk, but only if those advantages are visible in the filings.

Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Adjust for loan mix and regulatory layer before comparing return on equity or margins. Housing, vehicle, consumer and wholesale lenders have different risk and capital profiles. Compare valuation against earnings after normalised credit costs, not against a peak year with unusually low provisions or large recoveries.
Model downside before upside
Stress the assumptions that matter most: higher NPAs, lower recoveries, wider funding spreads, slower loan growth, additional provisions and an equity raise at a lower price. The purpose is not to predict an exact loss but to see whether the balance sheet and valuation can withstand a plausible adverse period.
No fair-value estimate or buy conclusion can be made without a named company, current price, peer set and up-to-date filings. The available regulatory material explains what to inspect; it does not establish the latest condition of any particular NBFC.
How to compare two NBFC stocks consistently
Prepare a single worksheet and use the same date, accounting definitions and treatment of securitised assets for each company. Record the following axes before drawing a conclusion.
| Comparison axis | What to record | Why the difference matters |
|---|---|---|
| Business and regulation | Loan products, borrower type, secured share, geography, RBI layer and specialist category | Determines which risks and regulatory thresholds apply |
| Capital and leverage | CET1 where applicable, total capital, leverage, headroom and announced capital plans | Shows loss-absorption capacity and dilution risk |
| Asset quality | GNPA, NNPA, early buckets, restructuring, provisions, write-offs, recoveries and vintage trends | Separates emerging stress from reported stability |
| Funding and liquidity | Borrowing mix, maturity gaps, lender concentration, liquidity buffers and securitisation or assignment | Reveals refinancing and interest-rate vulnerability |
| Earnings quality | Loan growth, net interest income, funding cost, expenses, credit cost and cash conversion | Tests whether growth creates recurring returns |
| Concentration | Largest borrowers, groups, sectors, regions, products and connected exposures | Shows dependence on a small number of risks |
| Governance and conduct | Auditor report, controls, board, related parties, pledges and regulatory actions | Assesses reliability and conflict risk |
| Ratings | Current rating, outlook, watch status and all migrations | Signals changes in external funding risk |
| Valuation | Price relative to normalised earnings, book value, return on equity, growth and capital needs | Links price to risk-adjusted economics rather than headline growth |
Do not rank companies by one ratio. A lender with the highest growth may also have the fastest rise in early delinquencies; the highest return on equity may come from greater leverage; and the lowest multiple may embed a real funding or governance problem.
A practical filing-review procedure
- Collect current documents. Obtain the latest annual report, quarterly results, investor presentation, exchange filings, rating-agency rationale reports and the current RBI directions. Include any filing published after the last results date.
- Write the business map. Record products, borrower segments, collateral, tenor, geography, RBI layer and specialist category. Mark disclosures that are missing rather than filling gaps with assumptions.
- Build a four-period trend. Enter loan assets, GNPA, NNPA, provisions, write-offs, recoveries, capital ratios, leverage, net interest income, funding cost, operating expenses and credit cost for comparable periods.
- Reconcile movements. Tie opening and closing NPAs, provisions and write-offs where schedules are available. Check whether securitisation, assignment or off-balance-sheet treatment changes the apparent growth rate.
- Map liquidity. List debt maturities, commercial-paper dependence, lender concentration, available cash and liquid investments, undrawn lines and asset-liability gaps.
- Read the notes, not just the presentation. Inspect related parties, parent-product financing, large exposures, guarantees, auditor qualifications, pledges, regulatory penalties and changes in accounting policy.
- Read rating rationales. Note each upgrade, downgrade, outlook or watch action and the specific trigger identified by the agency.
- Normalise earnings. Remove one-off gains and recoveries, use a sustainable credit-cost assumption and estimate the equity needed to support planned growth.
- Compare peers. Apply the same definitions and period, then adjust for different business models and RBI layers before interpreting any ratio.
- Run downside cases. Test higher defaults, lower recoveries, wider funding spreads, slower growth and possible dilution. Only then decide whether the market price compensates for the risks you have identified.
Red flags that deserve a pause
- Loan growth accelerates while early delinquencies, restructuring or write-offs rise.
- Headline NPA ratios remain flat only because the company is rapidly writing off or selling stressed accounts.
- Capital ratios sit close to the applicable minimum, yet management plans aggressive expansion.
- Long-duration assets are funded heavily with short-term borrowings and the maturity schedule shows large near-term gaps.
- Funding is concentrated among a few lenders or depends on repeated refinancing of market instruments.
- Reported profit relies on one-off recoveries, asset sales, fair-value gains or subsidiary effects.
- Large borrower, sector, geography or related-party exposures are difficult to quantify from the disclosures.
- Auditors, directors or risk heads change without a clear explanation, or internal-control weaknesses recur.
- Ratings move down or to negative outlook while management describes funding as unaffected.
- The share trades at a low multiple, but the balance sheet requires fresh equity to maintain growth.
A red flag is a prompt for deeper verification, not automatic proof of misconduct or failure. Ask what changed, when it changed, how it is measured and whether the company has enough capital and liquidity to correct it.
What this checklist can and cannot establish
RBI rules and disclosure requirements tell you where to look: regulatory layer, capital, NPAs, provisions, asset-liability profile, off-balance-sheet exposures, securitisation and assignment, concentration, ratings, related parties, governance and penalties. They do not certify that a particular listed NBFC is financially healthy or that its shares are undervalued.
For an actual investment decision, use the company’s most recent filings and current RBI directions. Recheck every threshold because regulatory instructions can change after the October 10, 2024 update date noted for the Master Direction. Keep the date and definition beside every number, and treat missing disclosure as an uncertainty to price or investigate rather than as evidence that the risk is absent.
