What to Check Before Buying a Stock Ahead of Its IPO Lockup Expiration

An IPO lockup expiration can make additional shares eligible for resale, but it does not guarantee that holders will sell or that the stock will fall. Before buying, verify the issuer’s exact release terms in its prospectus and SEC filings, estimate the potential new supply against normal trading volume, check whether securities-law restrictions still apply, and then evaluate the company’s fundamentals, valuation, dilution and liquidity as you would for any other investment.

1. Find the issuer’s actual lockup terms

Do not begin with a calendar website that assumes every IPO uses a 180-day lockup. The SEC describes 180 days as a common pattern after a registration statement becomes effective, not as a legal requirement. An underwriter may also release a lockup early. Only the issuer’s current contractual documents establish what happens for a particular stock.

Start with the prospectus and later filings

Use SEC EDGAR to locate the latest registration statement, final prospectus and any amendments or prospectus supplements. The relevant discussion is commonly under “Underwriting,” “Plan of Distribution” or “Shares Eligible for Future Sale.” Also look for the lock-up agreement itself, often filed as an exhibit. A later filing can change the information in the original IPO prospectus, so check dates and amendments rather than relying on an archived summary.

Search for the terms that matter

Within the filings, search for:

  • lock-up and restricted period
  • Shares Eligible for Future Sale
  • Underwriting
  • Plan of Distribution
  • waiver, release and amendment

FINRA’s underwriting-disclosure rules also identify the prospectus distribution-arrangements section as a place where lock-up restrictions are described. Treat a headline date as a lead, not as proof that all covered shares become freely tradable on that day.

Confirm the clock and trigger

Record the event that starts the lockup clock. It may be the effective date of the registration statement, the IPO closing date or another date specified in the agreement. Determine whether the period is measured in calendar days or by another trigger, and identify the first trading day on which a release could occur. Then check whether the agreement uses a single date, several tranches or conditions tied to the stock price, corporate events or underwriter action.

Check early releases, waivers and exceptions

Underwriters can sometimes waive or shorten restrictions. Agreements may exclude certain shares, permit transfers to specified recipients, or release different holder groups at different times. Search subsequent filings for an announced waiver, amendment or early release. A release that has already occurred should not be counted again in your estimate of future supply.

2. Measure how much stock could become eligible

The important question is not simply “When does the lockup end?” It is “How many shares could become eligible, who owns them, and how large is that amount relative to the stock’s normal trading activity?” Eligibility is a maximum potential supply figure, not a forecast of actual selling.

Separate every holder group and share class

Build a list of the securities covered by the agreement. Include founder, executive, employee, venture-investor and other pre-IPO holdings when the filings identify them. Separate common-stock classes, shares issuable on option or warrant exercise, and securities subject to a different restriction. A dual-class structure can make the economic and voting effects of a sale different from the raw share count.

Record the number of shares in each tranche and the earliest date that tranche could become eligible. Do not add shares that were already freely tradable at the IPO, shares released by an earlier waiver, or securities that remain subject to a separate restriction.

Compare potential supply with the market’s capacity

Use a consistent set of figures:

  • Shares that could become contractually eligible at each release date.
  • Total shares outstanding after the IPO and any subsequent issuance disclosed in filings.
  • The public float, where the filing defines it.
  • Typical daily trading volume over a representative period before the event.

A useful screening ratio is:

potentially eligible shares ÷ typical daily trading volume

A high ratio means the theoretical supply is large compared with ordinary turnover; it does not say that the shares will be sold or that the market cannot absorb them. Compare the potential shares with both total shares outstanding and the actual float, because a block that looks small against the entire company can be substantial against the tradable float.

Identify who can sell and why that matters

Holder behavior can differ. Early investors may have a low acquisition cost, employees may face tax or diversification needs, and insiders may retain voting or strategic reasons to hold. The filings generally do not reveal each holder’s current intention. Use the holder categories to frame scenarios, not to claim that a particular group will sell.

Account for staged releases

A lockup can release shares in tranches rather than all at once. Create a date-by-date schedule and calculate supply for each tranche separately. A smaller first release may have a different market effect from a later, larger release. If an agreement permits an underwriter to accelerate only part of the restriction, keep the released and unreleased portions separate.

3. Determine whether eligible shares can actually be resold

Contractual eligibility and legal resale eligibility are different questions. The end of a lockup removes one private restriction; it does not automatically make every share freely tradable.

Apply the correct securities-law framework

Rule 144 is a relevant framework for restricted and control securities, but the applicable requirements depend on the holder and the facts. A holder may need to satisfy a holding period, current public-information conditions, volume limits, manner-of-sale requirements or filing obligations. Affiliates can face conditions that do not apply to non-affiliates.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not infer from a lockup-ending date that an affiliate can immediately sell its entire position. The prospectus may describe Rule 144 limitations, registration rights, contractual registration statements or other resale provisions that continue after the lockup.

Look for a separate registration statement or resale prospectus

Some investors receive registration rights, while other holders must rely on an exemption. Check whether a resale registration statement has been filed, declared effective or remains subject to conditions. A registered resale can change the legal path, but it still does not establish that holders intend to sell.

Ask what “eligible” means in the filing

Filings may use “eligible for future sale” to describe shares that could become available under several routes, not just the lockup expiration. Read the footnotes and explanatory paragraphs. Keep three categories distinct:

  • Contractually released: the lockup no longer prohibits the transfer.
  • Legally resalable: applicable securities-law conditions are met.
  • Actually sold: a transaction has occurred in the market.

Only the third category demonstrates selling. The first two describe potential supply.

4. Evaluate the market setup before and after the date

Expect anticipation, not a guaranteed reaction

The SEC’s Investor.gov glossary warns: “This is important information because a company’s stock price may drop in anticipation that locked up shares will be sold into the market when the lockup ends.” The wording describes a possibility and an anticipation effect, not a rule that every expiration produces a decline.

Investors may adjust bids before the date, and existing holders may sell before or after the contractual release if another legal path is available. Conversely, demand, company news or limited selling can offset additional supply. The cited SEC guidance does not provide an issuer-specific percentage decline or a reliable price target.

Assess liquidity and volatility

Review how much stock normally changes hands and how widely the price moves. A thinly traded stock can react sharply to a relatively small order, while a heavily traded stock may absorb a larger block more easily. Compare volume on ordinary days with volume around prior offerings or other corporate events when that history exists, but do not treat a single unusual session as normal capacity.

Separate the lockup event from other catalysts

Mark earnings releases, guidance updates, acquisitions, financing plans, litigation disclosures and other scheduled events on the same timeline. A price move near the expiration may reflect several factors. If you cannot distinguish the lockup effect from a company-specific catalyst, the date alone is a weak basis for a purchase.

5. Read the company as an investment, not just as a calendar event

Review financial condition and operating risks

Read the latest annual and quarterly filings, not only the IPO prospectus. Examine revenue trends, cash balances, cash use, debt, margins and any warning about the company’s ability to fund operations. Then read the risk factors for customer concentration, regulatory exposure, competition, dependence on key personnel, technology risks and other issues specific to that issuer.

Check dilution and the capital structure

List the outstanding share classes, options, warrants, restricted stock units, convertible securities and any authorized but unissued shares described in the filings. A lockup release can increase potential selling supply, while a later issuance can increase the number of shares competing for the same market value. Consider voting rights as well as economic ownership when classes have different rights.

Use valuation independently

Compare the company’s valuation with the financial measures that are meaningful for its business, such as revenue, earnings, cash flow or assets. The general SEC guidance on lockups does not establish a fair value for any unnamed issuer. A stock that appears inexpensive can still have severe operating risks, and a high valuation can remain high after a lockup if demand is strong.

Check the quality of the public float

Confirm which shares are actually available to public investors and whether insiders or a small group control most voting power. A small float can magnify both upward and downward moves. Do not equate a large total share count with ample liquidity if most shares remain restricted or closely held.

6. A repeatable issuer-checking procedure

  1. Collect current filings. Download the latest registration statement, prospectus, amendments, prospectus supplements and relevant exhibits from SEC EDGAR.
  2. Locate the lockup documents. Search for “lock-up,” “restricted period,” “Shares Eligible for Future Sale,” “Underwriting” and “Plan of Distribution.”
  3. Write down the trigger. Record the event that starts the period, the stated duration and the first possible release date. Do not substitute a standard 180-day assumption.
  4. Map the contract. Note covered holders, share classes, staged releases, early-release provisions, price conditions, exceptions, waivers and amendments.
  5. Build the supply estimate. For every tranche, record shares potentially eligible, the holder group and the date. Remove shares already released or already freely tradable.
  6. Check resale law. Determine whether Rule 144, affiliate conditions, a resale registration statement or another restriction still applies after the contractual date.
  7. Compare market capacity. Set potential eligible shares beside shares outstanding, public float and typical trading volume. Keep potential supply separate from actual sales.
  8. Read the business filings. Review financial condition, risk factors, dilution, share classes and any new event that could change the investment case.
  9. Mark competing catalysts. Place earnings, financing, regulatory and corporate events on the same calendar so the lockup is not analyzed in isolation.
  10. Write a decision rule. Decide in advance what evidence would make you buy, wait, reduce position size or reject the stock. A date without a valuation and risk framework is not a complete thesis.

7. Use the same framework when comparing IPO stocks

When two or more IPOs are under consideration, compare them on identical issuer-specific dimensions. The table is a research worksheet, not a prediction model.

Comparison axis What to verify Why it matters
Release timing Exact date, trigger, tranches, conditions, waivers and amendments A nominally similar “expiration” can represent very different contracts
Potential supply Shares eligible in each tranche relative to shares outstanding and public float Shows the scale of possible new supply
Trading capacity Typical volume and liquidity before the event Indicates how large the eligible block is compared with ordinary turnover
Holder and legal status Holder types, affiliate status, Rule 144 conditions and registration rights Eligibility does not establish immediate or unrestricted resale
Issuer risk Financial condition, operating risks, dilution and share-class structure The lockup is only one input to the investment decision
Market context Volatility, valuation and other scheduled catalysts Separates a possible supply effect from broader price drivers

8. Common mistakes that can invalidate the analysis

  • Assuming 180 days is mandatory. It is a common general pattern, not a universal rule.
  • Using an old prospectus. Amendments, supplements, waivers and later issuances can change the share count or date.
  • Counting every restricted share. Include only the securities covered by the relevant release and keep separate restrictions visible.
  • Treating eligibility as intent. A holder can remain invested, sell only part of a position or be unable to sell immediately under securities-law rules.
  • Comparing supply with total shares only. Potential supply should also be compared with public float and normal trading volume.
  • Ignoring share classes. Economic and voting rights can differ, affecting both control and the market’s interpretation of a sale.
  • Buying solely because a decline is expected. A possible price-pressure event is not a valuation thesis or a timing guarantee.
  • Ignoring competing news. Earnings, financing and regulatory events can dominate the effect of an expiration.

9. When waiting is the more defensible choice

Consider waiting until the filings clarify the release terms when the date is inferred rather than documented, the agreement has unresolved conditions, or an amendment or waiver may change the schedule. Waiting can also be sensible when the potential supply is large relative to normal turnover, resale restrictions are unclear, or the company’s valuation cannot be justified independently of the lockup narrative.

Conversely, a clearly documented release, modest potential supply, adequate liquidity and a business that meets your own financial and valuation standards may leave you with a workable investment case. That conclusion still depends on your risk tolerance and does not turn the expiration into a guaranteed catalyst.

10. The answer to “Will the stock drop when the lockup expires?”

It might, including before the expiration as investors anticipate possible selling. It might also remain stable or rise if holders do not sell, demand absorbs the supply, or company news is stronger than the selling pressure. No general SEC source supplies a reliable price move for an unspecified issuer. The only defensible forecast is conditional: an expiration creates the possibility of additional supply, while the size, timing, legal availability and actual sale of that supply remain issuer-specific.
