Treat a stock pick as a claim to investigate, not an instruction to trade. Before placing an order, verify who made the recommendation and in what role, read the thesis and its risks, inspect conflicts and compensation, review the professional’s registration and disclosures, and test whether the idea fits your goals, time horizon, diversification and ability to absorb a loss. The U.S. Securities and Exchange Commission (SEC) cautions investors not to rely solely on an analyst recommendation.
1. Identify exactly who is making the recommendation
Start with the source, because the available protections and disclosures depend on who is speaking. A recommendation may come from a named securities analyst, a broker, an investment adviser, a firm’s research department, a television or podcast appearance, or an unattributed post online. Record the person’s full name, the firm named in the material, the date, and the security discussed.

Named analyst or firm research
The SEC’s investor guidance on securities analyst recommendations is aimed at formal analyst research. Such material normally identifies a rating, explains a thesis and includes disclosures. That context is different from a casual media comment or a social-media post, which may not provide the same information or disclosure framework. Do not assume that a post using professional-sounding language was issued under a broker-dealer or investment-adviser relationship.

Broker, adviser, or both
Ask whether the individual is acting as a broker, an investment adviser, or in both capacities. A broker recommendation may be connected to a transaction, while an adviser’s recommendation may be part of an ongoing advisory service. If the professional offers both services, determine which agreement, fee schedule and conduct standard apply to this particular idea before evaluating it.

2. Verify the person and the firm in official records
Use the free search tools provided through Investor.gov to look up both the individual and the firm. For a broker, BrokerCheck can show the current firm, work history, licenses, examinations and reportable events. Search the actual legal name and confirm the current status rather than relying on a nickname, an email signature or an old webpage.
How to read a record
A reportable event is a fact to understand, not an automatic finding that the person is currently doing something wrong. Read the event’s description, date and disposition. Check whether it was an allegation, a customer dispute, a regulatory action, an employment separation or another category, and note how it was resolved. Registration, disciplinary records and firm disclosures can change, so perform the search again when you are making a current decision.
Check the firm as well as the individual
The firm’s registration and disclosures matter because supervision, available products, compensation systems and conflicts may be firm-level issues. A clean individual record does not answer questions about the company’s fees or investment-banking relationships, and a firm record does not tell you everything about the person giving the recommendation.
3. Turn the stock pick into a testable claim
Obtain the original report, email or presentation if possible. Separate reported facts from forecasts, assumptions and opinions. Write down the following before you decide:

- The exact buy, sell or hold rating.
- The date and the price or valuation used in the analysis.
- A price target, if one is supplied, and the expected time horizon.
- The business or market thesis and the evidence offered for it.
- Expected catalysts, operating assumptions and conditions that would invalidate the thesis.
- Specific risks, including what could make the target or rating wrong.
A target price without a time horizon is incomplete. A bullish conclusion without an invalidation condition is difficult to test. If the recommendation gives no explanation of assumptions or risks, treat that omission as a reason to pause and obtain more information, not as evidence that the idea is safer.
Research the security independently
Read current information from the issuer and other reliable sources rather than accepting the recommendation as your only analysis. Compare the report’s date and assumptions with the company’s current condition. The available SEC guidance does not establish whether any particular stock pick is sound; that requires the actual report and current issuer information. The SEC’s Investor.gov page on securities analyst recommendations states: The SEC cautions investors not to rely solely on any analyst recommendation when making an investment decision.
4. Examine conflicts before weighing the upside
Find the recommendation’s conflict disclosures and read them in full. The SEC identifies several examples that may be relevant:

- The firm may make a market in the security.
- The firm may have an investment-banking relationship with the issuer.
Also ask whether the professional or firm receives compensation connected to the security, a transaction, a product or the recommendation itself, and how conflicts are managed. A disclosure does not by itself prove misconduct. It tells you what interests may exist so you can weigh the analysis with the right context.

Look beyond a footnote
Note whether the disclosure is specific to the analyst, the firm, the security and the date of the report. Determine whether the relationship is current and whether the firm’s role could affect the range of securities or products it offers. If you cannot tell who is compensated, how, or under what conditions, ask for a plain-language explanation before acting.
5. Read the disclosure document that matches the service
Different documents answer different questions. Use the one that corresponds to the relationship you would have with the professional.
| Document or material | What it helps you evaluate | What it does not establish by itself |
|---|---|---|
| Recommendation report | Rating, date, thesis, target, horizon, assumptions, catalysts, risks and analyst or firm disclosures. | That the forecast will be correct or that the security suits your circumstances. |
| Form CRS | The firm’s services, fees and costs, conflicts, required conduct standard and summary of reportable disciplinary history. | The complete detail of every investment idea or the future performance of a security. |
| Form ADV Part 2 | More detailed investment-adviser information about business practices, fees, conflicts and disciplinary disclosures. | A guarantee that a recommendation is unbiased or profitable. |
| BrokerCheck record | A broker’s current firm, work history, licenses, examinations and reportable events. | A complete assessment of the quality of a particular stock thesis. |
Read the firm’s Form CRS and, when an investment adviser is involved, Form ADV Part 2. Then read the client agreement so you know which service and fee arrangement applies. If the professional presents both brokerage and advisory services, ask them to identify the applicable role in writing for this recommendation.
6. Calculate the total cost in dollars
Do not stop at a quoted commission. Separate transaction-based charges from ongoing advisory fees and add other account, product and investment costs where they apply. Ask how each charge changes the amount that actually gets invested and whether the fee continues while you hold the position.

Questions that expose the real price
- Is there a commission or other transaction charge when I buy or sell?
- Is there an ongoing advisory fee, and is it calculated on the account value, a fixed amount or another basis?
- Are there account, custody, product, fund or other investment expenses?
- What monitoring, follow-up and service are included after the trade?
- Are the firm’s available investments limited to products that create additional compensation or costs?
Put recurring costs and one-time charges into dollar amounts for your expected investment when possible. A recommendation can be attractive before costs and unsuitable after costs, especially when the expected holding period is short or the position is small.

A persuasive thesis can still be inappropriate for you. Compare the proposed investment with your goals, time horizon, liquidity needs, diversification and capacity for loss.
Goals and time horizon
Identify what the money is for and when you may need it. A recommendation framed as a long-term growth idea may conflict with a near-term cash need. Conversely, a short-term trading call may not match a goal that requires a stable, understandable plan over many years.

Liquidity and practical limits
Ask how easily you could sell, what cash you would need for emergencies, and whether the recommendation’s assumptions depend on access to products or services you do not have. Form CRS and the adviser’s disclosures can help you understand the firm’s service scope and limits, but only you can determine whether the proposed exposure fits your situation.
8. Compare a broker recommendation with an adviser recommendation
When choosing between professionals, compare the relationship rather than just the stock idea. Form CRS organizes many of the relevant comparison points.
| Comparison point | Questions to ask | Why it matters |
|---|---|---|
| Service scope and monitoring | Is this a one-time transaction or ongoing advice? What monitoring and follow-up are included? | You need to know what happens after the recommendation and what you must monitor yourself. |
| Payment and total fees | How is the professional paid, and what transaction, advisory, account and product costs apply? | Charges reduce the amount invested and can affect the value of acting on the idea. |
| Conflicts and product limits | Does the individual or firm hold the security, make a market, have an investment-banking relationship, or receive related compensation? | Conflicts and a limited product menu can influence what is recommended. |
| Role and conduct standard | Which role applies to this recommendation, and what conduct standard is described in the firm’s disclosures? | The applicable service agreement and disclosures determine the context in which advice is delivered. |
| Registration and history | What do Investor.gov, BrokerCheck and the firm’s disciplinary disclosures show? | Current status and reportable events are part of assessing whom you are dealing with. |
| Fit with your objectives | How does the service address your goals, horizon, liquidity and ability to bear loss? | A properly disclosed service can still be a poor match for your circumstances. |
9. Use a pause-and-verify workflow
Complete these steps in order. Keep a copy of the recommendation and disclosures you used, because ratings, relationships and records can change.
- Name the source. Record the person, firm, role, security and date. If the source is anonymous or only a media or social post, note that the usual analyst-disclosure context may not apply.
- Verify registration. Search the individual and firm through Investor.gov; use BrokerCheck for a broker. Confirm current status, licenses, work history and reportable events.
- Interpret events. Read the description, date and disposition of every disclosed event rather than treating a label as a verdict.
- Obtain the original analysis. Capture the rating, target, horizon, thesis, assumptions, catalysts, risks and invalidation conditions.
- Check conflicts. Look for holdings, market-making, investment-banking relationships and compensation connected to the security or recommendation.
- Read the right firm documents. Review Form CRS, Form ADV Part 2 when an adviser is involved, and the agreement that identifies the applicable service and fees.
- Total the costs. Convert commissions, ongoing fees and other relevant charges into dollars for the proposed investment.
- Test personal fit. Compare the idea with your goals, time horizon, diversification, liquidity needs and capacity for loss. If a material answer is missing, pause rather than trade.
10. Questions to ask before you act
Use direct questions and request clear answers in the same terms as the documents:
- “How will you choose investments to recommend to me?”
- “How might your conflicts of interest affect me, and how will you address them?”
- “Help me understand how these fees and costs might affect my investments.”
- “Are you recommending this as my broker or as my investment adviser?”
- “What assumptions would make this recommendation wrong, and what would cause you to change it?”
- “What service and monitoring are included after I make the investment?”
These questions do not turn a forecast into a guarantee. They force the recommendation, relationship, conflicts and costs into a form you can compare with your own needs.
11. Know the limits of this checklist
The procedures and documents described here are U.S. investor resources, including SEC, Investor.gov, BrokerCheck, Form CRS and Form ADV materials. Registration and disciplinary information, filings and firm disclosures are dynamic; check the current record when you use the checklist. Readers outside the United States should consult their national or local securities regulator because equivalent procedures and documents were not established here.
No registration search, disclosure or cost comparison can determine whether a named security will rise or fall. The disciplined outcome is to proceed only after you can explain who made the claim, what evidence and assumptions support it, what could invalidate it, what conflicts and fees apply, and why the position belongs in your own plan.
