Short answer: The proposed combination of SCG Chemicals (SCGC) and PTT Global Chemical (PTTGC, called GC in the companies’ announcement) does not yet support a numerical forecast for The Siam Cement Public Company Limited (SCG). As of the latest transaction-specific update on 30 September 2026, the companies were still conducting confirmatory due diligence and negotiating ownership, asset transfers, valuation, funding and other terms.
If it proceeds, SCG’s chemicals earnings could be reported through a different mix of consolidated operating results and equity-accounted profit. Cash flow could change through any consideration paid or received, capital contributions, refinancing, transaction costs and later distributions from the venture. None of those amounts or mechanics had been disclosed, so the proposal should not be described as a completed sale, a 50:50 partnership, a guaranteed earnings increase or a known cash windfall.

What SCGC and PTTGC are proposing
The potential transaction is a Thai petrochemicals joint venture, not a combination of every business owned by SCG Chemicals. The 30 September 2026 SCGC–PTTGC announcement says the parties are studying a venture that would hold the relevant shares now owned by the two companies.

SCGC assets under study
- Thai olefins crackers.
- Polyethylene (PE) and polypropylene (PP) production facilities in Thailand.
- SCGC’s stakes in Siam Polyethylene Co., Ltd., Siam Synthetic Latex Co., Ltd., Thai MMA Co., Ltd. and Bangkok Synthetics Co., Ltd.
PTTGC assets under study
- PTTGC’s Thai olefins and polyolefins businesses.
- PTTGC’s stake in HMC Polymers Co., Ltd.
SCGC is SCG’s chemicals business. SCG’s business overview describes a wider value chain extending from olefins to PE, PP and PVC, with production bases in Thailand, Vietnam and Indonesia. The proposed venture is expressly framed around Thai olefins and polyolefins operations and the named company stakes. It therefore should not be treated as including all SCGC facilities, all SCG chemicals subsidiaries or the group’s entire regional footprint.

The companies said PTTGC was expected to become a major shareholder and SCGC a significant shareholder. Those descriptions indicate intended relative importance, but they do not disclose percentages or prove that either party would have control, joint control or significant influence under accounting rules.
Transaction status: a proposal, not a closing
The 30 September update says confirmatory due diligence was continuing while SCGC and PTTGC negotiated key parameters. They aimed to finalize the shareholding structure, transaction steps and quantified synergies by October 2026. That is a target for agreeing parameters, not a stated completion date.
The announcement also describes a sequence of approvals. After the transaction structure is determined, a relevant filing is expected to be submitted to Thailand’s Trade Competition Commission (TCCT). The venture would still require each company’s internal approvals and any other required regulatory approvals. A target month for settling terms does not mean those approvals have been granted or that assets have transferred.
- No final ownership percentages were disclosed.
- No asset-transfer mechanics were disclosed.
- No valuation or cash consideration was disclosed.
- No allocation of existing or new debt was disclosed.
- No quantified synergy figure was disclosed.
- No final closing timetable was disclosed.
Until those items appear in a definitive agreement, regulatory filing or subsequent company announcement, calculations of SCG’s post-deal sales, EBITDA, operating profit or attributable net profit would be assumptions rather than company data.

How the venture could change SCG’s reported earnings
1. The accounting presentation may change
SCG’s published financial statements report its share of profit or loss from joint ventures and associates accounted for using the equity method. The consolidated financial statements for the nine months ended 30 September 2024 show that equity-accounted results are reported separately from the operating results of businesses SCG consolidates line by line.
If the final venture leaves SCG without control of the contributed operations, some results could move from consolidated revenue, expenses and EBITDA into an equity-accounted share of profit or loss. That change could make reported sales or operating EBITDA look lower even if SCG still has an economically important interest in the same plants. Conversely, if SCG retains control over any assets or entities, those businesses could remain consolidated. The final treatment depends on contractual rights, ownership, governance and other facts that have not been announced.
2. SCG’s retained stake would still matter
SCGC is expected to remain a significant shareholder, but “significant” is not a percentage and does not establish the precise accounting relationship. The earnings effect would depend on the stake ultimately retained, the venture’s margins and volumes, financing costs, tax, maintenance spending and the timing of any capacity or product changes.

Those are objectives described in the joint announcement, not independently verified savings or guaranteed earnings. The venture could improve operating performance if those initiatives work, but it could also face the same spread, demand, feedstock and financing cycles that affect petrochemical producers generally.

3. A transaction-date gain or loss is a separate question
Moving assets into a jointly owned company can create accounting effects at the transaction date, depending on the assets’ carrying values, the consideration received, the percentage retained and the applicable accounting rules. A one-time gain would not be the same as recurring operating profit. Because the proposal has not disclosed valuation, consideration or transfer mechanics, no transaction gain or loss can be calculated from the available announcement.
Historical scale for context, not a forecast
SCG’s 2023 performance summary reports the following historical SCGC measures. They show the segment’s scale in that reporting year; they are not a current run rate and do not predict the joint venture’s result.
| SCGC measure | 2023 amount | Qualification |
|---|---|---|
| Sales | THB 191.482 billion | SCG 2023 performance summary, published in 2024 |
| EBITDA | THB 13.696 billion | SCG 2023 performance summary, published in 2024 |
| EBITDA from operations | THB 8.332 billion | SCG 2023 performance summary, published in 2024 |
| Attributable annual profit | THB 0.589 billion | SCG 2023 performance summary, published in 2024 |
The figures come from SCG’s 2023 performance summary. That report says SCGC’s 2023 annual profit fell as product spreads and the share of profit from associates declined. The point is important for interpretation: a change in reported earnings after a venture closes could reflect petrochemical cycles as well as the transaction’s accounting structure.
How SCG cash flow could change
Cash flow must be analyzed separately from accounting earnings. A reported equity-accounted share of profit does not mean SCG received the same amount in cash during that period. Cash arrives when the venture pays a dividend or other distribution, while the accounting share can be recognized before or without a matching distribution.

Possible cash movements at closing
The final documents could produce one or more of the following flows:
- Consideration: SCG or SCGC could receive cash for assets or shares transferred, or pay cash to subscribe for venture equity. The announcement does not say whether the structure will be a cash sale, a contribution, an exchange or another form.
- Capital contributions: The partners could need to fund working capital, maintenance or expansion. No contribution schedule or amount has been published.
- Debt arrangements: Debt could be transferred, refinanced, left with an existing entity or raised by the new venture. No allocation or refinancing terms are disclosed.
- Transaction costs: Advisory, legal, financing and regulatory costs could create cash outflows even if the operating business is unchanged.
These are analytical channels to check against definitive documents, not announced amounts. A headline about “unlocking value” cannot be translated into a cash receipt until the consideration, payment timing and debt treatment are specified.
Cash after the venture is operating
SCG’s future cash receipts would depend on the venture’s distributable cash, financing covenants, capital expenditure and the board’s dividend policy. A profitable venture may retain cash for turnaround work, new capacity or debt repayment rather than distribute it. Conversely, distributions can exceed the period’s equity-accounted profit when prior retained cash is paid out, or be lower when cash is reinvested.
For that reason, investors should read the statement of cash flows, related-party disclosures, investment-accounting note and any dividend announcement together. Compare the cash received from investees with the equity-accounted profit recognized in the same period instead of treating the two lines as interchangeable.

What the strategic rationale could mean operationally
The companies say a larger combined platform could improve feedstock management, integrate supply chains and strengthen downstream products with higher differentiation. In practical terms, a broader olefins and polyolefins footprint could give the partners more options for sourcing feedstock, balancing cracker and polymer utilization and coordinating product portfolios. Those potential benefits depend on plant compatibility, logistics, market demand and successful execution.
Integration can also create costs and risks. Combining ownership of plants and subsidiaries may require new governance, information systems, financing arrangements and commercial agreements. Regulatory remedies could limit which assets are combined or how products are sold. A larger platform remains exposed to polyethylene and polypropylene spreads, energy prices, outages, inventory swings and regional competition. None of these outcomes is quantified in the current announcement.
How to evaluate the final terms when they are published
A definitive announcement should be assessed against SCG’s pre-transaction position using the following checklist.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitches- Ownership and control: Identify each party’s percentage, voting rights, board rights and vetoes. Determine whether SCG consolidates the venture, applies the equity method or uses another treatment.
- Assets included: Match every cracker, PE and PP facility and each named company stake against the assets that remain outside the venture. Confirm whether any Vietnamese, Indonesian, PVC or other SCGC operations are excluded.
- Consideration and funding: Separate cash proceeds, cash subscriptions, share exchanges and in-kind contributions. Record payment dates and conditions rather than combining them into a single headline value.
- Debt: List borrowings transferred to the venture, refinanced, guaranteed or retained by SCG entities. Note interest rates, maturities and covenant effects where disclosed.
- Recurring versus one-time earnings: Keep any disposal gain, remeasurement or restructuring charge separate from recurring operating profit and equity-accounted earnings.
- Synergy assumptions: Check whether quantified savings or revenue benefits have a timetable, implementation cost and measurement basis. Treat management targets as expectations, not achieved results.
- Cash distributions: Compare the venture’s dividend policy and expected distributions with SCG’s equity-accounted share of profit and actual cash receipts.
- Conditions and timing: Verify TCCT action, internal approvals, other regulatory conditions and the legally defined closing date.
Which filings can confirm the earnings and cash impact
SCG’s first post-transaction financial statements should show the accounting classification, contributed entities, any disposal or remeasurement result and the venture’s share of profit or loss. The notes should also explain significant judgments about control or significant influence.
For cash, look for investing-cash-flow entries, proceeds from disposals, capital contributions, borrowings, repayments and dividends received. A reconciliation between the transaction consideration and carrying values is more informative than a strategic headline alone.
PTTGC’s investor-relations page for 2026 financial statements and MD&A is another place to check how the other partner records the same transaction. Differences in each company’s accounting presentation can reveal which entities were transferred, how control was assessed and when cash actually moved.
Bottom line for SCG shareholders
The proposed SCGC–PTTGC venture could reshape the way SCG’s petrochemicals exposure appears in its income statement and cash-flow statement, but the direction and size are unknowable until ownership, asset transfers, valuation, funding and approvals are finalized. The proposal covers specified Thai olefins and polyolefins operations and selected stakes, not all SCGC activities. Treat October 2026 as the companies’ target for finalizing parameters, and wait for definitive filings before assigning an earnings uplift, cash proceeds or closing date.
