The CLARITY Act is proposed U.S. market-structure legislation, not current law. Its reported House text would create federal rules for digital-commodity offers and sales, divide responsibilities between the Securities and Exchange Commission (SEC) and Commodity Futures Trading Commission (CFTC), and establish registration and conduct requirements for some intermediaries. Senate materials describe related provisions for anti-money-laundering controls, investor disclosures, and treatment of software developers.
For users, the practical effect would come through the exchanges, brokers, token issuers, and trading venues they use. For developers, the House bill includes a qualified protection for certain non-controlling blockchain developers rather than blanket immunity. Every outcome remains conditional on enactment, final text, agency rules, and later legal interpretations.

Where the CLARITY Act stands
The main House vehicle is H.R. 3633, the reported version of the CLARITY Act. Its text is available from the Government Publishing Office. That document is a bill reported by the House, not an enacted statute.

As reported by the Associated Press on September 15, 2026, a Senate procedural vote to advance the legislation failed 49–50. That is a vote count, not a final disposition. The available record does not establish what happened after that vote, so the bill’s status should be rechecked in Congress before relying on it for a business or investment decision.
What the proposal is designed to do
The CLARITY Act is primarily a framework for deciding which federal regulator oversees which digital-asset activity and what market participants must do to operate. The House text addresses “digital commodities,” registration, investment-contract assets, and related markets. The Senate Banking Committee describes the goal as drawing a line between SEC and CFTC jurisdiction.
That division is more specific than saying that the CFTC would regulate all crypto. Classification of an asset, the activity being performed, and the entity performing it would matter. A token offered in an investment contract, a spot-trading venue, a broker arranging transactions, and software that merely runs on a peer-to-peer network could fall under different provisions.
The bill also addresses disclosures and intermediary conduct. Those rules could change what information investors receive, how trading platforms register, and which customer-protection and compliance systems an intermediary must maintain. None of those proposals makes a token safe, eliminates price volatility, or guarantees recovery from fraud or operational failure.

How crypto users could experience the change
More information before a purchase or trade
The proposed framework could require issuers and intermediaries to provide clearer information about an asset and the transaction in which it is sold. For a retail user, that may mean seeing standardized details about the project, the rights attached to a token, trading risks, or the role of the entity offering it. The exact fields and timing would come from the enacted statute and subsequent SEC or CFTC rules; the House text and committee summaries do not establish one final consumer-facing form.

Different oversight depending on where you trade
A platform that lists or executes transactions could be subject to a federal registration category and regulator that differ from today’s arrangement. The responsible agency would depend on the asset and service involved, rather than on the word “crypto” alone. Users could therefore see different disclosure, reporting, custody, and market-integrity practices across platforms.
Potentially stronger intermediary controls
Senate Banking Committee materials describe applying Bank Secrecy Act obligations to digital-asset brokers, dealers, and exchanges. The committee lists anti-money-laundering and counter-terrorist-financing programs, suspicious-activity monitoring and reporting, customer-identification programs, and sanctions compliance. If enacted in that form, those duties could produce more identity checks, transaction monitoring, account holds, or requests for source-of-funds information.

A compliant platform may delay a transfer while reviewing it or restrict access when a sanctions or identity issue appears. The committee description is a proposal, not an already enforceable duty, and the final scope would depend on the enacted text and implementing rules.
What would not change automatically
- The legislation would not guarantee that any token appreciates or that a project is legitimate.
- It would not make crypto markets risk-free or eliminate hacks, outages, market manipulation, or private-key loss.
- It would not turn every wallet, decentralized application, or peer-to-peer transaction into a regulated brokerage service.
- It would not provide personalized legal, tax, or investment advice for a user’s holdings.
What exchanges, brokers, and dealers could have to do
Register under a federal market-structure regime
The House bill contains registration provisions for entities operating in digital-commodity markets. An exchange, broker, or dealer could need to register in a category matched to its function and comply with standards set by the relevant agency. Registration would be more than a filing: it could bring books-and-records duties, examinations, market-surveillance expectations, disclosures, and restrictions on conflicts of interest.
The precise categories and boundaries must be read from the final law. A platform that matches buyers and sellers, a firm that takes customer orders, and a business that holds assets for customers may not receive identical treatment. Companies should not assume that a single registration would cover every service they offer.

Apply anti-money-laundering and sanctions controls
The Senate Banking Committee’s fact sheet describes a proposed extension of Bank Secrecy Act requirements to digital-asset brokers, dealers, and exchanges. In practical terms, an affected firm could need a documented AML/CTF program, procedures to identify customers, systems to monitor transactions, processes for filing suspicious-activity reports, and controls for sanctions screening.
Those programs require governance as well as software. A platform would need written risk assessments, trained staff, escalation procedures, record retention, and testing of controls. The committee summary does not set a universal technology specification or guarantee that a particular compliance product would satisfy regulators.
Separate customer assets and manage conflicts
Registration and conduct rules could affect how an intermediary safeguards customer property, discloses fees, handles execution, and deals with affiliated products. Whether a specific segregation, custody, or conflict rule applies would depend on the final statutory language and agency interpretation. The proposal should therefore be read as a potential new compliance framework, not as a promise that every platform would offer identical protections.
What token issuers could face
Classification would drive the regulatory path
The bill’s structure makes asset classification central. The same technical token can be used in different transactions, and the legal analysis may turn on the offer, the seller’s role, and the rights promised to purchasers. The House text distinguishes digital commodities and investment-contract assets, while the SEC/CFTC boundary described by the Senate committee would determine which regulator handles a given activity.
Issuers would need to evaluate whether an offering falls within a registration or disclosure pathway, whether an exemption is available, and which ongoing reporting or trading restrictions apply. A label chosen by a project team would not by itself settle the legal classification.

Fundraising and disclosures could become more structured
If the proposal becomes law, an issuer could have to provide prescribed information before selling tokens or raising capital. That might include details about the network, development plans, control rights, supply, risks, and the people or entities involved, depending on the final provisions. The available materials do not establish the final form, filing schedule, or costs for every type of offering.
Issuers should also distinguish an initial sale from later trading. Rules that govern the offer of a token may not be the same as rules governing a registered venue or a broker that later facilitates transactions.

A qualified provision for non-controlling developers
The House-reported text includes a section titled “Treatment of certain non-controlling blockchain developers.” Senate Banking Committee materials similarly say the proposal protects software developers and peer-to-peer activity while applying standards to certain centralized intermediaries that interact with decentralized finance.
This is a targeted treatment, not blanket immunity. The key factual question would be whether a developer is genuinely non-controlling and what the developer actually does. Writing or publishing code is different from operating a custodial service, taking customer orders, controlling a trading venue, marketing an investment contract, or exercising practical control over a protocol’s assets.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesWhere the protection could stop
- A developer who controls customer funds or executes transactions for others could be treated as an intermediary rather than as a protected software publisher.
- Operating a centralized front end, custody service, or order-matching business could create obligations separate from writing open-source code.
- Fraud, manipulation, sanctions evasion, or intentional misrepresentations would not become lawful merely because software is involved.
- The boundaries of “non-controlling” and “peer-to-peer activity” would require agency guidance and, potentially, court interpretation.
Developers should map each function in a project—code publication, governance, fee collection, custody, front-end operation, and transaction routing—rather than rely on a single “decentralized” label.

How the SEC and CFTC roles could work
The proposed division of authority is the bill’s central structural change. The SEC would retain responsibility for activities that fall within securities or investment-contract provisions, while the CFTC would receive a defined role over digital-commodity markets described in the legislation. The line would be determined by statutory definitions and facts, not by a universal rule that one agency regulates every token.
That division could reduce overlapping claims of jurisdiction, but it could also create new classification questions. A business might need to analyze both the asset and the service it provides, maintain records for the relevant regulator, and adapt if an agency interprets a provision differently from its initial assessment.
What would happen after enactment
- Congress would have to pass identical text. The House-reported bill and Senate market-structure text released on May 12, 2026, are separate legislative materials; differences would need to be resolved.
- The President would need to sign the legislation, or Congress would need to override a veto. Until then, the proposal creates no new federal duty by itself.
- Agencies would write implementing rules. The SEC and CFTC could define registration procedures, disclosures, recordkeeping, examinations, and transition periods within the authority Congress grants.
- Intermediaries and issuers would build compliance programs. Firms would need to determine which activities are covered, register where required, update customer agreements, and train staff.
- Courts could resolve boundary disputes. Questions about control, decentralization, asset classification, and the scope of developer treatment might not be settled by the bill alone.
Until those steps occur, a company or user cannot treat a proposed exemption, registration route, or disclosure standard as available.
