What Telkom’s InfraNexia Fiber Transfer Means for Indonesia’s Networks

Telkom Indonesia says more than 90% of its network infrastructure assets are now consolidated at InfraNexia, its wholesale infrastructure subsidiary. The second-stage transfer was approved by independent shareholders and signed on September 30, 2026. It reorganizes who manages much of Telkom’s fiber infrastructure; it does not, by itself, add routes or establish that coverage, prices, or service have improved.

What changed on September 30, 2026?

At an extraordinary shareholders meeting, Telkom received independent shareholder approval for the second-stage spin-off of wholesale fiber connectivity assets and business to PT Telkom Infrastruktur Indonesia, which operates under the InfraNexia brand. Telkom said the deed was signed that day. The transferred portfolio includes access-to-customer networks, core backbone, and supporting infrastructure. Telkom describes the result as more than 90% of its network infrastructure assets consolidated at InfraNexia. Telkom’s September 30 announcement reports the transaction and its scale.

The company reports about 112,000 km of fiber-optic network in the InfraNexia portfolio, including 26,000 km of domestic submarine cable, and a total transaction value of about Rp85.7 trillion. Those are Telkom-reported figures, not a measure of new construction or additional customer coverage.

How the two stages fit together

Stage Timing and status Reported scope and value Control
First stage Announced in December 2025; effective January 1, 2026 Telkom valued the transfer at Rp35.8 trillion and said it covered more than half of its total fiber network infrastructure. Telkom said it retained 99.9999997% effective ownership of InfraNexia after this phase.
Second stage Approved and deed signed September 30, 2026 Telkom reported the second-stage transaction at Rp49.9 trillion in its August announcement. Its September announcement put the aggregate transaction value at about Rp85.7 trillion and said more than 90% of network infrastructure assets were consolidated at InfraNexia. InfraNexia remains a Telkom subsidiary; Telkom remains its controlling shareholder.

The stages and figures come from Telkom’s August 2026 announcement, its December 2025 announcement, and the September transaction report. The approximately Rp85.7 trillion figure is the reported total, not an additional amount to add on top of the stage values.

Why Telkom is consolidating the assets

Telkom presents InfraNexia as part of its TLKM 30 transformation and a shift from an operating holding structure toward a strategic holding model. The intended division is for InfraNexia to focus on wholesale infrastructure while Telkom concentrates on its broader strategic and customer-facing roles. Telkom says a more focused operator could improve asset utilization, enable network sharing and partnerships, and attract more external wholesale customers. Those are company objectives and expectations; they are not independently demonstrated outcomes of the transfer.

InfraNexia’s stated wholesale remit covers wholesale network services, FTTx, 5G backhaul, and passive infrastructure sharing. Its terrestrial and submarine routes span Indonesia. Telkom says the company serves both TelkomGroup businesses and external customers, and describes its service model as neutral. This is a focused subsidiary within the Telkom group, not an independent company created by a sale of control. Telkom’s first-stage announcement describes the initial ownership structure.

What the transfer does—and does not—say about fiber coverage

Moving assets into a specialized wholesale company changes the corporate and operating structure. It does not mean that the same day’s transaction laid new fiber, connected new homes, or expanded service into previously unserved areas. The approximately 112,000 km figure describes the portfolio Telkom says InfraNexia manages after the transfer; it should not be confused with Telkom’s separate measure of 115,643 km of domestic fiber-optic backbone at December 31, 2025, reported in its 2025 annual filing. The two figures refer to different scopes and dates.

Telkom’s stated rationale is that unified wholesale management can support more efficient use of existing infrastructure and partnerships. Whether that leads to additional routes, broader access, greater available capacity, or faster connections depends on subsequent investment and operating results; the transfer announcement alone does not establish any of those changes.

What customers and wholesale partners should watch

Telkom says the transaction is intended to avoid disruption to customer service, and it presents InfraNexia as a neutral wholesale provider. Those are company assurances. For customers, the practical question is whether wholesale arrangements change how services are priced, provisioned, or supported. TechRepublic reported that Telkom had not disclosed whether pricing, provisioning, or longer-term service terms would change. That gap is not evidence that any particular term has worsened or improved. TechRepublic’s report identifies the terms that remained undisclosed.

Wholesale customers and potential partners can look for concrete disclosures on access terms, service-level commitments, provisioning timelines, and how InfraNexia handles requests from TelkomGroup and external operators. For residential and business subscribers, the transfer alone does not indicate a change to an existing retail plan or a guarantee of new coverage.
