Pre-seed usually covers an idea, prototype, or minimum viable product; seed funds product development, an initial team, market validation, and early sales; Series A commonly establishes a repeatable business and growth model through the first major priced institutional financing; and later rounds generally finance scaling, expansion, acquisitions, or preparation for an exit.
These labels are shorthand, not legal definitions or guaranteed steps. There is no universal round size, valuation, investor list, or required sequence. Sector, geography, growth rate, capital intensity, and market conditions can change what a “seed” or “Series A” looks like.

What a funding-round label actually tells you
A round name is a compact description of a company’s financing stage. It usually signals three things:
- Company development: how far the product, market, team, and revenue model have progressed.
- Capital purpose: the milestone the new money is expected to fund.
- Financing context: whether investors are buying shares now or providing securities that convert into shares later.
The label does not prove that a company has reached product-market fit, is profitable, or will raise another round. A startup can be acquired, go public, fail, become self-funded, or continue privately without following the next letter. Two companies raising the same lettered round may therefore have very different products, revenues, valuations, and risks.

How the stages usually progress
| Stage | What it commonly funds or signals | Common structure and investors |
|---|---|---|
| Pre-seed | Testing an idea, building an initial prototype, or beginning a minimum viable product | Friends and family, angels, accelerators, and early-stage investors; SAFEs and convertible notes are common |
| Seed | Developing the product, hiring an initial team, validating the market, and finding early customers or traction | Priced or convertible financing; angels, accelerators, and seed-focused venture funds |
| Series A | Building on early traction, establishing product-market fit, and investing in a repeatable business and growth plan | Usually the first priced institutional round, with preferred stock; earlier convertible instruments may convert |
| Series B | Scaling a proven business, expanding the team and markets, and growing revenue | Often mid-stage venture firms alongside existing investors |
| Series C and later | Entering additional markets, making acquisitions, or preparing a mature company for a potential IPO or another exit | Later-stage investors, including growth investors and private equity firms |
This progression reflects broad patterns described in Carta’s stage guides. It is not a universal taxonomy: some companies skip a stage, raise several rounds with the same label, or use a different name for a financing with similar economics.
What is a pre-seed round?
Pre-seed is the earliest commonly used label. The company may still be testing whether a problem is important, building a prototype, or starting an MVP. There may be little or no revenue, and the founders are often the main asset investors are evaluating.
Typical pre-seed objectives
- Turn a concept into a demonstrable prototype or MVP.
- Interview potential users and test the problem-solution fit.
- Recruit the first technical or commercial hires.
- Run initial experiments that show whether customers will use or pay for the product.
Funding often comes from people close to the founders, angel investors, accelerators, or specialist early-stage funds. SAFEs and convertible notes are common because they can postpone setting a precise share price until the company has more evidence. The amount raised and the ownership exchanged vary widely.
What is a seed round?
A seed round generally follows the idea-testing stage. It helps a startup develop or refine its product, assemble an initial team, validate a market, and begin selling. “Traction” at this point can mean active users, pilots, recurring revenue, customer commitments, retention evidence, or another credible sign that the product is solving a real problem; it does not require a mature or profitable business.
What seed investors usually examine
- Problem and customer: whether the company understands a specific, meaningful need.
- Product evidence: a working product, prototype, pilots, usage, or early revenue.
- Team: the founders’ ability to build, learn quickly, and recruit missing capabilities.
- Market: enough reachable demand to support a substantial company.
- Plan for the money: which product, customer, or revenue milestones the round should achieve.
Seed financing can be either priced or convertible. In a priced round, the company and investors agree on a price per share and issue preferred stock. In a convertible financing, a SAFE or convertible note is issued first and converts into stock during a later financing, often when a Series A price is established. Not every seed round uses the same instrument.

What does Series A funding mean?
Series A commonly marks the first priced institutional round. By this point, investors generally expect meaningful early traction and a credible effort to establish product-market fit. The company is trying to move from promising evidence to a repeatable business: a product customers consistently want, a way to acquire them, and an operating plan that can grow.
What a Series A is intended to accomplish
- Improve the product for a defined target market.
- Build a repeatable sales, marketing, or distribution process.
- Hire leaders and teams needed for execution.
- Measure retention, revenue quality, unit economics, and other indicators of repeatability.
- Extend the company’s runway to the next material operating milestone.
Investors commonly buy preferred stock at a negotiated price in a Series A. SAFEs or notes raised earlier may convert into that preferred stock, so the Series A changes the cap table in two ways: new investors receive shares, and earlier convertible holders receive shares under their conversion terms. The headline valuation alone does not show the full economic result.
What comes after Series A?
Series B: scaling a proven model
Series B usually supports expansion after the company has more confidence in its product and growth engine. Capital may fund a larger team, additional sales capacity, broader infrastructure, geographic expansion, or higher-volume operations. Existing investors often participate, joined by mid-stage venture firms.
Series C and later: expansion, acquisitions, and maturity
Series C and later rounds can finance entry into new markets, acquisitions, major product lines, or preparation for a potential IPO or another exit. Later-stage investors may include growth funds and private equity firms. A later letter indicates a later financing need; it is not a guarantee that the company is successful, profitable, or close to an exit.
Alternatives to another lettered round
After Series A, a company might raise debt, pursue strategic investment, become profitable and self-fund, merge with another business, or sell the company. It might also raise an extension or bridge financing rather than a clean new series. The absence of a Series B is not, by itself, evidence of failure.

How much money is raised at each stage?
Round labels do not set a universal check size. The following are Carta’s published US Q2 2026 median benchmarks. They are reference points from Carta’s platform, not targets for an individual startup and not representative of every country, sector, or company.

| Series A | $14.7 million | $76.3 million | 18.7% |
| Series B | $23.3 million | $166.2 million | 13.4% |
Carta reported these figures in 2026; its seed guide was published September 25, 2026, and its Series A guide was accessed October 13, 2026. The mix of companies matters. For example, AI companies can have materially different valuations, so a founder should compare against relevant peers rather than a single headline median.
How pricing, valuation, and dilution fit together
Valuation describes what the company is considered worth in the financing. Capital raised is the cash added to the business. Dilution is the reduction in an existing holder’s ownership percentage when new shares are issued or convertible instruments become shares.
A post-money valuation includes the new financing. As a simplified illustration, if a company is valued at $10 million after a new investor puts in $2 million, the investor’s ownership is 20% before considering other cap-table effects. Existing holders collectively own the remaining 80%. Real financings can differ because of option-pool changes, conversion rights, and other negotiated terms.
Dilution compounds. In a purely illustrative sequence, an owner who has 100% before a 20% financing owns 80% afterward. If a later financing then sells 18% of the company to new investors, that owner holds 80% × 82% = 65.6%, before any other adjustments. The Carta medians above are separate round-level observations, not a prediction of any founder’s cumulative ownership.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.“Valuations are often simply the output of the other two parts of the equation (cash raised and dilution). Most massive valuation rounds also come with massive funding amounts. How much cash do you really need?” — Peter Walker, former Head of Insights at Carta
Priced rounds versus SAFEs and convertible notes
Priced financing
A priced financing sets a price per share when the round closes and usually issues preferred stock. The company and investors negotiate the valuation, ownership sold, and other rights at that time. Series A is commonly the first priced institutional round, but a seed round can also be priced.
Convertible financing
A SAFE or convertible note provides funding before a final share price is set. The security converts into stock later, commonly at a priced financing such as Series A. The conversion terms determine how much ownership the earlier investor receives, so the amount of cash raised is not enough to understand the eventual cap table.
What to review before signing
- Whether the financing is priced or convertible.
- The pre-money or post-money basis used for valuation.
- How existing SAFEs, notes, and the employee option pool affect ownership.
- The conversion terms and the share count they imply.
- The resulting cap table after the financing closes.
- Any investor rights that affect future financings or company control.
Founders should model ownership before agreeing to terms and keep the cap table current after every issuance or conversion. A cap-table management or fundraising-scenario tool can help with the arithmetic, but the company’s legal and financial advisers should interpret the documents.

How to compare two funding announcements
“Raised more” or “reached Series B” is not enough to rank companies. Use the same questions for both announcements:
Best Value
- What had the company built? Compare product maturity, customers, usage, revenue, and retention evidence.
- What milestone will the money fund? Identify whether the purpose is validation, product-market fit, repeatable growth, geographic expansion, acquisitions, or another objective.
- What security was issued? Distinguish a priced preferred-stock round from a SAFE, note, extension, or debt facility.
- What are the economics? Look for the amount raised together with pre-money or post-money valuation and dilution.
- What context applies? Adjust for sector, geography, capital intensity, growth rate, and the market at the time of the financing.
- Who invested and what do they add? Consider investor stage focus, follow-on capacity, distribution help, hiring support, or industry expertise.
This approach avoids treating a round letter or dollar amount as a standalone measure of company quality.
Common misconceptions about funding stages
“Every startup raises pre-seed, seed, A, B, and C.”
No. The labels describe common patterns, not a mandatory route. A company can bootstrap, skip a stage, repeat a stage label, use debt, or exit before another round.
“Series A means product-market fit is proven.”
Series A generally signals that investors believe the company has enough traction to work toward a repeatable model. It does not certify product-market fit, profitability, or future growth.
“A higher valuation is always better.”
A high valuation can reduce the percentage sold for a given amount of cash, but it may come with a larger round, stronger expectations, or difficult future pricing. Capital needs and dilution must be considered together.
“The median round is the right amount to raise.”
Median figures describe other US companies in a particular dataset and quarter. The appropriate amount depends on the milestones, hiring plan, burn rate, runway, and financing environment of the individual company.
Quick Recap
A practical founder checklist
- Define the specific milestone this financing must achieve.
- Raise enough runway to reach that milestone, rather than copying another company’s round size.
- Decide whether a priced round or convertible instrument fits the company’s evidence and timing.
- Model dilution under realistic conversion and option-pool assumptions.
- Compare terms, investor support, and governance—not only valuation.
- Document the final ownership in an accurate, updated cap table.
- Explain the round accurately to employees, customers, and other stakeholders without implying guaranteed success.
