What Startup Employees Should Know About Secondary Share Sales and Investor Cash-Outs

Startup employees can sometimes turn private-company equity into cash before an IPO or acquisition, but an investor’s interest does not mean a sale is allowed—or that the headline price is what you will receive. First identify whether the offer covers issued shares, options, or RSUs; then check the transaction mechanics, company restrictions, taxes, and net proceeds.

This guide focuses on U.S. employees and former employees. The rules and tax results depend on the documents, transaction structure, and individual circumstances.

Start by identifying what equity you hold

“Startup equity” can refer to securities with very different rights and sale mechanics. A company-arranged offer may buy issued shares, cancel options for cash, require an option exercise before a share sale, or make liquidity available for certain RSUs. Those are not interchangeable transactions.

  • Issued shares: Shares you already own may be offered for sale, subject to company documents, transfer restrictions, and applicable securities rules.
  • Unexercised options: An option is a right to buy shares, not itself an issued share. An offer may cancel the option for cash or require you to exercise it and then sell the resulting shares.
  • Double-trigger RSUs: Some private-company RSUs require both service-based vesting and a liquidity condition before settlement. A tender structure may waive the liquidity condition for qualifying awards, potentially enabling settlement or cash payment and triggering tax and withholding obligations.

Read the equity plan and your award agreement alongside the offer. If the documents describe a cashless exercise, check whether the strike price is actually paid and how the funds move. Fenwick’s legal analysis notes that some proposed cashless-exercise mechanics may be treated as option cancellation when the exercise price was not paid as required. The precise documents and transaction flow matter.

Know which transaction route is being offered

A tender offer and a direct secondary sale are different routes. In a tender offer, a company or another buyer invites eligible holders to tender securities under stated terms. A direct secondary sale transfers existing shares from a holder to a third-party buyer. Neither route makes every private-company security freely transferable, and a company buyback is not automatically a legally classified tender offer; that classification depends on the facts and applicable securities rules.

Route or structure What changes hands What to verify
Company-arranged tender offer Eligible holders tender the securities specified in the offer documents to the stated buyer. Eligibility, permitted security type, price, share limits, deadlines, payment terms, and any applicable offer disclosures. SEC staff guidance treats tender-offer requirements as transaction-specific.
Direct secondary sale A holder sells existing shares to a third-party buyer. Transfer restrictions, company consent, rights of first refusal, securities-law resale constraints, fees, and settlement terms. A buyer’s interest alone does not authorize a transfer.
Option cancellation for cash The option is canceled in exchange for the consideration described in the offer; the holder may not receive shares. How the payment is calculated, tax characterization, withholding, and whether the transaction is actually a cancellation rather than an exercise and sale.
Option exercise followed by sale The holder exercises the option to acquire shares and sells those shares, potentially as part of one coordinated transaction. Who pays the strike price, when payment is made, whether it is irrevocable, and the tax and securities consequences of exercise and sale.
RSU liquidity-condition waiver For qualifying awards, a liquidity condition may be waived to allow settlement or cash payment. Which awards qualify, when settlement occurs, and the resulting taxes, withholding, and reporting.

PwC describes established secondary firms as one possible route for a private share transfer, while noting that transfer restrictions and legal analysis remain important. Using an intermediary does not replace checking your company’s documents or obtaining required approval.

Check eligibility, price, and terms before accepting

Offer documents determine who can participate and on what terms. Current employees and former employees may be treated differently; only some securities may qualify; and an offer may cap the number of shares or the percentage of vested holdings that can be sold. Review the documents rather than assuming that vested equity is eligible.

  • Company controls: Check the equity plan, award agreement, charter, and shareholder agreement for consent requirements, transfer limits, rights of first refusal, or other controls. Also check company blackout policies and whether a fundraising period affects transfers.
  • Price and information: Ask how the offer price was set and what company information is available to sellers. Do not assume a 409A value equals the sale price, or that a preferred-stock financing price establishes the value of employee common shares. A premium, if any, does not have one predetermined tax treatment.
  • Net proceeds: Compare the cash you are likely to receive after any strike price, fees, withholding, and other deductions—not just the stated price per share. Confirm payment timing, escrow, required representations, and whether you can withdraw after accepting.
  • What remains: Determine what happens to unsold equity and consider continued dilution, preferences, company-specific risk, and possible future upside. Selling part of a holding can provide liquidity while leaving substantial exposure to the same company.
  • Offer limits and deadlines: Confirm the share cap, acceptance deadline, settlement date, and any conditions that could prevent or delay payment.

Understand the tax and holding-period questions

Tax treatment depends on the instrument and transaction structure. A share sale, option cancellation, exercise followed by sale, or RSU settlement can produce different tax consequences. Do not assume that all proceeds are capital gains or that one structure is always preferable. The amount and timing of withholding can also affect the cash you receive.

Before deciding, ask a tax professional to model the actual security, option exercise timing if applicable, holding period, sale price, and your residence. OGCPA’s June 2026 practitioner analysis discusses the fact-dependent treatment of these transactions; it is not IRS guidance.

Do not confuse the Rule 144 holding period with your tax holding period

For the specific Rule 144 holding-period question, SEC staff says: “The holding period for restricted securities acquired under an employee stock option always begins on exercise of the option and full payment to the issuer of the exercise price.” The SEC gave this interpretation on April 2, 2007. It addresses that securities-law holding-period point only; it does not establish a tax holding period or grant permission to sell despite other legal or company restrictions.

What the Rule 701 figure does—and does not—measure

In a 2026 interpretation, the SEC identifies more than $10 million in covered securities granted or sold during a consecutive 12-month period as a threshold relevant to Rule 701 disclosure obligations. The trigger is not based on vesting or exercise totals crossing that threshold. This is a regulatory disclosure threshold, not a measure of how often startup employees sell shares or how much they cash out.

Use these questions to evaluate an offer

  1. What exactly is being sold or cashed out? Identify whether the offer covers issued common shares, options, or RSUs.
  2. If options are involved, what is the actual mechanism? Is it an option cancellation or an exercise followed by a share sale? Who pays the strike price, when, and is payment irrevocable?
  3. Am I eligible, and how much can I sell? Check employee status rules, eligible securities, caps, and any distinctions between current and former employees.
  4. What approvals or restrictions apply? Review company consent, transfer restrictions, rights of first refusal, securities-law constraints, and blackout policies.
  5. How was the price set, and what information can I review? Ask about the pricing basis and available company information; do not treat a financing price or 409A value as automatically equivalent to the offer price.
  6. What will I receive, and when? Account for strike price, fees, withholding, escrow, settlement timing, representations, and withdrawal rights.
  7. What risks and upside remain after a partial sale? Consider dilution, preferences, future liquidity uncertainty, and continued concentration in the company.
  8. What are the tax consequences for my situation? Have a tax professional model the specific instrument, exercise and sale dates, price, and residence.

What is not established by the available figures

There is no single representative market statistic here for how common employee tender offers are, what proportion of employees participate, typical cash-out amounts, or typical discounts. Those should not be inferred from anecdotes or from the SEC’s Rule 701 disclosure threshold.
