Match those terms to your business’s operating needs, data, and applicable law; there is no universal service-level target or contract form.
Start with the service environment and scope
Identify the parties by their legal names, the effective date and term, and any schedules incorporated into the agreement. If the contract, service-level agreement (SLA), security addendum, or other schedules conflict, state which document takes precedence.

Describe the environment the provider is agreeing to support: locations, users, devices, applications, networks, cloud services, and relevant third-party dependencies. Specify which work is included—for example, help desk support, monitoring, patching, account administration, endpoint or network support, backup oversight, security monitoring, vendor coordination, onsite visits, or documentation. Include only the services actually part of the deal.
List exclusions just as clearly. Project work, migrations, new deployments, unsupported legacy equipment, third-party services, emergency work, and onsite visits may be excluded or billed separately. Set a change-control process for adding or removing users and systems, and establish an onboarding inventory so both sides know what is covered.

NIST SP 800-35 offers an outline that includes the service description and environment—such as equipment, facilities, locations, policies, procedures, standards, agreements, and licenses. It is a guide rather than a universal contract form: NIST says the format and terms should be unique to each organization.
Assign responsibilities, access, and communications
Name a provider contact and a customer decision-maker, plus backups or escalation contacts where needed. Allocate responsibility for service tasks, documentation, reporting, and support, as well as the customer’s duties to supply information, approve changes, maintain relevant systems, and communicate operational changes.
Make approvals explicit. Identify who can authorize privileged access, account creation or removal, changes to production systems, license purchases, vendor tickets, and out-of-scope or emergency work. Define what the provider may do without prior approval to contain an urgent issue, if anything.

Specify approved support channels, what information a ticket should include, how status updates are delivered, and who may escalate a problem. Require service records that show what was done, when, and by whom. These details make responsibilities workable rather than leaving them as broad promises.

Make service levels measurable
An SLA should define the service, each party’s responsibilities, expected performance, reporting, resolution procedures, and termination-related provisions. That is consistent with NIST’s definition of a service-level agreement. A response-time chart alone is not enough to establish whether the service is meeting your needs.
Define severity and coverage
Classify incidents by operational impact, not just by labels such as “high” or “critical.” Explain what qualifies for each severity, which support channels are available, and the coverage window, including business hours, time zone, holidays, and any separately priced after-hours service.
Separate acknowledgement from restoration
For each severity, state any acknowledgement or initial-response target, update frequency, escalation path, and target for a workaround or restoration if one is promised. Acknowledging a ticket is not the same as resolving it or restoring the affected service. Do not adopt a generic target without checking how long the business can tolerate the disruption and what the provider can actually support.

Explain how performance is measured
Set the measurement period and reporting cadence. Define when the service clock starts, pauses, and stops; how customer delays, planned maintenance, or third-party dependencies affect it; and how uptime or performance is calculated if those metrics are included. Decide who reviews the reports and how disputed measurements are handled.

Specify remedies for repeated misses
State what happens when service levels are missed, especially repeatedly. Negotiated options may include service credits, a corrective-action plan, termination rights, or other remedies. Credits are not the only possible remedy and are not guaranteed by law; the agreement should say what applies to this relationship.
Put security, privacy, and incident duties in writing
State what systems and data the provider may access and for what purposes. Cover confidentiality, identity and access controls, safeguards, vulnerability and patch responsibilities, security reporting, and limits on data use, retention, and disclosure. If subcontractors may access systems or data, say whether they are permitted and what controls apply to them.
Define how the provider must notify the customer about a suspected or confirmed security incident, cooperate with the response, preserve relevant evidence, and assist with any required notifications. Set out who directs the response and who has authority to make business decisions. Avoid an imprecise promise to provide “security” without assigning these operating tasks.

For businesses covered by the FTC Safeguards Rule, the FTC describes written security-program, risk-assessment, safeguard, incident-response, and oversight requirements. A provider may perform program tasks, but the business remains responsible for supervising its qualified individual. The rule is sector- and context-specific, not a blanket requirement for every company. See the FTC Safeguards Rule guide.

For a HIPAA covered entity or business associate using a cloud provider that creates, receives, maintains, or transmits electronic protected health information, HHS says a HIPAA-compliant business associate agreement (BAA) is required alongside other applicable HIPAA compliance. An SLA may address availability, reliability, backup and recovery, return of data after service ends, security responsibilities, and limits on use, retention, or disclosure; its terms should be consistent with the BAA and HIPAA Rules. This does not mean every IT provider needs a BAA. See HHS guidance on HIPAA and cloud computing.
Allocate backup, continuity, and recovery work
Specify what is backed up, how often, for how long, where backups are stored, who checks for failures, and how restoration requests are handled. Define which recovery assistance is included in the fee and whether restoration is tested, by whom, and how the results are reported.
Set recovery-time and recovery-point objectives only after assessing business impact, system dependencies, and cost. A recovery target is meaningful only if the responsible parties, prerequisites, and included work are clear. The FTC’s small-business cybersecurity guidance recommends incident, disaster-recovery, and continuity planning; it also describes regular, disconnected backups as useful protection. An encrypted backup alone does not establish that data can be restored completely or that systems will be available.
Make fees, changes, and risk allocation legible
List recurring charges and what they buy: for example, per-user or per-device pricing, included labor, service limits, minimums, and any included onsite support. Separately state project and migration rates, travel, after-hours or emergency work, hardware procurement, and third-party licenses or other pass-through costs. Specify invoicing, payment terms, notice of price changes, and approval thresholds for additional work.

Review warranties, indemnities, insurance, liability caps and carve-outs, suspension rights, and dispute procedures. These terms can have significant legal and financial effects, so have counsel review them for the applicable jurisdiction and transaction. A 2024 UK G-Cloud 14 IT services agreement illustrates clauses on confidentiality, liability, suspension, and survival; its allocation is an example from one public-sector agreement, not a universal or jurisdiction-neutral standard.
Plan termination and handover before signing
State the term, renewal mechanics, and how either party may terminate for material breach, nonpayment, or repeated SLA failures, including any cure period. If the parties agree to termination for convenience, specify notice and any resulting fees.
Set out transition assistance and its cost, and list what must be handed over: credentials, configurations, asset inventories, documentation, tickets, and customer data. Define usable export formats, return deadlines, retention limits, secure-deletion deadlines, and cooperation with a successor provider. NIST advises analyzing termination and data-retention terms in its cloud-computing guidance; HHS also identifies post-termination data return as a possible cloud SLA term.
Compare offers on the terms that affect your risk
When evaluating providers, compare the contract details rather than selecting on headline response times or price alone. Weight each item by service criticality, data sensitivity, and the work your own staff can perform.

- Data portability, transition support, liability, and insurance terms.
NIST SP 800-47 Rev. 1 and FTC small-business cybersecurity guidance support tailoring controls and responsibilities to risk rather than treating one checklist as a fit for every organization.
Tailor the agreement to the business and jurisdiction
The right terms depend on the country and state or other jurisdiction, industry, data involved, operating hours, provider model, and actual contract. Have local counsel review enforceability, required notices, privacy and data-processing terms, liability limits, and any regulated-sector addenda—especially where an outage or data incident could have serious consequences.
