What should a community do if its Flock contract will not end? A legal and operational checklist

If a community believes its Flock Safety contract is impossible to end, the first step is not to switch off cameras or stop paying. Obtain the signed order form, amendments and incorporated terms, then have the authorized public official, procurement staff and local counsel map the contract’s term, renewal deadline, notice method, termination rights, cure periods and financial consequences.

Non-renewal, early termination, a negotiated exit and a challenge based on procurement law are different routes. The correct route depends on the community’s actual documents and governing law. The examples below show how particular cities and towns handled their own arrangements; they do not create a universal right to cancel another community’s contract.

Start with the executed agreement, not the vendor’s current webpage

Flock’s online terms say that the term of each Order Form is specified in that Order Form. A community’s signed agreement may contain different dates, notice rules, remedies or addenda from the version currently posted online. Build the file that legally governs the relationship before announcing that the contract is ending.

Collect the complete contract record

  • The signed master agreement and every Order Form.
  • Amendments, addenda, exhibits and documents incorporated by reference.
  • Renewal notices, invoices, purchase orders and procurement approvals.
  • Council, board or administrative approvals and meeting minutes.
  • Correspondence about renewal, cancellation, service problems or equipment.
  • Any version of online terms that the agreement expressly incorporates, including the version in force when it was signed.

If staff cannot locate the documents, use the community’s public-records process. An Athens-area contracts page, for example, explains that Flock agreements can be obtained through public-records requests and directs requesters to the relevant city or county for complete copies. Keep the request, responsive records and a document index in the contract file.

Separate the available exit routes

A contract that “will not end” may actually have a missed non-renewal deadline, a separate early-termination right, or no unilateral exit at all. Treat each route as a different legal and practical question.

Route What must be true Timing and notice Main risks
Non-renewal The agreement allows non-renewal and the community gives notice before the stated deadline. Use the exact deadline, recipient and delivery method in the executed contract. A Florence, Oregon, May 2025 example requires notice at least 30 days before the current term ends. Missing the deadline can trigger another term; the renewal length and financial effect must be checked in the order form.
Termination for convenience The signed agreement expressly grants the customer a right to end early without proving breach. Follow the specified notice period and effective-date rules; no universal period is established. Early-exit fees, repayment of discounts or prepaid amounts may apply.
Termination for material breach The vendor materially breached the agreement and the customer follows the required notice-and-cure process. The Florence example uses written notice and a 30-day cure period; another agreement may differ. A weak factual record or defective notice can leave the contract in force and expose the community to a dispute.
Non-appropriation The contract contains a clause allowing termination when funds are not lawfully appropriated. Use the fiscal certification and notice process stated in the clause and local law. Withholding funds without following the clause can create default or payment liability.
Mutual termination The vendor and community sign a written release or termination agreement. Negotiate the end date, equipment return, data handling and final invoice. Terms may include a settlement payment, continuing confidentiality or records obligations.
Legal or procurement challenge Local counsel identifies a defect under the jurisdiction’s statutes, procurement rules or approval process. Depends on the specific record and governing law; do not declare the agreement void without legal review. The theory may be jurisdiction-specific, contested or subject to cure rather than immediate cancellation.

Make a clause-and-calendar review

Ask counsel or a qualified contract administrator to turn the agreement into a one-page control sheet. Record the clause number and the source document for every entry.

  1. Identify the initial and current term. Write the start date, each renewal period and the current expiration date. Confirm whether an amendment changed the term.
  2. Calculate the renewal deadline. Apply the exact number of days, business-day rule or calendar-date formula in the signed agreement. Have counsel check the calculation.
  3. Copy the notice requirements verbatim. Note the permitted delivery method, recipient, address, email restrictions, signature requirement and when notice is deemed received.
  4. List termination grounds. Include convenience, breach, insolvency, dissolution, non-appropriation, regulatory changes and mutual-termination language if present.
  5. Map notice and cure periods. For a breach, identify what facts must be stated, how long the vendor has to cure and what happens if the cure is incomplete.
  6. Check money provisions. Look for early-termination charges, repayment of discounts, prepaid fees, unpaid invoices, taxes, equipment charges and post-termination services.
  7. Record equipment and data duties. Capture removal, return, shipping, access shutdown, export, deletion, retention and confidentiality provisions.
  8. Confirm governing law and dispute procedures. Venue, arbitration, claims deadlines and public-contract remedies can affect the recommended strategy.

Do not assume that Flock’s current online terms match the community’s signed version. The contract, its amendments and the law applicable to that transaction control the analysis.

If renewal is approaching, send a valid non-renewal notice

When the goal is simply to prevent another term, use the non-renewal clause rather than labeling the letter an early termination. The official authorized to act should sign or send it exactly as required, and staff should preserve proof of delivery.

  1. Prepare the notice using the contract’s legal name, Order Form number and current term dates.
  2. State that the community elects not to renew and identify the requested final service date.
  3. Deliver it through every method the clause requires. If certified mail, courier, a designated email address or a particular officer is specified, use those channels.
  4. Save the signed letter, transmission records, delivery confirmation and a copy in the public contract file.
  5. Ask Flock to confirm receipt and the effective end date in writing. Do not treat silence as confirmation.

Florence’s May 2025 city-posted contract illustrates why precision matters: it provides for automatic renewal unless either party gives notice at least 30 days before the then-current term ends. That 30-day window is a term of that example, not a rule for every Flock customer. Another community may have a different notice period, renewal length or delivery address.

If the community wants out before the term expires

Test for a contractual right first

Search the executed documents for termination-for-convenience, non-appropriation, material-breach, insolvency and mutual-termination clauses. A right to stop using the service is not necessarily a right to stop paying; confirm whether the agreement separates service suspension from contractual termination.

Build a breach record before alleging default

If the community relies on material breach, document dates, affected cameras or services, support tickets, missed obligations and the practical harm. Send the notice required by the contract, identify the specific provisions and allow the stated cure period. Florence’s example describes a 30-day written notice and cure period for material breach and separate rights in specified insolvency or dissolution circumstances. Those provisions cannot be imported into another community’s agreement.

Explore a negotiated release

A written mutual-termination agreement can settle an otherwise uncertain exit. Negotiate the effective date, final invoice, treatment of prepaid amounts or discounts, equipment removal, data export, deletion, confidentiality, releases and responsibility for public-records or litigation holds. Obtain governing-body approval if local policy or the original procurement requires it.

Investigate procurement or statutory defects carefully

A suspected approval or procurement problem should go to local counsel, the procurement officer and the official authorized to direct the contract. Gather the solicitation, quotes or exception justification, evaluation record, purchase authority, conflict disclosures, governing-body actions and amendments. Counsel should compare that record with the statutes and regulations in force when the agreement was made.

Hopkinton, Massachusetts, announced on August 20, 2026 that it ended its contract after counsel identified statutory deficiencies under Massachusetts law. Town Manager Elaine Lazarus said, “Municipal contracts must comply with procurement law, and it is our duty to ensure that we meet those standards, acting in the best interests of our residents and taxpayers. Once we found deficiencies in the existing contract, we acted to end the agreement.” The town requested camera shutoff and removal by September 30. That result reflects Hopkinton’s contract and Massachusetts law; it is not a general loophole for other communities.

Do not stop paying, declare the agreement void or remove equipment solely because another municipality did so. A legal challenge can produce a negotiated cure, a contested claim or a remedy other than immediate cancellation.

Decide whether service can be stopped while the contract is being resolved

Ask, in writing, whether the contract permits suspension, whether Flock will agree to a temporary shutdown and what charges continue during a suspension. Coordinate the answer with the authorized official, finance, legal, information-technology and public-safety staff.

Alexandria, Virginia, says publicly that the city may stop Flock service at any time. Its guidance also says that moving to another provider requires fiscal, legal and procurement coordination and depends on alternatives, implementation time, procurement requirements and operations. Alexandria lists its current Insight Public Sector contract expiration as April 2027. These statements describe Alexandria’s arrangement, not a promise that another customer can stop service without contractual consequences.

Plan the technical, equipment and records closeout

Termination is incomplete until the community knows what happens to cameras, accounts and data. Put the closeout plan in writing and assign an owner to every task.

  • Deactivation: specify the date and time for disabling accounts, camera feeds, alerts, integrations and employee access.
  • Hardware: identify each camera, mount, network component and power supply; document who removes it, who pays shipping and when the site is restored.
  • Final billing: request a written statement of recurring charges, one-time fees, credits, taxes and any balance claimed after shutdown.
  • Data access and export: determine which records the community must retrieve before access ends and the format, timing and cost of any export.
  • Deletion: ask what Flock will delete, when deletion occurs and which backups or legal-retention exceptions remain.
  • Retention and preservation: apply public-records schedules, open-records requests, subpoenas, audits and litigation holds before authorizing deletion.
  • Evidence continuity: preserve chain-of-custody information for footage or plate data needed in investigations.
  • Written confirmation: obtain a completion notice for service shutdown, equipment removal and any agreed deletion.

Flock’s online terms last updated August 21, 2026 state that, at the customer’s request, confidential information is deleted within 90 days after termination, subject to information Flock must retain under law or policy. Confirm that this provision applies to the signed agreement and to the particular data involved; a public-records schedule or litigation hold can require the community to retain copies regardless of a vendor deletion request.

Asheville, North Carolina, shows how a governing body can set operational direction. On August 25, 2026, City Council directed the City Manager to terminate pursuant to the contract, seek hardware removal, suspend city access and sharing, and handle existing data under applicable law, retention requirements and preservation obligations. The resolution is an example of local action, not a substitute for another community’s contract procedures.

Use the right public decision-makers

Assign a lead official and create a decision log. Include the finance director or treasurer, procurement officer, city or town attorney, information-technology staff, records officer, police leadership and the governing board when approval is required. Publicly document the proposed action, legal basis, fiscal effect, service impact and records plan in accordance with open-meeting and public-records rules.

Hopkinton Select Board Chair Shahidul Mannan said, “Public trust depends on both effective public safety and responsible, transparent government.” Interim Police Chief Scott van Raalten likewise said automated license plate reader technology “has proven that it can be a very valuable tool in criminal investigations and active emergencies.” Those statements illustrate the policy balance officials must explain: ending a contract can address legal, fiscal or privacy concerns while also requiring a plan for investigations and emergencies that relied on the service.

Assess a replacement as a separate procurement

Ending Flock does not authorize a substitute provider automatically. Before soliciting or selecting an alternative, define the public-safety use case, data-control requirements, retention limits, audit access, sharing rules, civil-liberties safeguards, training, support and total implementation time. Check whether a new procurement, cooperative contract, council approval, public notice or policy amendment is required.

Alexandria says its department evaluates alternatives, capabilities, data-control features and public-safety needs. The city notes that timing depends on scope, public engagement, procurement requirements and available alternatives. A community should preserve operational continuity without allowing the replacement decision to bypass the same legal and public oversight expected of the original contract.

Keep a decision-ready exit file

The final file should allow a new official, auditor or court to understand what happened without relying on informal recollection.

  • Executed agreement, amendments and incorporated terms.
  • Clause-and-calendar worksheet showing the term and notice deadline.
  • Legal memorandum or advice supporting the selected route.
  • Approved notices, delivery proof and vendor acknowledgments.
  • Governing-body resolutions, meeting materials and public comments.
  • Invoices, credits, settlement terms and final payment approval.
  • Equipment inventory, removal receipts and site-restoration records.
  • Data export, retention, deletion and preservation certifications.
  • Replacement-procurement documents, if a new system is pursued.

This record protects the community if the vendor disputes the effective date, a resident requests records, an investigation needs historical data or a later administration questions the decision.

What the examples do—and do not—establish

  • Florence, Oregon: a May 2025 agreement uses a 30-day pre-expiration non-renewal notice and a 30-day written notice-and-cure period for material breach. Those are contract-specific terms.
  • Alexandria, Virginia: the city says it may stop service at any time, lists an April 2027 contract expiration with Insight Public Sector and describes cross-department planning for any replacement. These statements concern Alexandria’s arrangement.
  • Asheville, North Carolina: the August 25, 2026 resolution directed contractual termination, hardware removal, suspension of access and sharing, and lawful records handling.
  • Hopkinton, Massachusetts: the August 20, 2026 announcement attributes termination to statutory deficiencies found by counsel and requested camera removal by September 30. The legal basis is specific to Massachusetts and Hopkinton’s procurement record.

Use these examples to frame questions for counsel and staff, not to copy a deadline or assume an identical right.
