Bitcoin treasury stocks can give shareholders exposure to Bitcoin, but a share is not a direct claim on a specified quantity of coins. It is equity in a company that may hold Bitcoin alongside debt, preferred securities, an operating business, cash obligations, custody contracts and financing arrangements. The stock can therefore fall more—or behave very differently—than Bitcoin.
Before buying, examine the issuer’s latest annual and quarterly filings, Bitcoin holdings and sale policy, debt and preferred-stock terms, dilution plans, liquidity, custody and collateral arrangements, operating cash flow, and accounting. The risks are issuer-specific; the examples below come from filings by Strategy, MARA Holdings and U.S. Bitcoin Corp. and should not be treated as a description of every treasury issuer.

What a Bitcoin treasury stock actually represents
When a company places Bitcoin on its balance sheet, common shareholders own an interest in the company—not the coins in a personal wallet. The company controls the assets subject to its custody agreements, financing contracts, corporate obligations and board decisions. A shareholder generally cannot demand delivery of a portion of the reported Bitcoin balance.
The stock price reflects several claims and risks at once:

Consequently, a stock can trade at a premium or discount to the value of its reported Bitcoin and other assets. Determining the current premium or discount requires current market prices, liabilities and filing data; the dated examples in this article do not establish a current valuation.
Bitcoin volatility can flow through to both results and the share price
Large underlying price moves
Bitcoin has historically experienced very wide price swings. Strategy’s 2024 Form 10-K, published in 2025, reported that Bitcoin traded below $51,800 and above $106,000 on Coinbase during the 12 months preceding that report. That was a historical range cited in the filing, not a current trading range or a forecast.
A company that holds a large Bitcoin position can see the reported value of its assets and its market capitalization change rapidly. The stock may move more than Bitcoin because investors are also repricing debt, preferred securities, dilution prospects, operating performance and the ease with which the company can raise cash. In a stressed market, a falling stock can make equity financing less attractive just as the company needs liquidity.

Why the relationship is not one-for-one
Even if the Bitcoin balance stayed constant, the equity value could change because liabilities and senior securities do not disappear when Bitcoin falls. Interest, preferred dividends, payroll, energy bills and other costs still have to be paid. A company may also issue shares when its stock is weak, increasing the number of shares over which the assets are spread.
Conversely, a stock can rise less than Bitcoin if investors believe the issuer will sell coins, incur losses in its operating business, face refinancing pressure or transfer value to senior securities. The appropriate comparison is not simply “stock return versus Bitcoin return”; it is how the company’s assets, liabilities, cash needs and share count change under the same scenario.
Capital-structure risk: debt, convertibles and preferred securities
Debt creates fixed claims during a volatile market
Debt holders have contractual claims that generally rank ahead of common equity. Principal repayments, interest and covenant requirements can remain due while Bitcoin is falling. If refinancing markets close or operating cash flow is inadequate, the company may need to sell Bitcoin, issue securities on unfavorable terms or restructure its obligations.
Some issuers use Bitcoin as collateral. MARA’s filings describe Bitcoin-backed borrowing. U.S. Bitcoin Corp. reported that certain pledged collateral could be liquidated under specified default or margin-deficiency conditions. These are issuer-specific arrangements, not evidence that every treasury company can or will borrow against its holdings.

Convertible debt can postpone immediate dilution but may convert into common shares under its terms. Non-convertible borrowing can avoid conversion while creating larger cash obligations. Read each instrument’s principal amount, interest rate, maturity, conversion price, security, covenants and events of default rather than relying on a headline debt total.

Companies may also sell common stock or other securities to purchase Bitcoin or meet expenses. Strategy has described using common-stock sales and convertible notes to acquire Bitcoin. New shares can dilute existing ownership and may put pressure on the stock if investors expect continuing issuance.
Preferred securities can dilute or subordinate common holders
Preferred stock commonly has priority over common stock for dividends and liquidation proceeds, although the exact rights depend on the series. Strategy’s 2025 Form 10-K, published in 2026, identifies five classes of preferred stock issued in 2025: STRF, STRC, STRE, STRK and STRD. Their terms differ. The filing warns that future preferred issuance could dilute existing holders and further subordinate common equity.
For any issuer, obtain the charter, prospectus and filing for every preferred series. Check whether dividends are cumulative, whether they can be paid in additional securities, whether the company may defer them, what ranks senior or junior, and what happens on a sale, liquidation or missed payment. A common shareholder can face a declining residual claim even while the Bitcoin balance increases.

Liquidity, collateral and the possibility of forced Bitcoin sales
Bitcoin itself does not generate interest or dividends. Strategy stated in its 2024 annual report: “Bitcoin does not pay interest or other returns and we can only generate cash from our bitcoin holdings if we sell our bitcoin or implement strategies to create income streams or otherwise generate cash by using our bitcoin holdings.” That company disclosure highlights a basic issue: an unrealized gain is not cash available for payroll, debt service or dividends.
An issuer may have recurring expenses even when Bitcoin is declining. A cash shortfall can lead to several outcomes:
- selling Bitcoin at an unfavorable price;
- borrowing against Bitcoin and accepting margin-call or liquidation risk;
- issuing common or preferred shares at a depressed valuation;
- selling operating assets or reducing investment; or
- negotiating a restructuring with creditors and other security holders.
Collateral agreements deserve line-by-line review. Identify the collateral agent, permitted withdrawals, margin thresholds, cure periods, valuation method, default triggers and liquidation rights. U.S. Bitcoin Corp. reported that 290 Bitcoin, valued at approximately $25.4 million, were pledged as collateral under certain agreements as of December 31, 2025. That is a historical company-reported amount, not a current balance and not a general figure for the sector.
MARA reported 53,822 Bitcoin held at December 31, 2025, of which 15,315 were loaned or pledged as collateral. Those figures show why “Bitcoin held” and “Bitcoin freely available to shareholders” are not interchangeable descriptions. The filing date and the contractual status of the coins matter.

Custody and counterparty risk
Holding Bitcoin through a company introduces legal and operational dependencies that direct self-custody does not. A custodian may control private keys, process withdrawals and maintain records. A lender, trading platform, liquidity provider or collateral agent may also have contractual rights over coins.

Strategy warns that an insolvency proceeding involving a custodian could delay access to Bitcoin or create disputes over whether the assets are part of the custodian’s estate. The practical questions for an issuer include:
- Which entities hold the private keys, and in which jurisdictions?
- Are assets segregated from the custodian’s property, or merely recorded as a contractual claim?
- Does the company use multisignature controls, offline storage, insurance or independent reconciliations?
- Are coins lent, rehypothecated, pledged or held at trading venues?
- What happens to access and title if a custodian, lender or exchange becomes insolvent?
- Can a counterparty reuse collateral or exercise set-off rights?
Multiple custodians may reduce dependence on one provider but can add reconciliation and governance complexity. A filing’s risk-factor language is not a prediction that a failure will happen; it identifies a loss pathway investors should understand.
Operating businesses can add risks beyond Bitcoin
Mining operations
Some treasury companies also mine Bitcoin. Their results depend on energy prices, facility uptime, network difficulty, equipment efficiency, hosting contracts, transaction fees and the cost of financing machines. MARA reported $292.2 million in owned-site energy costs and third-party hosting and other energy costs for 2025. That is a historical company-reported expense for that year, not a forecast or a category-wide average.
A miner can therefore lose money even when its Bitcoin holdings rise, or face a larger loss when Bitcoin falls because revenue declines while energy, hosting, payroll and debt costs remain. Review production, cost per coin, curtailment arrangements, equipment purchases, hosting concentration and the maturity schedule of mining-related debt separately from the treasury balance.
Lending, trading and collateralized strategies
An issuer may seek income by lending Bitcoin, trading it or using derivatives. MARA’s filing describes lending, trading and collateralized borrowing. U.S. Bitcoin Corp. describes options-based activity. These practices can create counterparty, liquidity, model, market and documentation risks that a passive holder would not have.
Do not assume that one issuer’s strategy applies to another. Determine whether the company is permitted to lend or trade, how positions are valued, what collateral is required, who bears losses and whether management has limits on leverage or derivatives.
Accounting earnings are not the same as cash generation
Strategy says that ASU 2023-08 fair-value accounting causes changes in Bitcoin’s value to be recognized in earnings and can materially affect reported results. A price increase can therefore produce a large accounting gain without the company selling Bitcoin or receiving cash. A price decline can create a large reported loss without a corresponding cash payment.

A practical issuer-comparison framework
Use the same questions for each candidate, but preserve issuer-specific differences. The following framework helps prevent a large reported Bitcoin balance from obscuring other risks.
| Axis | What to collect from filings | Warning signs |
|---|---|---|
| Bitcoin concentration | Coins held, unrestricted versus pledged or loaned amounts, acquisition cost, sale policy and share of total assets. | High concentration, unclear availability or a policy that permits sales without clear liquidity planning. |
| Capital structure | Debt, maturities, interest, convertibles, preferred dividends, seniority, covenants and unrestricted cash. | Near-term maturities, floating costs, large senior claims or limited cash reserves. |
| Dilution and financing dependence | Shares outstanding, authorized issuance, conversion reserves and reliance on equity or debt markets to buy coins or fund operations. | Repeated issuance, costly financing or a plan that assumes uninterrupted market access. |
| Custody and counterparties | Custodians, wallet controls, lending, trading venues, collateral terms and insolvency rights. | Concentrated providers, unclear segregation or broad rehypothecation rights. |
| Operating business | Revenue, cash costs, energy and hosting expenses, equipment needs and non-Bitcoin liabilities. | Negative operating cash flow, high variable costs or dependence on one facility or customer. |
| Accounting and valuation | Fair-value treatment, realized versus unrealized changes, liabilities per share and the relationship between equity value and net assets. | Strong earnings with little cash, opaque non-GAAP measures or valuation assumptions that ignore senior claims. |
How to investigate a Bitcoin treasury stock before buying
1. Start with the latest filings
Read the most recent Form 10-K, Form 10-Q, earnings release and material-event filings. Check the reporting date because a Bitcoin balance or collateral amount can change materially between filing dates. Read the risk factors, liquidity section, notes on digital assets, debt, preferred stock, commitments and related-party transactions.
2. Reconcile the Bitcoin balance
Record the number of Bitcoin, the measurement date, the custodian, and whether coins are unrestricted, loaned, pledged or otherwise encumbered. Compare the balance with the prior filing and explain every material change through purchases, sales, mining production, lending or collateral movements.
3. Map every senior claim
Make a maturity calendar for debt, convertibles and preferred obligations. Include interest, mandatory amortization, dividend terms, collateral and covenants. Then compare those obligations with unrestricted cash and expected operating cash flow rather than with the gross Bitcoin balance alone.
4. Calculate dilution scenarios
Use the filing’s share count, outstanding options, warrants, convertible terms and authorized issuance. Model what happens if the company raises cash by selling shares after a 30%, 50% or larger fall in Bitcoin. The point is not to predict a price; it is to see how many shares could represent the assets after financing.
5. Test liquidity under stress
Ask whether the company can pay the next 12 to 24 months of cash obligations without selling Bitcoin. Then examine a scenario in which Bitcoin falls sharply, operating revenue declines and collateral requirements increase. Identify the first contractual trigger that could force a sale or additional capital.
6. Separate the operating business
Value mining, hosting, software or other operations independently from the treasury. For miners, review energy and hosting costs, facility utilization, equipment replacement and production economics. For trading or options activity, examine position limits, collateral and counterparty disclosures.

7. Review governance and treasury policy
Find out who approves purchases, sales, lending, leverage and derivatives. Strategy stated in its 2025 annual report that it evaluates its Bitcoin strategy on an ongoing basis in light of market conditions, capital structure, contractual obligations and anticipated operating cash needs. Treat that kind of policy as a starting point: read the authority granted to management and the board, plus any limits or exceptions.
Best Value
8. Compare the stock with the underlying claims
Use current market capitalization, debt, preferred claims, cash, other assets and Bitcoin holdings to estimate what common equity represents. Label every input with its date. A comparison based on an old filing can be misleading after a purchase, sale, financing or price move.
Scenarios investors should be able to explain
Bitcoin rises, but common stock lags
The company may issue shares, incur losses in its operating business, pay substantial interest or preferred dividends, or trade at a lower premium to its assets. Rising Bitcoin does not eliminate those claims.
Bitcoin falls moderately
Reported earnings may decline under fair-value accounting, while debt and operating costs remain. The company may still have enough cash, but its borrowing capacity and ability to issue equity can weaken.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesBitcoin falls sharply and collateral requirements rise
A lender may require additional collateral or permit liquidation under the agreement. The issuer could sell Bitcoin at a depressed price, issue heavily dilutive securities or negotiate with creditors. The exact outcome depends on the contracts.
A custodian or counterparty fails
Access to coins may be delayed, ownership may be disputed or recovery may depend on insolvency proceedings. Segregation, insurance and contractual rights affect the result but do not remove the exposure.
The operating business deteriorates
A miner may face higher energy costs, lower production or equipment failures; a trading operation may suffer losses or collateral calls. The stock can fall even if Bitcoin is flat.
Questions that cannot be answered from a ticker symbol
- How many Bitcoin are actually available to the company today, rather than reported at the last filing date?
- What percentage is pledged, loaned or subject to withdrawal restrictions?
- Which debt or preferred claim gets paid first, and when?
- How much dilution is possible under existing securities and financing programs?
- Can operating cash flow cover expenses without selling Bitcoin?
- What would trigger a margin call, default or forced liquidation?
- Who holds the keys and what rights apply if a custodian fails?
- Are reported profits mostly fair-value changes rather than cash receipts?
Tax and legal treatment depends on the security, issuer and investor’s jurisdiction. The filings can identify contractual and accounting risks, but they do not provide personal tax or legal advice.
Bottom line for prospective buyers
Bitcoin treasury stocks should be analyzed as leveraged corporate structures with Bitcoin exposure, not as interchangeable substitutes for holding Bitcoin directly. The decisive questions are whether the issuer can meet its obligations through a downturn, how much of the Bitcoin is encumbered, how much dilution or senior priority exists, whether custody and counterparties are sound, and whether the operating business creates or consumes cash. Only after answering those questions should an investor compare the stock’s current market value with the company’s assets and liabilities.
