What Risks Should Contractors Check Before Signing a Defense Construction OTA?

By Freedom251 Team · · 10 min read

Before signing a defense construction Other Transaction Agreement (OTA), verify that the agency has lawful authority to use an OTA for the specific work, then treat the agreement as a negotiated allocation of cost, schedule, performance, data, and legal risk. A Department of Defense prototype OTA under 10 U.S.C. § 4022 is not automatically valid for ordinary facility construction, repair, or military construction. The solicitation, appropriation, project scope, and final agreement—not the OTA label—control your obligations.

Have qualified government-contract counsel examine the draft before you commit. At minimum, resolve eligibility, deliverables and acceptance, payment and cost records, changes, delays, remedies, termination, technical-data rights, subcontractor responsibilities, follow-on production language, and construction labor standards.

1. Confirm that the OTA authority actually covers the work

The first risk is signing an instrument that is called an OTA but does not fit the statutory authority being cited. The central DoD prototype authority, 10 U.S.C. § 4022, is designed for a prototype project: a proof of concept, model, or novel application of commercial technology for defense purposes. That description does not, by itself, establish that a conventional building, utility upgrade, repair, or other facility project qualifies.

Ask the contracting activity to identify the precise authority, appropriation, and solicitation language. Request the written rationale connecting the proposed construction activity to the prototype objective. The Government Accountability Office (GAO) cautioned in GAO-25-107546, published September 3, 2025, that the agreement and acquisition planning must support the intended use; DoD officials summarized the point as: “a well-written OTA cannot compensate for a poorly planned acquisition.”

Eligibility conditions to document

GAO states that a DoD prototype OTA may be used only when at least one statutory condition is met. Your file should show which condition applies and how it was verified:

  • Participation by a nontraditional defense contractor or a nonprofit research institution.
  • All significant participants are small businesses or nontraditional defense contractors.
  • Specified cost sharing by the parties.
  • Approval by the senior procurement executive based on exceptional circumstances.

Do not accept a general statement that the project is “innovative.” Ask for the participant classifications, cost-sharing calculation, or approval document identified in the solicitation. If the agency cannot explain the eligibility path, pause negotiations until the issue is resolved.

2. Read the draft as a negotiated risk-allocation document

Unlike a standard Federal Acquisition Regulation (FAR) contract, an OTA normally uses customized terms. Flexibility can be useful, but it also means that protections you might expect from a standard clause may be absent, modified, or replaced. Every obligation needs to be located in the actual agreement, attachments, statement of work, drawings, specifications, and incorporated solicitation provisions.

Scope, deliverables, and acceptance

  • Define the work boundary: design, site preparation, construction, commissioning, testing, cybersecurity, training, and documentation.
  • List measurable deliverables, inspection points, test methods, and the person or office authorized to accept them.
  • State whether partial acceptance is possible and what happens to payment, warranty periods, and responsibility for unfinished interfaces.
  • Resolve conflicts among the statement of work, drawings, technical specifications, and negotiated terms before signature.

Acceptance language should not leave a government reviewer with unlimited discretion or make payment depend on an undefined concept such as “satisfactory completion.” Require objective criteria, notice of rejection, a cure period, and a process for resolving disputed technical judgments.

Schedule, site conditions, and government dependencies

Set a baseline schedule with milestones, float assumptions, access dates, utility outages, security clearances, government-furnished equipment, design reviews, and testing windows. Identify which events extend time automatically and which require a formal change. Site access, hazardous materials, archaeological findings, weather, unexploded ordnance, and security restrictions can affect a defense site, but the sources available here do not establish universal OTA clauses for those risks. The solicitation and site information must assign them expressly.

Payment, records, and pricing structure

Determine whether each element is fixed price, reimbursable, time and materials, milestone-based, or a combination. For every payment event, specify the required evidence, approval authority, retainage (if any), invoicing format, and payment deadline. If costs are reimbursable, identify allowable categories, indirect-rate treatment, advance approval thresholds, and audit or inspection rights.

Ask what books, invoices, labor records, subcontract records, and progress data the government may request and how long you must retain them. GAO reports that OTA flexibility can reduce DoD’s visibility into contractor costs, increasing the risk of inadequate oversight or overpayment. A negotiated record-access provision is therefore a commercial protection as well as a compliance obligation.

Changes, inspection, remedies, and disputes

The agreement should identify who can direct a change and when a direction becomes binding. Require written authorization before performing out-of-scope work, a method for pricing labor and materials, and a rule for disputed work that protects both safety and schedule. Address differing site conditions, government-furnished information errors, design changes, suspension, inspection failures, rework, warranty claims, liquidated damages, and limitations on consequential damages.

Specify the escalation path for a dispute, deadlines for notices, governing law, available administrative or judicial forum, and whether continued performance is required while a dispute is pending. Do not assume that the disputes, termination, or inspection regime in a FAR contract automatically applies to your OTA.

Termination and subcontractor performance

Clarify termination for convenience, termination for cause or default, payment for accepted work, demobilization costs, inventory, tooling, and transition assistance. Identify cure notices and termination-effective dates. Flow the same quality, security, data, labor, recordkeeping, and change-control obligations to subcontractors where needed, while avoiding promises you cannot enforce through your subcontracts.

3. Build cost visibility and change control before work starts

A contractor should not rely on the OTA’s flexibility as a substitute for a cost-control system. Before signing, negotiate a simple evidence trail that lets both parties know what was priced, what changed, and why.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Minimum cost-control questions

  • Which cost elements are included in the negotiated price, and which are excluded or capped?
  • Are labor categories, wage assumptions, escalation, material allowances, equipment, travel, and overhead stated?
  • What records support a reimbursable invoice or milestone payment?
  • Can the government inspect records or the site, and what notice and confidentiality rules apply?
  • What is the process for correcting an invoice, withholding a disputed amount, or recovering an overpayment?

Change-order safeguards

  1. Require a written request that identifies the technical change, affected drawing or requirement, and requested completion date.
  2. Submit a contemporaneous estimate showing labor, materials, equipment, subcontractor effects, overhead, fee, and schedule impact.
  3. Obtain written authorization from the official named in the agreement before beginning non-emergency changed work.
  4. Track changed and unchanged work separately in schedules, cost reports, and invoices.
  5. Document government-caused delay, site conditions, access restrictions, and inspection decisions when they occur, not months later.

These controls are especially important when a prototype effort moves from experimentation to construction-like production. A low initial price with vague change rules can become an uncontrolled exposure once design assumptions are tested on site.

4. Set technical-data and intellectual-property rights deliberately

Technical-data rights can determine whether you may reuse a design, whether the government can provide it to another builder, and whether a follow-on production effort is practical. DFARS Subpart 227.71 distinguishes unlimited, government-purpose, and limited rights, with the result often depending on whether development was funded by the government, privately, or with mixed funds. Review the current text at DFARS Subpart 227.71.

Prepare a data-rights schedule

  • List every technical-data and software deliverable, format, version, delivery event, and acceptance test.
  • Separate pre-existing commercial materials from project-developed designs and improvements.
  • Document the funding history for each item and apply the correct restrictive marking.
  • State the government’s license scope, duration, purpose, disclosure rights, and rights after termination.
  • Identify subcontractor and supplier data, confidentiality obligations, and the rights needed for maintenance or replacement.

DFARS specifically indicates that negotiated license rights should identify what release or disclosure the government may make and should be included in a license agreement. Do not leave those permissions to an informal email or a generic “government-purpose rights” reference. Confirm whether the government may disclose data to other contractors for competition, sustainment, repair, or a later production contract.

5. Do not treat the OTA as a promise of follow-on production

A prototype OTA can support a later production opportunity, but it does not guarantee that your company will receive one. DFARS 206.001-70 requires the prototype solicitation and agreement to include provisions for a follow-on production contract, while applicable statutory conditions still must be met. See DFARS 206.001-70.

Ask the agency to define “successful completion,” the evidence required to reach it, who determines success, and whether the government may compete the production requirement. Clarify whether follow-on production would use another OTA or a FAR-based contract, what eligibility and notice requirements would apply, and whether your data package is sufficient for another source to build the system.

GAO’s 2025 review found that ten of 18 selected weapon-system efforts planned to switch to standard contracts for production. That sample is not a universal transition rate, but it demonstrates why a contractor should price and staff the prototype phase without assuming a production award.

6. Check construction labor standards and site obligations

An OTA label does not answer whether construction labor rules apply. FAR 22.402 contains applicability rules and exceptions for construction work; review the current provision at FAR 22.402. FAR 22.403-1 describes prevailing-wage requirements for covered construction contracts over $2,000; see FAR 22.403-1.

Have counsel and your labor-compliance team determine how the rules apply to the instrument, location, work classification, employees, and subcontract tiers. Confirm:

  • Required wage determinations and worker classifications.
  • Payroll, timekeeping, posting, reporting, and record-retention duties.
  • Subcontract flow-down language and responsibility for lower-tier violations.
  • Site access, safety plans, security clearances, environmental permits, and hazardous-material procedures.
  • Whether bonds, insurance, warranties, or special indemnities are required by the solicitation or agreement.

No universal OTA requirement establishes bonding, insurance, safety, or environmental terms. Treat each as a document-specific question and obtain written answers before pricing the work.

7. Compare the OTA path with a standard contract

If the agency offers a genuine choice of contracting path, compare the practical consequences rather than assuming that an OTA is automatically faster or cheaper.

Risk area Prototype OTA Standard FAR-based contract Question for the contractor
Eligibility Must fit the cited prototype authority and a statutory condition. Uses the applicable procurement authority and competition rules. What legal authority and approval file supports this project?
Cost insight Negotiated records and oversight may be narrower or customized. Standard clauses can provide more established cost and audit mechanisms. What records and audits can the government require?
Changes and remedies Entirely dependent on negotiated language. Often governed by established clauses and case law. Who can order a change, and how is it priced?
Data rights Can be tailored, but must be written precisely. FAR/DFARS frameworks provide familiar default categories. What may the government disclose or reuse?
Production Follow-on provisions do not guarantee an award. Production vehicle and competition rules are specified in that procurement. What event creates eligibility for the next phase?
Construction compliance Applicability of labor and site rules must be analyzed for the actual work. Standard clauses may make applicable requirements easier to identify. Which requirements flow to every subcontract tier?

GAO reports that DoD programs sometimes use OTAs for prototyping and standard contracts for production to obtain greater cost insight. The better path depends on the project’s technical uncertainty, commercial participation, data needs, and the agency’s ability to administer the chosen instrument.

8. Use a documented pre-signing sequence

  1. Map the authority. Record the statute, appropriation, prototype objective, eligibility condition, and approving official.
  2. Read every incorporated document. Obtain the final solicitation, statement of work, drawings, specifications, attachments, and referenced policies.
  3. Create an obligations matrix. Assign each deliverable, date, acceptance test, record, labor duty, data marking, and flow-down to an internal owner.
  4. Model the money. Separate fixed, reimbursable, milestone, allowance, contingency, and change-order exposure.
  5. Negotiate event rules. Write procedures for access, delays, differing conditions, changes, inspection, rejection, payment, suspension, and termination.
  6. Lock down data rights. Attach a schedule covering background technology, new work, funding, markings, licenses, and disclosure rights.
  7. Validate the labor plan. Obtain wage determinations and confirm payroll, subcontract, safety, security, and environmental responsibilities.
  8. Test the production scenario. Determine what constitutes successful completion and what competition or eligibility conditions apply afterward.
  9. Obtain specialist review. Use qualified government-contract, construction, labor, tax, and intellectual-property counsel for the provisions that affect your exposure.

9. Warning signs that justify a pause

  • The agency cannot identify the statutory OTA authority or the qualifying prototype feature.
  • Acceptance depends on an undefined government judgment with no cure or dispute process.
  • Payment terms omit records, milestones, invoice review, or treatment of disputed amounts.
  • Government-directed changes can be issued orally or without a price and schedule mechanism.
  • Data deliverables and disclosure rights are described only in broad, uncapped language.
  • The agreement implies production preference but does not define success, eligibility, or competition.
  • Wage, safety, environmental, bonding, or insurance responsibilities are absent despite construction activity.
  • Subcontractors are expected to perform sensitive work without corresponding data, security, labor, or audit flow-downs.

What the numbers say about OTA exposure

GAO reported more than $18 billion in DoD OTA obligations in fiscal year 2024, up from $1.8 billion in fiscal year 2016. Within the 2024 total, the report separately identified more than $16 billion in prototype OTA obligations and $2 billion in reported production OTA use. These figures describe DoD-wide obligations, not the value or likelihood of any individual construction project.

The growth makes disciplined review more important, not less. A customized instrument can be efficient when its authority, scope, controls, and data terms are clear; it can be hazardous when flexibility merely shifts uncertainty to the contractor.
