It does not, by itself, prove that a buyer owns the underlying asset. The decisive questions are what instrument was issued, which contract and records control, who holds the asset, and what happens if an intermediary, platform or issuer fails.
For investors, the main exposures are weaker or indirect rights, counterparty and insolvency risk, custody and recordkeeping failures, illiquidity, technology dependence, market abuse and uncertain legal classification. Issuers also face unauthorized representations of their securities, reputational spillovers, fragmented markets and harder-to-manage shareholder communications. The analysis below focuses on tokenized securities and equity; treatment of tokenized real estate, commodities, funds and other assets varies by jurisdiction and contract.

What tokenization actually changes
A token is a digital representation recorded on a distributed ledger. The referenced asset may be a share, bond or other financial instrument held in a conventional account, immobilized with a custodian, or not held at all in a synthetic arrangement. The ledger can show who controls or can transfer a token, but the ledger entry is not automatically the legal title to the referenced asset.
The legal claim comes from the offering documents, account agreements, custody arrangements, corporate records and applicable law. A token balance can therefore coexist with a separate “master” securityholder or entitlement record. In some designs, the token is the security; in others, it is a receipt, a transfer instruction or evidence of a contractual claim. A buyer must identify that distinction before treating a token like an ordinary share.

Three common structures
| Structure | What the holder may have | Where the authoritative record may sit | Distinctive risk |
|---|---|---|---|
| Issuer-sponsored or native token | A security issued by, or under an arrangement authorized by, the issuer | Onchain, offchain, or both, according to the governing documents | Record synchronization, transfer restrictions and whether the token carries every statutory and corporate right |
| Third-party custodial, wrapped or receipt token | A security entitlement or contractual claim against a token issuer or custodian, supported by an underlying asset | Custodian and issuer records, with the token ledger showing the receipt | Intermediary default, asset segregation, redemption and the holder’s priority in insolvency |
| Synthetic token | Price exposure created by a contract rather than ownership of the referenced security | The issuer’s contractual and collateral records | No automatic vote, information, dividend or redemption right, plus issuer and collateral risk |
Calling a token “backed,” “wrapped,” “digital stock” or “receipt” does not settle the question. Read the terms that define redemption, voting, distributions, transfer, governing law and dispute resolution.
Investor risks, in the order they affect your claim
1. Rights and claim risk
The first risk is buying a different legal interest from the one you expected. A direct shareholder normally looks to the issuer’s corporate records and governing law. A receipt holder may instead have a claim against a custodian or token issuer, while a synthetic holder may only have a payment claim tied to a reference price.
Those differences can remove or delay voting, inspection, information, dividend and participation rights. Even where documents promise equivalent economics, exercising a right may require the intermediary to pass instructions through to the issuer by a deadline. The documents and records controlling the claim matter more than the token’s name or the wallet display.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problems2. Counterparty and insolvency risk
A third-party structure adds another balance sheet between you and the underlying security. If the token issuer, custodian, broker or platform becomes insolvent, recovery depends on whether the assets were segregated, whether the arrangement is bankruptcy-remote, the priority of your claim and the law of the relevant jurisdiction. None of those outcomes follows merely from seeing reserves or a token supply on a blockchain.
Read the custody agreement for title, segregation, rehypothecation, liens, set-off rights, insolvency procedures and the entity against which a claim is made. A promise to redeem is only as strong as the party and assets supporting it.
3. Custody, reconciliation and verification
Ask who holds each underlying share, bond or other asset; how often holdings are reconciled with token supply; which ledger is authoritative when records disagree; and who can mint, burn, freeze or transfer tokens. An audit of smart-contract code can show how the code behaves, but it does not prove that the custodian owns the stated assets or that the legal records recognize you as the owner.

Arrangements described by SEC staff can link onchain balances to offchain master securityholder or entitlement records. That connection creates a dependency on accurate synchronization, identity checks, corporate-action processing and transfer instructions. A break in any link can delay settlement or leave competing records during a dispute.

4. Liquidity, maturity and redemption risk
Trading on a token venue is not the same as having a reliable redemption right. A token may trade continuously while the underlying security trades infrequently, has transfer restrictions or cannot be sold until maturity. IOSCO’s Tokenization of Financial Assets report (FR/17/2025) warns that non-native tokens can create liquidity and maturity mismatches; in stressed conditions, holders seeking redemption at once can contribute to a run on available liquidity.
Before purchasing, identify the redemption window, price formula, notice period, fees, eligible counterparties and circumstances in which redemption can be suspended. Compare the token’s market depth with the underlying asset’s depth and maturity. A quoted price during normal conditions is not assurance that you can exit at that price during stress.
5. Operational and technology risk
Token ownership depends on wallets, private-key controls, smart contracts, identity services, oracle or pricing feeds, custody systems and the network used for transfers. A coding error, compromised administrator key, halted network, incorrect corporate-action file or failed integration can prevent a transfer or create inconsistent balances. Moving a record onchain does not remove dependence on offchain people and systems.
Review who can pause or upgrade the contract, how emergencies are handled, whether transfers can be reversed, how lost keys are recovered and what service-level commitments apply. The available SEC materials describe these dependencies but do not establish a general failure rate, so no universal reliability percentage can be assumed.
6. Market-integrity and venue risk
A token venue can introduce fraud, wash trading, manipulation, spoofing, cyberattacks, outages and fragmented pricing. Those are risks of the trading system, separate from the operating performance of the underlying issuer. A token price may move because of thin liquidity or a venue problem even when the referenced company has not changed.

Check which entity operates the venue, what surveillance and disclosure rules apply, how conflicts are managed, and whether customer assets are segregated from the venue’s own assets. Confirm that the venue is permitted to serve investors in your jurisdiction; a familiar app interface is not evidence of regulatory status.
7. Legal classification and compliance risk
A token described as a receipt or linked asset may be a security entitlement, a separate security, or potentially a security-based swap, depending on its economic and legal structure. Classification affects registration, exemptions, transfer restrictions, investor eligibility, disclosure and trading rules. An individualized legal conclusion cannot be drawn from the ticker, chain or marketing language.
The SEC Divisions of Corporation Finance, Investment Management, and Trading and Markets said in their Jan. 28, 2026 Statement on Tokenized Securities: “The format in which the security is issued or the methods by which holders are recorded (e.g., onchain vs. offchain) does not affect application of the federal securities laws.” The document expressly presents staff views, says it is not a rule, regulation or Commission guidance, has no legal force or effect, and creates no new obligations. Its practical message is that the instrument and arrangement—not the token label—drive the analysis.
What investors should verify before buying
- Identify the legal instrument. Obtain the offering memorandum, token terms, custody agreement and any master securityholder agreement. Determine whether you receive direct title, a security entitlement, a contractual claim or synthetic price exposure.
- Map every intermediary. Write down the token issuer, custodian, broker, venue, transfer agent and any entity responsible for corporate actions. For each, identify the governing law and the entity you would sue or file a claim against.
- Locate the authoritative record. Confirm whether ownership is established by the token ledger, an offchain register or both. Ask how discrepancies are resolved and whether a token transfer changes the legal register automatically.
- Test the rights package. Look for voting, information, dividends, distributions, redemption, conversion and transfer rights. Check deadlines and whether the intermediary may exercise discretion or aggregate holders.
- Analyze failure scenarios. Read segregation and insolvency provisions, reserve attestations, rehypothecation permissions, key-recovery procedures, contract-pause powers and redemption-suspension clauses.
- Compare liquidity and maturity. Record normal trading hours, market makers, order-book depth if disclosed, redemption timing, underlying-asset settlement cycle and any lock-up or transfer restriction.
- Check legal and geographic eligibility. Verify the product’s status in your residence and the venue’s permission to serve you. Do not assume that treatment in the United States applies elsewhere or to another asset class.
Risks issuers face, including when they did not authorize the token
Unauthorized representation and reputational spillover
Third parties can create tokens referencing a company’s shares without the issuer’s knowledge or consent. In his Jan. 22, 2026 SEC-hosted written submission, James Overdahl analyzes how fraud, manipulation or operational failures in such a market could be attributed by investors or the media to the referenced issuer. That is an author’s risk analysis, not an adopted Commission finding, but the reputational exposure is real even when the issuer did not issue the token.
An issuer should monitor public token markets for inaccurate claims about authorization, reserves, dividends and voting. It should have a process for correcting false statements and explaining what, if anything, the token holder legally owns.
Contagion and fragmented markets
Overdahl also discusses a potential transmission channel from a disrupted token market to traditional markets: investor concern could reduce liquidity or alter perceptions of the underlying security. This is a projected mechanism, not evidence that contagion has occurred. Multiple token venues can fragment price discovery and create inconsistent records or corporate-action instructions.

Shareholder visibility and governance
In some digital-receipt models, shares remain immobilized with a custodian while receipts trade elsewhere. The issuer may then see the custodian or an omnibus account rather than the ultimate beneficial owners. That can complicate proxy delivery, vote tabulation, dividend payment, tax reporting and direct shareholder communications. Theoretical rights may exist but be cumbersome to exercise through several intermediaries.
Disclosure, registration and structuring
Token format does not by itself remove securities-law obligations. An issuer must understand whether it is sponsoring the token, authorizing a transfer agent or merely being referenced by a third party. The rights, distribution method, trading venue, investor restrictions and recordkeeping design can each create obligations. Counsel should analyze the complete arrangement rather than relying on a “digital asset” label.
Multi-format operations
When a security can exist in tokenized and traditional forms, governance must define conversion, cancellation, duplicate-claim prevention, lost-key recovery, corporate actions and reconciliation. Some structures treat the token as a transfer instruction rather than the security itself. That distinction must be reflected in procedures, controls and public disclosures.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Do tokenized shares have the same voting and dividend rights?
Only the governing instrument and records can answer that question. A native issuer-sponsored security may be designed to carry ordinary shareholder rights, but restrictions or intermediary procedures can still affect their exercise. A custodial receipt may pass through economic distributions while requiring the custodian to solicit voting instructions. A synthetic token generally creates no shareholder vote unless a contract expressly provides an equivalent mechanism.
Before relying on a right, confirm who receives the proxy, who sets the record date, whether fractional or pooled holdings can vote, how unreturned instructions are treated and whether dividends are paid in cash, tokens or a contractual equivalent.
What happens if the platform or custodian fails?
There is no single result. If the underlying assets are properly segregated and the law recognizes your beneficial interest, you may have a path to transfer or recover them. If assets were commingled, pledged, missing or held through a weak contractual claim, you may instead rank as an unsecured creditor. A platform outage can also prevent transfers or redemptions without proving that the underlying issuer defaulted.
Investors should preserve account statements, transaction IDs, agreements and communications. Issuers and custodians should maintain immutable reconciliation logs, incident procedures and a clear process for communicating a pause, shortfall or insolvency filing.

Settlement efficiency is a possible benefit, not a safety guarantee
The SEC Investor Advisory Committee’s 2026 recommendation describes the U.S. equity market’s one-business-day interval, T+1, between trade execution and settlement at the time of publication. It notes that multiple counterparties and ledger updates contribute to that interval. The committee discusses tokenized delivery and payment occurring as one transaction, often called atomic settlement, as a potential design benefit.
Atomic settlement could reduce some timing and reconciliation exposures, but it does not guarantee finality, liquidity, accurate identity records, solvency or fair pricing. The committee’s document is an advisory recommendation, not binding regulation, and the existence of a faster technical transfer does not eliminate the legal and operational risks described above.

How asset and jurisdiction change the answer
U.S. securities examples cannot be generalized to every tokenized real-world asset. The analysis may differ for real estate, commodities, funds, deposits or claims issued under another country’s law. Transfer restrictions, property registries, insolvency rules, investor-protection regimes, tax treatment and licensing requirements vary by jurisdiction. A token that references the same economic asset can create different rights when the issuer, custodian, venue or governing law changes.
For any proposed investment or issuance, obtain advice on the specific instrument and jurisdiction. Treat international availability, secondary-market access and enforceability as separate questions rather than assuming that a global blockchain creates a global legal claim.
A practical risk matrix
| Question | Lower-complexity fact pattern | Warning sign requiring deeper review |
|---|---|---|
| Who issued the token? | The named issuer and authorization are documented | An unrelated party references the asset without consent |
| What do you own? | Documents clearly state direct title or a defined security entitlement | Marketing uses “backed” language but promises only a price-linked payment |
| Where is ownership recorded? | One authoritative register with documented reconciliation | Onchain and offchain records can diverge, with no stated resolution process |
| Who holds the asset? | A named, regulated custodian with segregation terms | Unknown custody chain, rehypothecation rights or pooled claims |
| Can you exit? | Defined redemption terms and a liquid underlying market | Trading exists but redemption is discretionary, delayed or suspended in stress |
| What rights travel with the token? | Voting, information and distributions are expressly described | Rights depend on an intermediary’s discretion or are not addressed |
| What happens in failure? | Segregation, recovery and governing law are explicit | No insolvency analysis, unclear priority or offshore venue with uncertain remedies |
The central discipline is to analyze the actual chain of claims: token holder to token issuer, token issuer to custodian, custodian to the underlying asset and, where relevant, the underlying issuer to its shareholders. Every link can add rights, costs and failure modes. Tokenization can improve transfer mechanics, but it cannot substitute for enforceable ownership, sound custody, transparent records and a market that remains liquid when participants need it most.
