Investing in a company that accumulates Bitcoin exposes you to Bitcoin’s price swings and to risks the company adds on top: concentrated assets, financing needs, dilution, debt obligations, custody and counterparty failures, and accounting or regulatory uncertainty. A share is a claim on the company—not a direct holding of Bitcoin—so its business, liabilities, financing terms and stock valuation matter too.
Is a Bitcoin treasury stock the same as owning Bitcoin?
No. Buying shares gives you an interest in a company, not ownership of a set amount of its Bitcoin. The company controls its assets and decides how to finance, hold or use them, subject to its obligations and governing documents. The stock price can therefore move differently from Bitcoin’s price: operating results, debt, new share issuance, investor sentiment and the price investors are willing to pay for the shares all matter.

There is no established rule that these stocks always trade at a premium or discount to the Bitcoin they hold. Price swings and concentration
If Bitcoin falls, the market value of a company’s holdings can fall as well. The effect may be more consequential when Bitcoin makes up a large share of the company’s assets and there is little operating business or other treasury exposure to offset it. Strategy says the bulk of its assets are concentrated in Bitcoin, limiting its ability to reduce risk through a diversified treasury; that is a company-specific disclosure, not a description of every issuer.
#1 Best Overall
- BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
To illustrate the scale of historical movement without implying what happens next, Strategy’s 2025 Form 10-K reports that during the 12 months preceding the report, Bitcoin traded below $65,000 and above $120,000 per Bitcoin on Coinbase, which the company identifies as its principal market. That is an issuer-reported range for that particular lookback period, not a current price range or forecast. Strategy’s 2025 Form 10-K
Financing, dilution and obligations
A company that keeps buying Bitcoin may rely on raising money through share sales, borrowing or issuing preferred securities. Strategy says substantially all its Bitcoin purchases were funded through equity and debt financing, and that difficulty obtaining financing on favorable terms could impede its strategy. This can create risks beyond Bitcoin’s price:

- Issuing common shares can dilute existing shareholders’ ownership and potential claim on future value.
- Debt adds repayment obligations and may also bring interest, maturity, covenant or collateral terms.
- Preferred securities may carry dividends, redemption provisions or priority over common shares; the actual terms determine the effect.

Liquidity and the possibility of selling at a bad time
Bitcoin is not equivalent to cash for paying bills. A company may find it cannot sell holdings quickly, at a favorable price, or at all during market disruption. If cash and other funding are inadequate when interest, dividends, operating costs or debt payments come due, it could need to sell Bitcoin under unfavorable conditions. That is a possibility—not an inevitable outcome for every Bitcoin-holding company.

Can a Bitcoin treasury company be forced to sell?
A company may have to sell if it needs funds for obligations and cannot obtain them elsewhere on workable terms. Bitcoin-price declines alone do not establish that a sale must occur; the answer depends on the company’s cash, upcoming obligations, financing access and any restrictions or collateral arrangements. The filings cited here describe the possibility of unfavorable or unavailable sales, but do not establish a universal threshold at which an issuer will be forced to sell.

When assessing this risk, compare unrestricted cash and cash equivalents with obligations as they fall due. Also check whether Bitcoin is pledged as collateral, whether borrowing arrangements could create additional demands, and what funding alternatives the company has described in its filings.
What custody, cyber and counterparty risks should shareholders consider?
Holding Bitcoin requires secure control of private keys or reliance on a custodian or other service provider. A loss of keys, cyberattack, custodian insolvency, exchange disruption or counterparty non-performance can impair access to assets or cause losses. Institutional custody can reduce some operational risks, but does not eliminate legal, insolvency or access risks.

One issuer filing warns that the legal treatment of Bitcoin in custodial accounts during insolvency is not fully developed and that access could be delayed or holdings could be treated as property of a custodian’s estate. That is a disclosed risk, not a conclusion about any particular custodian. Check how the company controls access, whether assets are pledged or rehypothecated, how trades are executed, and what its filings say about service-provider failure. Why can earnings change even when the company receives no cash?
Accounting rules can cause reported earnings to reflect changes in Bitcoin’s value that are not cash proceeds. Strategy says it adopted ASU 2023-08 effective January 1, 2025, measuring Bitcoin at fair value and recognizing period-to-period changes in net income. Under that treatment, an unrealized gain is not cash earned, and periods before and after adoption may not be directly comparable. Read the company’s accounting policy and cash-flow statement alongside its reported net income. Strategy’s 2025 Form 10-K
Tax treatment and regulation can also affect the economics of holding or selling Bitcoin. Company filings may identify potential tax effects or hypothetical regulatory scenarios; those contingencies should not be read as current legal outcomes unless the filing says they have occurred.

Use filings for the same reporting date, since asset values and financing can change. Compare these factors without assuming that any single figure or policy proves an issuer is safe:
- Bitcoin as a share of total assets, alongside the scale and performance of any operating business.
- Unrestricted cash relative to near-term operating, interest, dividend and debt obligations.
- Debt and preferred securities, including maturities, interest or dividends, covenants, collateral and redemption terms.
- Share issuance and financing history, including the terms and stated uses of proceeds.
- Custody arrangements, access controls, pledged assets and material counterparty dependencies.
- Accounting policies and whether the reporting periods being compared use the same treatment.
- The stock’s current valuation and the other ways an investor could obtain Bitcoin exposure.
Also consider whether the strategy has been tested through different market conditions. Strategy states in its 2025 Form 10-K: “Our bitcoin strategy has not been tested over an extended period of time or under all market conditions.” That is the issuer’s risk disclosure, not an independent assessment or a prediction that the strategy will fail.
