An issuer-sponsored token may be the company’s share and carry that class’s voting, dividend and liquidation rights. A custodial or wrapped token may represent an indirect interest in shares held by an intermediary. A synthetic token may only be a contractual or derivative claim whose value follows a stock, with no ownership or rights against the company that issued the referenced shares.
The label, trading price or blockchain record cannot establish what you own. The answer depends on the token’s legal structure, issuer, custody chain, governing documents and applicable law. The U.S. Securities and Exchange Commission (SEC) describes these as distinct models and warns that rights vary between them.
Three structures, three very different relationships
Before asking whether a token holder can vote or receive dividends, identify what the token legally represents. SEC investor education and staff statements distinguish issuer-sponsored, custodial (or wrapped) and synthetic or linked structures. These labels describe common patterns, not a legal conclusion about every product.
| Structure | What the token may represent | Rights and protections to verify |
|---|---|---|
| Issuer-sponsored | The stock issuer or its agent issues the security on a blockchain and may record ownership in the issuer’s official system. | Whether it is the same share class as the listed stock; issuer recognition; voting; dividends; corporate actions; transfer restrictions; and liquidation rights. |
| Custodial or wrapped | A token representing an indirect interest in underlying shares held by a custodian, or a securities entitlement through an intermediary. | Who owns and safeguards the shares, which rights are passed through, how instructions are handled, and what claim exists if an intermediary or custodian fails. |
| Synthetic or linked | A security, derivative or other contract issued by a third party whose value tracks a referenced stock. | The identity and creditworthiness of the counterparty, contract remedies, fees and settlement terms. Do not assume ownership, votes, dividends or recourse against the referenced-stock issuer. |
The SEC’s January 28, 2026 staff statement explains that a token may or may not represent ownership of, or an obligation by, the issuer of the underlying security. The SEC’s Investor.gov explanation likewise says that a synthetic holder, under the described model, has no claims or rights against the issuer of the referenced security.

What rights an issuer-sponsored token can provide
If the stock issuer itself (or its authorized agent) issues the on-chain security and recognizes the holder, the token may carry the rights of a traditional share of that class. “May” is important: the tokenized security could be a different class with different rights, even when it tracks the same company.
Voting
Check the company’s governing documents and the token terms to determine who is recorded as the shareholder. A holder may be able to vote directly through the issuer’s system, submit instructions to an agent, or have a record date and procedure that differ from conventional brokerage shares. A token transfer alone does not prove that the transferee is entered in the issuer’s official ownership records.

Dividends and distributions
For an issuer-sponsored share, dividends and other distributions can be rights of the class. The documents should state the record date, payment method, treatment of fractional interests and what happens when a holder is not eligible because of a transfer or geographic restriction. A price increase that appears to reflect a dividend is not evidence that a legal payment is owed.
Corporate actions and liquidation
Rights in a split, merger, tender offer, conversion or liquidation depend on the class and the issuer’s procedures. Confirm whether notices reach token holders, how elections are made and whether an agent is responsible for delivering cash or replacement securities. Do not assume that an on-chain balance automatically updates or that every corporate action is supported.
What changes with a custodial or wrapped token
A wrapped token usually places at least one intermediary between you and the underlying share. The custodian may hold the stock in an omnibus account, while a platform records token balances. Your interest could be a securities entitlement, an indirect beneficial interest or a contractual promise to deliver value. Those categories can carry different property and insolvency protections.
Voting may not pass through
The SEC Investor Advisory Committee has identified possible voting-right differences between native-token holders and holders of wrapped securities. An intermediary may collect voting instructions, impose deadlines, vote in its own discretion where permitted, or provide no voting mechanism. Read the custody agreement and proxy procedures rather than relying on the fact that one underlying share is held for each token.
Dividends can be pass-through payments, not direct rights
A custodian may receive a dividend and be required to pass it through, may deduct fees or withholding, or may owe only a contractual amount calculated by reference to the dividend. The terms should identify who is liable for a missed or delayed payment and how stock dividends, rights offerings and other non-cash events are handled.

Custody and segregation matter
Find out where the underlying shares are held, in whose name, and whether they are segregated from the custodian’s own assets. A token balance on a private ledger does not by itself show that a corresponding share exists or is available to you if the intermediary fails. The governing documents, account records and applicable law determine whether investors have a property claim, a securities entitlement or only an unsecured contractual claim.
What a synthetic token generally does not provide
A synthetic or linked token can be designed to follow a stock’s price without representing the company’s share. Your counterparty may promise cash settlement, token redemption or another formula based on the reference price. Under the SEC’s described synthetic model, the holder has no claims or rights against the issuer of the referenced stock.
No shareholder status
Unless the contract expressly creates it through another mechanism, a synthetic holder is not entered on the company’s share register and cannot demand a vote, inspect shareholder records or bring shareholder claims against that company merely because the token tracks its stock.
Economic adjustments are contractual
The contract may adjust for dividends, splits or other events, but an adjustment is not the same as a dividend right in the underlying shares. Look for calculation dates, market-data sources, fees, disruption events, early termination clauses and the counterparty’s discretion.

Counterparty risk is central
If the issuer of the synthetic token cannot perform, your claim is generally against that issuer or another contractual counterparty, not automatically against the referenced company or its assets. Commissioner Hester M. Peirce described this kind of third-party-token counterparty risk in her July 9, 2025 statement, “Enchanting, but Not Magical.” Her statement is a commissioner’s view, not a Commission rule or a case-specific ruling.
Protections that may be missing or weaker
- Direct issuer recognition: The token may be a separate instrument rather than the company’s share. Confirm whose records establish ownership.
- Voting access: An intermediary may not pass voting rights through, may set different deadlines or may have discretion over instructions.
- Dividends and corporate actions: Payments can be mandatory pass-throughs, discretionary amounts or absent altogether, depending on the terms.
- Claims against the company: Synthetic holders may have only a contractual claim against a token issuer or counterparty.
- Failure protection: The outcome if an issuer, custodian or platform becomes insolvent depends on segregation, account structure, contracts and applicable law. It cannot be inferred from the token’s name.
- Legally effective transfer: A blockchain transaction may move a private-key balance without completing the legal transfer of a security or entitlement. Restrictions, approvals, record updates and settlement steps may still apply.
- Regulatory coverage: “Tokenized security” is not a single regulatory category. A particular instrument may be the security itself, an entitlement, a receipt, a derivative or another contract. The protections attached to one category do not automatically attach to another.
Commissioner Peirce’s concise formulation—“Tokenized securities are still securities.”—supports the point that changing the format does not erase securities-law obligations when the instrument is a security. It does not determine the rights of a particular token holder.
How to determine what a named token actually gives you
Use the current offering documents, custody agreement, issuer records and venue rules. The following sequence prevents the most common mistake: treating a price-tracking token as proof of share ownership.
- Identify the issuer. Is the token issued by the stock company, its agent, a custodian, a broker, an exchange or an unaffiliated third party?
- Classify the legal interest. Find the exact language stating whether the token is a share, security entitlement, indirect interest, receipt, derivative or contractual claim. Identify what legally transfers when the token changes hands.
- Check issuer recognition and class. Determine whether the underlying company records token holders and whether the token represents the same class as the traditional listed stock.
- Trace the backing shares. If shares are held in custody, identify the custodian, account location, segregation rules and the documents governing claims after a custodian failure.
- Read the voting procedure. Find the record date, instruction deadline, submission method and any right of the intermediary to decline, aggregate or not pass through instructions.
- Read distribution provisions. Determine whether dividends and corporate actions are mandatory pass-throughs, how withholding and fees work, and who is liable for a shortfall.
- Check transfer and redemption limits. Look for geographic restrictions, identity checks, holding-period rules, whitelists, settlement conditions, redemption windows and whether an on-chain transfer is legally effective.
- Map insolvency claims. Ask who your actual debtor is if the issuer, custodian or platform fails. Do not assume the underlying shares are directly recoverable.
- Review regulatory filings and disclosures. Identify registration statements, exemptions, prospectuses, custody disclosures and the regulator or venue responsible for the offering.
This is a document-review checklist, not individualized legal advice. The specific terms in force for the product and the law of the relevant jurisdiction control.

How to compare two tokenized-stock offerings
Comparisons are meaningful only after reading both products’ current primary terms. Use the same questions for each offering:
| Comparison axis | Questions to answer |
|---|---|
| Legal interest | Is it the share itself, an entitlement, an indirect interest, a receipt or a synthetic claim? |
| Issuer and class | Does the underlying issuer recognize holders, and is the share class identical to the conventional stock? |
| Voting and actions | Who votes, how are instructions submitted, and are proxies, tenders and other actions passed through? |
| Distributions | Are dividends and non-cash events mandatory pass-throughs, adjusted contractually or excluded? |
| Custody and failure | Who holds the shares, how are they segregated, and what claim exists in an insolvency? |
| Transfer and redemption | What restrictions apply, and does a network transfer correspond to a legally effective transfer? |
| Regulatory framework | Which filings, exemptions, disclosures, venue rules and jurisdictions apply? |
A product should not be ranked as “safer” merely because it uses a public blockchain or publishes proof of reserves. Those features may address operational transparency while leaving shareholder status, voting, dividend and insolvency questions unanswered.
Common assumptions that lead investors astray
“The token has the stock ticker, so I own the stock.”
A ticker or marketing name is not a legal description. Read the instrument definition and ownership records.
“One token equals one share, so the rights must be identical.”
That statement could describe an issuer-sponsored token, an accounting ratio for a wrapped product or a pricing convention for a synthetic contract. The ratio does not establish voting, dividend or bankruptcy rights.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minute“The blockchain proves ownership.”
The blockchain can show control of a digital record. It does not by itself prove that the record is the issuer’s official share register entry or that a transfer satisfied securities-law and contract requirements.
Best Value
“A hardware wallet creates investor protection.”
A wallet can protect access to private keys, but it cannot turn a synthetic claim into a share, create voting rights, guarantee dividends or determine what happens when an issuer or custodian becomes insolvent.
U.S. regulatory context and limits
The SEC materials cited here are U.S.-focused. The Investor.gov page identifies its explanation as staff investor-education material and summarizes a March 17, 2026 SEC interpretive release; staff views do not have the same legal force as a statute, regulation, adjudication or a product-specific order. The January 28, 2026 staff statement describes structures and assumptions about valid issuance and transfer, while the Investor Advisory Committee’s recommendation is advisory rather than binding law.
Rights outside the United States may differ substantially. Even within the United States, the result can change with the issuer, intermediary, account type, contract language, registration status, transfer restrictions and the state or federal law applied to an insolvency. For a material investment, a qualified securities lawyer should review the current documents instead of relying on a product label or a general explainer.
