Short answer: A 26% holding does not come with one universal package of rights. Your position depends on the project company’s jurisdiction, the class and voting rights of your shares, its articles, the shareholder agreement, and the financing and project documents. Under an English-law example discussed in a 2006 project-finance commentary, 26% is strategically important because it can block special and extraordinary resolutions. That is a jurisdiction-specific illustration, not an automatic veto over daily operations or every major project decision.
What a 26% stake establishes—and what it does not
Ownership percentage is only the starting point. First identify what the 26% measures: issued shares, voting shares, a particular class, or an economic interest after preferred or non-voting securities are counted. The relevant denominator may change if the company issues new shares, if different classes vote separately, or if a resolution requires approval from a defined group rather than all shareholders.

Separate the possible rights into three layers:
- Statutory rights: protections supplied by the company law that governs the project company.
- Constitutional and contractual rights: provisions in the articles, share terms and shareholder agreement, including negotiated vetoes, board rights and information access.
- Financing and project rights: lender consents, distribution restrictions, step-in rights and other controls in the financing and project documents.
A right that appears in one layer can be limited by another. For example, a shareholder may have an entitlement to dividends under the shareholder agreement, while financing covenants prevent a distribution until debt-service tests are met.

The English-law threshold example
A project-finance commentary published in 2006 states: “For example, under English law, a shareholding of 26% is strategically important because it permits the blocking of special and extraordinary resolutions.” The practical arithmetic is that a 26% voting block can prevent the 75% approval commonly associated with a special resolution, assuming the shares carry votes and the relevant threshold is calculated across the same voting pool.

That statement should be read narrowly. It does not mean that a 26% investor can veto an ordinary resolution passed by the required majority, instruct management, or stop every capital expenditure, contract or operational decision. The commentary is older, and company-law rules, the company’s constitution and the resolution wording must be checked for the transaction’s jurisdiction and date.
Questions that determine the real blocking power
- Does the investor’s share class vote on the resolution?
- Is the threshold calculated against votes cast, all issued voting shares, or a separate class?
- Is a quorum required, and can the investor prevent the quorum from being met?
- Does the articles document set a higher threshold than the statutory default?
- Does the shareholder agreement require the investor’s consent for additional matters?
A negotiated consent right can be broader or narrower than the statutory position. It may cover a list of “reserved matters” even when the same action would pass as an ordinary resolution under company law.
Does a 26% investor automatically get a board seat?
No. A board appointment, nomination or observer right must be found in the articles, share terms or shareholder agreement, unless local company law provides a specific minority-election mechanism. The documents may give the investor the right to nominate one director, appoint an alternate, attend as a non-voting observer, or participate in a committee. They may also specify the attendance needed for a board quorum or require the nominee’s consent for selected decisions.

Board participation is not the same as shareholder control. Directors owe duties to the project company and, under UK PFI guidance, “are legally required to act in the interests of the company and its shareholders.” A nominated director cannot simply follow an investor instruction that conflicts with those duties or with the company’s legal obligations.

Board terms to inspect
- Number of seats or observer places allocated to each investor.
- Appointment, removal and replacement procedures.
- Board and committee quorum rules, including whether the nominee must attend.
- Voting rules and any casting vote for the chair.
- Confidentiality, conflicts and access to board papers.
- Whether a director’s consent is required for specified reserved matters.
What are reserved matters?
Reserved matters are actions that require enhanced approval, often including a particular shareholder’s consent. They are negotiated protections, not an automatic consequence of holding 26%. Published project-company agreements illustrate the range of subjects that parties may include.
| Decision area | What the investor should verify | Why it matters in a project |
|---|---|---|
| Constitution and capital | Amending articles, changing share rights, issuing shares or classes, reorganising capital or reducing capital | Can alter voting power, priority and dilution exposure |
| Funding and security | Borrowing limits, guarantees, security grants and material financing changes | May increase leverage or rank the investor behind new creditors |
| Plans and spending | Annual budget, business plan, material expenditure and changes to project scope | Controls the assumptions on which returns and construction obligations depend |
| Distributions | Dividend policy, distribution declarations and restrictions linked to financial tests | Determines when an accounting profit can become cash for shareholders |
| Assets and corporate transactions | Material asset sales, mergers, acquisitions, liquidation or winding-up | Can transfer project value or end the investment vehicle |
| Business scope | Entering a new line of business or changing the project’s permitted activities | Prevents the company from taking risks outside the agreed project |
Check whether approval is an affirmative consent right, a supermajority threshold, or merely a consultation obligation. Also check timing: a veto that expires after a short notice period is materially different from an open-ended consent requirement.
What information and monitoring rights should 26% investors expect?
Information rights are usually documented rather than inferred from the percentage. A shareholder agreement may require periodic financial statements, budgets, business plans, project-performance reports and notice of material events. It may provide inspection of books, audit access or the ability to ask management questions within defined confidentiality limits.

Confirm delivery dates, permitted recipients, audit costs and remedies for late or incomplete reporting. Lender confidentiality and personal-data rules can restrict what the company may disclose, so the agreement should explain how those limits are handled.

What economic and transfer protections can be negotiated?
A 26% holding does not itself guarantee a dividend, protection from dilution or a way out. Those outcomes depend on the share terms, articles, shareholder agreement and financing covenants.
Dividends and priority
Review the dividend policy, any preferred return, distribution waterfall and conditions imposed by lenders. The company may be prohibited from paying dividends while it is in default or below required debt-service coverage. A board or shareholder approval requirement can also delay payment even when cash is available.
Pre-emption and anti-dilution
Pre-emption rights may allow the investor to buy part of a new issue to maintain its percentage. Anti-dilution provisions can instead adjust the number or terms of shares after a down-round or other specified issue. Read the exceptions: employee plans, acquisition consideration, emergency financing and lender-enforced issuances are often treated differently.
Transfers and exits
Transfer restrictions may include a right of first refusal, permitted-transfer rules, lock-ups, tag-along rights or drag-along rights. A tag right can let a minority holder sell on the same terms as a controlling seller. A drag right can require the minority to sell when the specified threshold is met. Buy-sell, put, call or other exit mechanisms may apply after a deadlock or defined project event.

Can the majority dilute a 26% investor?
Possibly, but not automatically. The answer turns on pre-emption rights, class-consent provisions, issue-price rules, shareholder-agreement protections and the directors’ authority to issue shares. Even where a new issue is legally permitted, an investor may have a contractual right to participate or a reserved-matter veto.
Ask for the fully diluted capitalization table, including options, warrants, convertibles and shareholder loans that can convert into equity. Then model the investor’s percentage before and after each permitted issuance. A nominal 26% today may become materially smaller if the documents allow new equity without participation rights.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. Can the investor be required to put in more money?
Not merely because it owns 26%. UK government financial-stress guidance says shareholders and lenders do not usually have an obligation to put more money into the project company beyond their original investment. That is a general observation about project-finance structures, not a release from a signed commitment.

- Completion support, cost-overrun undertakings or guarantees.
- Letters of credit, performance support and contingent funding arrangements.
- Default remedies if an investor fails to fund, including dilution, loss of rights or forced transfers.
Financing documents may also give lenders step-in or enforcement rights. Those rights can temporarily displace ordinary governance arrangements if the project is in default, so an equity investor should review the direct agreements and security package, not just the shareholder agreement.

Does 26% amount to control for accounting purposes?
Percentage ownership alone does not establish control. AASB 10 application guidance states, “Power arises from rights.” The relevant question is whether the investor has current rights that give it the ability to direct the activities that significantly affect returns. Examples include rights to appoint or remove key management and rights to direct or veto significant transactions.
This is an accounting assessment, not a universal company-law test. An investor with 26% may have substantive contractual rights that create power in particular circumstances, while another investor with the same percentage may have only protective rights. The actual agreements, dispersed ownership and facts at the reporting date must be assessed under the applicable accounting framework.
How infrastructure project structures change the analysis
Infrastructure projects commonly use a special purpose vehicle (SPV) to sign the project agreement and coordinate construction, operations and financing. UK PFI guidance describes the project company as an SPV whose shareholder agreement addresses voting rights, dividend policy and investor disputes, while construction and services contracts outsource delivery obligations.

Shareholders govern the company, directors manage it subject to their duties, the project agreement imposes performance obligations, contractors deliver defined services, and lenders protect debt repayment. A 26% shareholder may be influential in the company without being able to waive a concession requirement, amend a construction contract unilaterally or override a lender covenant.
A document-by-document review for a 26% investment
- Confirm the legal perimeter. Identify the project company, place of incorporation, governing law, concession jurisdiction and the date on which the rights will be exercised.
- Read the share terms and articles. Record voting rights, class votes, thresholds, quorum, dividend priority, transfer restrictions and capital-issue powers.
- Map the shareholder agreement. Mark board appointments, reserved matters, information rights, funding commitments, deadlock procedures and exit rights.
- Trace the financing documents. Check distribution blocks, consent rights, mandatory prepayment, security enforcement and lender step-in provisions.
- Review the project agreement and key contracts. Identify change-control, termination, performance, insurance and assignment provisions that affect shareholder value.
- Build the ownership model. Include all classes and convertibles, then calculate voting and economic percentages under proposed issuances and transfers.
- Test failure scenarios. Ask what happens after a missed funding call, deadlock, covenant breach, cost overrun, contractor default or attempted sale.
- Obtain current local advice. The 2006 English-law example is useful for framing the threshold question but cannot replace advice on current law and the executed documents.
How to compare two proposed 26% investments
Compare the packages on the same axes rather than comparing percentages alone:
| Comparison axis | Questions to ask |
|---|---|
| Law and thresholds | What jurisdiction applies, and which ordinary, special or class thresholds can the stake block? |
| Board influence | Is there a director nomination, observer seat, committee role or quorum protection? |
| Reserved matters | Which capital, financing, budget, dividend, asset, merger and scope decisions require consent? |
| Information | How often are accounts, budgets, project reports and material-event notices delivered? |
| Economic protection | Are dividends, pre-emption, anti-dilution and transfer rights clearly drafted? |
| Funding exposure | Are future equity, shareholder loans, guarantees or cost-overrun commitments capped? |
| Lender interface | Can a lender block distributions, replace control or enforce security after a default? |
| Deadlock and exit | What escalation, mediation, arbitration, buy-sell, tag, drag or put/call remedies apply? |
Common mistakes to avoid
- Calling 26% a veto without naming the resolution. The English-law example concerns special and extraordinary resolutions, not every decision.
- Assuming a board seat. Appointment rights must be written or supplied by applicable law.
- Treating economic ownership as voting power. Non-voting or preferred shares can produce different percentages.
- Ignoring the fully diluted cap table. Future issues and convertibles can reduce both voting and economic influence.
- Overlooking lender controls. A shareholder right may be suspended or constrained by financing covenants and enforcement rights.
- Assuming no future funding obligation. General project-finance practice does not override a signed equity, loan, guarantee or support commitment.
- Relying on an old legal commentary as current law. Verify the governing statute, amendments and transaction documents at signing and when a decision is challenged.
What a transaction-specific answer requires
No one can determine the rights of a particular 26% investor from the percentage alone. The decisive facts are the project company’s identity and jurisdiction, the executed articles and share terms, the shareholder agreement, financing documents, project agreement and any direct agreements with lenders or government counterparties. Have counsel reconcile those documents so that a promised consent right is not contradicted by a later financing or constitutional provision.
The most defensible conclusion is therefore conditional: 26% may provide a powerful blocking position for specified resolutions, especially under the cited English-law example, but the investor’s board influence, information access, economics, dilution protection, funding exposure and exit rights exist only to the extent that applicable law and signed documents provide them.
