An exclusive supplier contract can help secure supply or support better service, but it can also commit your restaurant to buy from one source, accept future price changes, and pay to leave. Before signing, identify exactly what you must buy, calculate the full-term cost under realistic scenarios, and make sure the agreement gives you workable options when prices rise or service fails. The legal rules depend on where you operate; have local commercial counsel review consequential obligations and competition concerns.
What “exclusive” means in this agreement
Do not rely on the contract’s title or a salesperson’s shorthand. Read the operative language to establish what the commitment covers and how it applies to your business.

- Products and services: Identify whether the covered category includes only named goods or also substitutes, packaging, beverages, equipment, maintenance, delivery, or products supplied by the vendor’s affiliates.
- Purchasing commitment: Check whether you must buy all your requirements, a stated share, a minimum quantity, or only specified items. Note how the agreement defines your requirements and whether the minimum can change.
- Locations and entities: Confirm whether the obligation applies to one restaurant, several existing locations, or locations opened later, and whether the signing entity is you, a franchisee entity, or another company.
- Alternatives: Find out whether equivalent goods are permitted, who approves them, and how quickly the supplier must respond. Look for exceptions for recalls, shortages, late deliveries, quality problems, emergencies, and supplier outages.
- Duration: Check whether any purchasing restriction continues after the contract ends, and whether a separate franchise or other agreement imposes a similar restriction.
The FTC notes that U.S. restaurant franchisees may be required to use approved suppliers even when similar goods are available at lower prices elsewhere. That is a franchise example, not a rule that applies to every independent restaurant or every supplier agreement. See the FTC’s Consumer’s Guide to Buying a Franchise.

Calculate the cost over the whole term
An opening quote is not the same as the cost you will pay over a multi-year term. Compare each proposal using the same expected purchase quantities and include the charges and restrictions that affect what the restaurant actually spends.

| What to compare | What to check in the offer | Why it matters |
|---|---|---|
| Product price and adjustments | Fixed price, pricing formula, supplier discretion, adjustment triggers, notice period, caps, and any right to reject an increase or exit | A low initial price can become less favorable if increases are broad, frequent, or difficult to refuse. The Competition Bureau Canada flags escalation clauses that may permit increases at any time or for many reasons. |
| Landed cost | Freight, fuel, delivery, handling, minimum-order charges, equipment costs, fees, and required ancillary purchases | These items can change the cost of receiving and using the goods even if the quoted unit price stays the same. |
| Volume and waste | Minimums against realistic historical use; seasonal changes; treatment of expired, damaged, recalled, or unused goods; return and credit terms | A minimum based on an optimistic forecast can leave you paying for goods you cannot use. Do not count claimed savings as a benefit if they depend on forced excess purchases. |
| Rebates and credits | Who receives rebates, commissions, or credits; how they are calculated; when they are paid; and whether they reduce your cost | A benefit described as a rebate may not reach the restaurant or may depend on meeting conditions. |
| Exit exposure | Early-termination fee or liquidated damages, equipment return or buyout, transition costs, and any remaining purchase obligation | A contract that looks inexpensive at the start may be costly to leave if its price, service, or the restaurant’s needs change. |
Model at least the expected case and a less favorable case—for example, an allowed price increase, a change in purchasing volume, or an early exit. Use the agreement’s actual formulas and timelines rather than assuming the quoted price or savings will continue unchanged. A bookkeeper or accountant can help model volumes, adjustments, rebates, and exit costs; that work does not replace legal review of the contract.
Make service promises enforceable
Exclusivity makes reliability important: if the chosen supplier cannot deliver, the restaurant may have limited ability to buy elsewhere. Put operational expectations and remedies in the agreement rather than relying on sales assurances.

- Define what happens after repeated late, incomplete, or nonconforming deliveries, including whether the restaurant can buy elsewhere temporarily or terminate.
- Check whether the agreement itself makes these promises binding. A sales presentation or verbal assurance may not be incorporated into the signed terms.
Review the term, renewal, and exit before the price
Mark every notice deadline and calculate the practical cost of ending the relationship. The Competition Bureau Canada warns that automatic renewal can lock a business in, early-termination fees can be costly, and a right of first refusal may require disclosing a competitor’s offer and give the incumbent supplier an opportunity to match.
Recommended Free Tools
- Term and renewal: Identify the initial commitment, renewal length, whether renewal is automatic, how and when to opt out, and whether renewal resets the price or other terms.
- Termination rights: Check whether termination is allowed for cause, repeated service failure, a price increase, convenience, or only after a breach. Note any notice and cure period, and whether the supplier has broader rights than the restaurant.
- Fees and transition: Calculate early-exit charges and identify equipment return, final payments, data or inventory handover, and any assistance needed to switch suppliers.
- Post-term restrictions: Look for continuing purchase requirements, matching rights, or restrictions on soliciting employees or customers, and understand their duration and scope.
Before agreeing to a renewal or matching right, consider whether you can obtain another quote and make a timely decision without disrupting service. If the clause requires you to reveal a competitor’s offer, understand exactly what must be disclosed and what the supplier may do with that information.

Know what risk the contract puts on the restaurant
Exclusivity and price are only part of the commitment. Review the provisions that determine who bears the loss when goods cause harm, delivery fails, or an event outside either party’s control interrupts performance.
- Food safety and recalls: Check responsibilities for notice, traceability, removal, replacement, and associated losses.
- Insurance and indemnity: Understand what each party must insure and which claims or losses one party must cover for the other.
- Transit and damage: Establish when risk of loss passes and who handles damaged or missing goods.
- Liability limits and force majeure: Check whether the supplier’s liability is capped, which losses are excluded, and whether shortages or disruptions excuse performance.
- Confidentiality, data, and disputes: Review information-use restrictions, dispute process, governing law, and forum.
These are general contract-review issues; regulator guidance does not determine how a particular clause applies to your agreement. Have local counsel assess the wording and governing law where the potential obligation is significant.

Use the right legal frame for your location
Exclusive dealing is not automatically unlawful. Its treatment depends on jurisdiction, market circumstances, supplier position, alternatives, duration, coverage, and the agreement itself. The official guidance below describes U.S., Canadian, and Japanese frameworks; it is not a universal rule or a legal conclusion about an individual restaurant contract.
United States
The FTC says exclusivity can have benefits, including assuring supply, lowering contracting costs, and encouraging dealer loyalty or investment in service. It also describes possible harm where a firm with market power uses exclusivity to impede competitors’ entry or expansion. In its discussion of factors that can increase potential competitive harm, the FTC states: “The potential for harm to competition from exclusive contracts increases with: (1) the length of the contract term; (2) the more outlets or sources covered; and (3) the fewer alternative outlets or sources not covered.” This is an agency-described risk factor, not a standalone test for whether a restaurant’s contract is unlawful. See the FTC’s Exclusive Supply or Purchase Agreements and Exclusive Dealing or Requirements Contracts.

Canada
The Competition Bureau describes exclusive dealing as requiring or inducing a customer to deal mainly or only with a supplier or its chosen party. It says restrictive practices may contravene Canadian law when statutory conditions are met, including conduct by a major supplier or widespread conduct and a substantial lessening of competition. The Bureau recommends legal advice if compliance is uncertain. See its guidance on exclusive dealing, tied selling, and market restrictions.
Japan
Japan’s Fair Trade Commission guidance on franchise systems says supplier restrictions and purchase-quantity requirements may be problematic when they exceed what is needed to operate the franchise system or unfairly disadvantage franchisees. Individual cases require their own assessment. See the JFTC’s Guideline Concerning the Franchise System under the Antimonopoly Act, revised April 28, 2021.
If you are a U.S. franchisee, review the franchise documents too
A supplier agreement may not be the only place where purchasing or operating restrictions appear. The FTC franchise guide points buyers to particular Franchise Disclosure Document (FDD) items and advises them to check who benefits from supplier-related payments.
- Item 8: Review required suppliers, purchasing restrictions, and whether the franchisor or an affiliate receives rebates or other benefits.
- Item 12: Review territory and customer restrictions that may affect where or to whom the franchise can sell.
- Item 17: Review renewal, termination, and post-termination obligations.
- Item 11: Review advertising and training information, and ask who receives any advertising-related rebates or commissions.
The FTC says covered franchise buyers must receive the FDD at least 14 days before they are asked to sign a contract or pay money to the franchisor or an affiliate. That disclosure timing is franchise-specific; it does not automatically govern an independent restaurant’s supplier contract. For a franchise outside the United States, check local disclosure rules and the executed franchise documents as well as the supplier agreement.
A practical pre-signing process
- Collect the complete agreement. Obtain the main contract, every incorporated schedule, pricing sheet, service description, and policy it refers to. Confirm that no side document changes the price or purchasing obligation.
- Map the commitment. Write down the covered goods, locations, required share or volume, term, exceptions, and any obligation that continues beyond the term.
- Compare alternatives on the same basis. Get at least one alternative quote where practical. Compare full-term landed cost, adjustment terms, minimums, quality and substitutions, delivery remedies, rebates, exit cost, and ability to use other suppliers.
- Negotiate the points that change your exposure. Consider narrowing the products or locations covered, making price adjustments bounded and subject to notice, adding shortage and quality exceptions, setting realistic minimums, and securing a workable termination right.
- Put every assurance in writing. Revise the contract or an incorporated schedule so that delivery, service, price, credit, and exception promises are binding rather than left in emails or sales materials.
- Calendar obligations and get review. Record renewal and opt-out dates as soon as the agreement is signed. Have local commercial counsel review exclusivity, escalation, termination, and competition concerns before signing when the commitment is consequential.
Before signing, you should be able to explain what you are required to buy, what the restaurant could pay if prices or volumes change, what happens when the supplier fails to perform, and what it will take to exit. If any answer depends on an unwritten assurance or an undefined exception, resolve it in the contract first.
