A preliminary rating is a credit opinion issued before a mortgage-backed securities (MBS) transaction is fully documented and ready to close. It tells investors how a rating agency expects a particular security class to perform under its criteria using the information available at that point. The opinion is provisional: the agency can confirm it, change it, or decline to assign a final rating after reviewing final documents, collateral data and closing conditions.
In a residential mortgage-backed securities (RMBS) deal, the designation applies to one or more classes of notes, not automatically to the entire transaction. To interpret it correctly, identify the agency, class, rating scale, report date, payment obligations covered and assumptions that remain subject to change.

What a preliminary RMBS rating actually is
Rating agencies issue preliminary ratings while a securitization is still being assembled. The issuer and its advisers provide draft transaction documents, proposed collateral information and structural terms. Analysts then apply the agency’s published criteria and take the proposed ratings to a committee or equivalent approval process. The resulting symbols are an early opinion of the creditworthiness of specified payment obligations.

Because the documents and facts are not final, the rating is normally marked with a qualifier such as “prelim.” A preliminary rating is therefore neither a promise that investors will be repaid nor a statement that the security is suitable for a particular investor. It does not, by itself, measure market price, trading liquidity, tax treatment, legal enforceability in every jurisdiction or expected total return.

The opinion is also class-specific. A typical RMBS capital structure contains several classes with different seniority, coupon mechanics, credit enhancement and exposure to losses. One class might receive a preliminary AAA symbol while a mezzanine or subordinate class receives a lower symbol. The rating on a senior class cannot be assumed to describe the junior classes, the residual interest or the deal as a whole.
Why issuers seek a rating before closing
A preliminary opinion gives arrangers and prospective investors a common reference point while the deal is being marketed and finalized. It can help the parties test whether the proposed subordination, reserve accounts, excess spread and other protections are sufficient for the targeted rating levels. Investors can also compare the proposed class structure with other transactions, provided they account for differences in agency methodology, collateral and report date.
The timing creates a trade-off. Early information can improve transparency about the intended structure, but it is incomplete by definition. Terms can change during negotiations, loan-level data can be corrected, legal opinions can be qualified and closing conditions can remain unsatisfied. A preliminary announcement should be read as a dated snapshot, not as the final word on the issued bonds.

Preliminary versus final ratings
| Feature | Preliminary rating | Final rating |
|---|---|---|
| Information base | Draft documents, proposed terms and information available during structuring | Completed documents, final collateral and evidence that required conditions were met |
| Status label | Usually carries a qualifier such as “prelim” or “preliminary” | Uses the agency’s ordinary rating designation without the preliminary qualifier |
| What it communicates | The agency’s anticipated credit opinion for a named class if assumptions hold | The agency’s credit opinion on the obligations actually issued at closing |
| Can it change? | Yes. It may be raised, lowered, withdrawn or not converted to a final rating | It can still change later through surveillance, but it reflects the completed closing analysis |
| How to use it | As an indication for structuring and preliminary due diligence | As the rating to reference for the issued class, subject to later upgrades, downgrades or other actions |
Finalization is not automatic merely because a preliminary symbol was published. The agency completes its review after the transaction documents, legal opinions, collateral information and other conditions are finalized. If the closing package matches the assumptions, the final symbol may be the same. If material information differs, the final rating can be different or may not be assigned.
S&P Global Ratings states the point plainly in a transaction notice: “Subsequent information may result in the assignment of final ratings that differ from the preliminary ratings.” That warning applies to the specific class and transaction described in the notice; it is not a prediction that every deal will change.

What agencies analyze in an RMBS deal
Each agency publishes its own criteria, terminology and model assumptions. Fitch’s U.S. RMBS criteria dated April 30, 2026, describes a broad framework. Other agencies may organize or weight the work differently, so the framework below should be treated as an explanation of the major analytical questions, not a universal checklist.
Mortgage collateral and borrower credit risk
Analysts examine the loans backing the bonds: borrower credit profiles, loan-to-value ratios, documentation quality, occupancy, property type, geography, interest-rate features, seasoning and delinquency history. They consider how the pool could behave in adverse economic conditions, including changes in unemployment, home prices, interest rates and other macroeconomic variables. Concentrations—such as an unusually large share of loans from one state, originator or product type—can affect expected losses and stress results.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteCash-flow and loss stresses
The agency models how principal and interest would flow through the transaction when borrowers prepay, become delinquent, default or recover after foreclosure. Stress scenarios test whether each class receives the interest and principal promised under the documents, and in what order losses would be absorbed. Timing matters: a class can be protected from ultimate principal loss yet still face delayed interest or other payment effects under a severe scenario.
Credit enhancement and the payment waterfall
Structural protections determine which investors bear losses first and how available cash is distributed. Common elements include subordination, excess spread, overcollateralization, reserve accounts, principal-deficiency ledgers and triggers that redirect cash when performance deteriorates. The agency evaluates the amount and durability of enhancement for each class, not just the aggregate percentage for the deal.
Originators, aggregators, servicers and diligence
Operational parties influence both the quality of the loans and the accuracy of ongoing administration. Reviews can cover originators and aggregators, servicing practices, backup-servicer arrangements, data integrity, representations and warranties, and the results of loan-file or third-party diligence. A strong bond structure cannot fully offset unreliable data or servicing practices, so these findings can affect assumptions and rating levels.

Legal, documentation and counterparty risks
Analysts review the trust and pooling documents, payment definitions, remedies for breaches, bankruptcy-remoteness opinions, governing law and the duties of counterparties such as trustees, hedge providers and account banks. A rating scope may depend on specific legal opinions being delivered at closing. If an opinion is limited or a required condition is not met, the final analysis can change even when the collateral pool is unchanged.

Rating work does not end at closing. Agencies monitor mortgage performance, delinquencies, losses, prepayments, servicer developments and structural triggers. A final rating can later be upgraded, downgraded, placed on watch, affirmed or withdrawn as actual performance and new information change the agency’s opinion.
How to read the rating symbol and its scope
Start with the agency’s name. Symbols are not interchangeable across agencies: an AAA from one agency reflects that agency’s definitions, models and assumptions, even if the broad letter categories appear similar. S&P’s preliminary announcements use its alphanumeric scale, with examples ranging from AAA to D, and normally add a preliminary qualifier. Modifiers, outlooks or other annotations can carry additional meaning under the agency’s rules.
Next, locate the exact class designation. A notice might identify a senior certificate class, a mezzanine class or another payment obligation. Read the section that states what the rating addresses and what it excludes. For example, the rating may cover the timely payment of interest and the ultimate payment of principal, while not expressing an opinion on market value, liquidity, tax consequences or the obligations of another class.
Record the report date. A preliminary notice from one month can be superseded by a revised notice, a final rating action or a new transaction document. Do not use an old preliminary symbol as though it were a current rating without checking the issuer’s latest report.

A concrete U.S. example: GS Mortgage-Backed Securities Trust 2025-NQM6
S&P’s preliminary action dated November 20, 2025, for GS Mortgage-Backed Securities Trust 2025-NQM6 illustrates how much detail sits behind a symbol. The proposed transaction was backed by 848 U.S. residential mortgage loans. The notice discussed collateral composition, credit enhancement, structural mechanics, representations and warranties, geographic concentration, the originators and aggregator, diligence results and the economic outlook.
The 848-loan count describes that transaction only. It is not a typical-pool size, a market average or evidence that another RMBS deal has comparable diversification. Likewise, the factors listed in that notice show what mattered for that analysis; they should not be read as a promise that every agency will use identical inputs or assign them identical weights.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. What can cause a preliminary rating to change
Changes usually arise when the final facts do not match the assumptions used for the preliminary opinion. Material developments can include:
- Revisions to the collateral tape, loan count, balances, borrower characteristics or geographic concentrations.
- Changes to subordination, reserve funding, triggers, priority of payments, coupons or expected closing dates.
- Different representations, warranties, repurchase remedies or disclosure about originators, aggregators and servicers.
- Incomplete, qualified or delayed legal opinions, counterparty substitutions or other documentation issues.
- New diligence findings, data-quality concerns or economic assumptions that alter projected losses and cash flows.
- Failure to satisfy a condition required for the preliminary analysis to become final.
A small wording change is not necessarily a rating change, and a rating change is not necessarily evidence of misconduct. The relevant question is what information changed, how it affects stressed cash flows and whether the final report explains the agency’s conclusion.

Use the following sequence before relying on a preliminary symbol in an investment, compliance or research workflow:
Best Value
- Find the latest agency action. Search the agency’s transaction page for a final rating action, amended preliminary notice, surveillance update or withdrawal.
- Match the class exactly. Confirm the legal name of the trust, certificate or note class, currency and seniority. Do not substitute a rating for a nearby class.
- Compare the symbols and dates. Place the preliminary and final symbols side by side and note any modifiers, outlooks or watch status.
- Read the rating scope. Check which payment obligations are addressed and which risks or obligations are expressly excluded.
- Review assumptions and conditions. Look for changes to collateral, enhancement, waterfall mechanics, counterparties, legal opinions and closing conditions.
- Check ongoing status. After closing, review surveillance actions because a final rating can change as loan performance develops.
Keep the reports with the date you used. Rating pages can be updated, and a later action may supersede an earlier announcement without changing the name of the transaction.
Common interpretation mistakes
Treating the rating as a guarantee
A rating is an agency opinion under stated criteria, not insurance and not a guarantee of repayment. Severe outcomes can exceed modeled stresses, and the agency’s opinion can change.
Applying one class’s symbol to the whole deal
Loss allocation and payment priority differ by class. Always quote the class and the obligations covered instead of saying simply that “the deal is rated AAA.”

Comparing letter grades without comparing agencies
Agency scales, definitions, models and stress assumptions differ. A cross-agency comparison requires the methodology, report date and scope, not just the letters.
Ignoring the preliminary qualifier
“Prelim” signals that documentation and conditions remain open. A preliminary announcement is useful for analysis but is not a substitute for the final report.
Assuming a high rating covers investor suitability
Credit quality is only one decision factor. The rating does not determine whether the price, liquidity, duration, tax treatment or risk profile fits an investor’s objectives.
Questions to ask when comparing RMBS classes or deals
| Comparison point | Why it matters |
|---|---|
| Agency and scale | Defines the meaning of the symbol and the assumptions behind it. |
| Class, seniority and waterfall | Shows who receives cash first and who absorbs losses first. |
| Collateral composition and performance assumptions | Determines the mortgage risks being modeled and the sensitivity to economic stress. |
| Credit enhancement | Indicates the structural protection available to that class and how durable it is. |
| Rating scope and exclusions | Clarifies which payment obligations are covered and which risks are outside the opinion. |
| Report date and status | Distinguishes a preliminary snapshot from a current final or surveillance action. |
Only after these fields are aligned is it reasonable to discuss why two classes received different symbols. A higher symbol does not automatically mean a better purchase: yield, maturity, liquidity, cash-flow timing and legal terms remain separate questions.
Bottom line for readers
A preliminary RMBS rating is an early, class-specific agency opinion based on draft documents and information available before closing. It is useful for understanding the proposed credit structure, but it remains conditional. The final rating is issued after the documents, collateral and required conditions are complete and can match or differ from the preliminary symbol. For any real transaction, rely on the latest final action for the exact issued class, then follow subsequent surveillance reports.
