The three duties to learn first are care, loyalty, and obedience. A conflict of interest is a situation in which your personal financial interests—or those of a family member, employer, or affiliated business—could pull against the nonprofit’s purposes.
You do not become disqualified merely because a conflict exists. The essential obligations are to disclose it promptly, follow the organization’s policy and applicable state law, stay out of the conflicted decision as required, and ensure that independent directors use fair, documented procedures.

The three fiduciary duties every new director must understand
Fiduciary duties are standards for how directors use authority entrusted to them. They apply whether your service is paid or voluntary and whether you sit on a small community board or a large organization. The exact legal wording varies by state, but the basic framework is widely used in nonprofit governance.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches| Duty | What it requires | What it looks like in practice |
|---|---|---|
| Care | Act attentively, prudently, and with the level of preparation a responsible director would bring to the decision. | Read financial reports, ask questions about budgets and controls, attend meetings, monitor major risks, and protect organizational assets. |
| Loyalty | Put the nonprofit’s interests and charitable mission ahead of personal, family, employment, or affiliated business interests. | Disclose potential conflicts, avoid using board authority for private benefit, and do not participate in a conflicted vote. |
| Obedience | Follow applicable law, the articles of incorporation, bylaws, and the charitable purposes the organization has promised to pursue. | Keep programs within the mission, comply with filing and fundraising rules, and respect the board’s governing documents. |
Duty of care: informed oversight, not expert-level knowledge of everything
Care does not require every director to be an accountant, lawyer, or investment professional. It does require you to prepare, pay attention, and seek explanations when information is unclear. Board members are legally responsible for overseeing assets and major risks, even when management and outside professionals handle day-to-day work.

- Review the balance sheet, income statement, cash-flow information, budget-to-actual reports, and significant restrictions on funds.
- Understand who can approve payments, move money, sign contracts, and change financial records. Ask whether those duties are separated and reviewed.
- Track material risks such as cybersecurity, insurance coverage, facilities, safeguarding, employment, program safety, and dependence on a single grant or donor.
- Read audit or financial-review findings and ask how management is addressing weaknesses.
- Attend meetings, read materials before voting, and make sure minutes reflect important questions and decisions.
You may reasonably rely on competent staff or advisers, but reliance is not a substitute for oversight. A director who never reads reports or asks questions cannot point to an adviser as a complete defense when warning signs were visible.
Duty of loyalty: mission before personal advantage
Loyalty means placing the nonprofit’s interests ahead of your own financial interests and those of people or entities closely connected to you. Disclosure is the starting point; secrecy is the problem. A director can have outside business relationships and still serve effectively if those relationships are handled transparently and independently.
Examples include a board vote on a contract with a company you own, a compensation decision that could increase your pay, or an attempt to use confidential donor information or board influence for a private benefit. The Internal Revenue Service describes the issue this way: “A conflict of interest occurs where individuals’ obligation to further the organization’s charitable purposes is at odds with their own financial interests.”

Obedience requires the board to honor the organization’s legal and governing commitments. Directors should know the articles of incorporation, bylaws, stated charitable purposes, and major restrictions accepted with grants or donations. A popular program is not automatically permissible if it falls outside the organization’s purposes or violates a legal restriction.

This duty also includes attention to state filings, charitable-solicitation requirements, employment rules, tax filings, and other laws that apply to the organization’s activities. The board can delegate tasks, but it remains responsible for establishing oversight and responding to significant failures.
What counts as a conflict of interest?
A conflict exists when a director’s obligation to advance the nonprofit’s charitable purposes is at odds with the director’s own financial interests. The relevant interest can be direct or indirect and can involve a family member, employer, investment, partnership, or business relationship.
Common examples
- Related-party contract: The board considers hiring a vendor owned by a director, the director’s spouse, or another close relative.
- Compensation: The board sets or changes compensation for a director, an executive who is a family member, or another person whose pay could benefit the director.
- Private benefit: A director seeks discounted services, a job, a loan, an opportunity, or preferential access because of board authority.
- Employment or investment connection: A director’s employer, client, partnership, or investment could gain or lose from a proposed policy, grant, purchase, or sale.
- Changing facts: A relationship that was harmless when a contract began becomes relevant after the director takes a new job, acquires an investment, or becomes related to a vendor.
A conflict is not limited to transactions that definitely produce a benefit. A reasonable possibility of divided loyalty is enough to trigger disclosure and the organization’s review process. The board’s policy and state law determine whether a disclosed interest is formally treated as a conflict and what restrictions follow.
What to do when you discover a possible conflict
Use the organization’s written policy, bylaws, articles, and applicable state statute together. The following sequence is a practical baseline; a stricter requirement in the governing documents or state law controls.

- Read the governing rules. Locate the conflict-of-interest policy, bylaws, articles, committee charters, and any state-law provisions on related-party transactions, loans, or compensation.
- Disclose promptly. Tell the board or designated officer about the personal, family, employment, investment, or business connection as soon as it appears. Do not wait for the annual questionnaire.
- Record the disclosure. Ask that the disclosure and the board’s process appear accurately in the minutes or conflict register. The record should identify the interested person, the nature of the interest, who was present, and the action taken.
- Leave the conflicted process when required. Follow the policy’s instruction to leave the room or virtual meeting, refrain from deliberation, and abstain from voting. Do not use informal conversations to lobby disinterested directors.
- Have disinterested directors evaluate the matter. They should determine whether a conflict exists, consider alternatives, and decide whether the transaction serves the nonprofit.
- Use fair terms and comparability evidence. For compensation or a related-party contract, gather relevant market comparisons, competing bids, independent valuations, or other evidence appropriate to the decision.
- Revisit the issue. Disclose new facts, changes in price or scope, and renewed transactions. Complete the annual disclosure form even if nothing has changed.
Does recusal mean you must resign?
No. Recusal normally means not taking part in the particular discussion or vote. You may provide factual information when the disinterested directors request it, then leave or remain silent according to the policy. After the decision, you should not retaliate against directors who questioned the transaction or attempt to circumvent the recorded process.
What should the minutes show?
Minutes should make the decision understandable to someone who was not in the room. They should record the disclosure, the interested person’s absence or abstention, the directors who participated, the information considered, any comparability evidence, the vote, and the final terms. Avoid vague language such as “conflict discussed” without identifying the procedure used.
Conflict-of-interest policies and Form 990
The Internal Revenue Service encourages a conflict-of-interest policy as a protective governance process, but the Form 1023 instructions state that adopting a policy is not itself required to obtain federal tax-exempt status. A policy is still valuable because it gives directors a predictable way to disclose interests and keeps decisions consistent.
The National Council of Nonprofits says a policy should require disclosure and prohibit interested board members from voting. It also notes that Form 990 asks whether an organization has a conflict policy and how conflicts are managed. A policy should therefore match actual practice; adopting a document that nobody follows creates a credibility and governance problem.

Elements a usable policy should cover
- Who is covered, including directors, officers, key employees, and others identified by the organization.
- What counts as a financial interest, including indirect interests and relevant family or business relationships.
- When and how disclosures are made, updated, and reviewed.
- Who determines whether an interest is a conflict.
- When an interested person must leave discussion and voting.
- How independent directors evaluate alternatives and comparability information.
- How disclosures, recusals, abstentions, and decisions are documented.
- What happens when a person fails to disclose or violates the policy.
How state law changes your responsibilities
Nonprofit governance is not governed by one nationwide statute. The corporation’s state of incorporation generally supplies the core nonprofit-corporation rules, while other states may regulate fundraising, employees, property, or activities conducted within their borders. Requirements can differ on policy language, annual disclosures, approval procedures, loans to insiders, and related-party transactions.
Do not assume that federal tax-exempt status answers every state-law question. At orientation, identify the organization’s state of incorporation, states where it solicits or operates, and the deadlines for required filings. Ask qualified nonprofit counsel to review current requirements when the board is considering compensation, an insider transaction, a loan, a major asset sale, or a transaction that a policy does not clearly address.
No broadly applicable penalty amount or violation rate can be stated for all nonprofits. Consequences depend on the facts, the organization’s jurisdiction, tax status, governing documents, and the conduct involved. The prudent response is early disclosure and legal advice, not trying to calculate a universal fine.

- May I see the current conflict-of-interest policy, annual disclosure form, bylaws, articles, and committee charters?
- How are disclosures collected, reviewed, updated during the year, and stored?
- Who decides whether a disclosed interest is a conflict?
- How are recusals, abstentions, comparability research, and minutes documented?
- What financial reports will I receive, and how often?
- Who reviews Form 990, audit or financial-review results, and internal-control reports?
- What controls govern payments, bank access, purchasing, payroll, and restricted funds?
- Which state filing, charitable-solicitation, whistleblower, and document-retention rules apply?
- What risks does the board monitor, and which committee owns each one?
If the organization cannot answer these questions, treat that as a governance issue to address—not as a reason to sign a blank annual disclosure form and move on.
Applying the rules: practical scenarios
A director’s company is the preferred vendor
The director discloses ownership before the procurement discussion. The director supplies factual information only if requested, then leaves the discussion and abstains. Disinterested directors compare alternatives, document price and quality information, and approve the contract only if it is fair and serves the nonprofit.
The board is setting the executive director’s compensation
If the executive director is also a director, or is a close family member of a director, the interested person does not participate in setting or approving compensation. Independent directors use appropriate comparability information, record who participated, and retain the basis for the decision.
A director wants a nonprofit loan
The request is disclosed before any discussion. Loans to insiders may be restricted or prohibited by state law, the bylaws, grant conditions, or the organization’s policy. The board should obtain legal advice before proceeding rather than treating the request as an ordinary member benefit.
A director learns of a private opportunity through board service
Using confidential information or board influence to secure a personal opportunity can create a private-benefit and loyalty problem even when no formal vote occurs. Disclose the situation and let disinterested directors determine whether the nonprofit has an interest and what response is permitted.
A simple annual governance routine
- Complete the conflict disclosure questionnaire and identify changes since the prior year.
- Read the latest financial statements, budget variance report, audit or financial-review letter, and Form 990 review status.
- Confirm that required filings, insurance, internal controls, and document-retention practices have an assigned owner.
- Review minutes for evidence that recusals, abstentions, and independent approvals are being recorded.
- Ask whether any new transaction, grant restriction, program, or state activity changes the board’s legal obligations.
These habits turn fiduciary duties into repeatable board work. They also give the organization a contemporaneous record showing that directors acted attentively, disclosed competing interests, and followed an independent process.
