Before sending borrower information to an external AI service, a mortgage lender should document exactly what data will leave its environment, why the tool needs it, who can access it, how long it will be retained, and whether the provider may reuse it. Then verify that the disclosure fits the lender’s privacy obligations, that the provider’s safeguards and contract controls are adequate, and that any AI-assisted credit decision can still be explained with specific, accurate adverse-action reasons.
Federal rules do not create a single “AI approval.” Regulation P, the FTC Safeguards Rule, ECOA and Regulation B, HMDA and Regulation C, and the CFPB’s Section 1033 framework can apply differently depending on the lender, product, data, vendor role, and workflow. Treat this as an operational review aid, not individualized legal advice; counsel should apply current official regulatory text to the actual arrangement.

Start with a written go/no-go question
The first question is not whether a tool is marketed as artificial intelligence. It is whether this lender may disclose this particular borrower information to this particular recipient for this particular purpose, under the lender’s current legal, contractual, privacy, security, and fair-lending obligations.

For example: “The service will summarize internally supplied income documents for a loan employee; it will not decide eligibility, pricing, or servicing actions.” A different statement is required for automated underwriting, pricing, fraud screening, borrower communications, or servicing. The purpose determines the risk, the controls, and the records the lender must preserve.

Regulation P covers a broad range of financial institutions, including non-bank mortgage lenders. It addresses privacy notices, limits on disclosures to nonaffiliated third parties, and restrictions on redisclosure and reuse. Whether a particular transfer is permitted depends on the information, recipient relationship, notice, and applicable exception; a vendor’s standard terms do not answer that legal question.
1. Map every piece of data that will move
Create a data-flow record before a pilot begins. Include the original files, the prompt, the model output, application programming interface messages, user-interface text, system logs, backups, support tickets, and any evaluation or monitoring data. A document that is not intended as a model input can still be copied into a prompt, cached, or retained in a log.
Identify sensitive categories
- Direct identifiers and account or application numbers.
- Income, assets, debts, employment, tax, and other financial records.
- Credit reports, scores, disputes, and underwriting explanations.
- Property addresses, appraisal material, loan-to-value information, and collateral documents.
- Borrower communications and information that could reveal protected or legally restricted characteristics.
- Internal notes, model outputs, audit records, and employee or broker information attached to the file.
For each field or document, mark whether it is required for the task, whether it can be masked or tokenized, and whether the output could be used to make or influence a credit decision. Do not upload a complete loan file when a redacted excerpt answers the operational question.

Locate access and processing
List every human and system that can see the data: lender employees, administrators, the provider’s support staff, subprocessors, quality reviewers, and security personnel. Document the processing region, backup locations, tenancy model, and interfaces used to transmit the information. Ask whether prompts and outputs are isolated from other customers and whether administrators can retrieve them.
Separate low-impact assistance from credit activity
| Proposed use | Examples | Review focus |
|---|---|---|
| Administrative support | Internal summarization, document classification, or drafting a staff memo | Data minimization, access, retention, disclosure authority, and security |
| Borrower-facing communication | Drafting an explanation or response for an applicant | Human approval, accuracy, privacy, records, and consistency with the lender’s disclosures |
| Decision support | Underwriting, eligibility, pricing, fraud flags, or servicing actions | All privacy and security controls plus validation, explainability, fair-lending review, and adverse-action records |
This classification is an implementation framework, not a statutory form. Its purpose is to prevent a general-purpose tool from quietly becoming part of a regulated decision process.

2. Check Regulation P before disclosing borrower information
Review the privacy notice in force for the relevant borrower and the purpose for which the information was collected. Determine whether the proposed recipient is a nonaffiliated third party, whether the lender has described the relevant sharing, and whether a Regulation P exception applies. The analysis can change based on the type of information, the relationship between lender and provider, the service being performed, and the lender’s business structure.
Questions for counsel and privacy owners
- What customer information is covered, and was it collected in the context described in the notice?
- Does the disclosure fit an applicable service-provider or other exception, or does it require a different notice or consumer choice?
- Will the provider redisclose the information to a subprocessor, affiliate, contractor, or support organization?
- Could prompts, outputs, or derived profiles be reused for a different purpose?
- Does the arrangement change what the lender must say in its privacy notice or internal sharing inventory?
Do not treat an acceptance click, an enterprise subscription, or a provider’s claim that it is “private” as proof that the disclosure is lawful. Keep the legal conclusion tied to the actual data path and the applicable Regulation P provision.
3. Determine whether the AI provider is a Safeguards Rule service provider
Assess whether the provider receives, maintains, processes, or is permitted access to customer information while delivering services to the lender. That fact pattern can place the provider within the FTC Safeguards Rule’s service-provider framework, although the responsible regulator and exact obligations depend on the lender’s status and circumstances.
FTC guidance says covered financial institutions must take steps to ensure that affiliates and service providers safeguard customer information. This does not mean every provider must use an identical control set in every relationship. It does mean the lender should perform due diligence, impose appropriate requirements, and monitor whether the provider is protecting the information.
Request evidence, not marketing language
- A description of the provider’s security program and the systems in scope.
- Identity and access controls, privileged-access management, and multifactor authentication.
- Encryption in transit and at rest, key management, and secrets handling.
- Secure development, vulnerability management, penetration testing, and independent audit evidence.
- Tenant isolation and controls preventing one customer’s prompts or files from appearing in another customer’s service.
- Subprocessor names, locations, functions, and change-notification procedures.
- Incident detection, notification timing, investigation support, and cooperation duties.
- Retention, backup, secure deletion, and the ability to verify deletion at termination.
Match the evidence to the proposed use. A tool that sees a single redacted excerpt for an internal draft may require a different assessment from a service that continuously receives complete applications and returns scores used in underwriting.

4. Put use, access, retention, and reuse limits in the contract
Write the boundaries into the order form, data-processing addendum, security exhibit, or other enforceable agreement. A policy document that the provider can change unilaterally may not provide the control the lender needs.

Define permitted use
State the approved purpose and prohibit unrelated advertising, profiling, resale, benchmarking, or product development unless the lender has separately approved and lawfully documented that use. Address whether the provider may use prompts, uploaded documents, outputs, feedback, or derived data to train or improve a model. Make the answer explicit for both default and optional settings.
Control people and subprocessors
Limit access to personnel who need it for the contracted service. Require role-based access, logging, confidentiality duties, and prompt removal of access when a worker changes role. Require advance notice of new subprocessors or material changes and give the lender a practical right to object or terminate when the change creates unacceptable risk.
Set retention and deletion rules
Specify how long production data, prompts, outputs, logs, backups, and support records may remain. Require secure deletion or return at the end of the period and at termination, subject to clearly identified legal-retention exceptions. Ask how deletion propagates through replicas, disaster-recovery systems, and human-readable support tickets.
Plan for incidents and oversight
Define what constitutes an incident, when notice is due, what information the notice must contain, and how the provider will preserve evidence and assist with investigation, consumer notices, and regulator inquiries. Include audit or assessment rights proportionate to the risk, a process for reviewing test results, and notice of material changes to the model, hosting location, security program, or data-use terms.

These contract points are implementation recommendations derived from privacy and safeguarding duties. They are not a claim that every item is an express statutory requirement in every lender-provider relationship.

If an AI system contributes to an application decision, pricing, limit, eligibility determination, or another credit action, the lender remains responsible for the decision and notice. ECOA and Regulation B apply regardless of whether the decision comes from a human rule, a statistical model, or a complex machine-learning system.
CFPB Circular 2022-03 states: “ECOA and Regulation B do not permit creditors to use complex algorithms when doing so means they cannot provide the specific and accurate reasons for adverse actions.” In a September 19, 2023 release, CFPB Director Rohit Chopra likewise said: “Creditors must be able to specifically explain their reasons for denial. There is no special exemption for artificial intelligence.”
Build an explanation record before deployment
- Identify the inputs the tool is allowed to use and validate their source, accuracy, freshness, and permitted purpose.
- Determine the principal factors that can affect the result and preserve the relevant values for each application.
- Test whether the output is stable enough to reproduce or explain under the lender’s documented process.
- Map model factors to the specific reasons that can appear in an adverse-action notice.
- Require human review of unusual, conflicting, or incomplete outputs.
- Retain the version, configuration, prompt or rules, output, reviewer action, and final decision record needed to reconstruct the process.
CFPB guidance issued in September 2023 warns that generic checklist reasons are insufficient when they do not reflect the actual reasons for the decision. Do not deploy a model in a credit workflow if the lender cannot substantiate the relevant factors and communicate accurate reasons to the applicant.

Repair Windows errors before they cause bigger problemsFix Now →Scan for outdated or missing drivers - takes under a minuteDriver Scan →6. Check HMDA and Regulation C implications
Mortgage data collection and reporting duties can be affected even when an AI tool is used only in a supporting workflow. CFPB identifies many mortgage lenders among the institutions covered by Regulation C, the Home Mortgage Disclosure Act rule. CFPB’s regulation page was most recently amended on January 7, 2026.
Best Value
Ask whether the workflow changes the collection, validation, reporting, correction, or retention of HMDA fields. Confirm which system is the authoritative record and how a generated classification or recommendation is prevented from silently overwriting reportable data. Preserve an audit trail for human corrections and vendor-assisted transformations. The answer depends on the lender’s institution type, transaction, product, and actual process.
7. Treat Section 1033 as a separate analysis
The CFPB’s Section 1033 framework addresses covered data providers, covered products, and authorized third-party access to consumer financial data. It involves conditions around authorization and the parties and data in scope. It is not a general permission for a lender to send borrower files to any AI vendor.
Document whether the proposed arrangement is actually within the covered-data and authorized-third-party framework. If it is not, analyze the transfer under the privacy, security, contract, and other rules that apply to the lender instead of citing Section 1033 as a blanket authorization.
8. Use a staged approval process
A repeatable review makes it harder for a pilot, browser plug-in, or employee account to bypass controls.
- Describe the use. Name the business owner, workflow, decision impact, data categories, users, processing locations, and expected volume.
- Minimize the payload. Remove unnecessary identifiers, redact documents, and test whether synthetic or de-identified data can answer the question.
- Complete the privacy analysis. Compare the transfer with the applicable privacy notice, Regulation P limits, exceptions, redisclosure rules, and reuse restrictions.
- Assess the provider. Review its security program, access controls, subprocessors, incident process, deletion capability, and model-data terms.
- Negotiate enforceable boundaries. Set permitted use, training and improvement rules, retention, deletion, incident cooperation, audit, change notice, and termination rights.
- Validate the output. Test accuracy, bias and fair-lending risks, data quality, failure handling, and whether credit-related reasons can be stated specifically and accurately.
- Approve, monitor, and reassess. Assign an owner, log material changes, review incidents and test results, and suspend the service if its data use or behavior leaves the approved scope.
9. Red flags that should stop or escalate the transfer
- The provider cannot state whether prompts or files are used for model training or product improvement.
- Terms allow broad reuse, resale, advertising, or disclosure to unnamed subprocessors.
- Deletion excludes backups or support systems without a defined timetable and control.
- The lender cannot identify where data is processed or who can administer the environment.
- The model produces a credit recommendation but cannot provide factor-level records for the individual application.
- Employees are using consumer accounts, browser extensions, or unapproved endpoints to paste borrower information.
- A proposed Section 1033 rationale relies only on the existence of an authorization screen rather than the framework’s actual scope and conditions.
- The workflow could alter HMDA fields or records without a controlled reconciliation and audit process.
Escalate rather than approve when the lender cannot describe the data path, establish a lawful disclosure basis, verify safeguards, or produce an accurate explanation for a credit outcome.
10. Questions federal guidance does not settle by itself
The lender’s state footprint, the borrower’s location, the product, the type of information, the provider’s contractual role, and the actual data path can change the result. Counsel should separately map state privacy and breach-notification laws, mortgage-specific state requirements, other federal rules, licensing obligations, employment or records rules, and the contracts governing the loan process.
CFPB regulation pages also caution that their electronic presentation is not the official legal edition. Before approval, compare the current official Code of Federal Regulations and Federal Register text with the proposed workflow and obtain advice tailored to the lender and provider. Keep the approval file current when regulations, effective dates, enforcement positions, model behavior, hosting arrangements, or vendor terms change.
