M&A due diligence is the buyer’s structured examination of a target company before closing. It tests whether the target’s legal rights, financial performance, taxes, contracts, people, technology, intellectual property, regulatory position, operations and competitive environment support the deal thesis. Material findings can change the price, purchase-price adjustments, representations and warranties, indemnities, covenants, closing conditions or the decision to close.
What due diligence is—and what it is not
Due diligence is a decision and risk-allocation process, not a request for every document a company has ever created. The buyer compares management’s explanation of the business with source records, signed contracts, accounting ledgers, government filings, technical evidence and external registers. The objective is to identify facts that could alter value, prevent the buyer from operating the business, create liability or require a different transaction structure.

Most reviews begin before signing and continue through the period between signing and closing. Early work supports valuation and negotiation. Later work confirms that closing conditions have been met, required consents and approvals are in hand, and unresolved risks have been assigned to a party in the definitive agreement.

The main due-diligence workstreams
| Workstream | Questions the buyer must answer | Typical deal impact |
|---|---|---|
| Corporate and legal | Does the seller own what it is selling, and can it legally complete the transaction? | Title confirmation, consent conditions, representations, indemnities or termination rights |
| Financial and accounting | Are revenue, earnings, cash, debt and working capital presented accurately and sustainably? | Valuation, purchase-price adjustment, earn-out terms, financing and working-capital peg |
| Tax | Are returns, payroll, indirect taxes and tax attributes complete and current in every relevant location? | Tax indemnity, escrow, structure, allocation of pre-closing liabilities |
| Commercial contracts | Will customers, suppliers, licenses and other agreements survive the change in ownership? | Third-party consents, exclusions, assignment remedies and forecast reliability |
| People and benefits | Who is employed, how are they paid, and which people or obligations are essential? | Retention plans, severance, benefit funding, labor remedies and integration cost |
| Technology, IP, privacy and cybersecurity | Does the target own its technology and data, and can the buyer operate it safely? | Remediation budget, special indemnity, license transfer, security covenant or price reduction |
| Regulatory, compliance and ESG | Are permits, regulated activities, investigations and environmental or policy obligations under control? | Conditions precedent, remediation covenants, operating restrictions or walk-away rights |
| Insurance | Which risks are insured, subject to exclusions or supported by claims history? | Tail policies, coverage changes, escrow and post-closing claims strategy |
| Operations and integration | Can the combined or separated business function on Day 1? | Transition services, capital expenditure, synergy assumptions and integration plan |
| Competition and merger control | Could the transaction lessen competition, and is the review process compliant? | Regulatory filing, waiting period, remedies, clean-team controls or delayed closing |
Corporate, ownership and legal review
Entity and authority checks
Counsel verifies formation documents, good-standing records, capitalization tables, shareholder agreements, options, warrants, subsidiaries and beneficial ownership. The review confirms that the board and shareholders have authority to approve the transaction, that equity issued to employees or investors is recorded correctly, and that no undisclosed party can block or unwind the sale.

Assets, liens and disputes
The request normally covers title to material assets, security interests, financing statements, guarantees, liens, judgments, threatened and pending litigation, arbitration, government inquiries and settlement obligations. Licenses, permits and registrations are checked for transferability and renewal status. A lien that cannot be released at closing, or a permit that cannot be assigned, may require a payoff, consent or special closing condition.
Financial and accounting diligence
Quality of earnings
The buyer reconciles audited financial statements and management accounts to the general ledger and bank records. A quality-of-earnings analysis separates recurring operating performance from one-time sales, unusual expenses, owner benefits, aggressive accruals or accounting estimates that will not continue after acquisition. Revenue recognition policies are tested against customer contracts, delivery evidence, refunds, credits and deferred revenue.
Cash, debt and working capital
Net debt analysis includes borrowings, finance leases, unpaid interest, shareholder loans, guarantees and obligations that may sit outside the balance sheet. Working capital is examined by period and season, with attention to aged receivables, inventory reserves, payables that have been delayed and unusual prepayments. The parties often use this work to set a working-capital target and a post-closing purchase-price adjustment.

Forecasts are compared with historical conversion rates, signed orders, churn, pipeline quality and capacity. Customer concentration is quantified because the loss or renegotiation of one major account can invalidate the deal thesis even when aggregate revenue looks strong. Debt covenants, off-balance-sheet liabilities and commitments are tested against the financing model.

Tax diligence
Tax specialists map every jurisdiction in which the target is incorporated, owns property, employs people, sells products or provides services. The review requests federal, state and local—or national and subnational—income-tax returns, payroll and withholding filings, sales and use tax or VAT returns, transfer-pricing documentation, tax-payment histories, accruals and correspondence with taxing authorities.
The Securities and Exchange Commission of Nigeria’s Mergers and Acquisitions Checklist, dated October 25, 2023, expressly calls for tax locations, returns, payroll, sales taxes, accruals, withholding and communications with tax authorities. Comparable categories apply in other jurisdictions, but filing names and review powers differ.
Audits, arrears, uncertain tax positions, net operating losses, credits and limitations on tax attributes can change the transaction structure and the allocation of pre-closing liabilities. A buyer may require a tax indemnity, escrow, covenant to file or pay certain returns, or a closing certificate from the seller.

Reviewers identify exclusivity, minimum-volume commitments, most-favored-customer clauses, non-competes, confidentiality obligations, indemnities, service levels, renewal and termination rights, audit rights, limitations of liability and change-of-control or assignment provisions. A contract may require consent before closing, terminate automatically, or give the counterparty a price or renegotiation right. Those provisions must be reflected in the signing and closing plan rather than discovered after ownership changes.
People, employment and benefits
Workforce facts
The buyer requests an employee census showing role, location, start date, status, compensation, bonus, commission, equity and reporting line. It reviews employment agreements, offer letters, independent-contractor arrangements, immigration status, collective-bargaining or works-council matters, policies and employee handbooks.
Obligations and retention
Benefits plans, pension or retirement funding, deferred compensation, accrued vacation, severance, change-in-control payments and payroll-tax compliance can create immediate liabilities. Employment claims, harassment or discrimination complaints, wage-and-hour exposure and key-person dependence are assessed. If a small number of engineers, salespeople or executives carry critical knowledge, the buyer may need retention awards, non-solicitation protections or a transition plan.

Technology, intellectual property, privacy and cybersecurity
Ownership and licensing
The diligence team inventories patents, trademarks, copyrights, domain names, source code, databases, technical documentation and trade secrets. It checks whether employees and contractors assigned inventions and code to the company, whether development agreements grant the needed rights, and whether inbound licenses permit the proposed use after closing. Open-source components are reviewed for license obligations, attribution and source-disclosure requirements.

Security and data protection
Evidence may include security policies, access controls, penetration tests, incident records, vulnerability backlogs, business-continuity plans, encryption practices and third-party assurance reports. The buyer examines prior breaches, ransomware or unauthorized access, notification decisions and remediation. Privacy notices, consent records, data-processing agreements, cross-border transfers, retention schedules and regulatory correspondence are matched to the data actually collected. A serious gap can require a remediation covenant, special indemnity, escrow or a delayed integration.
Regulatory, compliance, ESG and insurance
Regulatory diligence covers product and environmental compliance, operating permits, government inquiries, sanctions and export controls where relevant, privacy obligations and evidence that corrective actions were completed. ESG review is practical: policies, reporting commitments, supply-chain standards, environmental liabilities, workplace practices and any lender or customer requirements are tested against records rather than marketing statements.
Insurance schedules and policies are checked for general, professional and product liability, workers’ compensation, directors’ and officers’ liability, employment-practices coverage, cyber coverage, exclusions, deductibles, policy limits and claims history. The parties determine whether existing policies remain available for pre-closing events, whether tail coverage is needed and who pays for it.
Operations, separation and integration
Operational diligence maps facilities, equipment, suppliers, systems, logistics, capacity constraints, customer support and critical dependencies. The buyer tests whether the forecast assumes savings or revenue synergies that require capital expenditure, new hires, a system migration or a supplier renegotiation.
Best Value
For a carve-out, the review identifies shared employees, premises, software, data, intellectual property, treasury, procurement and customer-service functions. A transition-services agreement may be required. The integration plan should specify Day 1 access, payroll, banking, security, communications, delegated authority, customer notifications and the owners and deadlines for unresolved compliance or technology work.
Competition law and pre-closing information sharing
Merger-control analysis
In the United States, Section 7 of the Clayton Act addresses acquisitions whose effect “may be substantially to lessen competition, or to tend to create a monopoly.” The 2023 joint Merger Guidelines from the U.S. Department of Justice and Federal Trade Commission analyze issues including concentration, elimination of substantial competition and the risk of coordination. The team defines relevant product and geographic markets, maps overlaps, estimates concentration and evaluates likely competitive effects in every jurisdiction that may review the deal.
Gun-jumping safeguards
The FTC warns that a competitor transaction requires special care throughout negotiation, due diligence and integration planning. Before closing, the target must continue operating independently. Competitively sensitive information—such as current prices, customer-specific terms, costs, capacity, bidding strategy and future plans—should be limited to what is necessary and handled under documented controls.
- Use a clean team of lawyers, economists or other personnel who do not make day-to-day competitive decisions, or use an independent third-party consultant.
- Share the narrowest data set and time period needed for the stated diligence question.
- Restrict downloads, copying and onward dissemination; keep an access log.
- Give recipients written instructions on permitted use, retention and destruction, and enforce those instructions when the review ends.
HSR timing
For transactions reportable under the U.S. Hart-Scott-Rodino Act, the FTC describes a 30-day initial waiting period. A cash tender offer or bankruptcy transaction generally has a 15-day initial period. A second request for information extends the process, and the parties cannot close until the statutory requirements are satisfied. Filing thresholds and exemptions change, so counsel must check the rules applicable to the parties and transaction date rather than rely on an old threshold.
A controlled due-diligence process
- Define the decision frame. Write the deal thesis, scope, jurisdictions, materiality thresholds, responsible reviewers and red-flag escalation rules. Decide which findings could stop the deal, reduce price or require contractual protection.
- Issue a categorized request list. Organize requests by workstream, identify the period covered and distinguish mandatory items from follow-up questions. Establish a controlled virtual data room with permissions, version history and an index.
- Validate explanations. Reconcile management responses to contracts, ledgers, filings, registers, system reports and external evidence. Ask for the source document when a summary omits a limitation, exception or side letter.
- Rank findings. Score each issue by value impact, probability, remediation cost, timing and the buyer’s ability to protect itself through a representation, indemnity, escrow or covenant.
- Convert findings into deal terms. Material issues can produce a lower price, a purchase-price adjustment, escrow, specific indemnity, expanded representation, operating covenant, consent condition, financing condition or termination right.
- Confirm closing mechanics. Verify regulatory approvals, HSR status where applicable, third-party consents, financing, lien releases, required notices and every condition precedent before the closing certificate is signed.
- Carry forward unresolved work. Put remaining operational, privacy, security, tax and compliance tasks into a dated Day 1 and integration plan with an accountable owner and funding source.
How long does M&A due diligence take?
There is no reliable cross-industry average cost or duration. Timing depends on transaction complexity, the number of jurisdictions, data quality, regulated activities, carve-out work, customer or supplier consents, financing and merger-control review. A small, well-organized target can answer core questions quickly; a multinational business with fragmented records or a second-request investigation can require substantially longer.
The practical schedule is driven by dependencies: financial quality-of-earnings work may need several reporting periods, tax review may await returns or audit files, technology review may require testing, and closing cannot occur until mandatory waiting periods and consents expire or are obtained. Set an information-room calendar, weekly issue log and escalation deadline rather than promising a fixed number of days.
What happens when diligence finds a problem?
- Fix before signing or closing: release a lien, obtain a permit, secure a customer consent, correct a filing or remediate a security vulnerability.
- Reprice the transaction: adjust enterprise value, debt, working capital or an earn-out assumption when the finding changes expected economics.
- Allocate the risk: use a representation, specific indemnity, escrow, insurance, covenant or survival period matched to the exposure.
- Change the structure: exclude an asset or subsidiary, carve out a liability, use a transition-services arrangement or alter the tax structure.
- Walk away: exercise a termination right when a condition fails, a consent is unavailable, regulatory risk is unacceptable or the deal thesis no longer holds.
A finding is not automatically a deal breaker. Its treatment depends on magnitude, probability, detectability after closing, remediation cost and whether the contract can provide a realistic remedy.
