Within those boundaries, a city or county may negotiate project-specific commitments for documented impacts such as roads, water, wastewater, emergency response, noise, lighting, reporting, phasing, workforce programs, and community benefits. A development agreement cannot lawfully create an otherwise unauthorized tax, impact fee, permit condition, or regulatory power. Grid interconnection, electric-system reliability, and some air permits may be controlled by state or federal agencies instead.
The answer changes with the state, the type of local government, the parcel’s land-use status, the utility owner, and the instrument being used. The examples below—North Carolina, New Jersey, Fort Worth, Texas, and unincorporated Linn County, Iowa—illustrate different approaches, not a nationwide rule.

Start with authority, not negotiation
Before discussing benefits or mitigation, identify the legal source of the government’s power. Review the state development-agreement statute, municipal charter, zoning and subdivision ordinances, water and sewer rules, adopted comprehensive or master plans, and any law authorizing incentives or public works. Then identify the exact approval pathway: rezoning, special-use or conditional-use approval, site-plan review, building permits, a statutory development agreement, a water-use agreement, a community-benefits agreement, or an incentive contract.
Each instrument has a different decision-maker, public process, and enforcement theory. A county cannot assume it may impose a condition merely because a city could, and a city cannot promise a utility outcome controlled by a state regulator. The agreement should identify the authority for every obligation and state whether the term is a land-use condition, a separate contract, a utility commitment, or an incentive condition.

Documented impact is the practical test
Terms should be tied to the facility’s reasonably documented effects. Relevant information can include peak electric load and interconnection status; cooling design and peak-day water demand; water source, wastewater discharge, and reliability; construction and operating traffic; generator and fuel storage; battery-energy-storage and uninterruptible-power systems; noise and lighting; emergency access; projected jobs, investment, tax revenue, and development phases.
A broad request for money or services without an impact record is harder to defend than a narrowly scoped obligation supported by engineering, fiscal, water-resource, traffic, or emergency-response analysis. New Jersey guidance recommends technical review by engineers, public works, utilities, planning staff, and emergency services before negotiations.

What a local agreement may address
| Impact or benefit area | Information to establish first | Possible agreement terms | Important limitation |
|---|---|---|---|
| Roads and public infrastructure | Construction traffic, heavy-load routes, intersection effects, water and sewer capacity, and the incremental cost of improvements | Design and construction of turn lanes, road reconstruction, water or sewer main upgrades, schedules, inspections, and allocation of costs | If the road or utility belongs to another public entity, that owner may need to approve or join the arrangement. |
| Water and wastewater | Source, cooling technology, average and peak use, drought exposure, wastewater characteristics, and effects on existing users | Water study, maximum-demand commitments, metering, monthly or quarterly reporting, conservation measures, contingency plans, and a separate water-use agreement | Water terms must fit the authority and capacity of the supplying utility and any applicable resource or environmental law. |
| Fire and emergency response | Fire-flow needs, access for apparatus, bridge and road capacity, communications, generators, fuel, batteries, UPS equipment, and unusual hazards | Pre-incident plans, site access improvements, hydrants or other protection, equipment or training funding, emergency contacts, exercises, and notification protocols | New Jersey guidance says developers should fund needed public fire-protection or emergency-response improvements when the project necessitates them; the legal mechanism still depends on state and local law. |
| Land-use compatibility | Parcel zoning, setbacks, building scale, noise modeling, lighting, traffic, and site-plan requirements | Setbacks, sound limits, equipment screening, lighting controls, construction hours, traffic-management plans, landscaping, and phased site-plan approvals | Use the applicable zoning and site-plan authority. A contract cannot silently replace required legislative or quasi-judicial procedures. |
| Community and workforce benefits | Projected jobs, construction spending, training demand, community effects, and the public purpose for any contribution | Apprenticeships or training, local hiring goals where lawful, community funds, neighborhood improvements, reporting, and allocation rules | Benefits should be specific, measurable, and authorized. They should not disguise an unauthorized fee or tax. |
| Fiscal and incentive performance | Assumptions behind investment, jobs, assessed value, revenues, and public costs | Milestones for incentives, clawbacks or suspension where authorized, annual certifications, and consequences if performance projections are not met | Tax abatements and public-works commitments are legally distinct instruments. Confirm the statute and approval process for each. |
| Expansion and long-term operations | Number and timing of phases, expansion triggers, cumulative load and water demand, and changes in operators | Phase gates, updated studies, expansion notice, periodic review, successor obligations, security, breach and cure procedures, and remedies | Vesting, amendment, and enforcement rules vary substantially by state. |
Choose the correct legal vehicle
Calling every negotiated document a “development agreement” creates avoidable risk. The vehicle should match the power being exercised and the obligation being imposed.
Recommended Free Tools
| Vehicle | Typical decision-maker | Best use | Questions to resolve |
|---|---|---|---|
| Statutory development agreement | City or county governing body under a state enabling statute | Long-term phasing, vested development rights, public facilities, environmental protections, public health and safety, and allocation of infrastructure costs | Is a legislative hearing required? Must the agreement be recorded? What laws govern covered development after execution, and how are breach and cure handled? |
| Zoning or site-plan condition | Planning commission, board, zoning administrator, or governing body, depending on local law | Setbacks, noise, lighting, access, screening, construction controls, and other land-use standards | Is the condition authorized, proportionate, and connected to the land-use decision? Is a separate contract needed for off-site work? |
| Community-benefits agreement | Local government and developer, sometimes with community organizations | Community investment, training, neighborhood improvements, and transparent benefit allocation | Who has enforcement rights? Is the benefit a lawful public purpose, and does it overlap with a tax or impact fee? |
| Water-use or utility agreement | Municipal utility, regional utility authority, or other system owner | Demand limits, service conditions, metering, reporting, wastewater, reliability, and emergency supply arrangements | Does the local government own the system? What capacity, drought, rate, and resource rules apply? |
| Redevelopment or incentive agreement | Governing body or authorized economic-development entity | Performance-based incentives, public improvements, investment and employment milestones, and repayment provisions where permitted | What statute authorizes the incentive? Are procurement, debt, prevailing-wage, public-hearing, or contractor-registration rules triggered? |
| Public-works agreement | Local government or infrastructure owner | Design, construction, inspection, dedication, and maintenance of roads, utilities, or public facilities | Who owns the completed asset, and which bidding, bonding, prevailing-wage, and contractor rules apply? |
A practical sequence before negotiations
- Identify the parties and the site. Record the applicant, landowner, proposed operator, known end user, parcel ownership, city or county boundaries, utility owners, and whether the property is vested, zoned, or already approved. Confirm whether the site is inside a city, in unincorporated territory, or subject to an intergovernmental arrangement.
- List every proposed instrument. Separate rezoning, special-use approval, site-plan approval, development agreement, community-benefits agreement, water agreement, utility agreement, tax incentive, and public-works agreement. For each, name the authorizing law, approving body, required findings, hearing or notice, recordation, and appeal route.
- Request project-specific data. Obtain electric load and interconnection status; expected water source, cooling method, average and peak demand; wastewater needs; construction traffic; generator and fuel details; battery and UPS information; emergency plans; building phases; jobs and investment assumptions; and requested infrastructure upgrades. New Jersey’s municipal resource materials specifically point officials to requested load, grid-upgrade costs, water projections, peak-day use, fiscal assumptions, and technical assistance.
- Build an impact record. Have qualified staff or consultants evaluate roads, bridges, water and sewer, drainage, noise, lighting, emergency response, fire flow, traffic, fiscal effects, and community impacts. Keep assumptions, data sources, dates, and geographic boundaries with each conclusion so the agreement can be administered later.
- Bring every responsible public entity to the table. Include municipal engineering, public works, planning, utilities, fire officials, emergency management, finance, and counsel. Invite affected counties, utility authorities, school districts, transportation agencies, and other infrastructure owners when their assets or duties are implicated.
- Draft measurable commitments. For each promise, specify the responsible party, work scope, performance standard, deadline, funding source, design approval, inspection, reporting format, audit or review right, adjustment trigger, successor treatment, breach notice, cure period, and remedy. Define terms such as “substantial completion,” “peak day,” “phase,” and “commercial operation.”
- Check public-law overlays. Determine whether public procurement, competitive bidding, prevailing-wage, contractor-registration, bonding, debt approval, open-meeting, environmental, water-resource, or public-hearing rules apply. New Jersey’s Local Finance Notice 2026-13, dated August 25, 2026, warns that prevailing-wage and public-works contractor-registration requirements can apply to certain municipal-property projects even when the developer pays the costs.
- Use the required public process. Publish notice, hold hearings, make findings, execute the correct documents, and record them when required. Even where a hearing is not mandatory, New Jersey guidance encourages public hearings for transparency. Do not represent a negotiated term as binding until the legally required approvals are complete.
Drafting terms that can be enforced
State exactly what must be delivered
“Provide adequate emergency access” is difficult to administer. A stronger clause identifies a plan, design criteria, responsible reviewer, deadline, inspection, and operating obligation. Water provisions should state the meter location, reporting interval, maximum or target demand, data format, conservation triggers, and what happens during drought or supply interruption. Infrastructure provisions should identify ownership, easements, permits, construction standards, acceptance, maintenance, and cost responsibility.

Build in review and change controls
Large campuses can change operators, cooling systems, building counts, or phases. Require notice of material changes and specify when a new traffic, water, noise, fiscal, or emergency review is required. Distinguish a routine administrative update from a material amendment that needs governing-body approval. Avoid allowing a unilateral staff change to alter a legislative commitment.
Address successors, breach, and security
The agreement should say whether obligations bind a purchaser, lessee, operator, parent, or successor owner and how that obligation is recorded. Use periodic certifications, access for inspection, cure notices, termination or suspension rules, security, and injunctive or other remedies that the governing law permits. A promise without a reporting duty or remedy may be politically attractive but operationally weak.

Legal boundaries illustrated by current examples
North Carolina: a statutory model with express limits
North Carolina General Statutes Chapter 160D provides a useful example, not a national rule. Before entering a development agreement, the local government must conduct a legislative hearing with specified notice. Section 160D-1006 allows agreement contents addressing public facilities, environmental protection, public health and safety, historic preservation, and mutually acceptable terms for public facilities and amenities and their costs. It also states that a development agreement may not include a tax or impact fee not otherwise authorized by law.
The statute demonstrates why long-term drafting matters. Unless the agreement provides otherwise, covered development is generally governed by laws in force when the agreement is executed, subject to statutory exceptions. The statute includes written breach notice, a reasonable opportunity to cure, possible termination or modification, and injunctive enforcement. It requires recording within 14 days and provides that burdens bind successors. Those rules must not be projected onto another state without checking its statute.

New Jersey: technical review, public process, and public-works cautions
New Jersey Economic Development Authority guidance recommends a pre-negotiation assessment of master-plan fit, infrastructure and resource demands, community engagement, and emergency response. The state’s municipal resource materials identify requested electric load, grid-upgrade costs, water projections, peak-day use, fiscal assumptions, and technical assistance as subjects for local review.
New Jersey’s Department of Community Affairs Local Finance Notice 2026-13 identifies possible infrastructure, community, and emergency-response terms and discusses community-benefits, redevelopment, and property-tax incentive agreements as distinct vehicles. It also cautions that public-works obligations can trigger prevailing-wage and contractor-registration rules even when the developer funds the work. These are New Jersey requirements and guidance, not a general rule for every locality.
Fort Worth, Texas: a clear line between municipal and state authority
Fort Worth’s data-center explanation says the city’s authority focuses on zoning regulations, noise regulations, water utility requirements, and city economic-development incentives. The city distinguishes those local subjects from grid access, interconnection, and reliability, which it identifies as matters for the Public Utility Commission of Texas and ERCOT. A city may negotiate local land-use and utility terms without promising a state-regulated grid connection.
Linn County, Iowa: county geography matters
Linn County approved a 2026 ordinance for data centers in unincorporated Linn County on February 18, 2026. The adopted framework includes zoning requirements and, for large projects, a water study, water-use agreement, and economic-development agreement with a community fund. The county states that its zoning authority does not extend to cities within Linn County. A county ordinance therefore cannot automatically govern a facility inside a municipality merely because the municipality lies within the county.
What a local government generally cannot promise through an agreement
- An unauthorized tax or impact fee. A negotiated label does not cure a missing statutory authorization. North Carolina’s statute states this expressly.
- Control over another entity’s infrastructure. A city cannot guarantee a county road project, utility capacity, or state-regulated grid connection without the relevant owner’s participation and authority.
- Regulation reserved to state or federal agencies. Grid access and reliability may be controlled by state utility regulators and regional operators; air permitting can involve state or federal agencies.
- Permanent immunity from every future rule. Vesting protections, later ordinances, and statutory exceptions differ by jurisdiction. State law may limit what can be frozen and for how long.
- Waiver of mandatory public-law procedures. Hearings, notice, environmental review, procurement, public-works, prevailing-wage, recordation, and open-meeting requirements still apply when the law requires them.
- Terms unrelated to the project’s effects or public purpose. A request that cannot be tied to documented impacts, an authorized incentive, or a lawful community purpose is more vulnerable to challenge.
Local-government checklist
- Have we identified the state statute, charter provision, ordinance, or utility rule authorizing each term?
- Is the correct city, county, utility authority, state agency, or infrastructure owner making the commitment?
- Do the electric, water, wastewater, traffic, noise, lighting, emergency, and fiscal assumptions have a dated technical record?
- Does each obligation have a measurable deliverable, deadline, reporting method, reviewer, and remedy?
- Are phases, expansions, operator changes, successors, and cumulative impacts covered?
- Have procurement, prevailing-wage, contractor-registration, bonding, debt, environmental, hearing, notice, and recordation rules been checked?
- Are incentives conditioned on verifiable performance rather than unsupported projections?
- Does the public record clearly distinguish local authority from state or federal regulation?
- Have proposed terms been published and considered through the process required by law?
The defensible approach is to match every requirement to an authorized legal vehicle, a documented project impact or lawful public benefit, and a transparent process. That discipline lets a local government negotiate meaningful infrastructure, water, safety, land-use, and community commitments without treating a private agreement as a substitute for legislative authority.
