The S&P 500 is a benchmark of large-cap U.S. stocks maintained by S&P Dow Jones Indices (S&P DJI). It targets 500 companies, but a company does not join automatically by becoming large enough: it must meet eligibility rules and then be selected by S&P DJI’s Index Committee, which also considers sector balance and market conditions.
What the S&P 500 measures
The S&P 500 measures the performance of large-cap U.S. equities. S&P DJI draws its constituents from the S&P Total Market Index and weights them by float-adjusted market capitalization (FMC). FMC reflects the portion of a company’s shares considered available to public investors, so companies with more investable market value generally have more influence on the index’s movement.

The index is a calculation and benchmark, not a company or an investment account. ETFs and futures can track or reference it, but they are separate financial products with their own fees, trading arrangements, taxes, and risks. S&P DJI’s educational page estimates that the index represents approximately 83% of U.S. market capitalization; the cited page does not state a reference date for that estimate.

How many companies and securities are in it?
The methodology targets 500 constituent companies, but the reported number of securities can be higher when a company has more than one publicly listed share class. S&P DJI reported 503 constituent securities on August 31, 2026. That dated securities count should not be read as a permanent number of companies or tickers.

What a company must qualify for
S&P DJI’s U.S. Indices Methodology sets baseline eligibility criteria for the S&P Composite 1500 indices, including the S&P 500. The criteria screen for U.S. status, eligible securities, size, investable float, liquidity, and financial viability. They establish whether a company can be considered; they do not guarantee admission.
Domicile, reporting, and listing
A candidate must be considered U.S.-domiciled and meet periodic U.S. Securities Exchange Act reporting obligations. It must also have an eligible U.S. exchange listing and an eligible corporate and security form. The methodology permits corporations, including equity and mortgage REITs, and common stock; it excludes, among other forms, ETFs, ADRs, limited partnerships, LLCs, and preferred stock.

Company size and investable float
The methodology specified a company-level S&P 500 market-cap guideline of at least $22.7 billion effective July 1, 2025, along with a separate minimum float-adjusted market-cap requirement for the security. S&P DJI reviews guideline ranges quarterly and updates them as needed, so the July 2025 figure is not a verified current cutoff for October 2026.

Liquidity is assessed using float-adjusted measures, including annual dollar trading value relative to float-adjusted market capitalization; the methodology also sets trading-volume and liquidity-ratio requirements for additions to the Composite 1500. For financial viability, GAAP net income from continuing operations must be positive in both the most recent quarter and the sum of the latest four consecutive quarters. Equity REITs may use an FFO alternative when reported.

Who decides, and what the committee weighs
Meeting the screens makes a company eligible for consideration, not an automatic replacement for an existing member. S&P DJI states that “Constituent selection is at the discretion of the Index Committee and is based on the eligibility criteria.” The committee also considers sector balance, comparing each GICS sector’s weight in the index with its weight in the S&P Total Market Index within the relevant market-cap range.
S&P DJI says the committee meets monthly to review corporate actions, market statistics, potential candidates, and significant market events. Its deliberations are confidential because a membership change can affect markets.

When membership changes
There is no scheduled annual or quarterly reconstitution of S&P 500 membership. S&P DJI’s benchmark statement says, “There is no scheduled reconstitution for the indices.” Additions and deletions happen as needed, including in response to developments such as mergers or delistings. Routine maintenance, such as updating share counts, may still follow a regular schedule.

How to assess a possible addition
For a company being discussed as a potential member, separate the verifiable eligibility screens from the committee’s judgment. Check its U.S. domicile and reporting status, listing and security form, company and float-adjusted market capitalization, liquidity, and recent GAAP profitability. Then account for the committee’s discretion and sector-balance considerations. A market-cap figure alone cannot establish that a company will be selected.
History and official sources
S&P DJI’s methodology, accessed October 3, 2026, gives March 4, 1957 as the index launch date and January 3, 1928 as the first value date. The earlier history is hypothetical back-testing, not live index performance.
