Price fixing is an agreement among competitors to raise, lower, maintain or stabilize prices or price-related terms. The agreement can be written, spoken or inferred from conduct. A cartel may also rig bids or divide customers and territories. Identical prices alone do not establish collusion: investigators must connect a suspicious pattern to evidence of an agreement and test whether ordinary market conditions provide an independent explanation.
What is price fixing?
The Federal Trade Commission defines price fixing as “an agreement (written, verbal, or inferred from conduct) among competitors to raise, lower, maintain, or stabilize prices or price levels.” The word agreement is central. A company may independently choose a price after observing a rival, but competitors who coordinate their decisions can create an antitrust problem.

Coordination can cover more than the number printed on a shelf label. The FTC includes credit terms, shipping fees, warranties, discount programs and financing rates among terms that affect what a purchaser pays. Competitors might agree on a minimum price, a maximum, a range, a formula, a discount policy or a decision not to advertise prices.
The arrangement need not include every business in a market, and it does not need a signed contract. A conversation at a trade event, a series of messages, a shared spreadsheet or a pattern of conduct can become relevant when it shows that competitors replaced independent decision-making with coordination. Whether the evidence proves an unlawful agreement depends on the applicable law and the facts of the particular proceeding.

How do cartels work?
A cartel is a group of competitors that coordinates instead of competing on one or more important dimensions. Price fixing is one form. Federal Trade Commission and Department of Justice guidance commonly discusses three related horizontal arrangements.
Price coordination
Competitors can agree on a uniform price, a price floor, a price formula, identical surcharges or the elimination of discounts. They might coordinate freight charges, quantity discounts, financing terms or the timing of price changes. An agreement not to advertise prices or not to bid can also remove competitive pressure even when no single number is specified.
Bid rigging
In bid rigging, competitors arrange who will win or how bids will be submitted. DOJ guidance describes several recurring methods:

Repair common Windows errors and clear accumulated junk for a smoother, more stable PC - no reinstall needed.Free scan · no reinstall- Cover or complementary bids: competitors submit intentionally high or otherwise unattractive offers so a chosen firm wins.
- Bid suppression: a participant agrees not to bid, withdraws a bid or declines to pursue a project.
- Bid rotation: firms take turns winning contracts according to a schedule.
- Market or geographic allocation: competitors divide projects, agencies or locations and avoid one another’s assignments.
- Subcontracting arrangements: losing bidders receive work from the winner as compensation for standing aside.
Customer allocation
Competitors can assign customers, classes of customers or accounts to one another. A participant may agree not to solicit an allocated account, while the assigned firm promises not to compete for the others. Evidence may include customer lists, internal instructions, messages about who “owns” an account and unexplained refusals to quote.
Territorial allocation
Territorial allocation divides where firms sell or solicit. Geographic boundaries can be formal or informal. Investigators may examine whether companies consistently reject business outside an alleged territory, whether sales activity changes at an unexplained boundary and whether competitors communicate about geographic limits.

| Conduct | What competitors coordinate | Illustrative indicators investigators may inspect |
|---|---|---|
| Price fixing | Prices or price-related terms | Price changes, discount policies, formulas, records and competitor communications |
| Bid rigging | The winner or the form of bids | Cover bids, rotation, abstention, repeated patterns, communications and subcontracting |
| Customer allocation | Which customer or customer group each firm serves | Customer assignments, non-solicitation instructions and limits on competing for allocated business |
| Territorial allocation | Where each competitor sells or solicits | Geographic patterns, rejected business and messages about territory boundaries |
These indicators are leads, not conclusions. For example, identical line items in bids may reflect a supplier quoting the same input price to several bidders rather than an agreement among the bidders.
Do identical or simultaneous prices prove collusion?
No. The FTC’s answer to the familiar gasoline-station question is that “a uniform, simultaneous price change could be the result of price fixing, but it could also be the result of independent business responses to the same market conditions.” Similar prices are evidence to examine, not automatic proof of an agreement.

Independent parallel pricing can arise when firms face the same:
- commodity or wholesale-cost increase;
- shortage, transport disruption or other supply change;
- seasonal or regional demand shift;
- tax, regulatory or exchange-rate change;
- publicly visible price move that each firm chooses to match; or
- competitive strategy in a market where prices are easy to observe.
Investigators therefore ask what happened before and after the price movement. Did managers communicate with competitors? Did an internal cost or demand event occur at the same time? Could each company explain its decision using its own records? Were discounts, delivery terms and customer-specific prices also coordinated? The stronger the independent explanation, the less weight a bare price parallel may carry. Conversely, unexplained coordination coupled with communications or other conduct can support an inference of agreement.
How do investigators prove price fixing?
Cases generally develop by combining several evidence streams. A data pattern can open an inquiry, but investigators still need evidence that competitors reached an agreement and evidence that addresses plausible independent explanations. The exact legal test and burden differ by jurisdiction and by whether the matter is criminal, civil or administrative.

1. Identify a suspicious pattern
Authorities may begin with a complaint, a whistleblower, a procurement referral, a participant’s cooperation or statistical analysis. In procurement, analysts can screen large bid databases for unusual repetition, bid gaps or geographic patterns. DOJ’s Procurement Collusion Strike Force describes its Data Analytics Project as a way to identify possible collusion for further investigation, not as a system that determines liability by itself.
2. Collect communications and meeting evidence
Emails, text messages, messaging-app records, calendars, call logs, trade-association contacts and meeting notes can show when competitors discussed prices, bids, customers or territories. DOJ’s archived Antitrust Resource Manual says competitor meetings or communications can provide effective circumstantial proof in price-fixing cases and directs investigators to develop evidence about communications concerning bids. Contact alone is not enough; the subject, timing and surrounding conduct matter.
3. Review business records
Price lists, price-change notices, discount approvals, formulas, sales forecasts, bids, contracts, invoices and internal memoranda can establish what changed and when. Comparing a company’s records with the alleged coordination can reveal whether a price was independently justified by costs or whether several firms adopted the same unusual term without a documented business reason.
4. Analyze bid behavior
DOJ guidance identifies patterns warranting careful review:
- winning bids rotate among a stable group of firms;
- the same firms repeatedly submit unusually high or complementary bids;
- competitors stop bidding in particular locations or for particular customers;
- bid prices show unexplained geographic or project patterns;
- line items are identical across submissions; or
- a winner subcontracts meaningful work to firms that submitted losing bids.
Each pattern needs context. Identical numbers can result from a common supplier quote, a standardized government specification or a calculation rule. Analysts compare the pattern with market structure, project specifications, capacity constraints and the firms’ communications.

5. Obtain participant testimony
A cooperating participant can explain how an arrangement operated, who attended meetings, what terms were agreed and how the agreement was implemented. DOJ’s archived manual says conspiracy investigations frequently rely on testimony from a participant. That is investigative guidance, not a universal rule that every case or jurisdiction requires such a witness. Testimony is tested against documents, timelines and other witnesses.
6. Test independent explanations
Investigators should model ordinary reasons for parallel conduct: common input costs, demand changes, capacity limits, public pricing and independent reactions to a rival’s move. The question is not merely whether firms acted alike, but whether the similarities are difficult to explain without communication or a shared plan. A credible independent explanation can weaken an inference; contradictory records can strengthen it.
7. Establish the procedural posture
An inquiry, subpoena, search, indictment, civil complaint or guilty plea represents a different stage of a matter. A statistical red flag is not a finding that a company violated the law. Readers should distinguish an allegation from a proven violation and note whether a case ended in dismissal, settlement, conviction, judgment or remains pending.
What evidence is strongest?
No single category automatically decides a case. The practical value of evidence depends on reliability, context and how directly it connects competitors to a common plan.

How U.S. and European investigations differ
Antitrust rules and procedures are jurisdiction-specific. The U.S. discussion commonly involves the Federal Trade Commission and the Justice Department’s Antitrust Division. DOJ materials address criminal investigation and a corporate leniency policy for price fixing, bid rigging and market allocation under Sherman Act Section 1. The policy page was updated October 2, 2026 and links to the March 2024 policy and later model letters. Eligibility depends on satisfying the policy’s conditions; companies should consult the current official text and qualified counsel rather than assume that contacting authorities guarantees immunity.

The European Commission describes a different procedural setting for EU cartel cases. Its overview covers how a case starts, investigative steps, a Statement of Objections, decisions, fines and judicial review. The Commission also operates a leniency program that can provide immunity or fine reductions to qualifying applicants. U.S. and EU programs are not interchangeable: eligibility, sequencing, cooperation duties, confidentiality and consequences can differ.
What the Procurement Collusion Strike Force figures mean
As of April 30, 2026, the Justice Department’s public Procurement Collusion Strike Force page reported rounded cumulative program figures of 47K+ agents and procurement officials trained, 200+ investigations opened, 85+ guilty pleas and trial convictions, and $70M+ in fines and restitution. These are program totals presented by DOJ on that date, not an estimate of cartel prevalence, consumer harm or the likelihood that any particular company colluded. Because the figures are time-sensitive, consult the live DOJ page for later updates.
Practical questions for businesses and buyers
What should a procurement team document?
- Keep bid invitations, specifications, bidder questions, submissions, evaluation worksheets and award decisions.
- Record legitimate reasons for unusual pricing, disqualifications, withdrawals or a decision not to rebid.
- Limit competitor contacts to a clear business purpose and preserve agendas and minutes for permitted industry meetings.
- Train employees not to exchange current or future prices, discounts, capacity plans or customer allocations with competitors.
What should a company do after receiving a credible internal report?
Preserve relevant messages and files, restrict unnecessary access, avoid destroying or altering records and use an appropriately independent investigation channel. Do not alert suspected participants in a way that could compromise evidence. Because leniency and reporting choices are highly time-sensitive and jurisdiction-specific, obtain antitrust advice before contacting an authority or coordinating an internal response.

The bottom line on proving a cartel
Price fixing is coordinated conduct among competitors, not simply a set of matching prices. Cartels may fix price terms, rig bids or allocate customers and territories. Investigators build cases by connecting communications, testimony, business records and bid or price data, while testing common-cost, supply, demand and other independent explanations. A suspicious pattern starts an inquiry; proof requires a fact-specific showing of an agreement under the law governing that proceeding.
