AI vendor lock-in is the practical difficulty of changing an AI provider because your data, applications, workflows, contracts, staff skills or operating processes have become dependent on that provider’s technology. A downloadable data file does not necessarily make an AI service portable: the replacement must also be able to interpret the data, reproduce required integrations and support the business process.
The safest approach is to design the exit before adoption. Inventory what must be recoverable, negotiate usable exports and transition help, isolate provider-specific code, document workflow logic and test a representative migration while the service is still replaceable.

What AI vendor lock-in actually means
Interoperable Europe defines ICT vendor lock-in as a situation in which a public authority cannot easily change provider after a contract ends because essential information is unavailable to a new supplier. In cloud computing, the problem is closely tied to low interoperability between providers and low portability of data and applications.
The European Commission’s procurement guidance uses a broader test: switching suppliers, maintainers or delivery models becomes technically, legally or economically difficult. That means lock-in is not limited to a missing “download” button. A business can possess an export and still be unable to operate it elsewhere because the receiving service cannot interpret the format, the contract restricts reuse, or critical logic exists only inside a proprietary console.

Four kinds of switching barrier
- Technical: proprietary APIs, data schemas, model-specific prompts, custom tools, identity systems or orchestration that do not transfer cleanly.
- Legal: unclear ownership, restrictive licences, retention provisions, limits on reuse, or no obligation to provide documentation and transition assistance.
- Organizational: staff training, evaluation procedures and operational knowledge built around one provider’s controls and terminology.
- Economic: migration engineering, parallel running, retraining, service interruption and contractual termination costs.
These barriers often accumulate. A provider may offer an apparently open export while the business still faces months of integration work, lost evaluation history and a costly rewrite of agent workflows.
Why AI can intensify dependence
Traditional software lock-in often centers on databases and application code. AI systems add behavior, prompts, evaluations and model-serving interfaces that can be harder to reproduce exactly.
Model-specific behavior
Different models respond differently to the same prompt, tool description or safety policy. A workflow tuned to one model’s context limits, structured-output quirks or refusal behavior may need redesign when moved. Replacing a model is therefore an engineering and validation project, not merely a change to an endpoint.
Embedded prompts and orchestration
System instructions, retrieval settings, tool definitions, routing rules and fallback logic may be stored in a provider’s application layer. If those components cannot be exported in a usable form, the business must reconstruct them manually. Agent products can deepen this dependency when planning, memory, tool calling and human approvals are configured through proprietary interfaces.
Data and evaluation history
AI operations generate more than source documents. Useful records can include prompts, generated outputs, configuration, evaluation results, logs, human review decisions, safety labels and workflow definitions. Losing that history makes it difficult to validate a replacement or explain how earlier decisions were made.

Cloud and platform bundling
The OECD’s 2025 competition paper notes concern that customers’ AI choices could become restricted to a cloud provider’s own offerings or partners. Interoperability, data portability and software licensing can make a bundled platform harder to leave than a standalone model service.
What should be recoverable at exit?
Start with a written inventory. The exact list depends on the service and applicable law; these are prudent procurement questions rather than a universal legal entitlement to every item.

| Artifact or dependency | Questions to settle before purchase |
|---|---|
| Source data | Can original files, records and metadata be exported? In what documented, machine-readable format? |
| Generated outputs | Can outputs be retrieved with timestamps, identifiers, model information and associated input references? |
| Prompts and instructions | Are system prompts, templates, tool descriptions and version history accessible to the customer? |
| Configuration | Can retrieval settings, safety policies, routing rules and other material settings be reproduced elsewhere? |
| Evaluations | Can test sets, scores, labels, rubrics and regression results be exported for comparison with a new provider? |
| Logs and audit records | What event, access and review logs are available, for how long, and in what format? |
| Human review records | Can annotations, approvals, escalations and correction history be retained with the underlying item? |
| Workflow definitions | Can agent steps, triggers, tool connections, permissions and approval paths be documented or exported? |
| Integrations | Which identity, storage, monitoring and business systems depend on provider-specific connectors or credentials? |
An “open” file format is only useful if another system can interpret and operate on it. Assess semantic portability, not just whether bytes can be copied.
How to assess lock-in during procurement
- Define the exit scenario. State why a move might occur: price change, outage, regulatory requirement, model retirement, geographic restriction or a strategic shift. Include the target service class and an acceptable period of degraded service.
- Map the workload. Record data stores, prompts, models, tools, APIs, identities, monitoring, human approvals and downstream applications. Mark each item as portable, replaceable with rework, or provider-specific.
- Request an export demonstration. Ask the vendor to show a real sample export, its schema, associated documentation and the steps a new supplier would follow. A marketing statement that data is “exportable” is not enough.
- Ask for dependency documentation. Require interface specifications, authentication details, rate-limit behavior, versioning policy, known export limitations and a list of proprietary features used by your proposed design.
- Price the switch. Estimate engineering hours, data transformation, validation, parallel operation, retraining, contract overlap and likely downtime. Treat the estimate as a total switching cost, not just a termination fee.
- Negotiate rights and assistance. Put export scope, format, retention, deletion, documentation and transition support in the contract. Specify who performs each step and how quickly the provider must respond.
- Score alternatives consistently. Compare every offer against the same required artifacts, interfaces, recovery time and acceptable loss of functionality.
Contract terms that preserve an exit
Architecture cannot cure a contract that permits deletion without notice or refuses to explain the service. Procurement and legal teams should align the agreement with the technical exit plan.
| Contract area | What to specify |
|---|---|
| Export rights | Named data and operational artifacts, export frequency, machine-readable formats, metadata and any included transformation tools. |
| Access after termination | A defined retrieval window, continued authentication, support contacts and protection against immediate deletion. |
| Retention and deletion | Retention periods, backup handling, deletion confirmation and treatment of replicas and derived indexes. |
| Documentation | Current API, schema, dependency, configuration and migration documentation, including changes that could affect an exit. |
| Transition assistance | Named services, response times, engineering support, reasonable rates and cooperation with a replacement supplier. |
| Licensing and reuse | Rights to reuse prompts, configurations, evaluation assets, outputs and customer-developed workflow logic, subject to applicable law. |
| Change and retirement notice | Advance notice of material API, model, feature or regional changes, plus a process for handling discontinued components. |
European Commission guidance identifies insufficient rights, documentation, portability, governance transparency and exit readiness as lock-in risk factors. The exact clause language must be reviewed for the contract’s jurisdiction and service type; EU guidance does not automatically grant unrestricted migration rights for every model API.

Architecture patterns that reduce dependence
Use a business-controlled interface where justified
Place an internal service between application code and external AI APIs when the workload is important enough to justify the extra component. Keep model selection, authentication, retries, telemetry and response normalization there. Application teams then depend on an interface you control rather than scattering provider-specific calls throughout the codebase.
This is an engineering recommendation, not a mandated standard. It adds maintenance and latency, so use it selectively for business-critical paths rather than every experiment.
Isolate provider-specific behavior
Keep adapters for tool calling, structured output, embeddings, moderation and streaming in separate modules. Record where a provider’s proprietary feature is used and provide a simpler fallback for essential tasks. Avoid allowing a provider console to become the only place where business rules are stored.
Own the workflow and evaluation layer
Store prompts, routing rules, test cases, quality criteria and approval policies in organizational repositories with version history. Keep a representative evaluation suite that can run against more than one model or service. The goal is not identical wording from every model; it is a measurable way to detect unacceptable changes.
Control your data plane
Where security and performance requirements permit, retain canonical source data, identifiers and metadata in systems you govern. Treat provider indexes, caches and fine-tuning artifacts as derived copies whose recreation time is known.

How to run a practical migration exercise
A paper exit plan can hide the hardest work. Exercise a representative, non-critical workload before the provider becomes indispensable.
- Select a workload that includes normal cases, edge cases, tool calls, human review and audit requirements.
- Export every artifact listed in the contract and inventory. Record file sizes, schemas, missing metadata and manual steps.
- Recreate identities, permissions, storage, prompts, tools and evaluation tests in a separate environment.
- Run the workload through a second service or a local substitute where feasible. Record functional gaps, quality changes, latency, rate limits and operator effort.
- Measure elapsed time, staff hours, one-time engineering cost, recurring dual-run cost and service interruption.
- Update the architecture and contract based on what failed. Repeat after major model, API or workflow changes.
NIST’s March 2026 API protection guidance emphasizes lifecycle risks and controls for enterprise API dependence. It is security guidance, not a promise that APIs will be compatible across vendors, so an exercise remains necessary.
Warning signs and corrective actions
| Warning sign | Why it matters | Corrective action |
|---|---|---|
| Only a dashboard can edit prompts or workflows | Business logic may be trapped in an undocumented interface. | Require exportable definitions and maintain a versioned copy outside the dashboard. |
| Exports omit identifiers, metadata or configuration | A replacement cannot reliably reconnect records or reproduce behavior. | Test sample exports and negotiate a complete schema and mapping. |
| Critical features use proprietary tools or connectors | Reimplementation may require a major redesign. | List each feature, define a fallback and isolate it behind an adapter. |
| No termination retrieval window | Deletion or access loss can occur before migration finishes. | Add a defined post-termination access and support period. |
| Evaluation exists only in provider reports | You cannot prove whether a replacement is equivalent. | Keep test data, rubrics, labels and results under your governance. |
| Pricing depends on several bundled services | Leaving one component may require replacing the entire platform. | Map shared identity, storage, networking and licensing dependencies and price a partial exit. |
AI agents: the lock-in question
Agents can increase switching risk because they combine a model with memory, tools, planning, permissions, retrieval and human approvals. Ask whether the agent’s task graph, tool schemas, state, guardrails and intervention records can be reconstructed outside the provider.
Separate the business objective from the agent implementation. For example, “classify a request, retrieve approved policy, draft a response and obtain human approval” should be documented as a controlled process with acceptance tests. The provider’s particular planner or memory mechanism is an implementation detail that should be replaceable, even if a new service requires different orchestration.

What current guidance does—and does not—promise
The OECD’s 2021 work treats data portability as a way to support reuse across digital services and reduce switching costs. It is general portability analysis, not a statistic measuring AI-specific lock-in.
Best Value
European Commission guidance on general-purpose AI providers describes documentation obligations under the AI Act, including technical documentation for authorities and information for downstream providers about capabilities, limitations and integration requirements. Those materials can improve due diligence; they should not be represented as a blanket right to export a complete AI application, business workflow or every associated record.
The strongest evidence available concerns cloud and ICT portability, public procurement, competition, model documentation and API governance. Application to a particular AI product depends on its architecture, contract, data location, service edition and applicable law.
How to compare providers on switching risk
| Comparison axis | Evidence to request |
|---|---|
| Exportability | List of retrievable artifacts, usable formats, metadata completeness and export testing results. |
| Interoperability | Documented APIs, standard authentication, versioning, rate limits and ability to connect to independent systems. |
| Proprietary dependence | Features, tools, orchestration and storage that would need replacement or redesign. |
| Contractual protection | Rights, retention and deletion terms, documentation duties, notice periods and transition assistance. |
| Migration effort | Estimated engineering, validation, retraining, parallel operation and service interruption. |
| Economic exposure | One-time switching cost, recurring platform dependencies and financial impact of downtime. |
Keep the scoring evidence-based. If a provider has not stated an export format, migration time or transition service, record it as unknown rather than assuming portability.

No directly attributable published statistic establishes how common AI vendor lock-in is or what it costs businesses overall. General cloud or data-portability figures should not be presented as measurements of AI lock-in. The practical response is to measure exposure in your own workload: recoverability, dependencies, people, time, cost and acceptable disruption.
