The airline receives cash but keeps operating the plane under a lease; the lessor becomes the owner and collects lease payments.
Airlines mainly use the structure to raise funds for aircraft acquisitions or to unlock cash from aircraft already in service. In exchange, they give up ownership and accept long-term payments, operating restrictions, maintenance duties and end-of-lease return requirements. The accounting result depends on whether the transaction qualifies as a sale under the applicable rules.

What is a sale-and-leaseback deal?
In its simplest form, the transaction has two linked steps:

- The airline transfers an aircraft or engine to a leasing company, bank or other lessor and receives the agreed sale proceeds.
- The lessor leases that same asset back to the airline, allowing the airline to continue flying it for a specified term.
The aircraft does not become free to use. The airline has exchanged ownership for a contractual right to use the asset. It must make lease payments and comply with the lease, while the lessor holds legal title and typically bears the residual-value risk specified in the contract.

A deal can involve a newly delivered aircraft or one that has already been in the airline’s fleet. In a new-aircraft arrangement, the sale may occur when the aircraft is delivered. In an existing-fleet transaction, the airline monetizes an aircraft it already operates and then leases it back for an agreed period.
Sale-and-leasebacks can also cover engines. Airline disclosures describe transactions in which both aircraft and engines are sold and leased back. The legal documents, payment schedule, maintenance terms and return conditions determine the actual economics.
Why do airlines use sale-and-leasebacks?
To finance aircraft acquisitions
The clearest documented use is acquisition financing. International Airlines Group has reported that it regularly uses sale-and-leaseback transactions for that purpose. Selling an aircraft to a lessor converts part of its value into cash while preserving the airline’s ability to operate the aircraft.

It can also diversify funding sources alongside secured loans, bonds, export-credit structures and other forms of aircraft finance. The arrangement is not automatically cheaper than borrowing, however. A proper comparison must include the lease rate, fees, residual-value assumptions, accounting effects and contractual restrictions.
To release cash from aircraft already in service
An airline can sell an aircraft that is already flying and lease it back for a defined period. That creates an immediate cash inflow without requiring the carrier to retire or replace the aircraft. Southwest Airlines’ reported transactions illustrate this use: aircraft already in its fleet were sold and immediately leased back for approximately two to three years.

To match funding with aircraft use
Leasing can align payments with the period in which the airline expects to use the aircraft. The benefit is flexibility in funding structure, not elimination of the cost of ownership. The airline still pays for access to the aircraft and may remain responsible for maintenance, insurance, records, certification and return-condition work.
What the evidence does not prove
A sale-and-leaseback is not universally cheaper than debt, does not always improve reported earnings and does not guarantee unrestricted cash. Whether it is financially attractive depends on the negotiated sale price, lease payments, term, residual-value exposure, maintenance obligations, aircraft market conditions and the airline’s alternatives.

How a typical transaction works
- Asset and terms are selected. The airline and prospective lessor identify the aircraft or engine, its value, the lease term, payment schedule, purchase options and required return condition.
- The lessor acquires the asset. Legal title transfers under the sale documents, and the lessor pays the agreed consideration. The transaction may close on delivery of a new aircraft or after the aircraft has been operating.
- The lease starts immediately. The airline receives the right to use the aircraft for the contractual term. The lease specifies rent, escalation, maintenance standards, permitted operations, insurance and reporting.
- The airline operates under lease controls. It continues scheduling and flying the aircraft, but must follow the lessor’s conditions. Changes that were routine for an owned aircraft may require consent or notice.
- The aircraft is returned or dealt with under an option. At expiry, the airline may return the aircraft, extend the lease, exercise a purchase option if one exists, or negotiate another arrangement. The contract’s redelivery provisions determine the work and cost required.
The cash received at closing, the lease payments over time and any eventual return costs are separate economic items. Looking only at the sale proceeds can make a transaction appear more attractive than it is.
How sale-and-leasebacks are accounted for
When the transfer qualifies as a sale
Airlines that report under IFRS assess whether the transfer meets the sale criteria in IFRS 15. If it does, the airline derecognizes the underlying aircraft and recognizes a right-of-use asset for the use it retains through the lease, along with the related lease liability.
The gain or loss is limited to the rights transferred to the buyer-lessor. The airline does not recognize a gain on the portion of the asset associated with the right it continues to control through the leaseback. This is why a headline accounting gain is not the same as cash raised or total economic profit.

When the transfer does not qualify as a sale
If the IFRS 15 sale criteria are not met, the arrangement is accounted for as financing in the IFRS policies described by Lufthansa and Volaris. The airline keeps the aircraft on its balance sheet and recognizes a financial liability for the transfer price. Lufthansa’s policy says that liability is accounted for in line with IFRS 9.
In that case, legal transfer of title and receipt of cash do not produce sale accounting. The substance is treated as a financing arrangement because the buyer does not obtain the required control of the asset.
Off-market terms matter
If the sale price or lease payments are not at market terms, the difference may be treated as a prepayment or additional financing rather than as a straightforward sale-and-leaseback adjustment. The accounting outcome therefore requires analysis of the contract’s actual terms, not just its title.
Accounting rules vary by reporting framework and jurisdiction. Tax treatment, legal ownership, insolvency effects and regulatory requirements can also differ. An airline should obtain transaction-specific accounting and legal advice before signing.
A reported example: Southwest’s 2024 and 2025 transactions
Southwest Airlines Co.’s 2025 Form 10-K provides a concrete illustration. In the fourth quarter of 2024, Southwest sold 35 Boeing 737-800 aircraft to UMB Bank for $871 million and immediately leased them back for approximately two to three years. In the first quarter of 2025, it sold one additional aircraft to UMB for $24 million and leased it back for approximately three years.

| Item | Reported amount or term | What it represents |
|---|---|---|
| 35 Boeing 737-800 aircraft sold in Q4 2024 | $871 million | Sale proceeds reported by Southwest |
| Leaseback for those 35 aircraft | Approximately two to three years | Planned operating period under lease |
| One aircraft sold in Q1 2025 | $24 million | Additional sale proceeds reported by Southwest |
| Leaseback for that aircraft | Approximately three years | Planned operating period under lease |
| Gain recognized on the Q4 2024 transaction | $92 million | Accounting gain, not total cash raised |
| Operating-lease right-of-use assets and liabilities for the Q4 transaction | $319 million | Lease balances recognized separately from proceeds and gain |
These figures are one company’s disclosed transactions, not a standard aircraft price or market forecast. They show why three numbers must be kept separate: cash received from the sale, the accounting gain recognized under the applicable rules, and the right-of-use asset and lease liability created by the leaseback.

Lease payments and financial reporting
The airline must pay rent according to the lease schedule and meet financial or technical reporting requirements. Payment amounts may be fixed, variable, escalated or otherwise adjusted under the contract. The airline also records the lease in the manner required by its reporting framework.
Maintenance and certification
The lease commonly requires the aircraft and engines to remain within specified maintenance and certification standards. The operator may need approval before replacing parts, changing maintenance programs or making modifications. Records must be complete enough for the lessor to verify the aircraft’s condition.
Redelivery condition
IATA’s 2025 aircraft-lease guidance notes that a used-aircraft sale-and-leaseback may be delivered “as-is,” without the extensive delivery conditions and inspection associated with a standard operating lease. The same lease can contain detailed redelivery requirements designed to preserve the lessor’s asset value and remarketability.
Those requirements may specify remaining life on engines and components, inspection status, records, configuration, cosmetic condition and compliance with technical directives. The airline should estimate the cost of meeting them well before lease expiry rather than treating return work as an unknown residual expense.
Best Value
Operational limits
IATA identifies restrictions that may be new after an owned aircraft becomes leased, including:
- Limits on subleasing or transferring the aircraft.
- Rules for replacing parts and approving components.
- Maintenance and certification standards.
- Geographic limits on where the aircraft may operate.
- Financial and technical reporting obligations.
Volaris has separately described estimated return obligations involving aircraft and engine maintenance conditions. The exact allocation of maintenance reserves, residual-value risk and return costs is contract-specific; there is no single standard split that applies to every airline lease.
How to evaluate a sale-and-leaseback
An airline comparing this structure with debt or another funding method should evaluate the whole contract, not just the upfront cheque.
| Question | Why it matters |
|---|---|
| How much net cash is received? | Deduct transaction fees, required reserves, taxes and other closing adjustments from the headline sale price. |
| What is the present value of lease payments? | Rent over the term is the price of continuing to use the aircraft and should be compared with the cost of alternative financing. |
| Is the sale price at market value? | An off-market price can change both economics and accounting treatment. |
| Does the transfer satisfy sale criteria? | The answer determines whether the aircraft is derecognized and a gain is recognized, or whether the arrangement remains financing. |
| What right-of-use asset and lease liability arise? | The balance-sheet effect continues after the cash is received. |
| How long is the lease and what options exist? | Term, extension, renewal and purchase options affect flexibility and residual exposure. |
| Who bears maintenance and residual risk? | Return work, engine events, component life and aircraft value can materially change the transaction’s final cost. |
| Can the airline comply operationally? | Geographic, sublease, reporting and technical restrictions may limit network planning or fleet changes. |
Common misunderstandings
“The airline sold the aircraft, so it no longer has aircraft obligations.”
False. The airline no longer owns the asset if the sale is genuine, but it remains responsible for lease payments and the duties written into the lease. Maintenance, insurance, records, operational limits and return conditions can all continue.
“The sale proceeds are the airline’s profit.”
False. Proceeds are cash from transferring the asset. A separately calculated gain may be recognized in the accounts, while a right-of-use asset and lease liability are also recorded. None of those figures alone states the transaction’s complete economic benefit.
“Every sale-and-leaseback is just a loan.”
Not necessarily. A qualifying sale is accounted for differently from a failed sale. If the transfer does not meet the sale criteria, IFRS reporters may treat it as financing, but the legal and accounting analysis depends on the contract and applicable rules.
“A short leaseback removes long-term risk.”
A shorter term can limit the period of committed rent, but it may concentrate redelivery work and expose the airline to replacement-aircraft needs when the lease ends. The actual term, options and fleet plan must be considered together.

Bottom line
A sale-and-leaseback is an aircraft-financing structure: an airline sells a plane to a lessor, receives cash and leases the plane back so it can keep flying it. Airlines use it principally to help finance acquisitions or unlock value from aircraft already in service. The trade-off is permanent ownership transfer in exchange for lease payments, accounting consequences, operational restrictions and potentially substantial maintenance and redelivery obligations. The right way to judge a deal is to compare its net cash, total lease cost, balance-sheet treatment, flexibility and end-of-lease risks with the airline’s other financing choices.
