A Qualified Institutions Placement (QIP), commonly called a Qualified Institutional Placement, is a private-placement method that lets a listed Indian company issue eligible securities to qualified institutional buyers (QIBs). It is governed by Chapter VI of the Securities and Exchange Board of India (SEBI) Issue of Capital and Disclosure Requirements (ICDR) Regulations, 2018. Retail investors cannot subscribe directly to a QIP.

The route combines institutional fundraising with prescribed disclosures, pricing, applications and allotment procedures. Because SEBI lists the ICDR Regulations as amended on March 21, 2026, the operative consolidated regulation and the transaction’s own placement document control any live deal.

What “QIP” means under Indian securities law

SEBI uses the term “qualified institutions placement.” In ordinary coverage, it is often written as “qualified institutional placement.” The important point is the legal structure: a listed issuer makes a private placement to QIBs under Chapter VI of the ICDR Regulations, rather than making an offer to the general public.

“Qualified institutions placement means issue of eligible securities by a listed issuer to qualified institutional buyers on a private placement basis and includes an offer for sale of specified securities by the promoters and/or promoter group on a private placement basis, in terms of these regulations.”

That definition covers both a company raising fresh capital and, where the regulations permit, an offer for sale (OFS) of specified securities by promoters or the promoter group. A fresh issue can increase the company’s share capital and dilute existing ownership. An OFS transfers existing securities from selling holders; it is not the same economic event as issuing new shares.

Who is involved in a QIP?

The listed issuer

The company must be listed and satisfy the applicable Chapter VI conditions. It decides how much capital it seeks, which eligible securities it will offer and how the proceeds are intended to be used. Eligibility exceptions, issue limits and resolution requirements must be checked against the current consolidated ICDR text for the proposed transaction.

Qualified institutional buyers

Only QIBs can subscribe under the QIP route. QIB status is defined by Indian securities regulations; it is not a label that every company, fund or individual investor can use at will. A retail shareholder therefore cannot place a direct QIP application merely because they already own shares in the issuer.

Lead managers and other professionals

Issue professionals coordinate the transaction, due diligence, placement document, applications and allotment. The Chapter VI framework specifically addresses issue managers and the documents and procedures they must support.

How a QIP works: the transaction sequence

The exact timetable differs by issuer and by the current regulation, but a compliant transaction generally follows this order. The issuer’s notices, exchange filings, shareholder resolution and placement document are the controlling records for dates and conditions.

  1. Identify the funding requirement. The listed company determines why it needs capital, the amount sought and whether a fresh issue, an OFS component or another route fits its circumstances.
  2. Check Chapter VI eligibility. The issuer and its advisers test the listing, capital-structure, resolution and other conditions in the ICDR Regulations. Any applicable exception must be confirmed from the operative text rather than assumed from an older transaction.
  3. Obtain the required corporate approval. Shareholder approval and the relevant resolution form part of the framework, subject to applicable exceptions. The resolution sets the authority within which the issue can proceed and should be read with the issuer’s exchange disclosures.
  4. Appoint lead managers and prepare diligence. Lead managers and other advisers review the issuer’s business, finances, risks, outstanding disclosures and proposed use of proceeds. They help ensure that the placement document and application process meet the regulatory requirements.
  5. Prepare the placement document. The document is the principal disclosure package for the institutional placement. It presents the issuer and the proposed issue so prospective QIB subscribers can conduct diligence.
  6. Seek applicable exchange clearances and finalize terms. The issuer follows the relevant exchange and regulatory filing process, determines the securities, size and other terms, and applies the pricing provisions in force on the relevant date.
  7. Invite institutional applications or bids. The placement is offered to eligible QIBs through the prescribed process. It is not advertised as an open retail subscription, and participation is subject to the rules and documents for that issue.
  8. Determine allocation and allot securities. Applications are evaluated and securities are allotted in accordance with Chapter VI, the approved issue terms and applicable restrictions. The issuer then completes the required filings, listing or crediting steps and post-issue disclosures.

This sequence is a practical map, not a substitute for the current regulation. A live issue may contain additional notices, exchange conditions or transaction-specific steps.

What the QIP placement document tells investors

SEBI’s June 2025 memorandum describes the disclosure areas prescribed for a QIP placement document. They include:

  • material risk factors;
  • the proposed use of proceeds;
  • financial information;
  • industry information;
  • the issuer’s business description;
  • organizational structure;
  • taxation aspects; and
  • auditor-related information.

These sections are intended to support institutional diligence, not to turn a private placement into a public offer. Investors should reconcile the document with the issuer’s latest public filings, financial statements, exchange announcements and material-event disclosures.

The June 2025 memorandum also discussed simplifying and streamlining information that was already available in public disclosures. That memorandum is a board document about regulatory review; a proposal described there is not automatically an effective rule. Confirm any change in the current consolidated ICDR Regulations before relying on it.

Pricing, applications and allotment

QIP pricing is regulated and linked to market-price data around a defined relevant date. The official explanatory material identifies pricing as a Chapter VI requirement, but the precise floor-price formula, any permitted discount and related mechanics must be taken from the current regulation and the particular placement document.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not carry a percentage or formula from an old article into a 2026 transaction. SEBI lists the ICDR Regulations as last amended on March 21, 2026, and the May 2025 investor FAQ and June 2025 memorandum predate that amendment. For a live issue, check the operative text for:

  • the relevant date and price-setting formula;
  • whether a discount is permitted and under what approval;
  • application and bid procedures;
  • allotment restrictions and investor eligibility;
  • the validity period of the shareholder resolution;
  • issue-size or frequency limits; and
  • transfer or lock-in restrictions that apply to the securities.

The final price, number of securities and allocation are transaction-specific. A QIP is not automatically cheaper, faster or superior to another capital-raising route.

QIP compared with other fundraising routes

Feature QIP Public issue Preferential issue
Who may subscribe Qualified institutional buyers The public, subject to the public-issue rules Specified investors under the applicable preferential-issue framework
Regulatory framework Chapter VI of the SEBI ICDR Regulations The public-issue provisions of the ICDR Regulations Chapter V of the ICDR Regulations
Placement character Private placement Offer to the public Private-placement route
Primary disclosure document QIP placement document Public-offer document required by the applicable rules Documents and disclosures required for a preferential issue
Pricing and allocation Chapter VI pricing, application and allotment rules; exact terms depend on the current regulation and issue Public-issue pricing and allocation rules Chapter V pricing and allotment rules
Ownership effect A fresh issue may dilute existing holders; an OFS transfers existing securities A fresh issue may dilute existing holders Depends on whether new securities are issued and to whom

These routes are not interchangeable. The issuer’s eligibility, urgency, investor base, disclosure burden, pricing constraints and desired ownership outcome determine which path is workable.

Why a listed company might choose a QIP

A QIP gives a listed issuer a regulated way to approach institutional capital without opening the subscription to every investor. It can be suitable when the company wants to raise a substantial amount from investors able to evaluate financial, industry and business information through a placement document.

The trade-offs require equal attention:

  • Ownership dilution: a primary issue creates additional securities, so existing holders’ percentage ownership can fall.
  • Market-price sensitivity: the pricing rules use market data, so the amount raised and dilution depend on the price at the relevant time.
  • Institutional concentration: the investor pool is limited to eligible QIBs rather than the whole market.
  • Compliance work: the issuer must satisfy corporate, regulatory, exchange, disclosure, application and allotment requirements.
  • Use-of-proceeds accountability: the placement document states the intended use, allowing institutions to assess whether the proposed capital allocation supports the investment case.

How significant are QIPs in India?

SEBI’s June 2025 board memorandum, citing SEBI Annual Reports, records the following historical QIP activity. These are completed fiscal-year totals, not forecasts.

Financial year Number of QIP issues Amount raised
FY 2020–21 31 ₹78,738 crore
FY 2021–22 29 ₹31,440 crore
FY 2022–23 11 ₹8,212 crore
FY 2023–24 61 ₹68,972 crore
FY 2024–25 91 ₹1,35,597 crore

The latest complete year in that memorandum, FY 2024–25, had 91 issues raising ₹1,35,597 crore. The figures show that QIPs can be a material funding channel, but they do not predict the volume, pricing or success of any particular future issue.

What existing shareholders should check

A QIP announcement can affect an existing investor even when the investor is not eligible to subscribe. Read the issuer’s exchange filing and placement document for:

  • whether the transaction is a fresh issue, an OFS, or both;
  • the proposed number and type of securities;
  • the stated use of proceeds;
  • the proposed relevant date and pricing explanation;
  • the shareholder resolution and any stated approval limits;
  • the expected effect on issued capital and voting percentages;
  • material risks, recent financial information and auditor disclosures; and
  • the expected allotment, listing and post-issue disclosure timetable.

Do not infer the final dilution, price or investor allocation from the first announcement. Those details can change as the issuer completes the prescribed process and publishes the final terms.

2026 freshness check: which source controls?

For general understanding, SEBI’s May 2025 Investor FAQ and June 2025 board memorandum explain the purpose and structure of QIPs. For a transaction in progress, however, the controlling source is the current consolidated SEBI ICDR Regulations, together with the issuer’s shareholder resolution, exchange notices and placement document.

This distinction matters because the official explanatory documents predate the March 21, 2026 ICDR amendment. Before relying on a precise eligibility exception, pricing percentage, discount, allotment restriction, resolution period, issue limit or transfer restriction, verify the amended operative text and the issue-specific filings.

Common misconceptions

“A QIP is an IPO for institutions.”

No. An IPO is a public offer. A QIP is a private placement restricted to QIBs and governed by a different chapter of the ICDR Regulations.

“Any shareholder can participate.”

Existing ownership does not by itself confer QIB status. Eligibility is determined under the applicable securities rules and the issue documents.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“Every QIP raises new money for the company.”

Not necessarily. The legal definition also includes an OFS of specified securities by promoters or the promoter group. An OFS and a fresh issue have different effects on capital and ownership.

“The price is whatever the company chooses.”

No. Pricing is subject to Chapter VI requirements and market-price data around a defined relevant date. The exact formula and any permitted discount must be checked in the current rules.

Bottom line for a live QIP

A QIP is India’s regulated, institutional-only private-placement route for a listed issuer. To understand a particular transaction, identify the securities and recipients, read the placement document, check the shareholder and exchange approvals, and verify every price, eligibility and allotment detail against the ICDR Regulations in force on that transaction’s date.
