What Is a Digital Asset Company? Meaning, Activities, and Regulation

A digital asset company is a business that creates, holds, uses, or provides services involving digital assets. The phrase is descriptive, not a single universal legal category: whether a company is regulated as a service provider depends on its jurisdiction, the assets involved, and what it actually does.

What the term means

In ordinary business use, “digital asset company” can describe a company whose operations involve digital assets. Those assets may include crypto-assets and other digital representations of value or rights. The label alone does not establish that a company is licensed, regulated, or even providing services to customers.

Legal rules tend to define narrower categories by activity. A business that merely owns or uses an asset is not automatically equivalent to a provider that exchanges, transfers, or safeguards assets for clients. Regulators also caution that a market label may not match the applicable legal category: the underlying facts, economic reality, and use matter. The SEC, CFTC, and FinCEN made this point in a 2019 joint statement.

What a digital asset company may do

Depending on the business, its activities may include issuing or offering assets, operating a trading platform, exchanging assets, executing orders, transferring assets, advising clients, managing portfolios, or holding assets in custody. These are examples of activities that appear in specific regulatory frameworks, not a universal checklist for every company described by the phrase.

How legal definitions differ

There is no single global test for when a business becomes a regulated digital-asset service provider. The following frameworks use distinct terms and boundaries, so one should not be substituted for another.

Framework Who or what it covers Activities that can trigger the category Key qualification
FATF: virtual asset service provider (VASP) Specified virtual-asset activities; FATF’s virtual-asset definition excludes digital representations of fiat currencies, securities, and other financial assets already covered elsewhere in the FATF Recommendations. Exchange, transfer, and safekeeping or administration of virtual assets, when carried on as a business for another person. FATF terminology is tied to its Recommendations; it is not identical to every country’s statutory wording. FATF glossary.
European Union: crypto-asset service provider (CASP) A legal person or other undertaking whose occupation or business is providing one or more crypto-asset services to clients professionally. Custody and administration, operating a trading platform, exchange, order execution, placing, advice, portfolio management, and transfers. Under MiCA Article 3(15), the provider must also be allowed to provide the services under Article 59. MiCA, Regulation (EU) 2023/1114; Article 59 authorization.
United States: digital asset service provider under 12 U.S.C. § 5901 Specified activities involving digital assets conducted for compensation or profit in the United States. Exchange, transfers to third parties, custody, and certain financial services related to issuance. The statute excludes certain protocols, self-custodial software interfaces, validators, and liquidity provision for peer-to-peer transactions. This definition is specific to 12 U.S.C. § 5901. U.S. Code, 12 U.S.C. § 5901.

Is a crypto company a digital asset company?

Usually, “crypto company” can be used as a broad informal label for a company working with crypto-assets, and it may also fit the broad description “digital asset company.” But the terms do not, by themselves, determine a company’s legal status. A company’s particular activities may place it within a defined provider category in one jurisdiction and not another.

For example, holding assets for a client, operating an exchange, or transferring assets for customers may be treated differently from a company’s own use of a digital asset. The relevant test comes from the applicable law, not simply from whether a business calls itself a crypto or digital-asset company.

How to assess a particular company

  1. Identify the jurisdiction. Determine which country’s law applies to the company and the service in question.
  2. Describe the activity precisely. Distinguish holding assets for the company itself from custody for clients, and identify any exchange, transfer, trading, advice, or issuance-related service.
  3. Identify the asset and recipient. Legal definitions may cover different asset types and may turn on whether a service is provided to clients or on behalf of another person.
  4. Check the category’s conditions and exclusions. Some frameworks require professional provision or compensation, specify exclusions, or impose authorization requirements.
  5. Use the exact legal category. Do not infer that a business is licensed, regulated, or within a named provider category merely from its public-facing label.

This is a terminology guide, not a legal determination about any particular business. In the EU, MiCA applies to specified persons and undertakings involved in crypto-asset issuance, public offers, admission to trading, or related services; its Article 59 sets out who may provide crypto-asset services. See MiCA Article 59.
