A bitcoin treasury company makes bitcoin a central reserve asset rather than a small cash-management holding. It raises money through common stock, preferred stock, convertible notes or other debt, uses the proceeds to buy bitcoin, and then tries to increase bitcoin exposure per share or benefit from a premium to the value of its holdings. The structure can provide convenient or leveraged bitcoin exposure, but it also adds dilution, interest, refinancing, custody, accounting, regulatory and forced-sale risks that do not exist in the same form when you hold bitcoin directly.
Strategy (formerly MicroStrategy) is the clearest documented example. Its model shows both the attraction and the danger: a large bitcoin balance can grow dramatically when financing and market valuations cooperate, yet fixed obligations remain when bitcoin prices fall.

What a bitcoin treasury company actually is
A bitcoin treasury company is a public or private business that treats bitcoin as a core balance-sheet reserve. The company may still operate a software, mining, investment or other business, but its financial strategy is organized around acquiring and holding bitcoin. Bitcoin is not merely a short-term trading position or an occasional treasury allocation.

Rather, bitcoin forms the foundation of our strategy.” That distinction matters. A conventional company might keep a small amount of bitcoin for experimentation or diversification; a treasury company makes the asset central to capital allocation, investor communications and risk management.

Shareholders do not own the company’s coins directly. They own equity in a legal entity whose assets include bitcoin and whose liabilities include debt, preferred securities, operating costs and other obligations. The share price therefore reflects several variables at once:
- the market value of the company’s bitcoin;
- cash and any continuing operating business;
- interest, maturities, preferred dividends and other claims ahead of common shareholders;
- the number of shares outstanding and the possibility of future dilution; and
- the premium or discount investors place on the stock relative to its bitcoin net asset value.
This is why a treasury company’s stock can rise more or fall more than bitcoin itself.
How the strategy works, step by step
1. Make bitcoin the reserve policy
The board and management establish bitcoin as a principal reserve asset. The policy normally includes custody arrangements, purchase authority, financing limits, disclosure practices and rules for using cash. A company that merely owns bitcoin without making it the organizing principle of its balance sheet is not necessarily using a treasury-company strategy.

The company obtains money from investors or lenders. Strategy’s SEC filings say its strategy generally involves acquiring bitcoin with proceeds from offerings of debt or equity securities or other capital-raising transactions. The main instruments have different consequences:
| Instrument | What the company receives | What investors should watch |
|---|---|---|
| Common stock | Cash in exchange for new shares | Existing holders can be diluted; issuance can be accretive only if the money buys bitcoin exposure on favorable terms. |
| Preferred stock | Cash with specified dividend or liquidation rights | Preferred dividends and priority claims must be satisfied before common equity benefits. |
| Convertible notes | Debt that may convert into common shares | Interest and maturity obligations combine with possible future dilution if conversion occurs. |
| Other debt | Borrowed cash, sometimes secured or subject to covenants | Interest, principal repayment, collateral and refinancing risk remain even during a bitcoin downturn. |
Issuing securities is not automatically good or bad. The relevant question is whether the capital raised creates more bitcoin exposure per existing share after considering fees, interest, dividends, conversion terms and the price paid for bitcoin.
3. Buy and custody bitcoin
Management uses the proceeds to purchase bitcoin and places it with custodians, exchanges or other arrangements. The coins become a major balance-sheet asset. Access controls, private-key governance, insurance, counterparty exposure and the ability to transfer coins during market stress are material parts of the strategy, not technical footnotes.

4. Report exposure and a per-share measure
Treasury companies commonly report bitcoin held, average purchase price, bitcoin per share or a similar exposure measure. Strategy also reports “BTC Yield,” a company-defined key performance indicator intended to show whether acquisitions increase bitcoin exposure for shareholders. Its February 5, 2025 release reported a 74.3% BTC Yield for fiscal 2024.
BTC Yield is not a standardized accounting return. It does not mean shareholders earned a 74.3% cash return, and it does not replace total-return, leverage, dilution or valuation analysis. An investor must read the company’s definition, period, share-count assumptions and treatment of preferred and convertible securities before comparing it with another issuer.
5. Manage liquidity and obligations
Cash must cover interest, maturities, preferred dividends, employee and operating expenses, taxes and any collateral requirements. Bitcoin may be highly liquid in normal conditions, but selling a large position can move the market or become difficult when prices and financing conditions deteriorate. A treasury company therefore needs cash runway and access to capital as well as a large coin balance.
How bitcoin treasury companies can make money
The strategy has several potential sources of economic gain, none of which is guaranteed.
Bitcoin appreciation
If bitcoin rises, the market value of the reserve rises. A company that bought at lower prices may show substantial asset gains. Under current U.S. accounting rules described below, those changes also affect reported net income, even when the coins are not sold.

More bitcoin exposure per share
When new financing buys bitcoin at a cost that increases the amount of bitcoin attributable to each share after all financing effects, existing shareholders may gain exposure without buying coins themselves. This is the logic behind management’s accretion metrics.

A stock-market premium
Shares can trade above the net asset value of the company’s bitcoin because investors value access, liquidity, management, financing capacity, a continuing operating business or the possibility of future accumulation. Issuing shares at a premium can give the company more cash than the bitcoin value represented by those shares, allowing additional purchases.
Embedded leverage
Debt and preferred securities can make common equity more sensitive to bitcoin. When the asset rises, obligations may remain fixed while the residual value for common shareholders expands. This is leverage, not free return: the same structure magnifies losses and can force unfavorable financing or asset sales.
The stock is therefore not a pure bitcoin fund. Its result is closer to bitcoin exposure plus or minus operating performance, financing costs, dilution, security priority and changes in the market premium.

Strategy’s 2025 annual report, filed in 2026, reported 713,502 bitcoin at year-end 2025 and more than $25 billion raised during 2025. Its February 5, 2025 release reported 471,107 bitcoin as of December 31, 2024 and the 74.3% BTC Yield figure for fiscal 2024. The Associated Press reported 582,000 bitcoin attributed to MicroStrategy/Strategy in 2025, while citing Standard Chartered’s analysis of an approximately $90,000 average purchase price.
These figures come from different documents and dates, so they should not be blended into one point-in-time balance. They demonstrate the scale of the approach and its dependence on continuing access to public markets. A smaller issuer may have far less cash, thinner trading volume and fewer financing choices, making its risk profile materially different even if its stated policy is similar.
Are treasury-company shares safer than owning bitcoin?
Usually, no. They may solve a practical access problem for investors who cannot easily hold bitcoin directly, and they may trade in a familiar brokerage account. But the corporate wrapper adds risks.

| Exposure | Direct bitcoin ownership | Bitcoin treasury company stock |
|---|---|---|
| Asset claim | You control or have a direct claim to the bitcoin arrangement you selected. | You own equity; creditors and preferred holders have claims ahead of common stock. |
| Price drivers | Primarily bitcoin market price, fees and custody factors. | Bitcoin, operating assets, leverage, dilution, financing terms and stock-market premium or discount. |
| Leverage | Normally limited to what the holder borrows independently. | Can be embedded through debt, convertibles and preferred securities. |
| Trading relationship | Bitcoin can trade continuously on digital-asset venues. | Shares trade during market hours and can diverge sharply from the value of the coins. |
| Corporate risk | No issuer operating business or bankruptcy estate if held directly. | Operating losses, bankruptcy, covenants, refinancing and management decisions matter. |
| Tax and accounting | Depends on the holder’s jurisdiction and account. | Company reporting and the shareholder’s own tax treatment are separate questions. |
A stock can trade below the value of its bitcoin because investors worry about debt, dilution, custody or a future capital raise. It can also trade above that value, creating premium-compression risk if enthusiasm fades.

What happens when bitcoin falls?
Market-value pressure
A concentrated bitcoin balance means a decline has an unusually large effect on the company’s financial condition. Strategy’s filing warns that concentration limits diversification and that a significant bitcoin decline would have a more pronounced effect.
Equity losses and premium compression
Common stock can fall more than bitcoin when investors reduce the valuation premium. Research on digital-asset treasury companies identifies acute downside when equity premiums over net asset value compress. A falling premium can erase a source of financing even before the coins themselves are sold.
Financing becomes harder
Lower share prices can make common-stock issuance more dilutive. Higher interest rates or a weaker credit profile can make debt and convertibles more expensive. A maturity that was manageable during a bull market can become a refinancing problem during a prolonged downturn.
Potential forced sales
Interest, principal, preferred dividends and operating bills are payable in cash. If cash reserves and new financing are insufficient, management may have to sell bitcoin. The Associated Press quoted Standard Chartered digital-assets researcher Geoff Kendrick asking: “The question then becomes, how much pain can companies withstand before being forced to sell their BTC?” A forced sale can lock in losses and add supply during a weak market.
Forced selling is not automatic whenever bitcoin falls. It depends on cash balances, maturity dates, collateral terms, access to capital and management choices. Investors should examine those details rather than assume that a large coin balance guarantees long-term holding.
Best Value
Accounting, regulation and custody issues
Fair-value accounting
Strategy’s February 2025 release says Accounting Standards Update 2023-08 requires bitcoin to be measured at fair value, with gains and losses recognized in net income each reporting period. Reported earnings can therefore swing with bitcoin’s quoted price even when the company makes no sale. Net income is not the same as cash flow, bitcoin per share or shareholder return.
Changing rules
Strategy’s SEC filing says digital-asset laws are evolving and subject to interpretation and change. Regulation can affect custody, disclosures, tax treatment, market access, banking relationships and the ability to use particular venues. A company operating in one jurisdiction may face a different framework from an otherwise similar issuer elsewhere.
Custody and counterparties
Loss of access, a custodian failure, an exchange interruption, cyberattack or a legal dispute can impair the company’s ability to move or sell bitcoin. Review who controls private keys, how many signers are required, whether assets are segregated, what insurance exists and what the company discloses about counterparties. “Bitcoin held” is not enough information to assess availability.
How to evaluate a bitcoin treasury company
Use the following checks before treating the stock as a bitcoin substitute:
- Calculate bitcoin per fully diluted share. Include common shares, convertible securities, options and any economically senior claims that affect the residual value.
- Compare market capitalization with bitcoin net asset value. Add cash and operating assets, subtract debt and preferred claims, and identify whether the stock trades at a premium or discount.
- Map every obligation. Record coupon rates, maturity dates, conversion prices, collateral, covenants and preferred dividends.
- Measure cash runway. Compare unrestricted cash and recurring operating cash flow with interest, maturities, dividends and expenses.
- Read the purchase and yield definitions. Confirm the dates, fees, share-count assumptions and whether the reported metric is company-defined rather than an accounting standard.
- Check custody disclosures. Look for custodians, access controls, insurance, concentration and counterparty dependencies.
- Stress-test a prolonged downturn. Ask what happens if bitcoin falls, the stock premium disappears, refinancing costs rise and new equity issuance becomes heavily dilutive.
- Separate the operating business from the reserve. Determine whether software, mining or another business produces cash or consumes it; a weak operating business can accelerate treasury risk.
Who might use the structure—and who should be cautious
The structure may appeal to an investor who wants brokerage-account access, accepts corporate and market risk, and can analyze capital structure as well as bitcoin. It can also be useful for institutions whose mandates restrict direct digital-asset custody but permit publicly traded equities.
It is a poor fit for someone seeking a simple one-for-one bitcoin holding, guaranteed downside protection or a stable cash substitute. A treasury company’s shares can lose value through dilution, debt stress or premium compression even if bitcoin is unchanged, and can remain under pressure while management raises capital.
Bottom line: treat it as leveraged corporate bitcoin exposure
A bitcoin treasury company is a financing-and-balance-sheet strategy, not merely a company with some bitcoin in its cash account. The potential upside comes from bitcoin appreciation, increased exposure per share and a market premium; the costs are dilution, fixed claims, refinancing pressure, accounting volatility, custody dependence and the possibility of forced sales. Before buying shares, compare fully diluted bitcoin exposure with obligations, liquidity and valuation. That analysis tells you whether the stock offers useful access—or simply more ways for a bitcoin downturn to reach your portfolio.
