What IPO Subscription Numbers and Grey Market Premium Can—and Can’t—Tell You

IPO subscription numbers show how many bids were made compared with the shares offered; grey market premium (GMP) is an unofficial pre-listing quote that reflects informal expectations. Neither establishes that an IPO is fairly priced, guarantees an allotment, or predicts the price after listing. For Indian IPOs, verify subscription figures with the relevant exchange and assess the offer document and issuer independently.

What IPO subscription numbers mean

Subscription data compares bids received during an IPO’s offer period with the shares available. Exchanges report bids by investor category, including institutional, non-institutional and retail investors. A figure such as “oversubscribed” means bids exceeded the shares offered in the relevant pool; it is evidence of application demand, not a measure of the company’s intrinsic value.

An overall subscription multiple combines distinct investor categories and can obscure how demand differs among them. When reading a figure, check which category it covers and whether it is a live snapshot or the final total. A live number can change before the offer closes.

Where to check subscription data

For an Indian IPO, use the issue bid details published by the relevant exchange, NSE or BSE. Zerodha’s support guide describes the exchange navigation as “bid details” or “consolidated bid details” on NSE and “bid details” or “cumulative bid details” on BSE: Zerodha Support’s guide to checking IPO subscription data. Record the time when consulting live figures, or confirm that the offer has closed before treating a number as final.

Does high subscription mean listing gains?

No. High subscription shows that bids exceeded the available shares; it does not show that the business is sound, that the IPO price is attractive, or that the stock will rise after listing. Subscription records applications before allotment, while the post-listing price is determined in the market after trading begins.

Nor does an overall multiple tell an individual applicant whether they will receive shares. Allotment depends on the applicable category and basis of allotment. Without issue-specific applicant and allotment data, a subscription multiple cannot be converted into a reliable personal allotment probability.

What IPO grey market premium measures

In its May 2026 order in the matter of M/s Veerkrupa Jewellers Limited, SEBI describes the usual GMP calculation as the grey market price minus the IPO’s upper price band. GMP is an informal, pre-listing market quote, not an official price published by an exchange. A positive figure is commonly interpreted as optimism and a low or negative figure as weaker sentiment; those interpretations describe how the signal is read, not what the listing price will be.

The SEBI order lists demand and supply, market sentiment, company fundamentals and perceived IPO valuation as commonly perceived influences on GMP. It also cautions that these factors are not sacrosanct and do not arise from a regulatory mandate. GMP can change as informal quotes and expectations change. The order does not make GMP an exchange-verified price or establish a formula for forecasting listing performance. Read the SEBI order.

How the two signals differ

Question IPO subscription Grey market premium
What is observed? Bids compared with shares offered, often reported by investor category. An informal grey-market quote relative to the IPO upper price band.
Where does the figure come from? Exchange bid details for the issue, such as NSE or BSE. An informal pre-listing market; it is not an official exchange quote.
What can it indicate? Application demand during the offer period. Informal sentiment or expectations about listing.
What can it not establish? Business quality, fair value, an individual allotment, or listing performance. A guaranteed listing premium or a dependable listing-price forecast.
How should you read it? Check category, exchange source, and whether the data is live or final. Label it unofficial and time-specific; do not treat it as an assured outcome.

What neither signal tells you about the post-listing price

SEBI’s ICDR Regulations warn that the issue price or price band “should not be taken to be indicative of the market price” after listing, and that no assurance can be given about sustained trading or the price at which shares will trade. That distinction applies to subscription and GMP too: one records pre-allotment bids, the other informal pre-listing expectations. Neither is the post-listing market price. See SEBI’s ICDR Regulations.

Use these indicators as limited context, not substitutes for examining the IPO. Read the offer document’s basis for issue price, financial performance, business, use of proceeds, risk factors, dilution and selling shareholders, and consider broader market conditions. The available sources do not establish a standardized, exchange-verified GMP history, a representative sampling method, or a reliable predictive-accuracy statistic. A precise GMP-based probability or success rate is therefore not supported here.

How ASBA affects an IPO application

In ASBA, application funds are blocked in the applicant’s account until allotment. If shares are allotted, the amount for them is debited; if no shares are allotted, a refund is not needed because the funds were blocked rather than transferred. This explains how an application is funded, but it does not make subscription or GMP more predictive. SEBI Investor’s explanation of applying through ASBA.
