1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteYes, individuals can sometimes buy shares before a company goes public, but “pre-IPO” describes timing—not a regulated product, a promise of an initial public offering (IPO), or an easy path to profit. In the United States, the sale must be registered with the Securities and Exchange Commission (SEC) or fit an available exemption. Your eligibility, the seller’s marketing rules, required disclosures, transfer restrictions and resale options all depend on that legal route.
The company may never complete an IPO, the shares may lose all their value, and you may have no practical way to sell. Before sending money, identify the issuer and exact security, verify the intermediary independently, read the offering and transfer documents, and assume you could hold the investment indefinitely.

What “pre-IPO” actually means
The SEC defines pre-IPO investing as buying a stake in a company before its initial public offering, or “going public.” That label says when the investment occurs; it does not tell you whether you will receive common stock, preferred stock, a unit, a fund interest, a contract for future shares or another security.

A company can delay, cancel or never pursue one because of business failure, market conditions, financing problems, regulatory issues or a strategic decision to remain private. Even if an IPO occurs, the public price may be below the private valuation. There may never be a resale market, and private-company information can be too limited to establish a reliable value.

The SEC’s Office of Investor Education and Advocacy states in its June 7, 2024 alert, Pre-IPO Investment Scams – Investor Alert: “But investing at the pre-IPO stage can involve significant risk for investors, including the risk that you could lose your entire investment.”
Can you legally buy pre-IPO shares?
A U.S. securities offer generally must be registered with the SEC or rely on a valid exemption. The exemption controls who may buy, whether the issuer may advertise publicly, what information must be supplied and how the securities can be resold. A polished website, a celebrity endorsement or a public social-media post does not establish that an offer is lawful.
Some exemptions permit public marketing and sales to non-accredited investors; others sharply limit solicitation or require every purchaser to be accredited. An offer can therefore be legitimate in one structure and problematic in another. The transaction documents, not the phrase “pre-IPO,” determine the rights you are actually receiving.

| Route | Who may invest and how it can be marketed | Disclosure and offering limits | Resale considerations |
|---|---|---|---|
| Regulation D, Rule 506(b) | The issuer may not use general solicitation. It may sell to an unlimited number of accredited investors and up to 35 non-accredited purchasers in any 90-calendar-day period, subject to the rule’s conditions. Non-accredited purchasers must meet the rule’s sophistication framework. | The issuer can raise an unlimited amount. Non-accredited participation can trigger additional disclosure obligations, and private-placement information may still be limited. | Securities are generally restricted. Transfer-restriction legends should appear in the documents; contractual limits, securities-law requirements and sometimes a legal opinion can make a sale difficult. |
| Regulation D, Rule 506(c) | The issuer may generally solicit or advertise, but every purchaser must be accredited. The issuer must take reasonable steps to verify accredited status. | The issuer can raise an unlimited amount. Public advertising does not remove the private-placement risks or the need to review the documents. | Restricted securities and contractual transfer limits can apply, just as in other private placements. |
| Regulation A, Tier 1 | Qualifying companies can offer securities to the public; non-accredited investors may participate. | Up to $20 million in any 12-month period, according to the SEC’s 2021 bulletin. State securities regulators generally review or qualify Tier 1 offerings. Financial statements need not be audited under that bulletin’s description. | An offering may lack a formal resale restriction, but you still must find a buyer and could have to hold indefinitely. |
| Regulation A, Tier 2 | Qualifying companies can offer securities to the public; non-accredited investors may participate within an investment limit when the securities will not be listed upon qualification. | Up to $75 million in any 12-month period, according to the SEC’s 2021 bulletin. SEC qualification, audited financial statements and ongoing reporting apply. A non-accredited investor’s purchase is generally limited to 10% of the greater of annual income or net worth, with the bulletin’s treatment of primary-residence calculations. | No resale restriction does not guarantee liquidity. Review whether selling shareholders, rather than the company, receive the proceeds. |
| Regulation Crowdfunding | The investment must be offered through an online platform operated by an SEC-registered broker-dealer or a FINRA-member funding portal. The company may not offer it directly to you. | The company must provide prescribed offering information, but ongoing disclosure is more limited than for a public company. Valuation, management, use of proceeds, fraud and superior rights held by other share classes remain important risks. | Resales are generally restricted for the first year, subject to exceptions such as transfers to the issuer or an accredited investor, certain family transfers, specified events or a registered offering. A buyer may still be hard to find afterward. |
Read the SEC explanations of private placements under Regulation D, Regulation A and Regulation Crowdfunding before relying on a promoter’s description of the route.
Do you have to be an accredited investor?
Not always. Regulation A and Regulation Crowdfunding can allow non-accredited investors, subject to their specific limits and conditions. Rule 506(c) requires every purchaser to be accredited, while Rule 506(b) permits up to 35 non-accredited purchasers in a 90-calendar-day period if the rule’s requirements are met.
For an individual, examples of accredited-investor tests include:
- Income exceeding $200,000 individually, or $300,000 jointly with a spouse or spousal equivalent, in each of the prior two years, with a reasonable expectation of reaching the same level in the current year.
- Net worth over $1 million individually or jointly, excluding the primary residence and specified residence-secured debt.
These are examples, not the complete definition. The SEC’s Accredited Investors glossary describes additional categories and tests. In a Rule 506(c) offering, the issuer—not merely the salesperson—must take reasonable steps to verify your status. Never email sensitive financial records to an unverified contact simply because someone says verification is required.

A due-diligence process before you send money
Use this sequence for any offer. If a promoter will not provide the information needed for a step, stop rather than filling the gap with assumptions.
- Identify the exact security and parties. Obtain the issuer’s full legal name, jurisdiction, security type and class, number of shares or units, price, minimum investment, ownership route and the identity of the actual seller. “Access to shares” through an intermediary may represent an indirect interest rather than direct ownership of issuer shares.
- Ask for the legal basis of the sale. Request the offering statement, private-placement memorandum, subscription agreement, risk factors and any investor questionnaire. Ask whether the offer is registered or which exemption supports it. For Regulation A, locate the offering circular and confirm that SEC qualification occurred before payment was accepted. Qualification is not SEC approval of the investment’s merits or a guarantee that every statement is accurate.
- Match the marketing to the claimed exemption. A Rule 506(b) deal generally cannot be advertised to the public; Rule 506(c) can be advertised but requires accredited purchasers and verification. Crowdfunding must use an eligible intermediary. A mismatch is a serious warning sign, not a technicality.
- Verify the intermediary independently. Use official SEC and FINRA lookup resources to check a broker, funding portal or other professional where registration is required. Type the regulator’s web address yourself rather than using a link supplied in a message. Confirm the legal entity, physical contact information and any disciplinary history. An unregistered person, cold caller or request to move retirement assets deserves heightened skepticism.
- Reconcile the money flow. Determine whether your money goes to the company, an existing shareholder or an intermediary. Proceeds from selling-holder shares finance the selling holder, not the company’s stated plans. Obtain a written schedule of commissions, platform charges, markups, wire fees, transfer fees and any carried interest or other compensation.
- Analyze the valuation and capitalization. Ask for the fully diluted capitalization table, the valuation used for your price, outstanding options and warrants, anticipated dilution, debt and liquidation preferences. A private valuation is not directly comparable to a public-market quote. A preferred or later-issued class may have voting, conversion or liquidation rights superior to yours.
- Read the business and financial information. Examine revenue or other operating metrics supplied, material risks, use of proceeds, related-party transactions, management backgrounds and the assumptions behind forecasts. Limited disclosure is a structural risk in private offerings; do not treat a glossy projection as audited performance.
- Confirm transfer terms before subscribing. Look for restricted-security legends, issuer-consent requirements, rights of first refusal, lockups, contractual prohibitions, notice procedures and whether restrictions follow the security to a future buyer. Ask who maintains the cap table and how a permitted transfer would actually be processed.
- Set a loss and time limit. Decide in advance how much you can lose and how long you can leave the money unavailable. Do not use funds needed for near-term expenses, taxes, emergencies or debt payments. An anticipated IPO date is not an exit plan.
What you are really buying: rights, dilution and economics
Share class and investor rights
“Shares” is incomplete without the class. Preferred shares can have liquidation preferences, conversion rights, protective provisions or priority over common shares. A lower-priced common share is not automatically a bargain if another class receives proceeds first in a sale or IPO. Ask for the charter, certificate of designation or equivalent document that describes the class you will own.
Valuation and dilution
Private companies may raise money at successive valuations that reflect negotiated terms rather than a continuously traded price. Future financings, employee options, warrants, convertible securities and acquisitions can dilute your percentage ownership. Request a fully diluted calculation and ask what assumptions produce the quoted per-share price.

An intermediary may receive a commission or mark up the price above what the seller pays. The documents should disclose those economics and any relationship with the issuer or selling shareholder. Claims that a promoter “only gets paid if you profit” do not remove the need to verify compensation and conflicts.

Use of proceeds
Separate money raised by the company from money paid to an existing holder. A company’s stated use of proceeds may include hiring, research, debt repayment or expansion; a secondary sale can leave the company with none of your purchase price. Compare the subscription agreement, offering circular or private-placement memorandum with the payment instructions.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. Why selling later can be difficult
Private securities do not trade on a public exchange. Even when a contract does not expressly ban resale, you need a willing buyer, a lawful exemption or registration path and compliance with issuer procedures. Restricted-security legends, rights of first refusal, issuer consent, contractual lockups and the absence of current financial information can make a transfer slow or impossible.
Regulation Crowdfunding adds a general one-year resale restriction, with limited exceptions. Regulation A may provide fewer formal restrictions, but no-resale restriction is not a promise that a market exists. In any route, a buyer may demand updated information, a legal opinion or a discount. Plan for the possibility that the investment remains illiquid until a company sale, tender offer, qualifying IPO or another transaction—and that none of those events occurs.
Red flags that a “pre-IPO” offer may be fraudulent
The SEC’s June 2024 investor alert identifies warning signs that deserve independent verification:
Best Value
- An unregistered investment professional or an identity you cannot confirm through official records.
- A cold call, direct message or social-media solicitation that provides little documentation.
- Urgency tied to a trending industry or a claim that the IPO is imminent or will occur within the year.
- Unfounded comparisons with a famous company that supposedly had a similar early valuation.
- Claims that the promoter earns only when you earn, without a complete written compensation disclosure.
- An unregistered offer advertised as open to everyone with no eligibility limits.
- Undisclosed markups, “scarce” or unusually cheap shares, or pressure to wire money immediately.
- A seller who cannot prove it owns the shares or cannot identify the issuer, class and transfer history.
Verify the person, company, registration status and bank instructions through contact information you obtain independently. Do not rely on screenshots, testimonials, a social-media profile, a website or a countdown clock as proof of ownership or legality.
What SEC filing or qualification does—and does not—mean
A filing, qualification or appearance in a regulatory database is not a government endorsement. The SEC’s materials distinguish compliance with a filing or qualification process from a review of investment quality, fairness, future performance or the accuracy of every promotional statement. Treat the documents as information to analyze, not as a seal of approval.
State securities rules, tax treatment and contract law can add requirements. This article addresses the U.S. federal framework described by the SEC; a transaction involving another country, a non-U.S. issuer or a different investor residence can follow different rules. The actual documents and facts control, so consult a qualified securities or tax professional when the amount or complexity warrants individualized advice.

When declining the investment is the rational choice
Walk away if you cannot obtain the issuer’s legal identity, the security’s class, the exemption or registration basis, complete pricing and fee information, or written transfer terms. Decline when the seller demands speed, refuses independent verification, promises a guaranteed IPO or return, or asks you to misstate accreditation or suitability information.
Also decline when the investment would consume money you need soon, leave your portfolio concentrated in one private company or depend on a specific IPO date to meet a financial goal. No general expected-return figure or IPO success probability is established for pre-IPO investing; a decision based on a promised multiple or timetable is speculation, not a dependable plan.
A practical pre-investment checklist
- Issuer’s legal name and jurisdiction verified.
- Security type, class, price and ownership route understood.
- Registration or exemption identified and consistent with the marketing method.
- Offering documents, risk factors and financial information received and read.
- Accredited status and any investment limits understood.
- Broker, funding portal or seller independently checked where applicable.
- Valuation, dilution, share-class preferences and use of proceeds analyzed.
- Fees, commissions, markups and conflicts disclosed in writing.
- Legends, lockups, consent rights, right of first refusal and resale procedure understood.
- Loss and holding-period limits set using money you can afford to leave inaccessible.
The bottom line for prospective buyers
Buying before an IPO is possible through several U.S. securities-law pathways, but each pathway imposes different eligibility, disclosure, marketing and resale rules. Treat “pre-IPO” as a high-risk timing description, not as evidence of quality or an approaching public listing. Verify the legal route and the people involved, understand exactly what rights your security carries, and invest only an amount you can lose and hold indefinitely.
