A higher annual cap for a Hong Kong-listed company’s continuing connected transactions is permission for more value to flow under an existing arrangement—not proof that the company will use the full amount, that demand is growing, or that the transactions are profitable. Investors should reconcile the old cap, actual usage and proposed cap; test the forecast assumptions; identify the connected person and conflicts; read the agreement’s pricing controls; and verify the required shareholder, board, independent adviser and auditor processes. The framework discussed here is Hong Kong’s Main Board and GEM Listing Rules, not a universal corporate-law checklist.
What a continuing connected-transaction cap actually is
A continuing connected transaction is a recurring transaction between a listed issuer (or its subsidiaries) and a connected person. Examples can include recurring purchases, sales, services, leases, financing or other arrangements that continue after the initial agreement. The issuer normally sets an annual cap: a monetary ceiling on the aggregate value permitted during each relevant period.

The cap is a compliance limit, not a budget, sales target or guarantee. A company can transact below it, and a high cap can remain largely unused. Conversely, transactions cannot simply exceed the cap because business was stronger than expected. Under Main Board Rule 14A.54, the issuer must complete the applicable announcement and shareholder-approval steps before exceeding the cap, renewing the agreement or materially changing its terms. The precise treatment depends on the facts and on any exemption that applies.
That distinction determines the investor’s task. Do not ask only whether the new number is large. Ask what changed in the underlying business, how the issuer calculated the ceiling, what protections govern each transaction, and whether the connected relationship creates a dependency or conflict that could disadvantage independent shareholders.

Confirm the Hong Kong rule framework before analysing the number
The terminology in this article comes from the Hong Kong Stock Exchange (HKEX) Listing Rules. Main Board and GEM provisions should be checked separately because the relevant chapters, thresholds and exemptions may differ. A conclusion under Hong Kong rules should not be applied automatically to a company listed elsewhere or to a different type of transaction.
HKEX’s connected-transaction framework uses written agreements, disclosure, announcements, circulars, independent shareholders’ approval where required, and continuing oversight. Certain low-materiality or otherwise specified exemptions can remove one or more procedural requirements. An exemption does not mean the transaction is unimportant, and the absence of a shareholder vote does not necessarily mean that no announcement or calculation-basis disclosure is required. Read the issuer’s stated exemption and test it against the actual parties, amounts and terms.
Build a cap-and-usage history first
Put every relevant figure in one table
Start with the issuer’s announcement or circular and its annual reports. Create a schedule for each year covered by the existing agreement and the proposed revision. Use the issuer’s own units and period definitions, and distinguish a full-year figure from a partial-year estimate.

|---|---|---|---|---|---|
| Prior year | As disclosed | As disclosed | Actual divided by cap, if calculable | Not applicable | Volume, price, mix or other stated driver |
| Current year | Actual to date or forecast | Existing ceiling | State whether the period is complete | As proposed | Quantified assumptions and timing |
| Next year or renewal period | Not yet known | Current ceiling, if still in force | Not applicable | As proposed | Expected business inputs and safeguards |
Calculate utilisation as actual transactions divided by the applicable cap, but preserve the issuer’s stated period and currency. Low utilisation is not automatically reassuring: it may reflect weak demand, delayed projects or conservative operations. High utilisation is not automatically improper: it may reflect genuine expansion. The useful question is whether the proposed increase is proportionate to the business input that drives the transactions.
Separate growth in the business from growth in the ceiling
Map the cap increase to measurable drivers such as units purchased or sold, service hours, rental area, headcount, production capacity, project awards, commodity prices or foreign-exchange assumptions. If the cap rises materially faster than those drivers, ask why. Possible explanations include a change in product mix, a new subsidiary, a longer agreement period, higher prices, or a broader definition of covered transactions. The explanation should be specific enough to reproduce the calculation.

Interrogate every assumption behind the proposed cap
HKEX rules require the cap to be determined by reference to previous transactions and published group information, or, where there is no transaction history, reasonable assumptions. The issuer should disclose the calculation basis and assumptions even where a circular is not required. Read the arithmetic rather than relying on a statement that the increase is for “business needs.”
Use an assumption checklist
- Volume: What quantity of goods, services or financing is expected, and what evidence supports it?
- Price: Which price, index, tariff, exchange rate or inflation assumption is used?
- Timing: Does the forecast cover a full year, a stub period or a renewal term of a different length?
- Scope: Are new products, subsidiaries, territories or service categories being added?
- Conversion: Are multiple currencies converted at a stated rate, and is the cap gross or net of rebates, taxes or offsets?
- Sensitivity: What happens if volume, price or exchange rates are 10% or 20% higher or lower?
Look for a bridge from historical actuals to the new ceiling. For example, an issuer might show prior-year purchases, expected unit growth, an input-price change and an acquisition that adds demand. If the document provides only a round number or an unexplained percentage uplift, treat that as an information gap and seek clarification from the issuer’s disclosures or investor-relations contact.

Find the exact legal entity on the other side of the transaction and the relationship that makes it a connected person. It may be a director, substantial shareholder, associate, parent, subsidiary or another person covered by the rules. The announcement or circular should describe each party’s interest and principal business activities.
Then classify the practical relationship: customer, supplier, landlord, service provider, lender, distributor, joint-venture partner or another dependency. A counterparty can occupy more than one role. Ask whether the issuer could replace it on reasonable terms, whether the connected party controls a critical input or route to market, and whether the transaction is strategically necessary or merely convenient.
Trace ownership through intermediate entities and note changes during the period. A person’s connected status, voting interest or board position can change, which may affect disclosure and approval requirements. Also check whether directors or controlling shareholders have interests in both sides and whether those individuals must abstain from voting.

Read the agreement, not just the cap
Define what transactions are covered
Review the agreement summary for the goods or services, eligible counterparties, territories, quantities, term, renewal rights and termination provisions. A broad description can permit more activity than a narrowly defined supply schedule. Determine whether the proposed cap applies to one agreement, several agreements or a group of transaction categories.

Test payment and pricing controls
Identify how consideration is calculated and when it is paid. The issuer should explain its pricing policy and the mechanisms intended to keep individual transactions on normal commercial terms or otherwise protect the issuer. Controls may include market quotations, comparable independent transactions, tender procedures, approval limits, purchase-order checks, periodic benchmarking or a requirement that the connected price be no less favourable than an independent-party price.
Ask who operates each control, what evidence is retained and what happens when no comparable market price exists. A policy statement is stronger when it names the responsible department, approval threshold and escalation route. A larger cap with vague pricing language deserves more scrutiny than a smaller cap supported by transparent, repeatable controls.
Check approval, voting and independent review
Determine whether shareholders must vote
Use the issuer’s classification of the transaction and stated exemption to determine whether independent shareholders’ approval is required. Where a vote is required, identify the shareholders who must abstain because of an interest in the transaction. Check the notice, record date, voting results and resolution wording; approval is not a blanket endorsement of every future transaction, but approval of the defined arrangement and cap under the disclosed terms.
Read the circular’s independent analysis
When a circular is issued, read the independent board committee’s recommendation and the independent financial adviser’s analysis. Focus on the reasons the adviser considers the terms fair and reasonable, the methodology used, the basis for the cap and the safeguards. Note qualifications, reliance on management forecasts and any statements that the adviser has not independently verified operational assumptions.

Use annual reports for continuing oversight
Main Board Rule 14A.55 provides for annual review by independent non-executive directors (INEDs), and the rules also require annual auditor reporting under the specified provisions. These reviews examine whether the transactions were conducted in accordance with the agreement, the issuer’s pricing policy and the relevant rule criteria. They are valuable follow-through evidence, but they do not independently validate a forecast before shareholders consider a proposed increase and do not eliminate the underlying conflict.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Know the rule triggers when the cap changes
Under Main Board Rule 14A.53, an annual cap is expressed in monetary terms and determined by previous transactions and published group information, or by reasonable assumptions where there is no history. If the transaction requires shareholder approval, shareholders approve the cap as part of the applicable process.
Rule 14A.54 requires renewed compliance with announcement and shareholder-approval requirements before the cap is exceeded, the agreement is renewed or its terms are materially changed. This means an issuer cannot treat a near-limit position as a reason to continue transacting first and regularise later. Check the timetable: the announcement, circular, meeting and effective date should occur before the relevant trigger, subject to the rule’s detailed provisions and any exemption.
For each proposed change, determine whether it is merely a higher monetary ceiling or also changes the parties, transaction categories, pricing policy, duration or other material terms. A change in scope can be more significant than the percentage increase in the number itself.
Follow the cap after approval
Keep the issuer on a watch list after the meeting. Compare subsequent quarterly or annual disclosures with the new ceiling and record actual amounts, not just management commentary.
Best Value
- Repeated utilisation close to the cap, especially early in a period.
- A second upward revision or a new agreement soon after approval.
- Actual transaction growth that does not match the business drivers used in the forecast.
- Expansion of the counterparty’s role or the agreement’s scope without a clear commercial explanation.
- Missing, delayed or unusually qualified annual review statements.
- Auditor or INED comments indicating non-compliance, pricing exceptions or inadequate controls.
These signals are prompts for further analysis, not proof of wrongdoing. Compare them with segment results, cash flows, inventory, receivables and supplier or customer concentration. A cap is one part of the related-party risk picture.
What the September 2026 HKEX proposal changes—and does not change
On 21 September 2026, HKEX announced a consultation proposal that would allow annual caps for certain revenue-nature continuing connected transactions in the ordinary and usual course of business to be expressed as a percentage of revenue or another audited financial item. The consultation was scheduled to close on 30 November 2026.
The announcement described a proposal, not an operative rule change. On the date of that announcement, the cited current Main Board rule required a monetary cap. Before relying on a percentage-based cap, verify whether HKEX published final amendments and when they took effect. The proposal’s stated policy aim, in the words of HKEX Head of Listing Katherine Ng, was: “This reform seeks to give issuers greater flexibility and certainty in their corporate transactions, increasing efficiency in terms of costs and time while upholding investor protection through timely, meaningful disclosure and strong board accountability.”
If a percentage format becomes effective, investors should still translate it into an estimated monetary amount using the relevant audited financial item, test the denominator definition and period, and examine what happens if revenue falls or rises sharply. A percentage can improve alignment with business scale while making the ceiling less intuitive; the underlying assumptions and controls remain essential.
Documents to collect for a company-specific assessment
- The announcement proposing the cap, including the calculation basis, assumptions and previous transaction amounts.
- The circular, if required, including the agreement summary, independent board committee recommendation and independent financial adviser’s opinion.
- The written agreement or a detailed summary of its parties, scope, duration, pricing and payment terms.
- Historical annual reports showing actual transaction amounts, utilisation and any changes in connected status.
- The shareholder meeting notice, abstention information and voting results.
- The latest annual report’s INED and auditor review statements and any qualifications.
- Subsequent announcements or reports showing actual usage, renewals, amendments or further cap requests.
With those documents, an investor can reconstruct the cap, challenge its assumptions and monitor whether the approved arrangement operates as described. Without them, a headline increase is too incomplete to support a conclusion about growth, fairness or misconduct.
