Before buying, trace the listed security to the company that owns assets and receives cash, determine whether contractual VIE arrangements stand between you and the operating business, map the product to current export-control rules, and test whether the balance sheet can withstand a lost customer, supplier or license. Then value the security using the issuer’s latest filings and dated market data.
Start with the legal claim behind the ticker
A stock quote can hide several different entities. The listed issuer may be a Cayman Islands, Hong Kong, mainland Chinese or other holding company; the factories, intellectual property, licenses and customer contracts may sit in subsidiaries; and a depositary receipt can represent an interest in shares held by a depositary rather than a directly registered local share. Your first task is to establish exactly what you own and which entity generates the cash.

Build an entity-and-cash-flow map
Use the latest annual report, prospectus, exchange filings and material-contract exhibits to draw a simple map:
- Issuer: legal name, incorporation country, listing exchange, ticker and security type.
- Share class or receipt: ordinary share, dual-class share, American depositary share, global depositary receipt or another instrument; record the share-to-receipt ratio and voting rights.
- Operating subsidiaries: identify the entities that own plants, patents, inventory, permits and customer agreements.
- Cash path: show how operating revenue reaches the listed issuer, including dividends, service fees, royalties, intercompany loans and taxes.
- Restrictions: note foreign-ownership limits, currency controls, approvals for dividends or asset transfers, and pledges or guarantees that could divert cash.
Consolidated financial statements show that management controls and reports an entity under accounting rules. They do not, by themselves, prove that the listed company owns the operating company’s equity or can freely move its cash to shareholders.

Check whether the security is direct equity or a depositary receipt
For a depositary receipt, read the deposit agreement. It should state the underlying share ratio, fees, voting process, treatment of dividends, corporate-action deadlines and what happens if the receipt program is terminated. Confirm whether investors can convert receipts into local shares and whether local-law, broker or capital-control restrictions make that conversion theoretical rather than practical.
Also check the listing’s legal and trading jurisdiction. A dispute over a U.S.-listed receipt, a Hong Kong share and a mainland share can involve different courts, regulators, settlement systems and investor-protection regimes. Record the governing law and venue for the security documents, not merely the company’s headquarters.
Understand a VIE before relying on reported ownership
A variable-interest-entity (VIE) structure can place a contractual layer between the listed company and a China-based operating business. In the structure described by the U.S. Securities and Exchange Commission’s Investor.gov bulletin of September 20, 2021, the offshore listed issuer may own an intermediate holding company while Chinese restrictions prevent direct foreign ownership of an operating entity. The issuer then uses contracts—such as exclusive business cooperation, equity-pledge, option and power-of-attorney agreements—to claim control and economic benefits.
What the contracts are intended to do
Typically, the contracts are designed to let the offshore group receive service fees or other economic benefits, direct important decisions and obtain the VIE’s residual value if restrictions change. Read the actual agreements and the summary in the risk factors rather than accepting a label such as “variable interest entity.” Identify every contract party, its ownership, the authorized signatories, the fees, renewal terms, security interests and events of default.
Why a VIE changes your downside
The SEC warns that investors can suffer significant losses if a contract party refuses to perform, Chinese law changes, or a court finds the arrangements unenforceable. The listed company could lose control of the VIE, while shareholders may have limited recourse against the people or entities holding the operating assets. A dispute may be governed by Chinese law and heard in a Chinese jurisdiction, where enforcement and remedies differ from those available in the listing country.

Look for disclosures about nominee shareholders, family or management relationships, powers of attorney, equity pledges, registered-capital requirements and prior disputes. Check whether the VIE’s owners have obligations to other creditors and whether the listed group has insurance or escrow arrangements that would actually protect investors. Treat management’s statement that the contracts are “legally effective” as a risk disclosure to investigate, not as a guarantee.
Questions to answer from the filing
- Which assets and licenses are held by the VIE rather than by a directly owned subsidiary?
- What percentage of consolidated revenue, profit, cash and research spending comes from VIE entities?
- Can the VIE pay service fees, dividends or royalties under current foreign-exchange and tax rules?
- Who owns the VIE’s equity, and what happens if that owner dies, divorces, leaves management or becomes insolvent?
- Are the contracts subject to arbitration, a Chinese court or another forum, and can an award be enforced?
- Does the company disclose any regulatory inquiry, contract breach, pledge release or change in law since the last annual report?
Classify the hardware position before judging export-control risk
“Hardware company” is too broad for a regulatory analysis. A chip designer, wafer foundry, semiconductor-equipment maker, memory producer, packaging contractor, server assembler and consumer-device brand rely on different technologies and supply routes. Make a bill-of-materials and process map for the issuer’s major products.

|---|---|---|
| Chip design or fabless processor | Access to design software, advanced foundries, packaging, memory and customers in controlled destinations | Foundry partners, nodes, outsourced assembly, export licenses, product-specific restrictions |
| Wafer fabrication | Manufacturing equipment, software tools, spare parts, process technology and expansion approvals | Tool suppliers, installed-base support, capex plans, licenses and production by site |
| Semiconductor equipment | Whether the tool, component or software falls within a controlled category and whether customers are restricted | Product specifications, end users, revenue by country and license requirements |
| Memory or high-bandwidth memory | Specific memory controls, production equipment and downstream accelerator demand | Memory type, capacity, customers, inventory and substitution plans |
| Packaging and testing | Equipment, imported inputs, advanced-packaging technology and customer concentration | Process capability, key tools, geographic capacity and qualification status |
| Finished servers, devices or industrial hardware | Controlled chips, software, radio or security components, destination rules and customer end use | Bill of materials, country of origin, end markets, distributors and compliance controls |
Export controls can reach production inputs, not just finished chips. In its December 2, 2024 announcement, the U.S. Bureau of Industry and Security (BIS) described controls involving 24 types of semiconductor-manufacturing equipment, three types of software tools, high-bandwidth memory, and 140 additions to the Entity List with 14 modifications. Those figures describe that particular action; they are not a complete or permanent inventory of current controls.
Separate four kinds of exposure
- Product classification: technical thresholds, performance, memory bandwidth, computing capability or equipment function can determine whether a rule applies.
- Origin: a component made outside the United States can still be subject to U.S. rules through controlled technology, software, equipment or a de minimis or foreign-direct-product provision.
- End user and end use: an otherwise saleable product may require a license for a listed customer, a military-related end use or another restricted application.
- Destination and transaction route: shipments through distributors, contract manufacturers or third countries do not automatically remove compliance obligations.
Ask the issuer to identify the specific Export Control Classification Number, license exception, authorization or legal opinion it relies on. A general statement that products are “compliant” is not enough to model revenue.
Verify the rule that applies now, not a headline from last year
Controls change through final rules, temporary authorizations, license decisions, entity designations and court or agency interpretations. Anchor every conclusion to the rule’s publication date, effective date, product definition, customer, destination and license status.

China-fab licensing example: August 29, 2025
On August 29, 2025, BIS announced that former Validated End-User (VEU) participants would need licenses for certain exports to operate existing semiconductor fabs in China. BIS said it did not intend to grant licenses for capacity expansion or technology upgrades. The announcement is a dated policy position, not proof that a particular company has authorization today. Read the final rule and the issuer’s current licenses to determine whether existing production, maintenance, replacement tools and expansion projects are treated differently.
Case-by-case chip licensing example: January 13, 2026
On January 13, 2026, BIS said certain license applications for H200 and similar chips to approved customers in China would receive case-by-case review subject to conditions. That does not establish that every customer, chip configuration or shipment qualifies. Before using a China sales forecast, verify the product, customer, destination, end use, license conditions, shipment timing and whether the policy remains in force.
In that announcement, Under Secretary for Industry and Security Jeffrey Kessler said: “Export controls should evolve with changes in technology, while protecting national security.” The statement captures why a static risk label is unreliable: technical progress and policy changes can move in opposite directions.
Map customers, suppliers and alternate routes
Read the latest annual report’s risk factors, geographic tables, major-customer disclosures and supplier discussion. Then build three linked maps.
Customer map
- Revenue by country, region and end market.
- Top customers as a percentage of sales, receivables and backlog.
- Whether customers are on a restricted-party list or serve restricted end uses.
- Contract termination rights, take-or-pay terms, inventory commitments and qualification cycles.
- Exposure to distributors that can redirect products to another destination.
Supplier map
- Single-source or dual-source status for chips, wafers, substrates, memory, chemicals, tools, software and spare parts.
- Country of origin and legal jurisdiction for each critical input.
- Lead times, minimum-order commitments, safety stock and substitution qualification.
- Whether a supplier depends on a controlled technology even when the physical component is produced elsewhere.
- Contract provisions allowing a supplier to suspend delivery after a rule change or license denial.
Route and license map
For each sensitive product, draw the path from design or fabrication to the final customer. Mark every transfer, intermediary, service engineer and software update. Identify the party responsible for license applications and the evidence that a license was granted, not merely requested. A plausible alternate route is valuable only if the alternative supplier is qualified, has capacity, can ship legally and will not create a new controlled-technology problem.

Stress-test revenue instead of extrapolating the latest quarter
Build at least three cases for each material product line: licenses continue on current terms, licenses are delayed or narrowed, and sales stop for a defined period. Change units, price, mix, gross margin, inventory write-downs, working capital and capital expenditure together. A license restriction can reduce revenue and also leave the company with unusable inventory, non-cancellable purchase obligations and higher unit costs.
Use company-specific disclosures as warnings, not sector averages
NVIDIA’s FY2026 Form 10-K illustrates the mechanics without proving that other issuers face the same exposure. The filing reported a $4.5 billion charge attributed to excess H20 inventory and purchase obligations, and approximately $60 million of H20 revenue from certain licensed sales. Those are NVIDIA’s fiscal-period figures and should not be presented as an industry statistic. For another company, identify its own affected products, commitments, inventory and license conditions before assigning a probability or loss.
Revenue questions for management or your model
- What proportion of forecast sales depends on a named license, exception or customer approval?
- How quickly can the company redesign a product around an unrestricted chip, tool or memory component?
- What inventory becomes obsolete if the product cannot ship, and who bears cancellation charges?
- Are forecasts based on end-customer demand or on distributor orders that could be returned?
- What is the time and cost to requalify an alternate supplier or manufacturing site?
- Could a rule change affect warranty service, software updates, field support or spare parts even after the initial sale?
Analyze the business separately from the security
A company can have attractive technology and still be a poor investment at a high price or with fragile financing. Review audited statements and recent interim filings before comparing issuers.
| Area | What to calculate | Warning signs |
|---|---|---|
| Cash conversion | Operating cash flow minus capital expenditure; compare with reported profit over several periods | Profit without cash, rising receivables, customer advances reversing or repeated working-capital outflows |
| Margins | Gross and operating margin by product and geography; bridge changes in mix and pricing | Margin dependent on one controlled product, unexplained “other” items or sudden discounting |
| Capital intensity | Maintenance and expansion capex, depreciation, utilization and payback period | Expansion required to meet policy-driven demand, but funding or equipment licenses are uncertain |
| Debt and liquidity | Maturity schedule, interest coverage, cash location, restricted cash and covenant headroom | Debt held at an entity that cannot access operating cash, short maturities or foreign-exchange mismatch |
| Dilution | Basic and fully diluted shares, options, convertibles, employee awards and planned fundraising | Frequent equity issuance, convertibles with reset features or offshore and onshore share-count differences |
| Governance | Board independence, related-party transactions, auditor opinion, internal-control findings and shareholder rights | Unusual guarantees, opaque affiliates, delayed filings, qualified opinions or changes in auditors without explanation |
| Valuation | Enterprise value, free-cash-flow yield and scenario-based multiples using current market data | Price assumes uninterrupted access, maximum capacity and no dilution despite visible policy dependence |
Keep cash location in the analysis. Cash held by a mainland subsidiary, a VIE or a restricted joint venture may not be available to repay offshore debt or pay a dividend. Reconcile the consolidated cash balance with entity-level cash, guarantees, pledged deposits and regulatory approval requirements.

A practical due-diligence sequence
- Collect primary documents. Download the latest annual report, interim report, prospectus, deposit agreement, material contracts, exchange notices and regulator filings.
- Identify the security. Confirm ticker, exchange, share class, receipt ratio, voting rights, conversion mechanics, fees and governing law.
- Trace ownership. List every operating subsidiary, VIE, joint venture and entity holding material assets or licenses.
- Quantify dependence. Calculate revenue, profit, assets, cash and employees tied to each VIE, customer, supplier, product and geography.
- Classify products. Record technical specifications, manufacturing steps, controlled inputs and end uses for the products that drive the forecast.
- Verify rules. Match each exposure to the current final rule, Entity List status, license or exception; note effective dates and conditions.
- Challenge alternatives. Obtain evidence that alternate suppliers, fabs, tools and customers are qualified, available and legally usable.
- Run scenarios. Model license delay, loss of a top customer, supplier interruption, inventory impairment, lower utilization and emergency financing.
- Audit the balance sheet. Reconcile cash by entity, debt maturities, guarantees, restricted deposits, capex commitments and dilution.
- Set a decision rule. Define the maximum valuation, leverage, VIE dependence and policy exposure you will accept before buying or adding.
Red flags that should stop or delay a purchase
- The filing describes a VIE but does not identify the contracts, owners, cash-transfer mechanism or dispute forum clearly.
- Most revenue depends on one customer, one distributor, one fab, one controlled tool or one license whose status is unclear.
- Management cites a press release or pending application instead of a current license tied to the actual product and customer.
- Inventory and purchase commitments rise while a restricted product’s shipment authorization is uncertain.
- Cash is concentrated in an entity that cannot legally or practically upstream funds, while offshore debt is due soon.
- Reported profit grows but receivables, related-party balances or capitalized development costs grow faster.
- Management offers an alternate supply route without naming qualification timing, capacity, cost and regulatory basis.
- The valuation requires uninterrupted exports, full utilization and no dilution even though the downside case has not been quantified.
A red flag is a reason to obtain evidence or reduce position size, not automatic proof of wrongdoing. If the missing fact affects your legal claim, ability to sell products or access to cash, treat the security as unpriceable until the uncertainty is resolved.
What a defensible investment memo should contain
Before placing an order, write a short memo that another reader could audit. State the exact security and date of the analysis; draw the ownership and cash-flow chain; explain any VIE exposure; list controlled products, inputs, customers and licenses; show base, adverse and severe financial cases; and identify the filing or rule supporting each material assumption. Include what would falsify your thesis—such as a lost license, a contract challenge, a customer concentration increase or a debt maturity that cannot be refinanced.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Finally, distinguish facts from estimates. A dated BIS announcement can establish what the agency announced on that date; it cannot establish a company’s current authorization without issuer-specific evidence. A consolidated statement can establish reported accounting results; it cannot establish direct ownership of a VIE. A favorable technology forecast can support a scenario; it cannot substitute for checking the security’s legal rights, supply chain and valuation.
