When Norges Bank places a Government Pension Fund Global holding under observation, the Fund does not automatically sell the shares or remove the company from its investment universe. Observation is a public, time-limited ethical-risk status: Norges Bank keeps the company under formal review while the Council on Ethics monitors whether the underlying risk changes. The status can end, be revoked, or be followed by exclusion if the risk remains unacceptable.
What “under observation” means
Observation is the middle position between ordinary ownership and exclusion under the Government Pension Fund Global’s ethical framework. It tells the market that Norges Bank considers the risk connected with a company’s conduct serious enough to require a formal, public monitoring period, but that removing the company is not yet judged to be the best measure.

The framework applies to the Fund’s equity and fixed-income portfolios. A company placed under observation remains within the Fund’s investment universe. What happens before and after the decision
1. The Council on Ethics monitors the Fund’s holdings
The Council on Ethics continuously reviews companies in the Fund’s portfolio. It can identify conduct that appears to fall within the ethical guidelines, examine public and other available information, and open a case. Monitoring is not limited to one announcement or one reporting cycle; the Council can continue following a company as facts develop.
2. The Council investigates the suspected risk
An investigation tests whether the company contributes to, or is responsible for, conduct covered by the guidelines and whether the risk is sufficiently serious or systematic. The Council considers the company’s role, the nature of the harm, the likelihood that the conduct will continue and the steps taken to prevent or correct it.
3. The company receives an opportunity to respond
Before recommending a measure, the Council gives the company an opportunity to provide information and comment. This lets the company explain disputed facts, describe remediation, provide policy or control documents, and set out changes that may reduce the identified risk. A company’s response becomes part of the assessment, but it does not guarantee that observation will be avoided.
4. The Council recommends a measure
After its assessment, the Council can recommend observation, exclusion or revocation of an earlier decision. The recommendation is directed to Norges Bank; the Council on Ethics does not itself make the final investment decision.
5. Norges Bank makes the decision
Norges Bank decides under the ethical framework. Before choosing observation, the Bank must consider whether ownership rights or another measure would be better suited to addressing the risk. The Executive Board stated on 6 February 2025:

“Before deciding to place a company under observation, Norges Bank shall consider whether the use of other measures, including the exercise of ownership rights, may be better suited.”
That requirement explains why observation is not simply an intermediate penalty. It is a choice about how to manage an ethical risk: public monitoring may be more effective than immediate removal when engagement, reporting or operational changes could address the concern.

Norges Bank publishes the decision and maintains a public list of companies subject to observation or exclusion. The decision states the ethical basis and sets the observation period for that case. The Council on Ethics then monitors developments and informs Norges Bank if the basis for the status changes.
What can trigger observation?
The guidelines identify several categories of unacceptable risk. A company may be considered for observation when it contributes to or is responsible for:
- Serious or systematic human-rights violations.
- Serious violations of individual rights in war or conflict.
- Severe environmental damage.
- Unacceptable greenhouse-gas emissions.
- Gross corruption.
- Other particularly serious violations of fundamental ethical norms.
The category alone does not determine the outcome. The Council examines the company’s specific conduct and the seriousness, scale, persistence and controllability of the risk. The published decision explains which part of the framework applies in the individual case.

Does observation mean Norges Bank sells the shares?
No. Observation itself is not an instruction to sell. The company remains in the Fund’s investment universe, whereas exclusion removes it from that universe under the ethical framework. Norges Bank can use ownership rights or other measures while a company is observed, which would not be possible if observation automatically ended the Fund’s relationship with the company.

An observation decision also does not promise that the Fund will hold a particular number of shares for the entire period. The status answers the ethical-framework question—whether the company is being formally monitored or removed—not every ordinary portfolio-management question. A separate exclusion decision would be required to change the company’s status from observation to removal under this framework.

How long does a company stay on the observation list?
There is no single standard term. Norges Bank sets the observation period in each decision, so the length varies with the risk and the facts of the case. The published decisions provide concrete examples:

The end date is not the only review point. Norges Bank and the Council on Ethics regularly reassess whether the facts that supported the decision remain present. A company can therefore leave the list because the specified period ends, because the decision is revoked or ended after changed circumstances, or because a different measure is adopted.
Can a company get off the list early?
Yes, if the basis for observation no longer exists or the circumstances justify ending or revoking the decision. The Council on Ethics can recommend revocation after monitoring changes, and Norges Bank makes the decision. ORLEN SA’s observation ended after the Council concluded that changes at the company meant the relevant risk was no longer unacceptable. That example shows that observation is not necessarily a fixed sentence that must run to its original date.

Can observation lead to exclusion?
Yes. If the identified risk remains unacceptable, if the company does not make credible changes or if the facts become more serious, the framework allows Norges Bank to move from monitoring to exclusion. Observation does not predetermine that result; it creates a defined period in which the risk and the company’s response are evaluated.

The company should expect continued scrutiny against the specific concern named in the decision. The Council on Ethics may seek updated information, examine whether announced measures have been implemented and assess whether controls work in practice. Public reporting, governance changes, investigations, litigation or events in the relevant operations can all affect the assessment when they bear on the stated risk.
Management should treat the observation decision as a request for demonstrable risk reduction, not merely a communications problem. Useful evidence can include documented remediation, independent findings, strengthened due diligence, responsible-sourcing controls, anti-corruption systems, emissions reductions or protections for affected people, depending on the case. The relevant test is whether the unacceptable risk has actually changed, not whether the company has issued a general commitment.
Because the decision is public, the company’s statements and subsequent conduct can be compared with the record used in later reviews. A response that disputes facts can matter, but so can measurable implementation and transparent reporting over time.

What investors should expect
For investors, observation is a formal signal that Norges Bank has identified a material ethical risk in a holding and is tracking it under a published process. It is not a court judgment, and it is not identical to exclusion. The company remains eligible for the Fund’s investment universe while the status is active.
The public decision tells investors which risk is being monitored and how long the initial period is. Subsequent developments can produce three broad outcomes: the observation ends or is revoked after improvement; the status continues while the risk is reassessed; or Norges Bank adopts exclusion if the risk remains unacceptable. Investors should read later updates rather than treating the initial announcement as a final verdict.
The status also indicates that Norges Bank considered ownership engagement or another measure before choosing observation. In practical terms, that means the Fund may seek change through its rights as an owner while the Council on Ethics checks whether the underlying problem is resolving.
The position in 2026
The framework is currently in a temporary phase. Under temporary ethical guidelines in force after November 2025, Norges Bank does not make new observation or exclusion decisions, although it may revoke decisions made earlier. The Council on Ethics continues to monitor the Fund’s investments and to inform Norges Bank about companies identified for possible ownership action.
The Norges Bank Investment Management register was last updated on 11 August 2026. A government-appointed committee was due to report on the ethical framework by 15 October 2026; the available position does not establish the committee’s eventual recommendations or any later policy change. Consequently, a reader checking a company today should distinguish between an observation decision made under the earlier framework and the temporary rules governing new decisions in 2026.
Existing observation cases remain relevant because the temporary rules allow earlier decisions to be revoked and because monitoring continues. The public register and the individual decision are the authoritative places to check a company’s current status, decision date, term and stated basis.
How to read an observation decision
- Identify the status. Confirm that the entry says observation rather than exclusion.
- Read the ethical basis. Note the specific category—such as human-rights violations, environmental damage, emissions or corruption—and the conduct described.
- Check the term. Record the start date and the observation period stated in the decision; terms differ by case.
- Look for the review path. See whether the decision describes ownership engagement, requested information or other measures Norges Bank considers suitable.
- Follow later updates. A company can remain under review, leave the list after improvement or move to exclusion if the unacceptable risk persists.
This reading method prevents the most common misunderstanding: treating a public observation as an immediate sale or as a final finding of legal guilt. It is a defined ethical-risk monitoring status, with a published basis, a set period and a mechanism for reassessment.
