The purchase can affect shareholders through dilution, debt or preferred-stock obligations, liquidity and custody risks, and changes in reported earnings. It does not give shareholders a direct claim to the company’s Bitcoin, nor does it guarantee that the stock will move in line with Bitcoin.
How a company can fund a Bitcoin purchase
The headline that a company “bought Bitcoin” does not identify where the money came from. Companies may use cash, issue common shares, borrow, sell convertible securities, or issue preferred stock; they may combine these sources. The funding method determines what other claims or trade-offs accompany the Bitcoin. Check the issuer’s filings and offering documents for the transaction’s actual terms.

Using cash
Cash becomes Bitcoin, leaving less immediately available for working capital, operating costs, debt payments, and other investments. Strategy says its policy is to treat Bitcoin as its primary treasury reserve asset, subject to market conditions and anticipated business cash needs. That is an issuer-specific policy, not a description of every company’s approach. Strategy’s 2025 Form 10-K

Issuing common shares
Selling new shares raises capital without adding a conventional repayment obligation, but it increases the share count. Existing shareholders then own a smaller percentage of the company unless they buy additional shares. Strategy warns that future offerings and convertible instruments may substantially dilute existing holders. Whether the capital raised improves value for those holders depends on the assets acquired, financing terms, and the company’s overall prospects—not simply on the Bitcoin purchase.

- BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
- SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
- NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
- 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
- BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.
Borrowing or issuing convertibles
Debt adds interest and repayment obligations. A convertible security may also become common shares if converted, according to its terms, increasing the share count. A company can therefore take on both fixed financial claims and potential dilution when it raises money to buy Bitcoin.
Issuing preferred stock
Preferred securities may carry dividends and rank ahead of common shares in distributions or liquidation. Those senior claims can affect what remains for common shareholders, even if the Bitcoin itself rises in value. Strategy describes its preferred instruments as providing differentiated indirect exposure and reports dividend obligations and senior claims in its filing.

What dilution means for shareholders
Dilution is a reduction in an existing shareholder’s proportional ownership caused by issuing more shares or securities that can turn into shares. It is not the same thing as the company holding more Bitcoin. A company may report a Bitcoin-per-share measure that rises while also adding debt, preferred claims, cash costs, or future shares that change the economics for common shareholders. Strategy cautions that some Bitcoin-related per-share measures may omit debt or senior claims, and that some share issuance can increase diluted shares without a corresponding increase in Bitcoin holdings.

How Bitcoin’s volatility can affect a company
Bitcoin’s market price can move sharply, affecting the value recorded on a company’s balance sheet and potentially its financial results and stock price. Fold Holdings’ 2026 annual report, which discusses 2025 prices on BitGo, says Bitcoin traded below $77,000 and above $126,000 during that year. That range is specific to the company’s report, venue, and period; it is not a forecast or a universal measure of Bitcoin’s volatility. Fold also describes Bitcoin as “a highly volatile asset.” Fold Holdings’ 2026 annual report
Accounting and reported results
Accounting treatment depends on the issuer and reporting period. Fold says it measures Bitcoin at fair value under ASU 2023-08 and recognizes fair-value gains and losses in net income each reporting period. Its filing says price fluctuations can affect digital-asset carrying value, financial-result volatility, tax consequences, and the company’s stock price. Do not assume that every issuer uses identical accounting or that an accounting gain or loss is the same as cash received or paid.

Liquidity, collateral, and custody
Bitcoin may be less liquid than cash, particularly in market stress. If a company needs money for operations, debt service, or dividends, it may have to sell Bitcoin when prices are unfavorable or find it difficult to borrow against its holdings. If Bitcoin is pledged as collateral, a price decline or disrupted market may put pressure on the company to sell assets to meet obligations. Filings also identify custody and counterparty risks: for example, insolvency at a custodian could delay or prevent access to assets.
What evidence can—and cannot—show about company outcomes
A 2026 peer-reviewed study examined Bitcoin holdings at U.S. public entities from August 2020 through December 2024. Its holdings dataset identified 34 entities, while its market and financial analyses used a 14-firm subset. Those figures describe the study’s defined sample, not every company that may buy Bitcoin or a prediction of what any one issuer will do. 2026 study of Bitcoin-holding public entities

The study’s historical sample does not establish a single outcome for all Bitcoin-buying companies. Separate legal scholarship analyzes Strategy’s capital-raising model, which is company-specific and should not be assumed to apply to other issuers. Legal analysis of Strategy’s capital-raising model The cited evidence does not establish a universal relationship in which a company’s stock price changes by a fixed amount whenever Bitcoin changes in price. A company’s operating business, financing structure, share count, and market valuation all matter.
What to check before assessing a Bitcoin-buying company
Use the latest filings and offering documents to understand the exposure and the claims on the business. A practical review includes:
Quick Recap
- Funding and dilution: How much cash was used, how many shares were sold, what convertible securities remain outstanding, and what their conversion terms allow.
- Debt and senior claims: Debt maturities and interest, preferred dividends, collateral arrangements, and the priority of claims over common stock.
- Bitcoin position: Holdings, disclosed acquisition cost, valuation date, whether assets are pledged, and whether management may sell them.
- Liquidity and operations: Cash available for working capital and scheduled obligations, and whether a downturn could force a Bitcoin sale.
- Custody and accounting: How the assets are held, disclosed custodian and counterparty risks, and how fair-value changes affect reported results.
- Business and valuation: The company’s operating prospects, share count, financing structure, and market valuation relative to its assets. Bitcoin holdings alone do not determine what the shares are worth.
